CALGARY - A blockbuster merger was announced the morning of Monday, March 10, with Whitecap Resources Inc. (TSX: WCP) and Veren Inc. (TSX: VRN) (NYSE: VRN) announcing a $15 billion all-stock deal.

The companies’ joint press release said the strategic combination would create a “leading light oil and condensate producer with concentrated assets in the Alberta Montney and Duvernay. The combined company will be the largest Alberta Montney and Duvernay landholder, a prominent light oil producer in Saskatchewan and will leverage the combined asset base and technical expertise to drive improved profitability and superior returns to shareholders.”

The companies have entered into a definitive business combination agreement to combine in an all-share transaction valued at approximately $15 billion, inclusive of net debt. Under the terms of the agreement, Veren shareholders will receive 1.05 common shares of Whitecap for each Veren common share held. The combined company will be led by Whitecap’s existing management team under the Whitecap name with four Veren directors to join the Whitecap Board of Directors, including the current president & CEO of Veren, Craig Bryksa. The transaction is expected to close before May 30, 2025.

Indeed, “Veren” didn’t last very long under that name, with Crescent Point Energy Corp. announcing its name change on March. 20, 2024. The new stickers on the lease signs haven’t even had time to fade before this merger will make them obsolete.

In many ways, in Saskatchewan it’s a case of getting the band back together. Veren, formerly Crescent Point Energy Corp., has been on a years-long trend since 2018 of selling off Saskatchewan assets that it built up since around 2007. That build-up, which included around 30 acquisitions, mostly in Saskatchewan, had solidified its dominant position in both southeast and southwest Saskatchewan, with additional operations in west central Saskatchewan, Alberta, North Dakota and Utah. But the change in leadership at then-Crescent Point, from Scott Saxberg to Craig Bryksa in 2018, saw a reversal in the company’s strategy, from growth in Saskatchewan assets to selling

off most of them as it focused on reducing debt incurred in the previous buildup. A year ago, it sold off its Flat Lake and Battrum plays to Saturn Oil & Gas. Just the Viewfield Bakken and Shaunavon play remained in Veren’s Saskatchewan portfolio, a dramatic reduction from seven years prior.

Many of the portions of Crescent Point’s once dominant position that were sold off went to Whitecap, especially in the Lampman/ Browning area.

Essentially, as Crescent Point gave up its former role as the serial acquirer in southern Saskatchewan, Whitecap has picked up that very role.

The merged company will operate under a CEO whose Saskatchewan roots run deep, as he originally hails from Estevan. Grant Fagerheim, Whitecap’s president & CEO, stated in the release: “We are excited to bring together two exceptionally strong asset bases to create one world-class energy producer with one of the deepest inventory growth sets of both liquids-rich Montney and Duvernay opportunities, along with conventional light oil opportunities in some of the most profitable plays in the Western Canadian basin. Our combined company will include exceptional technical and support personnel from the two companies in both the office and field and an experienced Board of Directors that prioritizes sustainable and profitable growth to generate strong returns for our combined shareholders. We look forward to bringing Whitecap and Veren together and providing increased value to both sets of shareholders well into the future.”

Fagerheim was named the 2022 Saskatchewan Oil Person of the Year at the Saskatchewan Oil and Gas Show.

Craig Bryksa, Veren’s president & CEO, stated, “This strategic combination unlocks significant value for all shareholders and together positions us as a stronger, more resilient company. With enhanced scale, deep inventory, and increased free funds flow generation, we’re building a business with a differentiated competitive advantage. Our combined balance sheet reinforces our financial strength and enhanced credit profile, ensuring the long-term success in an evolving market. Together we’re unlocking synergies, creating new opportunities, and setting the stage for sustainable growth.”

Chris Bullin, vice president, East Division (essentially Saskatchewan), said during the March 10 webcast, “The conventional division becomes an extremely robust entity that brings together over 150,000 boe a day of high net back 81% liquid-weighted light oil focused volumes to drive corporate free cash flow generation.

“The combination of Whitecap and Veren lands in Saskatchewan provides an ideal opportunity, as these lands each other exceptionally well, which has further solidified our position as the premier conventional producer in Saskatchewan, with the largest producing volumes per day, when excluding heavy oil thermal operation. We continue to be the most active conventional driller in Saskatchewan, and now, with our combined activities are even more significant, with approximately 200 wells planned to be drilled in Saskatchewan for 2025.

“These sustainability driven assets are further enhanced in aggregate as overall base declines are reduced to less than 20%, bolstered by the increased weighting and EOR volumes

from both the Veren’s dominant positions in the Viewfield Bakken in eastern Saskatchewan and the Shaunavon in southwest Saskatchewan, with approximately 60,000 boe per day under secondary or tertiary recovery within the division, 80% of which resides in Saskatchewan. Whitecap is the dominant EOR producer in Saskatchewan.

“The overlay with the existing Whitecap lands provides an optimal opportunity to realize the benefits of the combination. Conventional synergies are expected to drive drill, complete equipment tie-in savings of approximately $25 million on an annual basis. This primarily comes from program rephasing and savings related to size and scale.

“From an inventory perspective, the conventional division has strengthened with this high confidence and repeatable portfolio that now increases to approximately 7,000 locations strong, including over 2,600 premium locations to support over 15 years of running room. Our conventional division is the foundation for free cash flow generation, and the team continues to find opportunities to enhance our already robust inventory duration, when combined with the unconventional division, this complimentary asset portfolio is able to deliver both sustainable cash returns and long-term growth for our shareholders.”

Notably, there was something distinctly different about this announcement. Historically, Crescent Point/Veren would stop drilling in an area before an impending sale. But as of March 10, both Veren and Whitecap had rigs working in the field.

-- Residents of Godstone High Street in Surrey, England, may be out of their homes for months after a huge sinkhole opened up on Feb. 17, the BBC reported. Two sections of the road caved in, causing people in 30 homes to be evacuated. “We’ll be looking to completely rebuild the road,” said Surrey County Council’s Matt Furniss. “It’s currently stable, it isn’t growing anymore.” Local business owners are concerned about how the closure will affect them. Shane Fry of DD Services said it would be “a trialling few months for us.”

will be towed at 5 knots (or about 6 miles per hour). In Alabama, it will be stripped of its innards -- furniture, engine room equipment, cables and flooring -- and then will be moved to Okaloosa County, Florida, where it will be sunk offshore and turned into a scuba-diving destination. Capt. Joseph Farrell, a ship-sinking and reef expert, said the sinking will be “a final chapter for the last all-American-made, American-flagged ocean liner.”

On the Wrong Track

-- For the second time in a month, a teenager in the Bronx has been charged with trying to take a subway train for a joyride on Feb. 18, Pix11-TV reported. Police said the 15-yearold tried to operate the No. 2 train from the Prospect Avenue station. He was arrested in late January with a group of kids who drove the R train in Brooklyn. He was charged with reckless endangerment and criminal trespassing.

Glass can be notoriously difficult to identify. Signatures, if there are any, can be faked, molds can be reused, and glassmakers often imitated one another’s decorations. Stiegel-type glass is an excellent example.

• On March 25, 2001, Icelandic actress and pop singer Bjork made an unforgettable appearance at the 73rd annual Academy Awards in a nude body stocking draped with a large, fake white swan. As if that weren’t enough, the artist then proceeded to “lay” six giant ostrich eggs. Whatever popular opinion said about the look, the dress went on to be honored by the Museum of Modern Art and The Metropolitan Museum of Art.

• On March 26, 1804, President Thomas Jefferson attended a public party at the Senate and led a diverse crowd in eating an enormous loaf of bread dubbed the “mammoth loaf.” The bread had been baked to go with the remnants of a giant block of cheese.

• On March 27, 1929, President Herbert Hoover had a phone installed at his desk in the Oval Office of the White House. It took a while to get the line working correctly and Hoover complained to aides when his son was unable to reach him from an outside line. Previously, Hoover had used a phone located in the foyer just outside the Oval Office.

• On March 28, 1814, the funeral of Dr. Joseph-Ignace Guillotin, inventor of the execution device that bore his name, took place outside of Paris, France. Guillotin had given the contraption to the French as a “philanthropic gesture” and was upset at how his reputation had suffered afterward when it became closely identified with political executions and abuses during the French Terror after the Revolution.

• On March 29, 1982, 19-year-old North Carolina freshman Michael Jordan scored a 16-foot jump shot with only 15 seconds left to give the Tar Heels a 63-62 win over Georgetown for the NCAA tournament championship. “To tell the truth,” he said to New Orleans reporters, “I didn’t see it go in. I didn’t want to look.”

We know that Henry William Stiegel came to Philadelphia from Germany in 1750. We know he had a glasshouse in Manheim, Pennsylvania, from 1763 to 1774. Confirming that a piece of glass came from his glasshouse is nearly impossible. To begin with, the glass he made was similar to what was made in Germany at the time: thinwalled, mold-blown glass decorated with enamel or engraving. The same type of glass was made by other American glassmakers and imported from Europe.

In the 20th century, copies were made as giftware. To further complicate matters, some collectors doubt that Stiegel actually made any multicolored enamel glass, like this cologne bottle that sold at the Conestoga Auction Company Division of Hess Auction Group for $312. The auction described it as “Stiegel-type” instead of attributing it to Stiegel or any other glassmaker.

have a very old microscope that is beautiful, and it still works. It has been in my family for at least 100 years. I would like to sell it and I am not sure how to proceed. It has a French inscription reading “C. Verick, eleve special de E. Hartnack, rue de la Pax cheminerie 2 Paris.”

A:Your microscope was made by Constant Verick, who lived from 1829 to 1892. He worked for Edmund Hartnack before starting his own business in 1866. Both Verick and Hartnack were highly regarded microscope makers in the 1860s and ‘70s. Antique microscopes with a known maker can sell for about $250 to $500 at general antiques auctions. Usually, the more information (maker, date, etc.), the higher the value. The original box, slides and other “extras” also increase the value. If there are any antique shops

or auction houses in your area, check to see if they sell microscopes or related antiques like binoculars, scientific instruments or medical equipment. You can search online or check ads in antiques publications for collectors or clubs specializing in antique microscopes or scientific or optical tools. You can also check medical supply companies; some of them also deal in antique equipment.

TIP: Shallow nicks and rough edges on glass can sometimes be smoothed off with fine emery paper.

Q:How old is Goldie Hawn? She looked wonderful presenting at the Oscars. Is she still acting?

A:Belovedmovie star and Oscar winner herself for “Cactus Flower,” Goldie Hawn will turn 80 years old this November! Her last two on-screen roles were as Mrs. Claus in “The Christmas Chronicles” and its sequel in 2020, with her real-life longtime partner Kurt Russell as Santa.

Fortunately, the couple’s Pacific Palisades home survived the recent Los Angeles fires, but they were forced to evacuate. Hawn recently appeared as a presenter on the 97th annual Academy Awards, but she has a highly anticipated film on the horizon with Bette Midler and Diane Keaton. It’s the first time the trio has teamed up since their hit 1996 comedy film “The First Wives Club.”

There was a report of a planned sequel to the movie titled “Family Jewels.” However, according to an article in People magazine in 2020, Midler had given up on the idea of it ever coming to fruition. The IMDb page for a movie titled “A Childhood History Plan” has a plot that is identical to “Family Jewels,” so whatever they decide to call the film, let’s just hope that it’s finally released this year and stars these three icons.

Q:I recently watched “Buried in Barstow” for the second time. Based on the ending, it feels like there should be continuing episodes. Does Angie Harmon have any plans to reprise this role? I loved watching her in “Law & Order” and especially in “Rizzoli & Isles.” — D.S.

A:“Buried in Barstow” was a Lifetime TV movie from 2022 starring Angie Harmon as a former assassin who tries to escape her past while running a small diner as a single mom. It ended on a cliffhanger, which seemed to indicate that there would surely be a follow-up in the form of another movie or even a TV series. In fact, Harmon herself told Smashing Interviews that she envisioned a franchise of up to eight movies in total.

Unfortunately, the Hollywood trade union strikes that took place since “Buried in Barstow” first aired have likely stalled any progress on a future installment. While Harmon doesn’t have any other upcoming acting projects listed at the moment, it likely won’t be long before she’s on our screens again.

Q:Is Meghan, Duchess of Sussex, going to appear on the new “Suits” spin-off by any chance, or is she done with acting? — K.L.

A:It’s very doubtful. Although she lives in the United States now with husband Prince Harry, Meghan retired from acting upon marrying him. She does, however, have a new lifestyle show called “With Love, Meghan,” where she showcases her love of cooking and gardening with guests like actress/producer Mindy Kaling and chef Alice Waters. Hubby Harry also appears.
