EXECUTIVE DIRECTOR’S REPORT
Moore reported on James-Feaman’s behalf that the DDA participated in discussions and provided feedback at both the Palm Beach County Tourism Master Plan meeting and City of West Palm Beach Downtown Master Plan Vision session held last month. DDA staff has been meeting with each of the residential buildings to engage with their property management team, board, and residents to let them know who we are and what we do as well as to gain feedback from stakeholders.
Moore also reported to the board that the DDA recently won awards from Florida Festivals & Events Association and International Festivals and Events Association. Faublas presented the awards to the board and shared the details of the winning categories. Moore also added to the report that the DDA IS currently in a study with Ida for the values of downtown. Lastly, Moore highlighted recent ribbon cuts and new businesses opening downtown.
PRESENTATIONS
FY 25 Programming Report
Muriente presented a recap of the 2025 fiscal year programming Highlights include engaging over 4,700 participants in a total of 55 programmed days in 12 different public spaces. 11 key programs were hosted across the DDA District ranging from wellness activations to creative workshops and monthly community programming Muriente shared stats from programming throughout the year. She then shared lessons learned and how staff plans for the new fiscal year.
Homeless Outreach Team Update
Ferriol introduced staff from the Department of Housing and Community Development division of Community Services. Severino presented an overview of the City of West Palm Beach’s Community Services Division

programming, resources, and what they can and cannot do. She shared the monthly update reports for the last couple of months as well as the outreach calendar showing which areas of the city, they are targeting each day. The City of West Palm Beach is the only municipality in Palm Beach County that has its own dedicated team to provide homeless services.
Sands proceeded with informing the board about the new project and location tracking services, specifically tracking services rendered to individuals experiencing homelessness in the downtown area. She added that during the current fiscal year the team has consistently served approximately 50-60 individuals downtown each month.

Olive Ave, Suite 200 WPB, FL 334401.

STAFF PRESENTATION OF PROPOSED MILLAGE RATE AND TENTATIVE BUDGET
Rustin announced that in July, the DDA set the proposed millage rate at 2.0000 mills, which would result in an 17.65% increase in millage from the rolled back rate (1.6999) necessary to fund the budget.
Rustin stated that subsequent to that time, the DDA Board has continued to refine its budget, and staff is now proposing that the DDA set its millage rate at 0.9700 mill, which would result in a 42.94% decrease in millage from the rolled back rate (1.6999) necessary to fund the budget.
James-Feaman stated that the summary of the FY 2025-2026 Budget was previously reviewed and approved by the Board and no changes have been made. She asked if the Board had any questions. The Board had no questions.

EXECUTIVE DIRECTOR’S REPORT
Harris announced that due to time constraints James Feaman will send Executive Directors a report via email to board members. Harris made a motion to reorder the agenda to move new business item radius survey to the top of the agenda. Cruise seconded the motion. The motion passed unanimously
NEW BUSINESS Radius Survey
Senior Vice President Jennings from Radius presented an overview of the research program. This two-phase initiative is designed to capture downtown awareness through both a market survey and a visitor survey. Data received from radius research has been instrumental in decision making regarding perceptions on public safety, parking, and programming. DDA Staff requested approval from the Board to execute an agreement with Radius at a cost not to exceed fifty-five thousand dollars.
In discussion, Neto asked about the number of responses expected for that investment. Jennings explained that the market survey would gather approximately three hundred responses, while the visitor survey would include about one hundred and sixty on-site surveys, reaching a total of four hundred and sixty participants. Bratter asked whether data from past surveys had proven useful. Executive Director James-Feaman confirmed that the information serves as a valuable guiding tool for the DDA. Chair Harris requested that the agreement be brought back for Board review and approval at the October meeting.
Cruise made a motion to approve moving forward with Radius Agreement to be brought back at October Board Meeting for execution Houston seconded the motion. The motion passed 5 to 1, with one Nay.
PRESENTATIONS
Wpb Police Detail
Sergeant Maldonado provided an update on the West Palm Beach Police Detail. He reported that the team has recently begun enforcing the overnight camping ordinance and has been working with businesses to ensure that proper trespassing signage is posted to aid enforcement. The detail has also restarted the Neighborhood First Appearance program, which allows judges to hear directly from defendants and issue court-ordered mental health and substance abuse evaluations when needed.
District lighting study Phase 1
Catherine Ast introduced Fursetzer from Kimley to present findings from Phase I of the District Lighting Study. The study determined that although lighting levels downtown are not unsafe, there are areas where improvements are needed. Harris suggested the addition of foot lights, while Ast recommended working collaboratively with property owners and the City to add lights to existing poles, replace outdated fixtures, and identify grants that could help fund low-cost outdoor lighting improvements. Ast noted that Phase II of the study would begin in the new fiscal year.

Rustin stated that the West Palm Beach Downtown Development Authority’s rolled back rate is 1.6999. mills. The Downtown Development Authority is levying ad valorem taxes at a millage rate of 0.9700 mill, which is a 42.94% decrease from the roll back rate.
Rustin announced Resolution No. 03-2025 is a Resolution of the West Palm Beach Downtown Development Authority adopting a final millage rate for Fiscal Year 2025-2026; providing an effective date; and for other purposes. • Interview length of 15 minutes
• Sample size of 300 (75 for each of four sectors)
• Project tasks include questionnaire design, purchase of sample, data collection, data tabulation, analysis, and provision of final report
Visitor Survey
• On-site interview among visitors to the downtown area
• West Palm Beach Downtown Development Authority identified as survey sponsor
• Interview length of 10 minutes
• Interviewing conducted across 8 visits (4–6-week period)
• Sample size of 160 (~20 per visit)
• Project tasks include project management, questionnaire refinement, data collection, data tabulation, analysis, and provision of final report
Project Costs
Total project cost for the above is $55,000. The survey would begin in November 2025.

AGREEMENT FOR MARKET AND VISITOR RESEARCH AND SURVEY.
THIS AGREEMENT is made by and between the WEST PALM BEACH DOWNTOWN DEVELOPMENT AUTHORITY, an Independent Special District created under the laws of the State of Florida, with offices located at 107 Olive Avenue, Suite 200, West Palm Beach, FL 33401 (the “DDA”), and Radius GMR, LLC, who has an address of 120 Fifth Avenue, New York, New York, 10011 (the “Contractor”).
RECITALS
WHEREAS, the Contractor submitted a proposal to provide 2025 Market Research and Survey Data. ; and
WHEREAS, the DDA finds it is in the best interest of the DDA to enter into an Agreement with the Contractor and desires to enter into an Agreement with the Contractor for a 2025 Market Survey and 2025 Visitor Survey as outlined in attached Exhibit “A” scope of services.
NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration of which the parties hereto acknowledge, the parties agree as follows:
1. Recitals. The above recitals are true and correct and incorporated herein by reference.
2. Scope of Services. The Contractor shall provide to the DDA the services as set forth in Exhibit “A” (“Services”)
3. Compensation. The DDA agrees to compensate the Contractor in accordance with the compensation provisions in Exhibit “A.”
4. Term This Agreement shall commence upon execution by the DDA (“Effective Date”) and shall remain in effect until all services described herein have been fully performed to the reasonable satisfaction of the DDA, unless earlier terminated in accordance with the terms of this Agreement.
5. Termination for Convenience. The DDA may terminate this Agreement with or without cause upon seven (7) days written notice to the Contractor. In the event of termination under this clause, the District shall compensate the Consultant only for work performed and Services completed up to and including the effective date of termination.
6. Indemnification The Contractor agrees to indemnify and hold harmless the DDA, its officers, agents, servants, and employees from and against any and all liability, claims, actions, suits, or demands by person or entity for injuries, death, property damage, or claims of any kind arising out of, or in connection with, the work to be performed by the Contractor, including litigation and any appellate proceedings with respect thereto. The obligations of this section shall survive the expiration or termination of this Agreement. Nothing is this section shall be deemed a waiver of the DDA’s rights to sovereign immunity under Florida Statutes section 768.28.
7. Applicable Law. This Agreement shall be construed in accordance with the DDA’s Enabling Act and the laws of the State of Florida. Any dispute relating to this Agreement shall only be filed in a court of competent jurisdiction in Palm Beach County, Florida, and each of the parties to this Agreement submits itself to the jurisdiction of such court.
8. Independent Contractor. The Contractor shall perform all Services under this Agreement as an independent contractor and not as an employee, agent, partner, or joint venturer of the District. The Contractor has sole discretion over the manner and means of performing the Services and is solely responsible for all taxes, withholdings, and statutory obligations, as well as maintaining necessary insurance coverage. The Contractor is not entitled to any DDA employee benefits and has no authority to bind the DDA without written consent. The Contractor shall comply with all comply with all laws and regulations applicable to provide Services specified in this Agreement.
9. Assignment. Neither this Agreement nor any right or interest herein shall be assigned, transferred, or encumbered without the written consent of the other party.
10. Severability. If any part of this Agreement shall be declared unlawful or invalid, the remainder of the Agreement will continue to be binding upon the parties.
11. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein. No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties. In the event of any conflict between this Agreement and any attachments, exhibits, or other incorporated documents, the terms of this Agreement shall control unless expressly stated otherwise.
12. Attorney's Fees. In the event of any dispute, claim, or legal action arising out of or relating to this Agreement, the prevailing party shall be entitled to recover its reasonable attorney’s fees, court costs, and expenses incurred in enforcing or defending its rights under this Agreement.
13. Public Entity Crimes. The Contractor warrants that no person or affiliate of the Contractor has been placed on the convicted vendor list following a conviction for a public entity in the prior 36 months.
14. E-Verify. The Contractor warrants for itself and its subcontractors that the Contractor and all subcontractors are in compliance with all federal immigration laws and regulations that relate to their employees. The Contractor agrees and acknowledges that the DDA is a public employer that is subject to the E-Verify requirements as set forth in Section 448.095, Florida Statutes, and that the provisions of Section 448.095, Florida Statutes apply to this Agreement. Notwithstanding any other provisions in this Agreement, if the DDA has a good faith belief that the Contractor has knowingly hired, recruited, or referred an alien who is not duly authorized to work by the immigration laws or the Attorney General of the United States for employment under this Agreement, the DDA shall terminate the Agreement. The Contractor shall be liable for any additional costs incurred by the DDA as a result of the termination of a contract based on the Contractor’s failure to comply with E-Verify requirements referenced herein.
15. Public Records. The DDA is a public agency subject to Chapter 119, Florida Statutes. The Contractor shall comply with Florida’s Public Records Law. Specifically, the Contractor shall:
a. Keep and maintain public records required by the DDA to perform the Contractor’s Services described in this Agreement.
b. Upon request from the DDA’s custodian of public records, provide the DDA with a copy of the requested records or allow the records to be inspected or copied within a reasonable
time at a cost that does not exceed the cost provided in Chapter 119, Florida Statutes, or as otherwise provided by law.
c. Ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the Agreement if the Contractor does not transfer the records to the DDA
d. Upon completion of the Agreement, transfer, at no cost, to the DDA all public records in possession of the Contractor or keep and maintain public records required by the DDA to perform the service. If the Contractor transfers all public records to the DDA upon completion of the Agreement, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the contract, the Contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided to the DDA, upon request from the DDA’s custodian of public records, in a format that is compatible with the information technology systems of the DDA

A strategic plan would help guide our goals, resource allocation, and performance measures over the next 5 years, ensuring that our organization remains responsive, efficient, and mission driven
