CONSTITUTION AND BY-LAWS OF THE MCCAIN AUDITORIUM STUDENT AMBASSADORS OF KANSAS STATE UNIVERSITY DRAFT AS OF 3/23/11

ARTICLE I Name and Purpose Section 1. Section 2.

The name of this organization shall be the McCain Auditorium Student Ambassadors. The purpose of this organization shall be to support the mission of McCain Auditorium and the McCain Performance Series and to seek opportunities to promote connections with the student population at Kansas State University and the community in general. The McCain Auditorium Student Ambassadors also encourage interest and appreciation for all fine arts endeavors at Kansas State University. ARTICLE II Membership

Membership shall be open to all students enrolled at Kansas State University. The organization shall conduct an annual membership drive, but persons may be admitted to membership at any time. The organization shall have as members up to two advisors from the staff of McCain Auditorium and may have one representative from the Friends of McCain Board of Directors as appointed by the president of the Friends of McCain Board of Directors. The officers of the organization shall consist of a president, vice president, and secretary. The organization shall be non-commercial, non-profit, non-sectarian, and non-partisan. At the final meeting in the spring semester of members, the officers shall be elected, each for a one-year term beginning June 1. The name of the organization and the names of its members in their official capacities shall not be used in connection with any commercial concern, nor for any purpose except those appropriately related to promoting the purposes of the organization. In case of a vacancy in any office, the current officers will appoint from the membership a person to fill the vacancy for the remainder to the unexpired term. The president shall preside at all meetings of the general members, and shall be a member ex-officio of all standing committees. The president shall be responsible for planning and scheduling all membership meetings. The president and the vice-president serve as the student representatives for the Friends of McCain Auditorium Board of Directors. The vice-president serves as the membership committee chair. The secretary shall keep a record of all meetings and provide a written copy of the minutes and agendas of all meetings to the membership via method as determined by the organization (Facebook, email, listserv, etc.).

ARTICLE IV Voting Section 1. Section 2.

Each member shall be entitled to one vote on each matter at any meeting of the membership. Voting by written proxy shall be permitted. Only members in good standing shall be eligible to participate as voting members of the organization or to serve in any of its elective or appointive positions. ARTICLE V Meetings

Meetings shall be once a month during the normal school year. The precise schedule will be determined each semester by a majority vote of the members. Special meetings of the members may be called at any time by the officers. Notice of each meeting of the members shall be furnished to them by the secretary by email or by other means appropriate to the member. Such notice shall be at least two weeks prior to the date of any regular meeting and at least one week prior to the date of any special meeting. Those members in attendance at any meeting of the membership shall constitute a quorum. ARTICLE VIII Committees

The membership committee chair shall be responsible for cultivating membership in all categories of the McCain Auditorium Student Ambassadors. The engagement/promotion chair will be responsible for all activities that promote the McCain Performance Series on campus or in the community. The organization may form other committees as needed by simple majority vote of the membership. Chairs of these committees will be determined also by simple majority vote.

ARTICLE X Rules of Procedure Section 1.

The rules contained in Robert’s Rules of Order Newly Revised shall govern all meetings of the members of this organization, to the extent they apply and are not inconsistent with this constitution. ARTICLE XI Amendments

Section 1.

This constitution may be amended at any meeting of the membership by an affirmative vote of a majority of those present, providing that written notice of such proposed amendment has been given at least two weeks in advance of such meeting.
