The Trustees Report of the trustees for the year ending 31st July 2016 The Tin Music and Arts and its Trustees are pleased to present an in-depth annual report together with the consolidated financial statements of the charity for the year ending 31st July 2016.

The financial statements comply with the Charities Act 1993, the Memorandum and Articles of Association and the Statement of Recommended Practice - Accounting and Reporting by Charities (SORP 2005).

Chair’s Report This is my third Chair’s Report for the Tin Music and Arts (The Tin) and it’s been another rollercoaster year. We’ve had some disappointments and some battles but, just as we prepare to review the year, things come together and the future offers exciting new opportunities.

I’m a half full type of gal so as I look back it’s the plusses I recall - the tough bits just help to make the good bits shine all the more. You will see some of the many things we achieved over the year in the rest of this report but as Chair I like to share a few personal highlights with you.

Perhaps the most important development during the last year was the Tin being recognised as central to Coventry’s bid to become City of Culture 2021. This was a huge boost to our morale and we are hugely grateful for the support, encouragement and assistance we have received from the team working on the bid. I cannot overstate what a difference this has made to us - we are committed to working hard to justify the faith and belief that has been shown in us. This year has been one of increasing hope for the future with deepening and widening links with other organisations across the City. Even if the bid fails (which it won’t!) we are all working together in ways that have been unexpected and exciting - I can’t wait to see what’s yet to come…

Looking back over the year for this report, I have been hugely grateful for the help we have received in raising much needed funding this year. Pete Lowen’s expert advice to us over the past year or so helped us to prepare a clear explanation of our goals and to develop good ideas and strong arguments as to why a funder would want to support us. This put us in a very good position to take advantage of the professional, focussed fund-raising support afforded to us by the City of Culture team. We have started to see the results of those efforts and, going forward, as we gather more concrete evidence regarding our achievements and successes, we are optimistic that we will increasingly be recognised as a charity delivering world-class results and a place that makes a difference to people’s lives; and we will gather growing support - financial and otherwise.

A particular high-spot for me this year was the Annual Steam Boat and Canal Basin Festival in June a lot of work for the team but a huge success with all kinds of fun activities for the whole family. It was particularly wonderful to see photographs of the pre-redevelopment Canal Basin. It was especially interesting as a lady of 80 years arrived with her family to visit the boat, The Egypt, on which she had been born. Hearing about the changes to the Basin over her lifetime really brought those photographs to life. On a practical note, the sound stage kindly loaned to us by the City Council was amazing and the showcase of local music that we were able to stage was complemented by a fashion-show by students studying with our partners City College. We have started planning for the 2017 festival and it will be even better.

Another highlight was an evening in the Coal Vaults learning about Sound Design with visiting friends from the Criterion Theatre. I had no idea beforehand about the subject; apart from the use of coconut shells for horses’ hooves and other well-known sound effects. Ian Whitehead, one of our Sound Engineering Team, opened up the subject for us with a fascinating presentation that I certainly won’t forget. I know our Sound Engineers are looking forward to working with our Criterion Theatre partners on productions at the theatre and hopefully in the Tin’s spaces too.

I have learnt about short films this year too and am excited to learn more. The Roots to Shoots nights and the Title Ruse Festival were simply amazing. I look forward to future events and being dazzled further by the film-making talent we have in our area.

I took part in my first Pecha Kucha this year - “My Favourite Things” which I narrowed down to “Everyday Smiles” - it was immense fun! The thing that will stay with me longest was hearing about, and holding, a 40,000-year-old left-handed stone hand-axe - what a story!

As Chair, I have found the support provided by the Association of Chairs extremely helpful; their advice and training on what good governance is and how to avoid the pitfalls facing charities have helped to make my role clearer and the Trustees to fulfil our joint and individual responsibilities effectively.

As I close this report I’d like to thank my fellow trustees for their support for me as Chair and for all their hard work on behalf of the Tin Music and Arts. I would also like to thank Sarah Morgan, our wonderful Director, and her small dedicated team for delivering the miracles that they do; the Board and I are incredibly proud of every one on the team - they are what make the Tin what it is.

Our Objectives The objectives of The Tin Music and Arts are:

To advance education in music and arts for the public benefit by the provision of an arts facility The promotion of health by the provision of tuition in music and arts To promote social inclusion for the public benefit by preventing people from becoming socially excluded, relieving the needs of those people who are socially excluded and assisting them to integrate into society For the purpose of this clause ‘socially excluded’ means being excluded from society, or parts of society, as a result of one or more of the following factors: • • • • • • • • • •

Our Vision & Strategy The vision that shapes our activities remains the promotion and fostering of knowledge and appreciation of the arts (particularly music) for the education and recreation of the public. The Charity also has the general aim of contributing to the quality of life of the people of Coventry by expanding their horizons through the provision of exciting, challenging and accessible professional and community music and arts events.

The strategies employed to achieve the charity’s aims and objectives are to: • • • • • • •

Our Artistic & Social Values Our artistic and social values are to create an environment which is inclusive and accessible for everyone to enjoy music and the arts.

In shaping our objectives for the year and planning our activities, the trustees have considered the Charity Commission’s guide on public benefit, including the guidance on public benefit and fee charging. The charity relies on grants and the income of fees and charges to cover its operating costs. In setting the level of fees, charges and concessions, The Tin Music and Arts gives careful consideration to the accessibility of the events it programmes for those on low incomes.

Attitude is Everything We are committed to running a venue that is open for everyone to enjoy music. Attitude is Everything is a charity, which promotes and supports deaf and disabled people’s access to live music.

The Tin has been awarded a Bronze standard for showing its continued commitment to having an accessible venue; we are now working towards achieving their Silver award.

Sustainability The Tin looks to use sustainable resources and recycle where possible; our music venue, The Coal Vaults, is powered by 100% green energy. When we need new items of furniture, we will try to buy or recycle pre-loved furniture. We also stock 2 local breweries’ beers.

Having a consistently welcoming and well organised and comfortable place to go and take others is a luxury. Thank you for your hard work and dedication in providing amazing nights, with home grown talent performing, and artists I never thought I’d see, let alone in such a great setting. I hope you go from strength to strength.

Our Programme of Events At The Tin we host a varied programme of events which combines high quality, in-house programmed live music from local up-and-coming bands and solo performers to established renowned musicians. Not only do we look to programme genres to suit a range of tastes but also give opportunities to people with a range of abilities - from first performances (Sunday Open Mic), to experienced amateur artists, to world touring musicians.

We provide a professional, welcoming and safe environment for bands, artists and the community, and encourage artists to collaborate and create work together. Our live performances are complemented by a range of other activities; alongside our music programming we have hosted comedy nights, festivals and regular film screenings with Roots to Shoots, a platform for local filmmakers as well as screening opportunities to amateur and professionals.

The Tin also likes to encourage engagement with music and arts from a young age and over the past year we have specifically programmed gigs for a younger audience with our series of My First Gigs, which we plan to continue.

Visiting The Tin is always a good experience with vibrant sounds and quality musicians.

Keep up the good work for Coventry live music I say.

Highlights from the Year Music Over the past year The Tin has continued to deliver an eclectic programme of music, The Coal Vaults has seen a massive range of genres from local artists to acts from across the globe. To mention a few of our shows, August 2015 saw keyboardist, accordionist, synth-pioneer and defining figure in Ethiopian music from the 80’s, Hailu Mergia perform. The same month also saw performances from Portuguese rock-duo Pega Monstro and Scottish musician and co-founder of The Beta Band, Lone Pigeon (Gordon Anderson); a show we partnered up with Inspire for.

The Tin is the only venue in Coventry of its type. It’s a socially inclusive space for the community to view and take part in music.

In September 2015, we continued My First Gig and brought younger audiences shows from Thomas Truax, a multimedia artist and instrument inventor and also the uplifting Scottish multiinstrumentalist, Esperi.

Over the year we’ve worked with other organisations in Coventry, during October 2015 we hosted a co-promoted event with Warwick Arts Centre to bring electronic musician and Mercury Prize nominee, East India Youth to The Coal Vaults and we also took The Tin to St. Mary Magdalen’s Church for an evening filled with performances from local musicians.

Back in November 2015, we teamed up with JazzUK and other venues around the city to help programme the #4Jazz Festival, we hosted 2 Jazz infused events in The Coal Vaults; one with Montreal kraut-funk quartet Avec le Soleil Sortant de sa Bouche and another with leading exponents of the British jazz scene WorldService Project and Zodiak Trio.

As a member of the Music Venues Alliance, The Tin was able to become an official venue for Independent Venue Week (January 2016), a 7 day celebration of small venues across the UK, the venues that give artists their first experience of playing live. The Tin hosted several shows in celebration including; Winter of ’82, a touring act supported by Attitude is Everything and who performs with innovative and pioneering technology, mi.mu gloves, designed to improve accessibility to music. The same week we also hosted the first in an instalment of Coventry Pride’s events.

In March 2016 French musician Laetitia Sadier and multi-instrumentalist and song-writer Nicholas Krgovich, joined us to host our first show at the newly renovated Old Grammar School, the 12th 8

Century building has proven an ideal atmospheric venue for our shows. Later this year (June 2016), psych folk phenomenon Trembling Bells headlined our second show.

We continued our support of Godiva Festival by co-hosting this year’s Godiva Calling rock and metal heat with Fargo Tours at The Arches in April 2016, to find a musician or band to perform on stage at the festival.

We’ve supported and given local promoters the freedom to host their own club nights at The Coal Vaults, we’ve seen nights from Dole Club, Revolt, Kitchen Club and Alice Parties.

Every Sunday we’ve consistently hosted our Open Mic, giving local acts a stage to perform.

Film & Theatre Although, we programme predominantly music events we also host film and theatre events; back in August 2015 we screened The Ecstasy of Wilko Johnson, a film that tells the extraordinary story of Wilko Johnson, diagnosed with incurable pancreatic cancer and given months to live.

We are a key partner in delivering Title Ruse Film Festivals, aiming to celebrate quality independent short filmmaking and back in November 2015 we hosted the Peace Edition, screening short films from across the world all exploring the themes of peace, reconciliation, friendship and cultural harmony. We had nearly 800 film submissions from 78 countries.

In February 2016 we brought another legend of music to our screen with Lee Scratch Perry’s Vision of Paradise, an intimate and ultimate portrayal of one of the icons of contemporary music, following his life for 15 years.

We’ve also held shows that incorporate both live music and film, in February 2016 a four piece experimental pop band based in Berlin, Fenster, performed a live score to a sci-fi film screening, starring and created by the band members.

Throughout the year we have continued to host Roots to Shoots short film nights, giving local, national and international filmmakers a platform to screen their short films to an audience. We’ve also given students the same opportunity and in March 2016 Coventry University students curated a film screening - Sundaze as part of a project and in our Community Space was used for a studentlead mobile filming workshop.

This May (2016), Night Project Theatre presented a 2-night showing of The Last 5 Years, Jason Robert Brown’s intimate portrayal of the 5 year relationship between Jamie Wellerstein and Cathy Hiatt.

As well as hosting theatre pieces, in April 2016 one of our resident sound engineers held a lecture for Foley and Sound Design at The Tin to members of the Criterion Theatre to help with the sound production on their shows.

Great initiative Title Ruse team, keep up the same spirit for you next instalment. Much love from Nepal.

Comedy Multi- award winning comedian Simon Munnery brought this stand-up tour to The Tin in October 2015. In the near future, we are hoping to host a monthly comedy night, giving budding comedians a stage to try stand-up comedy.

Community We have been involved in a range of events and activities to support our local community.

At The Tin we focus on maintaining wellbeing and health, over the course of the year our resident instructors have continued to hold weekly yoga and Tai Chi classes in our community space which overlooks the tranquil water of the canal basin.

This year we’ve had a particular focus on activities to develop the Canal Basin, in November 2015, we launched the Canal Basin Stakeholder’s Group, a comity of the businesses and people who use the space the Canal Basin, with the aim of improving access and maintenance of the area. This year (June 2016) we launched the first Annual Steam Rally and Canal Basin Festival, co-curated with Valley Cruises and the Steam Boat Association, a free event which transformed the Canal Basin into a thriving festival with live music, food, craft stalls, drinks including a beer festival, bouncy castle and boat trips.

Over the course of the year we have support the student community of Coventry and provided both City College and Henley College students with real life industry experience by providing them with opportunities to curate and run their own projects, exhibitions and end of year showcases in a professional environment.

Henley College recently transformed out community space into a photography exhibition - Through the Lens 2016 and City College’s creative departments used both our spaces to host a fashion show.

We are proud to be a part of City College’s Creative and Digital Employers Board. Coventry University students have regularly used our spaces throughout the year for a range of different activities; to note a few students have hosted a fundraiser to help them raise funds for exhibitions, one group of students turned The Coal Vaults into a gallery space - Trace and curated a film screening - Screendaze.

The Tin aims to support and empower as many groups possible. Our charity’s ethos and accessible spaces attract like-minded organisations. Our community space is often transformed into a creative space, in June 2016 Princes Trust used the space to run their Get Started with Robots workshop; taking inspiration from the Robot Wars concept, aiming to help young people struggling to find employment. Throughout the year we have regularly worked closely with Crisis on music, arts and wellbeing projects to help those homeless or at rick of homelessness. The next month, July 2016, Kairos, Working Women Together (WWT), an organisation that aims to support and empower women caught up in sex work or at risk of prostitution and those aspiring to leave, used the community space to provide women’s training.

I have really enjoyed my time at The Tin, it’s been fun making new friends working together it’s been good! My favourite thing has been working as a team, making robots so thank you so much, from Stevie.

Awards This year we are delighted to say we were voted the winner of the What’s On Readers’ Awards 2016’s Best Small Music Venue in Warwickshire. We are also pleased to announce we are also a nominee for Coventry and Warwickshire Tourism and Culture Award for Best Live Music/Arts/Theatre 2016.

We are incredibly grateful to everyone who voted for us! And thank you to all our hard working staff and trustees who, without them, this wouldn’t be possible!

Our Staff & Volunteers As a charity, The Tin has 5 trustees, 1 full-time and 10+ part-time members of staff. We also have 2 self-employed sound engineers who work with us on events at both our own and other venues.

Several of our employees started as interns and apprentices. Two of our current employees, David and Steph, initially started working one year placements at The Tin through the Council’s Young People’s Employment Placement (YPEP) scheme; internships created to help young individuals, NEETS (not in education, employment or training), into creative roles within the arts industry. Both individuals have continued working at The Tin after their internships ended.

In 2016, we employed another member of the team, Ellie, through Youth Works, an apprenticeship joint funded by Coventry City Council and UK Music. Ellie is completing on-the-job training to gain her Level 2 Creative and Cultural Apprenticeship in Supporting a Cultural Venue.

From these funded positions, we have been able to develop a hard-working and diverse team at The Tin Music and Arts.

Over the past year The Tin has also hosted several school and college work experience as well as volunteer industry placements through Coventry City Council’s TESS scheme, supporting disabled people and people with mental health difficulties achieve employment aspirations.

High on the list of The Tin’s ambitions is to create a nationally recognised work programme for student/trainee sound engineers. We’ve already had four students on training to support them to complete their college/university work. Two of these have become regular house engineers.

Without the drive and dedication of the whole team, we couldn’t have achieved all that we have this past year.

Working at The Tin Music and Arts is brilliant - to have an opportunity to contribute to the cultural landscape of Coventry, alongside people I’d class as friends, is incredibly rewarding.

Our Pricing Policy Our ticket/admissions pricing policy reflects our objectives and strategy of enabling all within our community, whatever their means, to take part in our events and activities. Some prices of events have to reflect the cost of the artist we pay to perform.

Full ticket prices to live music events cost between £0-£15. Concessions are available for almost all of our events, offering discounted entry (and sometimes free entry) to events for some groups such as people who are unemployed or on a low wage, over 65, under 16, registered disabled and students. We offer free Personal Assistant tickets for all of our events.

Governing Document The Tin Music and Arts is a Charitable Incorporated Organisation governed by its Constitution dated 5th June 2013. It is registered as a charity with the Charity Commission. The Tin’s only voting members are its charity trustees.

Appointment of Trustees As set out in the constitution, apart from the first charity trustees, every trustee must be appointed for a term of three years by a resolution passed at a properly convened meeting of the charity trustees.

In selecting individuals for appointment as charity trustees, the charity trustees have regard to the skills, knowledge and experience needed for the effective administration of The Tin Music and Arts.

Trustee Induction and Training New trustees undergo an orientation day to brief them on their obligations under charity law, the Charity Commission guidance on public benefit, content of the constitution and objects, the committee and decision making process. They will be given a copy of the current version of the constitution and a copy of the Tin’s latest Trustee’s Annual Report and statement of accounts. They are encouraged to attend at least one event that is programmed by The Tin. The Chair is a member of the Association of Chairs which provides access to invaluable briefings and bulletins to support the governance of The Tin.

Organisation The board of trustees, which can have up to 9 members, administers the charity. The board meets monthly. A Director is appointed by the trustees to manage the day-to-day operations of the charity.

To facilitate effective operations, the Director has delegated authority, within terms of delegation approved by the trustees, for operational matters including finance, employment and artistic performance related activity.

Related Parties None of our trustees receive remuneration or other benefit from their work with the charity. Any connection between a trustee or senior manager of the charity with a production company, performer or booking agent must be disclosed to the full board of trustees in the same way as any other contractual relationship with a related party. In the current year no such related party transactions were reported.

Risk Management The trustees have a risk management strategy which comprises: •

an annual review of the risks the charity may face;

•

the establishment of systems and procedures to mitigate those risks identified in the plan;

•

and the implementation of procedures designed to minimise any potential impact on the charity should those risks materialise.

This work has identified that financial sustainability is the major financial risk for the charity. Attention has also been focused on non-financial risks arising from fire, health and safety of artists, staff and audience and changes in human resources. A key element in the management of financial risk is to work towards a reserves policy.

Trustees’ Responsibilities in Relation to the Financial Statements The charity trustees are responsible for preparing a trustees’ annual report and financial statements in accordance with applicable law and United Kingdom Accounting Standards (United Kingdom Generally Accepted Accounting Practice).

The law applicable to charities in England and Wales requires the charity trustees to prepare financial statements for each year which give true and fair view of the state of affairs of the charity and the incoming resources and application of resources, including the income and expenditure, of the charity for that period. In preparing the financial statements, the trustees are required to: •

Select suitable accounting policies and then apply them consistently;

Observe the methods and principles in the Charities SORP;

•

Make judgements and estimates that are reasonable and prudent;

•

State whether applicable accounting standards have been followed, subject to any material departures disclosed and explained in the financial statements;

•

Prepare the financial statements on the going concern basis unless it is inappropriate to presume that the charity will continue in business.

The trustees are responsible for keeping proper accounting records that disclose with reasonable accuracy at any time the financial position of the charity and to enable them to ensure that the financial statements comply with the Charity (Accounts and Reports) Regulations 2008. They are also responsible for safeguarding the assets of the charity and hence taking reasonable steps for the prevention and detection of fraud and other irregularities.

Independent Examiner’s Report of the Trustees of The Tin Music and Arts I report on the accounts for the year ended 31 July 2016 set out on pages 22 to 27.

Respective responsibilities of trustees and examiner The charity's trustees are responsible for the preparation of the accounts. The charity's trustees consider that an audit is not required for this year (under Section 144(2) of the Charities Act 2011 (the 2011 Act)) and that an independent examination is required.

It is my responsibility to: -

examine the accounts under Section 145 of the 2011 Act

to follow the procedures laid down in the General Directions given by the Charity Commission (under Section 145(5)(b) of the 2011 Act); and

to state whether particular matters have come to my attention.

Basis of the independent examiner's report My examination was carried out in accordance with the General Directions given by the Charity Commission. An examination includes a review of the accounting records kept by the charity and a comparison of the accounts presented with those records. It also includes consideration of any unusual items or disclosures in the accounts, and seeking explanations from you as trustees concerning any such matters. The procedures undertaken do not provide all the evidence that would be required in an audit, and consequently no opinion is given as to whether the accounts present a 'true and fair view ' and the report is limited to those matters set out in the statements below.

Independent examiner's statement In connection with my examination, no matter has come to my attention: (1)

which gives me reasonable cause to believe that, in any material respect, the requirements -

to keep accounting records in accordance with Section 130 of the 2011 Act; and to prepare accounts which accord with the accounting records and to comply with the accounting requirements of the 2011 Act

ACCOUNTING POLICIES Basis of preparing the financial statements The financial statements of the charity have been prepared in accordance with the Charities SORP (FRSSE) ‘Accounting and Reporting by Charities: Statement of Recommended Practice applicable to charities preparing their accounts in accordance with the Financial Reporting Standard for Smaller Entities (the FRSSE) (effective 1 January 2015)’ and the Charities Act 2011. The financial statements have been prepared under the historical cost convention.

Income All incoming resources are included on the Statement of Financial Activities once the charity has entitlement to the funds, it is probable that the income will be received and the amount can be measured reliably.

Expenditure Liabilities are recognised as expenditure as soon as there is a legal or constructive obligation committing the charity to that expenditure, it is probable that a transfer of economic benefits will be required in settlement and the amount of the obligation can be measured reliably. Expenditure is accounted for on an accruals basis and has been classified under headings that aggregate all cost related to the category. Where costs cannot be directly attributed to particular headings they have been allocated to activities on a basis consistent with the use of resources.

Tangible fixed assets Depreciation is provided at the following annual rates in order to write off each asset over its estimated useful life.

Plant and machinery Fixtures and fittings

Stocks Stocks are valued at the lower of cost and net realisable value, after making due allowance for obsolete and slow moving items.

Taxation The charity is exempt from tax on its charitable activities.

Fund accounting Unrestricted funds can be used in accordance with the charitable objectives at the discretion of the trustees.

Restricted funds can only be used for particular restricted purposes within the objects of the charity.

Restrictions arise when specified by the donor or when funds are raised for particular restricted purposes.

Further explanation of the nature and purpose of each fund is included in the notes to the financial statements.
