OBSERVATIONS AND CONVERSATIONS Nine times out of ten, when a retailer spends a landlord’s money like a college kid with their parent’s credit card, they’ll ultimately agree to rents that they can’t realistically sustain just to get stores open, and nobody wins. Ann O’Neal

Welcome to the special pre-show edition of The Dealmakers for the ICSC National Conference in New York next month. I expect everything that can go wrong at the NY show will; it’s a new venue and most of the people that have been attending this show for years don’t even know where the Javits Center is located, much less how to get there from Midtown. There‘s nothing anyone can do to control the chaos to come, just brace for the worst and hope for the best. I’ve never been in a room with so many angry, loud and frustrated men as the last time this show was moved to a different venue; everything did go wrong, yet most of us made some deals, so not all was lost. I suspect that if the debut of the Javits Center goes less than smoothly, there will be tempers flaring, yet most of us will still produce deals no matter how challenging the experience. On the topic of challenging, I’m working with the owner of half a dozen ladies fashion boutiques operating on the east coast. His most profitable stores are in Palm Beach County, Florida and the Hamptons in New York. The cost of his build-out, even from a vanilla shell, is too rich for most landlords, and in my opinion, his expectations jeopardize the chain’s growth. Can he trim construction costs without compromising the concept and aesthetics? Absolutely, but will he is the million dollar question. Granted, the stores are gorgeous, and the company actually has an impressive little war chest of capital. My client isn’t a great listener, and he likes to have everyone do everything his way. He wants to grow quickly, and he wants to use other people’s money while staying true to his brand. All of those are great goals, but the other people’s money part of the equation keeps tripping him up. He has to get real and make cuts in the construction budget or he’ll have to lower his store opening projections, and his investors won’t be happy. In my opinion, if you only have six stores, and you plan to double your door counts within a few years, then you better understand how to conserve capital and figure out the least expensive way to get stores open or ask the landlord to cough up the dough in exchange for paying above market rents for the next ten to twenty years. It isn’t easy to explain to an owner of a chain that his stores are special, but not special enough to compel a landlord to bankroll his expansion. It’s always amazing to me how touchy retailers become with any constructive feedback on cutting construction costs. I don’t understand why retailers come unglued when they’re questioned on specific materials for the build-out of their stores that could be easily substituted at lower cost without compromising aesthetics or quality. When I deal with national chains and they refuse to deviate from their construction plans, I just surmise that no one wants to risk their job to investigate or expend the energy to explore how to lower construction costs as long as the landlord is paying. This retailer wants 16 x 16 floor tiles on a diagonal and a lighting plan brighter than the North Star. The landlord’s construction guy made the mistake of providing the retailer with logical and aesthetically pleasing alternatives that would save additional TI dollars and get the rent down to a reasonable number. The tenant went nuts on him and refused to even consider a more cost effective approach in the name of a cohesive store design and staying true to his brand. We’re now negotiating with the landlord for a higher rent in exchange for additional TI money, and I don’t feel good about the deal. Retailers that are cavalier about spending TI money make me paranoid. Back in the day, when landlords were clamoring to fill dark anchor space in order to maintain bank and co-tenancy covenants, there were retail chains that would open a store anywhere and occupy just about any size footprint as long as the landlord came up with $75 to $100 a foot for tenant improvements. Some of you probably remember the implosion of Steve & Barry’s. Other chains popped up long before Steve Barry’s, such as US Factory Outlets and Nines, that in hind sight, I’m certain their business model was to generate profits from tenant improvement allowances. The operators really didn’t care if the merchandise ever sold because often within a year or two, the store would close. These chains were opening 20,000 to 120,000 square foot stores and getting up to $12 million in TI. On a good deal, they would spend 40% of the TI money to also cover FF&E and inventory then pocket the rest. The best stores in some of these chains would only generate $50 a foot. Their merchandise varied from wholesaler consignments with failed products and yesterday’s fashions sold out of card board boxes to stores with a slick presentation filled with budget-priced disposable clothes made in third world nations. Eventually, these chains would exercise a kick-out because the volume was so low and, ultimately, the landlord got royally screwed. The only commission that I ever felt bad about collecting was from a deal with one of these wise guys, but I begged the landlord not to do the deal. I showed him their track record of closing stores and took him to see first-hand how crappy the stores really were compared to the pictures in the brochures. He didn’t listen to a word that I said and envisioned the retailer as a white knight ready to “save” his center. First, I don’t believe in white knights, and I was so malcontent with the deal, that I had the landlord agree in writing that I didn’t have to return the commission if the tenant closed within the first year. He paid me $150,000 and within 120-days after they opened, the chain closed all of its stores. My check cleared two weeks before they closed. I kept the money, all of it. He paid for my honesty, even if he didn’t want to hear the truth. Okay, I have to wrap it up. Come by our booth at the NY show (#764). We’ll have iPads with demos of all of our products.
