CRH ACQUIRES $2.1 BILLION WORTH OF MARTIN MARIETTA CONCRETE ASSETS

Albert Manifold, CEO of CRH, stated, “The acquisition of these high-quality assets further strengthens our marketleading position in Texas and increases our exposure to attractive, high-growth markets. Our ability to leverage our cement expertise and technical capabilities will enable us to enhance and optimize our existing footprint in Texas, resulting in significant synergies and self-supply opportunities."

The proposed transaction is awaiting regulatory approval and is expected to be completed in the first half of 2024.

LONG-TERM GROWTH STRATEGY Martin Marietta has meticulously developed its Strategic Operating Analysis and Review (SOAR) initiatives to establish a responsible and sustainable framework for business growth and capital deployment. The company is dedicated to implementing SOAR plans, encompassing portfolio optimization, evaluating strategic partnerships and arrangements with similar businesses, expanding its presence in core sectors, investing in internal growth initiatives in high-growth markets, and exploring new opportunities within its existing markets.

By Subcontractors USA News Provider RH plc, headquartered in Dublin, Ireland, is set to invest $2.1 billion in expanding its operations in Texas. The company has entered into an agreement to acquire a portfolio of cement and ready mixed concrete assets in Texas from Martin Marietta Materials, Inc.

The assets include the Hunter Cement Plant in New Braunfels, a network of terminals along the eastern gulf coast of Texas, and 20 ready mixed concrete plants with annual shipments of 1.6 million cubic yards, serving the Austin and San Antonio markets.

In alignment with its 2025 initiative, Martin Marietta executed the divestiture of the Tehachapi California cement plant to UNACEM Corp. SAA on October 31, 2023, for a total of $315 million. This strategic move enhances the company's balance sheet flexibility, facilitating a shift towards growth led by quality aggregates. Additionally, the divestiture of its Stockton cement import terminal in California was completed on May 3, 2023.

CONSTRUCTION ON DFW AIRPORT’S SIXTH TERMINAL COULD START AS EARLY AS FEBRUARY

15 narrow body contact gates, as outlined in documents from DFW Airport. In a collaborative agreement signed in May, DFW Airport and American Airlines committed to $4.8 billion in expansions, allocating $1.6 billion for the construction of the new terminal.

The initial phase focuses on the addition of 15 new gates to Terminal F. However, DFW CEO Sean Donohue revealed in May that the airport is surpassing its initial goal by reaching 24 gates through pier expansions connecting existing terminals and creating additional aircraft spots in those areas.

The construction of the new Skylink station will integrate with the existing guideway, providing access to Terminal F. In 2019, American and DFW reached a tentative agreement to build the $3 billion Terminal F, positioning the airline for potential future growth. There is also the prospect of Southwest Airlines utilizing some gates at DFW Airport, as the Dallasbased airline expressed interest in November, coinciding with the expiration of the Wright Amendment in 2025.

FW International Airport is laying the groundwork to begin construction on its long-awaited sixth terminal as early as next month.

At a board committee meeting Tuesday, Tammy Huddleston , DFW Airport’s vice president of design, code and construction presented a contract for the construction of Terminal F and its Skylink station for up to $914 million . The contract is approval Thursday at the airport’s full board meeting.

The completion of Terminal F construction is anticipated by the end of 2026. Concurrently, DFW is undergoing renovations in Terminals A and C. Terminal C's revitalization will encompass four of the nine new gates, with the remaining five allocated to Terminal A during its overhaul. The airport's expansion will unfold in phases, involving three to four stages of "tear down and rebuild," as indicated by Donohue in May. In October, DFW initiated the Terminal C plan by renovating nearby parking garages.

CPS ENERGY SECURES 150MW SOLAR POWER IN GCI AGREEMENT

PS Energy has successfully finalized an agreement to acquire 150 megawatts of solar power through a new collaboration with a Dallas-based energy company, as confirmed by the city-owned utility on Monday.

Genesis Consolidated Industries Holdings Inc. is set to construct the solar farm in Caldwell County, making a significant contribution to CPS Energy's ambitious goal of integrating approximately 700 megawatts of solar power into its energy portfolio. The initiative stems from CPS Energy's request for proposals issued in May, a crucial step in their plan to more than double their current solar energy capacity. With an existing 551 megawatts of solar power, the utility has named the upcoming project "Exodus 1."

“I am proud of the work we have done to secure another 150 megawatts of solar energy for our growing community,” CPS President and CEO Rudy Garza said during a press release.

“We look forward to our partnership with GCI and are excited about the economic development opportunities this partnership will provide the greater San Antonio area.”

The upcoming solar farm, set to be the flagship project for Genesis Consolidated Industries Holdings Inc. (GCI) in the region, marks a substantial step forward, according to CEO Robert Hayward.

CPS Energy anticipates the solar panels to commence power generation in the summer of 2025, with a projected lifespan of 25 years. As outlined in the agreement, GCI is committed to investing a minimum of $300,000 in education programs aimed at fostering engineering and technical skills in the local area.

Hayward expressed confidence that the new solar farm will have a dual effect, making a considerable economic impact while contributing significantly to the overall stability of the grid.

“We are optimistic that the relationship we are forging with CPS Energy will lay a solid foundation for long-term partnership for many years to come within the region,” Hayward said.

SUNOCO TO BUY NUSTAR IN $7.3B DEAL

Under the terms of the deal, NuStar common unitholders are set to receive 0.400 Sunoco common units for each NuStar common unit, implying a noteworthy 24 percent premium based on the 30-day VWAP’s of both NuStar and Sunoco as of January 19, 2024.

To facilitate this strategic acquisition, Sunoco has secured a robust $1.6 billion 364-day bridge term loan. This financial maneuver is designed to efficiently refinance NuStar’s various financial instruments, including Series A, B, and C Preferred Units, Subordinated Notes, Revolving Credit Facility, and the Receivables Financing Agreement. The boards of directors of both companies have unanimously approved this ambitious transaction, signaling a shared vision for future growth and stability. Last year, 2023, was the DFW MSDC 50th anniversary year of celebration. We hosted events throughout the year in alignment of our 50th anniversary theme, "Building on a 50-year legacy of Resilience, Inclusion & Growth." A key highlight of all events was the engagement of three buying entity member CEOs that spoke at our ACCESS Business Expo Luncheon in support of the DFW MSDC One Percent Plus Initiative and how they are working to meet that year-over-year initiative.

In the bustling landscape of the 1990s metroplex, the Hard Hat Construction Expo emerged as a pivotal event, forging vital connections within the construction industry. Serving as a conduit between corporations, public sector agencies, general contractors, and minority-owned businesses (MBEs), the expo quickly rose to prominence.

1. How did the Hard Hat Construction Expo establish itself and what key role did it play in fostering construction connections between corporations, public sector agencies, and general contractors with minority business enterprises (MBEs)?

In 1973, a committed group of corporate and community leaders with limited resources and a strong will to help shape the economic future of North Texas issued a policy statement that would define the foundation of the Dallas Fort Worth Minority Supplier Development Council. These visionary leaders pledged “to actively purchase goods and services from minority owned businesses.” Many of the initial opportunities were in the construction industry.

The council, always committed to the construction industry, created the first advocacy operated Construction Plan Room in 1985 and the Business Advisory Construction Group (BAC)

with major general contractors and corporate and public sector owners in North Texas in 1986. Initially part of the council’s annual Business Expo, the HARD HAT Construction Expo was carved out in 1994 as a singular event, incorporating time and location optimum for construction attendance.

Late afternoons start as daylight hours are imperative to construction, no suits, work attire straight from the job site (we threatened to cut ties the first year), food and beverage and an area that was conducive to great information, opportunities and networking. It was the most diverse and only expo that catered to general contractors, facilities managers, developers and building owners and connected them to minorityowned contractors and subcontractors. Today, nearly 24% of the certified MBEs associated with DFW MSDC classify themselves as being part of the construction industry.

2. In what ways did the Hard Hat Construction Expo distinguish itself as the largest and most diverse construction trade fair in the Southwest, and how did it contribute to creating a platform for engagement between general contractors, facility owners, and minority-owned subcontractors?

HARD HAT was different because of the people the council could attract to participate in the expo. In addition, the format includes round table sessions on “shovel ready” construction opportunities. Today, the council has added sessions on bidding, doing business with segments of the construction industry and exhibitors aligned with the construction industry.

The relaxed atmosphere (held in late afternoon and early evening when much of the day-to-day construction operations have ceased), provided a great time for BBQ, beer and casual western attire. Even with the move to a new venue (Globe Life Field – home of the World Champion Texas Rangers), the relaxed atmosphere, networking, BBQ, and beer still persist.

Everyone present knows the show is geared to the construction industry and therefore, there are many opportunities to discuss facilities management, subcontracting opportunities,

new development, and more. There are no long programs.

Title sponsors make opening remarks, and the rest of the engagement is networking, talking with exhibitors and round table sessions.

3. What are some of the metrics of success you’ve seen as of value being a direct result of previous expos?

Each year, HARD HAT participation has grown. In 2023, we had: • More than 1,100 attendees • 26 general contractors hosted round table discussions along with buying entity owners • 110 exhibitors MBE to MBE alliances have been formed because of Hard Hat. Several Buying Entity members have mentioned they met new suppliers during HARD HAT that they have engaged in opportunities.

4. What should participants expect this year that may have improved since previous years?

The council continues to invite more participation from all stakeholder segments. The State of Texas HUB coordinators are presenting a session on the HUB Construction Contractors Guide. More than $6 billion in construction is expected across Texas and this helps businesses to get ready to participate in the projects.

5. Can you elaborate on the specific initiatives and strategies employed by the Dallas Fort Worth Minority Supplier Development Council to foster business connections between buying entity members and certified minorityowned businesses?

One of the largest and most focused initiatives that touches everything the Council does is the One Percent Plus Initiative.

This initiative is based upon a study conducted by supplier.io and the Michigan MSDC. The study showed that by doing the same thing we have been doing related to supplier diversity, it will take us 333 years to achieve economic equity, and that by programs committing to spend 1% more year-over-year for the next 15 years, we can achieve economic equity.

That achievement not only impacts underserved communities and minority businesses but increases the national GDP by $8 trillion and adds 9 million more jobs to the workforce.

A second initiative that began in 2008, BUY THOSE THAT BUY US™. is now tied to the One Percent Plus Initiative as well. This initiative has had a two-fold objective.

1. To highlight and share best practices that help our buying entities achieve real results related to minority business inclusion and utilization.

2. To encourage everyone to make purchases (business and personal) from those that champion the goal of minority business inclusion. We have collected great best practices that are shared and utilized by other buying entities to improve their supplier diversity programs.

We track aggregate results via our BTTBU™ initiative. We are just returning to tracking and submission since the pandemic.

9. How does the council support and nurture the 1071 certified minority-owned businesses across diverse industries, and what initiatives are in place to facilitate their growth and success?

The DFW MSDC has an MBE Input Committee that helps engage and disseminate MBEs in smaller groups. Once, per year, the Supplier Diversity Working Group and MBEIC hold a joint meeting with subject matter experts, networking, and capabilities statement pitch critiques.

In addition, the council operates the Minority Business Development Agency (MBDA)- Dallas Center, on a grant from the U.S. Dept. of Commerce. The MBDA provides support for minority owned businesses related to retention and creation of jobs, obtaining procurement contracts and financing for working capital and asset acquisition.

10. What challenges does the Dallas Fort Worth Minority Supplier Development Council encounter in achieving its goals, particularly in terms of meeting supply chain demands and fostering economic development in communities?

DFW MSDC is a strong advocate for minority business. We not only host a Public Policy Day in Austin when the legislature is in session, but we have a public policy consultant keeping us abreast of issues that could impact our MBEs and buying entities related to supplier diversity and minority inclusion.

Our One Percent Plus messaging is also a means to support and encourage inclusion in this current environment when some suggests we step back from our work.

11. How does the council stay adaptive and responsive to the evolving needs of its buying entity members and certified MBEs in the dynamic business landscape?

We collaborate with several advocacy groups, including ethnic chambers, construction associations, the Women’s Business Council – Southwest and many others. In addition, DFW MSDC CEO/President Margo J. Posey participates in several diversity purchasing committees, including Chair of Dallas County Small Business Advocacy Committee, City of Fort Worth Equity Board Chair, and the Dallas ISD MWBE Trustee Appointed Advisory Board. Andrew Nash, the DFW MSDC COO, serves on the City of Arlington Mayor’s Task Force and the Arlington ISD Bond Oversight Committee.

13. Could you provide insights into the council's future and strategies for further enhancing its impact on economic growth, supply chain demands, and the overall success of certified minority-owned businesses in the Dallas/Fort Worth region?

The council will continue to champion the One Percent Plus Initiative, stand up and stand out for the utilization of minority businesses, support our buying entity members in finding and engaging minority suppliers and advocating on behalf of inclusion with other advocacy groups.

PERMIAN BASIN OIL AND GAS INDUSTRY Contributes Record $26.3B in State and Local Taxes, Royalties

Since 2007, when TXOGA first started compiling this data, the Texas oil and natural gas industry has paid more than $230.3 billion in state and local taxes and state royalties, a figure that does not include the hundreds of billions of dollars in payroll for some of the highest paying jobs in the state, taxes paid on office buildings and personal property, and the enormous economic ripple effect that benefits other sectors of the economy.

In 2023, the industry employed more than 480,000 Texans who earned an average of $124,000 a year – nearly twice the average paid by the rest of Texas’ private sector. Conservative estimates indicate that each of these jobs generates approximately two more jobs, with more than 1.4 million total jobs supported across the Texas economy. Some economists say this number could be as high as three more jobs supported and total over 2 million jobs in Texas.

$26.3 billion in state and local tax revenue and royalties from the Texas oil and natural gas industry translates to an extraordinary $72 million every day that pays for Texas’ public schools, universities, roads, first responders and other essential services. Several sources of tax revenue from oil and natural gas surged in fiscal year ’23 including state and local sales taxes paid by the industry, which rose by $1.6 billion, an indicator of the industry’s ongoing investment in Texas.

Property taxes paid by the oil and natural gas industry rose another $1.8 billion, as property values of oil and natural gasbearing mineral properties more than doubled in a single year.

In 2023, 99 percent of the state’s oil and natural gas royalties were deposited into the Permanent School Fund and the Permanent University Fund, which support Texas public education. Each fund received $1.8 billion. Out of FY 2023’s production taxes paid, the Economic Stabilization (“Rainy Day”) Fund, or ESF, and the State Highway Fund (SHF) each received $3.3 billion. Since its inception in 1987, the Rainy-Day Fund has received over $31.2 billion from oil and natural gas production taxes. All of these are funded almost exclusively with taxes and state royalties paid by the oil and natural gas industry.

In addition to its economic impact for Texas, Staples described the Texas oil and natural gas industry’s contribution to global stability: “With so much uncertainty in the world, the need for reliable, responsibly produced energy from a stable trading partner has never been more crucial. Texas is that trade partner.

Our producers, pipelines, refineries, and exporters answer the call to alleviate the global energy crisis, made worse by war.”

In FY 2023, Texas school districts received $2.81 billion in property taxes from mineral properties producing oil and natural gas, pipelines, and gas utilities. Counties received an additional $885.6 million in these property taxes.

Pecos-Barstow-Toyah ISD in West Texas ranked #1 receiving $275.2 million in these property taxes. Reeves County ranked #1 with $98.9 million paid in oil and natural gas property taxes – more than double its total from fiscal year 2022.

HARRIS COUNTY ADOPTS NEW CONSTRUCTION WORKER SAFETY POLICY With this policy, Harris County is championing a culture of safety on its construction projects, said Harris County Attorney Christian D. Menefee. “No family should have to worry whether one of their loved ones will make it home from work. This is about saving lives, increasing quality of life for workers, and ensuring companies that do business with Harris County are taking the necessary steps to protect their workers.”

The policy requires that for most county construction projects, employees and managers doing or overseeing manual work have OSHA safety training for hazard identification, avoidance, control, and prevention. Moreover, the companies, not the employees, are to pay for that training. The policy also temporarily prohibits from bidding on county construction contracts companies that have been convicted of a crime after a worker death or serious injury, companies that find themselves on OSHA’s Severe Violator Enforcement Program list, and companies that have been penalized by OSHA for the most egregious instances of disregard of worker safety.
