OUR PURPOSE Starkweather & Shepley’s primary objective is to focus on our two greatest assets: our employees and our clients. Our ownership structure is in the form of a Trust. It is this Trust that makes us so unique.

THE STARKWEATHER STORY In 1879, James Starkweather, a manufacturer and George Shepley, an insurance man opened an agency that changed the way people in Rhode Island would think about insurance. Officially incorporated in 1905, Starkweather & Shepley was born. In 1935, Starkweather & Shepley took a turn, a then radical turn, to place the assets of the organization in Trust. This Trust exists for the benefit of our clients and our associates, whom we call stakeholders. And it is this spirit of the Trust, so clearly visible each day at S&S, that makes us unique. With a focus on expanding our capabilities, developing specialized programs, and following our constant desire to improve, S&S has also attracted a long list of distinguished clients. And it’s our ongoing desire to see them succeed that has kept us growing and thriving throughout the years.

CORE VALUES AND GUIDING PRINCIPLES S&S exists to inspire the success, fulfillment, and wellbeing of each person we serve: our stakeholders, and their families, business partners, clients, and our community. This statement drives everything we do, and we are committed to your personal fulfillment and professional successes. That’s why we developed three core values and three guiding principles that nurture this purpose:

PASSION We are driven by passion. It gives our work purpose and gives new meaning to what we do. And working with passion is more than a mindset-it’s a transformative experience that makes us proud of what we accomplish.

COMMITMENT Commitment takes dedication and passion. But it also requires us to place the interests of others ahead of our own, while acting as a positive influence on those around us. We believe that everyone is a valuable part of our team – and that everyone can commit to support each other.

COMPETENCY Learning and improving is a lifelong process, spurred by a healthy curiosity of the world around us. By asking questions, seeking answers, and applying what we learn, we push ourselves further down the path of personal growth and development.

INTEGRITY We pride ourselves on acting in the best interest of our clients. Our reputation is important to us… it is everything in the world of business. Doing the right thing is not just a phrase, it is a way of life at Starkweather.

RESPECT It all starts with respect. Respect leads to strong teams, with stakeholders pulling in the same direction. Respect leads to innovation with future-focused insight and evolves through the application of a creative vision. Every member of our team can imagine better ways to work, collaborate, and advance our goals. Achieving this starts with respect.

TRUST Trust the Trust. It is what we say, it is how we are run and it is what we live. We trust you to do what is right, to commit, to support, to achieve. You trust us to be transparent, to lead, to drive, to guide. Trust goes both ways. Trust is our foundation.

OUR CULTURE S&S exists to inspire the success, fulfillment, and wellbeing of each person we serve: our stakeholders and their families, business partners, clients, and our community. And we’re passionately committed to remain in Trust, which allows all our decisions to be made in the best interest of our stakeholders and clients—not Wall Street or private equity owners. Our culture can best be described by our core values and guiding principles, which help empower our associates to be their very best in both their personal and professional lives: At S&S, we recognize the importance of strong leaders, which is why we emphasize that each one of our stakeholders—no matter their level of experience or time with the company—should be a leader in their given area. This is also why we focus so heavily on recruiting and employee development. Innovative, determined candidates make the best leaders, so when we’re looking to add to our team, those are the types of people we look for.

If you are coming to us from another agency, please know we adhere to all previously executed noncompetition agreements. We are professional agency and hold these agreements with the utmost respect. We are not a traditional, top-down managed organization. One of our greatest strengths is how we collaborate as leaders on common ground—all playing different but equally important positions on the team. Each member of our team is valuable, and we make sure that everyone has a voice. We are a Team of Teams. Our culture of excellence can be attributed to our collaborative, team-oriented approach. By continually sharing, learning, and educating, we keep getting better at what we do. We think that’s a critical aspect of our culture given the constantly changing landscape of the modern insurance world—because the knowledge we gain is passed on to our clients, helping them manage risk, improve efficiency, and ultimately be more successful.

PERSONAL & PROFESSIONAL DEVELOPMENT We understand there is more to your life than your day job—and that by succeeding in your personal life, you’re more likely to succeed in your professional life. We actively encourage our associates to find their true purpose in life, and we will do whatever we can to help them accomplish that purpose. Having people on our team with an ongoing desire to learn and grow helps us to better serve our clients. That’s why purpose-driven, aspirational people are at the heart of our business. By valuing strong relationships and working for our clients with a strong sense of engagement and urgency, we have created mutually beneficial partnerships that last for decades. If you want to work on becoming a better person, and you want to work for a company that supports this desire, S&S is the place for you. We have everything to help our associates achieve their life-long goals, including the extensive resources provided through S&S YOUniversity- technical insurance knowledge, financial wellness, wellbeing support, on demand learning… we provide countless opportunities for associates to grow both personally and professionally. At S&S, we put our people and their families first. We want to see them grow and develop in positive ways that they may have never even thought possible. This means happier, more fulfilling lives for our associates— and better results, and more long-term success for our clients, too.

WE GIVE … IT IS WHAT WE ARE ALL ABOUT Community involvement is a core commitment of S&S and one of the noblest ways to build meaningful and long-lasting relationships with associates, clients and the communities in which we live and serve. Although Starkweather & Shepley and our associates have always supported and volunteered at countless organizations, we wanted to formalize our commitment to giving back to the community on a grander scale. Therefore, in 2010, The Starkweather & Shepley Charitable Fund was created to provide grants to local non-profit organizations that benefit the community. Since 2011, over $

440,000 has been donated to local charities in need, helping countless in need.

S&S GIVES BACK. IT IS THE RIGHT THING TO DO. The Starkweather & Shepley Charitable Fund is a corporate advised fund of the Rhode Island Foundation.

RISK MANAGEMENT/COMMERCIAL INSURANCE S&S Insurance works closely with clients to make sure their risk management strategy is aligned with their business goals. Understanding the core goals and initiatives allows us to better evaluate, analyze, plan, and manage our clients’ risk management programs in a way that helps achieve their goals and deal with change. Determining an organization’s risk means performing a quantitative and qualitative analysis that will help us understand our clients’ risk profile. By taking this customized approach, we can create a unique risk management plan—one that is aligned with clients’ current and future objectives and evolves with business needs. Whether it’s providing detail-oriented claims consulting or being a persistent, dedicated advocate for our clients’ best interests, we strive to bring significant value to any organization.

INDUSTRY SPECIALIZATIONS CONSTRUCTION RISK SOLUTIONS Construction have been at the core of S&S’s business since we opened our doors 140 years ago. We’re experts in managing the risk associated with building products, environmental remediation, project development, construction, and surety—all the way to property management and demolition. Our team is purposefully constructed to produce a collective pool of knowledge that is unparalleled in depth but consciously narrow in scope. Our focus is to learn about what makes our clients’ organization unique and what they’re trying to achieve. Once we’ve accomplished that, we design a risk management plan or surety program to help catalyze their success. And while we are practiced at placing products, our greater value comes from functioning as an extension of our clients’ risk or finance department. S&S’s dedicated construction team is led by individuals who are outstanding in their field. Drawing on our industry knowledge, we’re not only able to provide proactive solutions through our partnerships and resources— but also experienced enough to assist with organizational deployment.

Together, we understand the complexities of the surety business and are staffed to meet the time sensitive demands of those we serve. Our professionals provide assistance in areas such as contract review, onerous bond forms or contract provisions, financial statement analysis, subcontractor prequalification, succession planning, joint venture formations and more. We provide critical advice that helps our clients maximize the surety support they receive on the best terms possible. Having built key relationships across all layers of the surety industry, we remove the uncertainty associated with the surety underwriting process and build a foundation for long-term success.

FINANCIAL INSTITUTIONS RISK SOLUTIONS We established our investment Industry Practice Group to assist key segments in the Investment community in their quest to assess a wide range of risk insurance products offered by industry leading carriers. We focus on Private Equity and Hedge Funds, Securities Brokers, Mutual Fund Groups and Investment Advisors. We provide hands on service to work and provide the expertise the experts need. We apply our deep understanding of the risks involved with this changing industry to design programs to reduce our clients’ total cost of risk. MANUFACTURING RISK SOLUTIONS Manufacturing companies have faced unique challenges in recent years: the crushing recession, global competition, shortage of skilled labor, and the movement to a “service” economy. S&S understands these challenges and something our dedicated manufacturing team has been doing for decades. Most manufacturing operations require significant capital investment. So adequately insuring our clients’ assets are key, but it’s more critical to insure for the loss of income due to business interruption, whether directly at their facility or somewhere in the supply chain. Knowing the supply chain risk, developing a disaster recovery and business continuity plan, and accurately quantifying their business income risk are some examples of how S&S aligns insurance and risk management programs to ensure your success.

ENERGY RISK SOLUTIONS Whether our clients are fuel oil dealers, propane dealers, C-Store operators, HVAC Service and Installation or those who sell kerosene and wood pellets, the S&S Energy group is uniquely qualified to help them manage their exposures to risk. Our Energy group is comprised of risk management professionals dedicated to the Energy industry where we have become recognized as nationwide leaders among insurance and risk management consultants. With intimate knowledge of our clients’ business, we’ll make sure that they’re not only aware of standard risks—such as typical hazard risks to property, plant, and equipment—but also those more complex risks. These can include the credit risks of the buyers of their product, business interruption due to the loss of a critical supplier, or even the risks associated with transit of product into Mexico or other foreign countries. Furthermore, our deep knowledge of our clients supply chain allows us to not only understand the direct risk exposures, but also the contingent exposures they have due to the interdependence amongst members of the supply chain.

Then we evaluate our clients’ strengths and weaknesses and provide recommendations that meet the demands of their operation. We thrive on challenging problems and unique situations because we take the time to thoughtfully listen and respond to the specific needs of each one of our clients.

CAPTIVE RISK SOLUTIONS Through our partnership with Innovative Captive Strategies (ICS), Starkweather & Shepley can help determine if a Captive Insurance alternative makes sense for our clients and prospects. A Captive Insurance Company is a special purpose insurance company whose primary role is to insure or reinsure the retained risk of its owners. In other words, it is a risk financing mechanism used as an alternative to traditional insurance. We primarily work in the Group Captive space. A Group Captive brings together a group of independent businesses to form their own insurance company. The member participants own their underwriting profit and investment income. Starkweather & Shepley’s Group Captive Insurance Company comprises of best-in-class companies from a varying array of industries.
