OPTIONS AREN’T ALWAYS A GOOD THING. When it comes to commercial leases and real property, that depends.

In the case of a commercial lease, the term “option,” refers to the option to renew the lease.

When negotiated properly, ahead of time—prior to signing the lease—they can be an asset to both the Landlord and the Tenant. On the landlordside they can be confident that if the tenant is successful they will be exercising their option and continuing to pay rent. On the tenant’s-side they can be confident that if things are not going well they can terminate the lease on a pre-determined date. If things are going well, they can be confident the lease will not be yanked out from underneath them and they can plan accordingly.

Options can take many forms. For instance, a lease may read “Initial Term of 5 years with 1 Option to renew for a Term of 5 years.” On the surface this sounds simple, but again the devil is in the details.

• Does the option renew at the current lease rate?

• Is there pre-negotiated increase?

• Does it renew at “Market Rate?” Who determines “Market Rate?”

• Must the tenant notify the landlord of their intent to renew within a certain time period? (i.e., 180 days before lease termination date?)
