⊲ There is a $3000 order minimum per store location (in a rolling 12-month period) to remain an active SCOUT retailer Accounts that do not maintain this level will forfeit territory protection, must submit a request for reapproval and be required to place a reopening order of $1,500
⊲ If an account is opening with Baby or STATEment collections only, a lower opening order and yearly minimum is enforced Territory protection is not available for these collections

All new account prospects (and all store locations at which they would like to sell SCOUT) must be reviewed and approved by SCOUT and the local SCOUT sales representative

Upon registration, any follow-up questions by SCOUT regarding a retailer’s application that do not receive a response within two weeks will result in the account being denied Approved retailers have 60 days after confirmation of approval to place an order or their account will be deactivated, and their territory surrendered
SCOUT’s goal is to strategically fulfill demand for the brand through our retailers in given market areas
SCOUT, at its sole discretion, carefully reviews territories, populations, brand awareness, and retailer customer bases to determine whether to approve or deny a new account or location
SCOUT, at its sole discretion, may review and approve multiple types of retailers in a given
area, depending on the level of local SCOUT brand awareness and investment
Existing home-based, service-based, and online-only businesses are not granted territory protection
Retail partners may advertise SCOUT products at or above the minimum advertised price (MAP) The MAP is equal to the MSRP displayed on our retail website, price list, and product hang tags
In-season products, especially when nearing the end of a season, may be promoted for a limited time at a discount, however, they cannot be sold at discounted prices for more than seven days in a 30-day period While selling SCOUT at a discount is never encouraged or required, past-season product is allowed to be placed on final sale
Retailers are permitted to match any price from the SCOUT retail website and/or SCOUT closeout partners; however, in that event, SCOUT is not obligated to retroactively price match at the wholesale level
Price advertising that does not mention the MAP or higher price violates the MAP Policy Any in-season price with a permanent “strike through” treatment is not considered a proper display of the MAP or higher price
Retailers found in violation of the MAP Policy will be given 72 hours to comply Thereafter SCOUT may, at its own discretion, hold sales orders and/or close the account altogether
Transshipping is strictly prohibited Any retailer found to be transshipping is subject to termination of the SCOUT partnership
Failure to notify SCOUT in advance of a new store opening or address change may jeopardize account standing and result in deactivation of your account
SCOUT requires all customers who wish to present or sell SCOUT products on the Internet
to register their Internet presence with SCOUT, in addition to agreeing to comply with the MAP Policy as listed in these terms
Customers may not use a national/global selling platform (by way of example and not of limitation: Amazon com or eBay com) other than their independent ecommerce site as a means of presenting or selling SCOUT products We reserve the right to terminate any account not in compliance with these terms and conditions with immediate effect
Backorders will be canceled 60 days after the requested ship date
Pre-Buy orders are considered final Edits cannot be made to an order without SCOUT’s approval
SCOUT has the right to adjust shipping/freight charges as a response to any global or industry trends

We encourage retailers to accommodate Special Orders for their customers Please place those orders via our website, or they may be subject to a $10 handling fee
Any expedited shipping costs or order requests outside the SCOUT standard shipping window of 3-5 business days must be absorbed by the retailer SCOUT does not drop ship All orders must be shipped directly to the storefront or store’s warehouse
If a credit card is declined after three contact attempts or after three weeks of time, the order will be canceled
If a retailer’s SCOUT purchase includes defective products, we will accommodate a refund on the original card of payment or a replacement shipment (subject to inventory availability) within 30 days of original delivery
In order to receive a credit, replacement, or refund, retailers must first complete the SCOUT Damage Submission Form on the wholesale website
SCOUT does not accept or require the return of damaged product Once the damage report has been submitted and resolved by SCOUT, then it is
recommended that the item be sold at a discount or donated
Original shipping costs are not refundable
SCOUT will pay the return shipping costs if the return is a result of our error (e g , if you received an incorrect item)
All showroom and catalog imagery, advertisements, and email/website content including page headers, footers, images, graphics, patterns, and text are subject to trademark, service mark, trade dress, and any other intellectual property rights or licenses held by Bungalow, LLC The SCOUT wholesale website is intended only for use by commercial accounts for the purpose of resale purchases

All active SCOUT retailers are encouraged to utilize the wholesale website to access approved SCOUT imagery that can be downloaded, printed, and used for marketing This imagery can be found in the Resources section of the wholesale website
