From the Editor: WELCOME TO a slightly delayed June/July 2020 issue of Gaming for Africa. We held back this issue of Africa’s leading Gambling Industry publication, mainly because we did not know what the future held for the African (and indeed global) gambling industry.

In the space of 4 months we have seen unprecedented scenes across the globe: entire countries shut down economically; a total halt to the engines that drive our everyday lives - from ecomonic and social activity, to the everyday activities that make us happy and achieve fulfillment - in short, the world stopped turning.

With this ‘global pause’ our gambling industry, and its allied hospitality and tourism industries, along with all the attendant jobs, suppliers and allied industries that oil a very important economic driver across the continent, was brought to its knees.

Over the past 4 months, as we saw perhaps the darkest days of our industry unfold, and as many have had their jobs imperiled or lost, business models pressure-tested, and operations bled to within an inch of their lives, it is important to remember the quote “The Night is Darkest before the Dawn.”

The gradual opening of the Gambling, Hospitality & Tourism industries, albeit with strict self-enforced safety regulations, has seen the easing of that dark night, and the African continent will emerge into this new dawn with increased vigour and a new-found sense of innovation.

This innovation will see a renewed focus on digital gaming elements centred around telcos, online and iGaming - and, I believe, we will see a renewed call for South Africa to legalise online gambling in the very near future. Expect the African continent to open up with a new sense of promise and opportunity..

Following hot on the heels of Time Square Casino in Pretoria - the first South African casino to open on Monday 29 June, and Grandwest Casino in Cape Town, which opened on Tuesday 30 June - Sun International has moved quickly to open all its urban casinos.

SUN INTERNATIONAL’S urban casinos are reopening with restricted tables and slot machine capacities, and with physical shields installed between slot machines and between seats at gaming Tables. Every second slot machine has been disabled to ensure appropriate physical distancing between guests on the casino floor.

Safety measures include temperature tests conducted at entrances, while only members of Sun International’s loyalty programme - Most Valued Guests (MVGs) - will be allowed access onto the casino floor for the foreseeable future. They will also be required to complete a medical screening questionnaire in advance of their visit.

“As our country slowly reopens we know that we will need to find a new normal and adapt to new ways of doing things. We ask that our guests be understanding of the strict new health and safety protocols and particularly the wearing of masks and physical distancing”, said Graham Wood, Sun International Group COO for Hospitality.

Other casino properties that opened on 30 June include The Boardwalk in Port Elizabeth, Carnival City in Ekurhuleni, GrandWest in Cape Town, Sibaya in Durban and Time Square in Pretoria.

Casinos opening on Wednesday 1 July are Flamingo Casino in Kimberley, Golden Valley Casino in Worcester, Meropa Casino in Polokwane and Windmill Casino in Bloemfontein.

Sun International‘s restaurants, as well as those belonging to third party concessionaires, will open with reconfigured layouts and the necessary physical distancing rules. They will not serve alcohol, in line with current regulations. Some may not reopen immediately, or may open only at certain times. Many entertainment facilities at casino properties might also remain closed for now.

At the time of publishing, inter-provincial and national borders were still closed, and certain Sun International properties will not open for the time being. These include Sun City Resort, The Wild Coast Sun Resort, The Boardwalk Hotel, The Maslow Sandton Hotel and The Table Bay Hotel in Cape Town.

Emperors Palace Opens

CONVENIENTLY LOCATED next to the O.R. Tambo International Airport, the Palace of Dreams’ reopening is in accordance with provisions as stipulated by the Department of Health (DOH) and World Health Organisation (WHO).

Precautionary measures include, wearing a face mask or shield at all times, daily temperature screening (if a temperature of 37.5ºC and higher is recorded, access will not be permitted), record keeping of guests at entrances, thorough and regular cleaning of all areas and touch points, and the deployment of extra hand sanitiser dispensers to key public areas. The resort’s gaming activities resumed with a limited number of players per table games and alternate slot machines being disabled to ensure adherence to social distancing requirements.

To effectively manage capacity, access to the

various gaming areas is limited to Winners Circle loyalty members.

In addition, protective screens have been placed at all Cash Desks including at the Winners Circle Desk. “We have been working tirelessly to ensure, every possible measure is in place to ensure the health and safety of everyone who enters our property.

And that is why we have enforced a multi-layered set of protocols and procedures to safeguard the well-being and safety of our guests.

Furthermore, our employees have been fully briefed and trained on best practices,” comments Clive Tavener, Complex Operations Executive at Emperors Palace. The luxurious five-star Peermont D’oreale Grande, one of the resort’s four hotels, is open to business travellers. All hotel rooms have been deep cleaned with utmost care and hygienically sealed, with all non-essential, high touch-point items removed.

Tsogo Sun looks to iGaming Prior to the recent phased opening of casinos in South Africa, Tsogo Sun has indicated a strong pivot toward online gaming.

TSOGO SUN Gaming said it lost an estimated ZAR400m (£18.9m/€21.0m/$23.9m) in revenue as a result of the novel coronavirus (Covid-19) pandemic disrupting operations in its fiscal year ended 31 March, 2020.

The crisis has prompted the business to look beyond land-based gaming into new channels, with chief executive Chris du Toit revealing the business is at an “advanced stage” of moving into online sports betting.

Online gaming was therefore a “natural progression” for the business, du Toit said.

For the year ended 31 March, Tsogo revenue grew marginally, rising 1% year-onyear to ZAR11.69bn, with a 5% rise in the first half of the year to ZAR5.0bn partially offset by a 3% decline in the second half.

Gaming revenue accounted for the majority of revenue in the year, rising 0.3% to ZAR9.85bn, of which casino contributed ZAR7.3bn, down 3% year-on-year. This broke down into ZAR5.5bn from slots, with the remaining ZAR1.8bn coming from table games.

Tsogo Sun’s Galaxy Bingo hall chain, on

the other hand, saw revenue grow 10% to ZAR856m, while revenue from limited payout machines hosted in its VSlots network was up 7% to ZAR1.7bn.

Revenue from hotel rooms remained flat at ZAR490m, as did food and beverage revenue at ZAR647m, while the operator received a ZAR110m dividend from its 20% stake in Sun International’s Western Cape casinos. Other revenue amounted to ZAR593m, up 4% year-on-year.

South African National Lottery Commission Mired in Controversy South Africa’s National Lottery Commisioned has become bogged down in controversy over its decision not to publicly disclose the beneficiaries of funds generated from the National Lotto.

THE MATTER has come to a head after Trade Minister Ibrahim Patel conceded, in responding to parliamentary question from the country’s official opposition party the Democatric Alliance (DA), that he believes the National Lotteries Commission (NLC) must make the list of non-profit organisations that it funds available.

For 18 years, the NLC had published these and other details on projects it funds as part of its annual reports. But last year the NLC excluded this information from its 2018-19 report. This followed numerous media reports exposing conflicts of interest, unfinished projects and alleged corruption by recipient organisations. The Chief Operating Officer of the NLC, Philemon Letwaba, among others, was implicated.

About 30% of lottery ticket sales are supposed to go to non-profit organisations to help poor people and other good causes. The NLC is responsible for distributing this money.

The NLC issued a statement in October last year justifying its decision to no longer release its list of recipients by referring to a regulation of the Lotteries Act that it claims deals with the privacy of organisations applying for lottery money.

Then in early 2020, the NLC threatened criminal charges against independent investigative media outlet GroundUp for publicising information about recipients.

Subsequently, a pop-up organisation called United Civil Society in Action, which claims to represent lottery money recipients, brought an urgent case to the Pretoria High Court to try to stop us disclosing information. The case is still to be heard.

Patel made his position clear when he responded to on 22 June 2020 to a written Parliamentary question submitted by Democratic Alliance MP Mike Waters.

Waters had asked him for the names of “institutions and/or projects” that received R10 million or more in lottery funding in the last ten years, and what the funding was for.

He also asked whether an audit or inspection had been done into these projects “to ensure that the money was spent on the actual purpose” and if so what the outcome was.

Patel’s response makes it clear he disagrees with the NLC’s view on disclosing recipients.

“I am of the view that the information requested should be made available to Parliament as requested and that the reply provided by the NLC is not adequate nor sufficient,” he wrote.

“I have further advised the NLC of my view about the confidentiality of information and await their reply. On receipt of the information and subject to legal advice, it will be made available to Parliament.”

Also in response to Waters’s question, the NLC confirmed that it had approved “urgent pro-active funding of R10 million to 54 nonprofit entities for basic and essential goods, food parcels and cooked meals to assist the most vulnerable” in response to the COVID-19 pandemic.

Although the NLC failed to name the beneficiaries of this funding it nevertheless published a self-congratulatory newsletter that identified some of the organisations that received these grants.

NLC Witholding will not “Withstand Constitutional Scrutiny” In the most recent development, the National Lotteries Commission (NLC) is to be summonsed to appear before Parliament’s Trade, Industry and Competition Portfolio Committee after the Parliament’s chief legal advisor found that the NLC’s refusal to disclose a list of beneficiaries would not “withstand Constitutional scrutiny’”.

Parliament’s Trade, Industry and Competition Portfolio Committee will instruct the National Lotteries Commission to immediately submit details of all recipients of Lottery grants.

The Committee also resolved, during an online meeting on 15 July, to summons the NLC to appear before it to answer questions, including about the NLC’s decision not to make beneficiary details public. The committee’s decision is based on a legal opinion by Chief Parliamentary Legal Adviser Advocate Z Adhikarie, who found that the NLC’s reasons for not making the information public did not hold water.

Documents leaked to independent media outlet GroundUp had allegedly revealed how the NLC, in the 2019-2020 financial year, gave millions of rands to dodgy projects like old age C homes that were still unfinished, years after M receiving grants.

The NLC argued that GroundUphad been Y CM wrong in previously publishing these details, citing sections of the Lotteries Act, Promotion of MY Access to Information Act (PAIA), and Protection of Personal Information Act (POPI). In a letter last CY week to the committee chair Duma Nkosi, NLC CMY Chairman Alfred Nevhutanda argued that if the K information was supplied to Parliament it would first have to be declared “confidential” by the NLC. “We submit that the financial statements of the NLC must disclose the information and that this information must be available to the Auditor General as the NLC is subject to the PFMA (Public Finance Management Act),” Adhikarie said in his opinion.

With regard to the NLC’s argument that supplying grant details impinges on the right to privacy of the recipients, he said: “The constitutional right to privacy is not an absolute right but may be limited in terms of laws of general application and must be balanced with other rights entrenched in the Constitution.”

Trade and Industry Ebrahim Patel has made it clear that he believes that the names of Lottery grants should be public. Patel last month ordered an investigation into the NLC after previous investigations commissioned by the NLC board cleared the Commission and senior members of its staff of any wrongdoing. An interim report on the investigation ordered by Patel, which was limited in scope and only looked at a handful of Lottery-funded projects, was handed to the portfolio committee last week.

Tanzania Gambling Board to Curb Illegal Slot Machines THE Gaming Board of Tanzania (GBT), has embarked on an Information Communication and Technology (ITC) strategy, that can track and curb illegal slotting machines, which have been denying the country regulated tax revenues for many years.

GBT DIRECTOR General, John Mbalwe, made the announcement during the recent 44th Dar es Salaam International Trade Fair (DITF).

Mbalwe said if everyone in the industry committed to following gaming rules and regulations, there would also be a positive impact on the national income.

“The existence of a fake slotting machines is a big problem; We have been running several operations together with Tanzania Revenue Authority (TRA) and police but as industry executives, we saw that such operations might not provide us with a longlasting solution,” he said.

Mbalwe said in 2019 the GBT commenced

developing an ICT system, which would help in monitoring the sector. He added that the system will be connected to all machines and that it will help GBT to identify all registered machines and their location. According to him, GBT is on the final stages to complete the work and that so far the procedures for procuring equipment have already kicked off.

“We are looking forward to complete the exercise by August 20, and starting September, the system will be on,” he noted.

Statistics show that sports betting companies are taxed 25 per cent, SMS are taxed 25 per cent, each slot machine

is charged 43.11US dollars and the national lottery is taxed 20 per cent and machine sites 25 per cent.

Physical casinos are taxed 18 per cent while digital casinos are taxed 25 percent of revenue after winnings. GBT was established under the Gaming Act No 4 of 2003 that oversees the whole gaming sector in the country.

Meanwhile, Mr Mbalwe said the GBT had already submitted its recommendations on a propsed national lottery to the Permanent Secretary in the Ministry of Finance and Planning in which the government will decide when to launch it.

ICE London 2021 New Dates Announced The world’s largest gaming show ICE London 2021 has been pushed back two months from its original date to April of next year, organisers Clarion have revealed.

ICE LONDON 2021 will now take place on April 20-22, 2021.

It had been due to run on February 2-4, 2021, but Clarion stated that there was “some doubt and nervousness” surrounding that date given the “disruption and impact” of the Covid-19 pandemic.

In an email, Clarion Gaming’s managing director Kate Chambers said: “While the world is likely to be in a much better place in April 2021, I’m certain that we will experience more bumps in the road.

“However, I’m confident that with the on-going support of the ICE London and iGB Affiliate communities as well as the dedication of the Clarion Gaming team, we can navigate those challenges and deliver events that all sectors of the international industry want and need.”

Tsogo Sun looks to iGaming Continued from page 4 Looking ahead, Tsogo Sun said Covid-19 had continued to cause “devastation” of the business. Since the year end on 31 March, it claimed to have lost an estimated ZAR2bn in revenue, with debt increasing to ZAR12bn.

This, du Toit said, meant the business needed to resume operations “as a matter of urgency” to avoid further losses.

“The business is ready, with a robust strategy of enhanced hygiene and safety measures to enable a seamless re-opening to our loyal customers,” he said.

Once this happens, the operator said it was confident that it could return to profitability rapidly, by reducing cost structure, with a more efficient casino business a particular focus.

Much of this return to growth will be driven by technology, Tsogo Sun continued.

Du Toit said it would step up efforts to leverage smartphone penetration to allow for better interactions with customers, as well as through offering its products via these devices.

“We are also in an advanced stage of entering the online betting industry which

is a separate segment of the market,” he explained.

Furthermore, online casino would then be a “natural progression”. “[If] done responsibly on licensee level, [this] can protect the substantial investment and jobs created by casinos,” Tsogo Sun said.

The Galaxy Bingo business, meanwhile, would continue its expansion into other markets, and generates ZAR1bn annually when operating at full capacity, and the LPM division, including the VSlots halls, was on a strong growth curve.

Kenya to Revoke Controversial Turnover Betting Tax Kenya’s National Assembly has approved a budget bill removing the controversial excise tax on betting stakes that prompted operators Sportpesa and Betin to pull out of their local market. While the 20% excise tax on stakes, that was introduced in the country’s 2019/20 budget, was initially set to be carried over in the 2020/21 finance bill, an amendment put forward by the National Assembly’s Finance and National Planning Committee led to its removal.

THE REMOVAL of the tax was suggested by an entity named as Shade.co.ke, which said the tax “has made many betting firms strapped for cash hence cutting down on sponsorships to local sports clubs”.

This was then adopted by the Committee, which told Shade that “the reason behind [removing the tax] was that the high level of taxation had led to punters placing bets on foreign platforms that were not subject to tax and thereby denying the government revenue”.

Removing the tax would “reverse the negative effects [...] on the industry, which has led to the closure of betting shops in Kenya”, it explained.

In the National Assembly debate, Finance Committee chair Joseph Kirui Limo repeated this sentiment, arguing that the reduced tax would actually increase revenue.

“This is going to enhance revenue, because currently, revenue is going down,” he said.

Shade also called for the reduction of a previously controversial 20% tax on player winnings to 10%, but the Committee rejected this, arguing that under a November 2019 ruling, the tax was no longer a large burden for operators.

The original implementation of the 20% excise tax on stakes, which was approved by MPs in September 2019, upended Kenya’s betting market.

Local brand SportPesa announced that it was to withdraw from the market until the rate was

changed, with another local operator, Betin, following suit.

The tax increase that led to was just one step in a protracted dispute between Sportpesa and Kenyan authorities over tax payments.

In August 2019 the operator cancelled all sports sponsorship agreements in the country after Kenyan authorities ordered telecoms companies to block payments to Sportpesa because of a dispute over a different 20% tax on winnings, which authorities interpreted as including stakes, leaving Sportpesa with a KES60.56bn (£483.7m/$586.4m/€528.1m) tax bill. The operator said at the time it was planning legal action against the Betting Control and Licensing Board and Kenyan Revenue Authority.

In November that year, however, the previously mentioned court ruling determined that this tax only applied to player winnings excluding the original stake, and that it was to be paid by bettors rather than operators.

Sportpesa welcomed that decision and suggested that it may prompt it to reconsider its withdrawal from the Kenyan market. However, the operator has not yet returned and was unwilling to comment on how this week’s developments may affect its plans.

The bill will now be put before President Uhuru Kenyatta, who can sign it into law or send it back to the legislature. Kenyatta’s approval of the clause

to remove the excise tax may not be guaranteed, as he has spoken out against the industry in the past.

In August last year, Kenyatta called upon the country’s lawmakers to pass a total ban on gambling in the country, also warning that he expected bookmakers to pay in full any taxes considered to be owed to the authorities.

“We have this thing called gambling and it’s so bad, I alone can’t finish it - go change the constitution,” Kenyatta said, according to local media reports.

Kenyatta also encouraged MPs to “introduce and ensure that tougher laws are passed in Parliament”.

In November 2019, a report on possible constitutional changes in the nation suggested that the private betting industry should be shut down and replaced with a state-sponsored national lottery. The Building Bridges Initiative (BBI) report, commissioned by Kenyatta’s administration, claimed that the private betting industry “is leading to hopelessness and greater poverty”.

Last week, Betsson-owned operator Betsafe agreed two new sponsorship deals in Kenya, with Nairobi-based rivals Gor Mahia and AFC Leopards, both of which had previously been sponsored by Sportpesa. The operator said at the time it was planning to enter the Kenyan market “in the coming months”.

Botswana’s Grand Palm Casino Opens for Business In the ever-increasing thawing of the freeze on casino operatons across the continent, Grand Palm Casino in Botswana has opened for business.

THE GRAND Palm Hotel, Casino and Convention Resort temporarily ceased business operations following a notice from the Botswana Ministry of Investment, Trade & Industry on 26 March 2020 relating to the global health concerns around the Coronavirus.

More than two months later, restrictions have been lifted enabling The Grand Palm to reopen under certain provisions. These include daily temperature screening and record keeping of guests at the casino entrance, frequent sanitising of public areas, wiping commonly touched surfaces

and the deployment of extra hand sanitiser dispensers to key public and employee areas.

The resort’s gaming activities have resumed with slot machines operating 24 hours a day, and table games operating daily from 14h00 to 02h00 under strict guidelines. These restrictions include a limited number of players per tables game and alternate slot machines being disabled to ensure adherence to social distancing requirements.

As per government legislation, hotels and dining establishments will reopen on 05 June 2020. For guests wishing to stay over, the luxurious Peermont Walmont hotel will be operational, with limited services, and the rooms will be disinfected on a regular basis. The Beef Baron Grill and Rib Room will resume normal trade, serving plated meals to a limited number of guests. Those in need of some rejuvenation and pampering can visit the Camelot Spa where a range of spa treatments and therapies guaranteed to de-

stress, re-energise and transform body and mind.

The remaining facilities at the resort will remain temporarily closed.

Sun International Slams Predatory Buyer & Rejects Unsolicited Offer A Chilean investment company, Nueva Inversiones Pacifico Sur (IPS) wants to acquire a 50.1% controlling stake in Sun International WITH AN offer of R22 per share, it believes that it has put a compelling price on the table It is also willing to offer the owner of Sun City a bridge loan to help it deal with short-term liquidity problems and to underwrite more than half of its proposed rights issue But Sun International’s second largest shareholder, Value Capital Partners, says R22 is not enough for a controlling interest Nueva Inversiones Pacifico Sur (IPS) says it has made a formal proposal to acquire a majority stake in resort hotel chain and casino operator Sun International, owner of Sun City. Nueva Inversiones Pacifico Sur (IPS) said it approached Sun International’s board and expressed a “firm intention” to acquire 50.1% of the hotel group’s shares.

It is offering a cash price of R22 per share.

The group’s shares were trading at R18.10 when the JSE closed on Wednesday, having recovered from a low of R8.33 towards the end of May. Sun International CEO, Anthony Leeming, told Fin24 that the group had not received a formal offer from IPS yet to consider, but has seen the letter that the company published in the media about its intentions. But Sun International’s second largest shareholder, Value Capital Partners (VCP) has already made up its mind that it will oppose IPS’ bid because the R22 per share price is not enough, it said. VCP which owns approximately 20.23% of Sun International’s shares said it will not allow any company to acquire the listed leisure company at “artificially depressed prices”.

Commenting on reports in a press statement issued by Sun International, Leeming said, “It is surprising and unfortunate that IPS chose to go public with an unsolicited announcement that is neither an offer nor a firm commitment to make an offer. By sharing a non-offer with

media they have created confusion and led to speculation in our share. They have not even discussed the offer with our major shareholders and had they done so, as we have, they would have realised their proposal has little chance of success. Leeming confirmed that Sun has previously received several similar unsolicited, non-binding proposals from IPS. As with these previous proposals, the recent one lists stringent pre-conditions but fails to address any concerns raised by Sun International, including the significant and material litigation claim which Sun International has against IPS, as referred to in the IPS Announcement.

The recent announcement was also highly irregular in that it was discussed in the media without first being first published on SENS. “Our full focus right now is on pushing ahead with our proposed rights offer. Like most businesses the world over we have been negatively affected by the lockdown, but we are on the verge of reopening. We have a strong brand and quality

offering so we are confident that we will soon regain lost ground.

“While we are obviously pleased that other investors see the significant value in the business, as we do, we believe this proposed offer significantly undervalues Sun International, particularly when one considers that the price offered should include a control premium.

We believe that the majority of the other shareholders of Sun International would be of the same view,” said VCP CEO, Sam Sithole on Wednesday night. Sithole said the company supports all the actions that Sun International management and its board have taken so far to deal with the Covid-19 crisis, and we will continue to support other to strengthen the balance sheet, but not IPS’ offer. IPS on the other hand believes that its offer is compelling and provides a win-win for all stakeholders groupings.

It pointed out that the R22 offer equates to a 68.26% to Sun International’s 1-month volume weighted average price.

Global Slot Machine Sales Drop 42% The sale of slot machines globally fell sharply in the first quarter of this year as operators conserved their financial resources in face of the Covid-19 pandemic.Research has shown that sales internationally fell by 42 per cent to 21,796 in the quarter. In North America sales fell even more, by 47 per cent to 11,400 while in the rest of the world the fall was 33 per cent to 10,400. The largest supplier in the period was Aristocrat with sales of 6,006 units, or 28 per cent of the market.

Las Vegas’ G2E Cancelled The second largest event in the gaming industry – behind London’s ICE – the G2E in Las Vegas, has been cancelled. The show had been set for October 6-8 at the Sands Expo Center.

IT REGULARLY attracts around 30,000 visitors and exhibitors. Owned by the American Gaming Association and operated on its behalf by Reed Exhibitions, the Global Gaming Expo is North America’s principal event, with networking, education and social events taking place throughout its four days.

AGA’s Bill Miller said that the ongoing Covid-19 pandemic was the reason behind the cancellation. “It is a prudent decision ahead of critical deadlines for exhibitors planning to participate.”

The organisers are now proposing to run online events during the next year, said the G2E website. It said that the virtual events

would take in education, networking and business opportunities. The exhibition in 2021 is planned for October 4-7 with the trade stands open from the 5th. As of today, there was no further news of the G2E Asia show in Macau, that has been twice postponed this year and is current slated for December 2020.

Tsogo Sun COO Leaves Group Ravi Nadasen – a well-known tourism industry leader and chief operations officer of JSElisted hospitality group Tsogo Sun Hotels – has been headhunted by top international private schooling firm, Inspired. It will be recalled that Mr Bello Maigari, acting executive secretary, National Lottery Trust Fund (NLTF) has last week raised alarm over the activities of illegal lottery operators.

Maigari, said that there were many lottery operators in the country without a licence, adding that this has resulted to leakages in terms of what they were supposed to remit to the trust fund. “Nigerian government is losing more than one trillion Naira every year because of illegal operators. There are a lot of illegal operators in the industry and these are part of the reasons why there are leakages. Some are conducting this business without being regulated and there are chances that such proceeds will be channelled towards crime, fraud and money laundering,” he said.
