The second quarter of 2025 signals a period of renewal and revitalisation for South Africa, even as traditional gaming business paradigms continue to shift. Despite looming global uncertainties and potential economic headwinds, there’s a sense that fresh momentum is building—offering both challenges and opportunities in equal measure.

On the back of another set of outstanding results driven by online gaming, we see Sun International’s CEO Anthony Leeming (who has largely been responsible for the group’s success) exit the stage and allow for the appointment of a new CEO in the form of internationally-renowned gaming executive Ulrik Bengtsson. Sun International has undergone a significant transformation in recent years, evolving from a traditional land-based casino and resort operator into a comprehensive omnichannel player with an attractive online offering and Ulrik’s experience and proven track record is sure to add rocket fuel to the group’s strategic journey.

South Africa’s Lottery Faces Suspension as Minister Delays Licence Announcement

South Africa’s National Lottery could be suspended from 1 June as Minister of Trade, Industry, and Commerce Parks Tau backtracks on issuing a temporary licence and delays announcing the new operator.

Tau now plans to reveal the winner of the eight-year lottery licence “on or before 28 May.”

This leaves a tight timeline before the current operator, Ithuba, sees its licence expire on 31 May, raising concerns about an operational gap in ticket sales.

The minister’s decision follows weeks of uncertainty, during which a temporary one-year lottery licence was floated as a solution but later scrapped. The move has drawn legal action from bidding consortium Wina Njalo, which accuses Tau of delaying the process to benefit Ithuba. Wina Njalo is proceeding with a court application seeking to force the minister to award the licence by 9 May and conclude negotiations before Ithuba’s term ends.

In his official notice to bidders, Tau stated that he would only announce the new operator after negotiations had been finalized to his satisfaction. He also cited a clause in the Request for Proposal (RFP) that allows him to negotiate with another bidder if initial discussions fail. However, industry insiders warn that time is running out, as transitioning between operators requires at least six months to set up essential technology and infrastructure.

If the licence is awarded to a new operator, they

would need to establish lottery ticket machines, data centres, and software systems before launching operations. Without this preparation, ticket sales may halt from midnight on 31 May.

The uncertainty has raised questions about how the process has been handled. Previous licence adjudications were completed in less than a year, yet the current process has dragged on for 14 months. Critics argue that the minister could have avoided delays by following the recommendations of the National Lotteries Commission (NLC), which completed its evaluation of bids in October 2024.

continue allocating funds to charities and covering operational expenses using its R4.3-billion reserve fund.

Legal battles are also intensifying. Wina Njalo has accused Tau of “frustrating” the process to favour Ithuba, citing the rushed attempt to introduce a temporary licence while delaying the long-term contract.

The Pretoria High Court is set to hear Wina Njalo’s case on 22 April, in which the company is seeking a ruling that the delays are unconstitutional. Tau previously cited concerns over bidders’ political connections as a reason for the prolonged decisionmaking process, stating that no political party or office-bearer should have a financial interest in the lottery. However, critics argue that these concerns do not justify the lengthy delay.

With just weeks remaining before the current licence expires, industry players and the public await Tau’s final decision. If the new operator is not in place by 1 June, South Africa may experience its first-ever national lottery shutdown.

Eastern Cape Gambling Board Courts iGaming Operators

The Eastern Cape Gambling Board (ECGB) signalled its intent to actively engage iGaming operators at the SiGMA iGaming Show in Cape Town this week, showcasing the province as a prime destination for licensing in South Africa.

With the April 2024 gazetting of a zero-rating tax regime - shifting taxation from punters to operators - the Eastern Cape has become an increasingly attractive jurisdiction for iGaming businesses. The ECGBB is particularly focused on drawing in ‘grey operators’ seeking a regulated and efficient licensing framework.

“In order to streamline efficiencies and turnaround times, we have established a special project unit within our Compliance division dedicated to supporting betting operators from licensing to post-licensing and

ongoing contingencies,” says ECGBB CEO Mabutho Zwane. “We have a team ready to engage and assist applicants throughout the process.”

“Unlike other jurisdictions that require a formal call for applications, the Eastern Cape allows operators to apply for a licence at any time, offering a significant advantage to those looking to enter the South African market swiftly,” said Zwane.

“We are open for business. With competitive

licensing fees, regulatory clarity, and a business-friendly approach, the ECGBB is positioning the Eastern Cape as a leading hub for iGaming operators in South Africa,” said Bonile Gotyana, ECGB Gaming Auditor.

The Board’s outreach to ‘grey’ operators (ie those igaming operators doing business in South Africa via their online presence, but not licensed in the SA) offers them an opportunity to legitimise their operations by applying for and acquiring Eastern Cape licences).

Sun International Appoints New CEO

Sun International has announced the appointment of internationally renowned gaming executive Ulrik Bengtsson as Group Chief Executive (CE).

Sun International Limited announced this week that, following a comprehensive global search, internationally renowned gaming executive, Ulrik Bengtsson, has been appointed Chief Executive of Sun International with effect from 1 July 2025, or such earlier date, dependant on the date of securing his work permit.

Ulrik, a Swedish national, has been CEO of international listed companies and consumer services groups across gaming, betting, broadcasting and telecoms industries for nearly 20 years, most recently serving as CEO of UK-based gaming group William Hill plc and prior to that serving as President and CEO of Swedish-listed online gaming group Betsson AB.

Ulrik will succeed outgoing Chief Executive, Anthony Leeming. Anthony has provided formal notice to the board that he intends taking early retirement from Sun International on 31 December 2025 to pursue various personal opportunities outside of the group. Anthony been with Sun International for 26 years, making a significant contribution over this time and the board takes this opportunity of thanking Anthony for his unwavering commitment to the company and group, particularly over the last 8 years when he served as Chief Executive. Anthony Leeming will step down as Chief Executive effective 1 July 2025, but will remain with the

company until December 2025, working closely with Ulrik to support a smooth transition.

He was also previously President and CEO of Swedish-listed online gaming group Betsson AB, where he doubled revenue within five years and completed multiple acquisitions.

He brings a proven track record of driving business transformations, scaling omnichannel platform businesses, both organically and through M&A, as well as in-depth knowledge of the global land-based and online gaming markets.

Ulrik holds a Bachelor of Commerce degree from Dalhousie University in Canada and is currently Chairman of Hostelworld plc, Raketech plc, and Gamenation (UK), roles he will retire from in order to relocate to South Africa and assume the role of Chief Executive of Sun International.

Malawi Authorities Impose Strict Regulations On Underage Gambling

The Malawi Gaming and Lotteries Authority (MAGLA) has introduced strict new regulations to protect vulnerable populations, including a ban on anyone under the age of 18 participating in gambling activities.

The announcement was made by MAGLA Director General, Racheal Mijiga at a key regulations sensitization workshop in Mangochi, which was attended by operators, industry experts, and media representatives.

Mijiga underscored the importance of safeguarding minors from the harmful effects of gambling, saying individuals found in violation of this rule would face significant consequences.

“We must protect our youth from the serious social and psychological risks that gambling poses. That is why the new regulations are clear, anyone found

entertaining children under the age of 18 to participate in gambling activities will face a fine of K20 million,” said Mijiga.

Commenting on the development, Betway Chief Operations Officer, Charles Phiri, expressed support for the new regulations, highlighting the importance of protecting young people from the dangers of gambling. “We fully welcome these developments. Betway is committed to complying with the new regulations, and we will ensure our staff is thoroughly trained on the new rules,” said Phiri. As part of the revised regulations, operators are

also encouraged to launch awareness campaigns that educate the public, particularly the youth, about the risks of gambling.

Record Online Gaming Growth Drives Strong Sun International Results

Sun International has again delivered a strong set of results, reflecting the quality of its operating businesses, the resilience of its omnichannel portfolio and disciplined execution on strategy which continues to deliver shareholder value.

Showcasing its resilience, the group’s continuing income for the year increased by 5.1% to R12.6 billion, while continuing adjusted EBITDA rose by 3.0% to R3.5 billion. The group’s adjusted headline earnings grew by 13.0% to R1.3 billion, with adjusted headline earnings up 13.5% to 531 cents per share.

The group continued to successfully allocate capital through share buy-backs, dividends and disciplined capex investment in its portfolio.

The group has consistently demonstrated its ability to generate significant cash flow through its diverse portfolio and is in a strong financial position with debt (excluding IFRS 16 lease liabilities) decreasing from R5.7 billion in FY2023 to R5.2 billion as at 31 December 2024, and debt to adjusted EBITDA further reduced to 1.5 times.

The debt levels take into account the payment of the 2023 final net dividend of R510 million, an interim net dividend of R402 million and share buy backs undertaken during the year of R141 million. Net interest decreased by 6.2% from the prior year as a result of the lower debt and interest rates.

In accordance with Sun International’s dividend strategy, which aims to deliver a sustainable pay-out to shareholders over the long term while maintaining a target debt to adjusted EBITDA ratio of below two times, the board has kept the dividend pay-out ratio at 75% of adjusted headline earnings per share and resolved to declare a final gross cash dividend of 237 cents per share, a 16.7% increase on the prior year.

Sunbet maintained its impressive growth trend, with income increasing by 60.6%, once again exceeding its ambitious growth targets and resulting in an adjusted EBITDA, pre-management fees, of R363 million (2023: R221 million). The rise in active players was a key driver of this performance, supported by marketing efforts, the launch of new games and ongoing improvements to the overall player experience.

Sun International CE Anthony Leeming said: “Our omichannel approach has helped the group navigate the evolving gaming environment and with our significant growth in Sunbet we continue to see growth in our gaming revenue.”

The group‘s urban casinos remained resilient and generated significant cash, while, as expected, regional casinos were weaker due to a poor macroeconomic climate.

Income from the group’s four largest urban casinos increased by 0.7%, while regional properties have encountered challenges, with topline growth proving difficult to achieve, which impacted the margin. Our urban casinos generated an adjusted EBITDA margin, premanagement fees, of 33.7%.

Sun Slots provides the group exposure to a distinct demographic, which is not necessarily captured within the broader portfolio.  Sun Slots generated income of R1.4 billion during the current financial year, with adjusted EBITDA of R342 million at an improved margin of 24.1%. By prioritising investments in service and our product, the company continues to strengthen its acquisition and retention strategies, which are key to driving revenue and margin expansion. The emphasis on customer satisfaction positions the group for sustained long-term growth.

The resorts and hotels sector in South Africa has experienced a strong recovery, driven by robust domestic leisure demand, conferencing and a resurgence in international tourism. The booming local tourism market has played a pivotal role in this recovery while South Africa’s favourable currency exchange rates and local attractions

have made it a highly sought-after destination for foreign visitors. Sun International has capitalised on this positive momentum, as demonstrated by growth in income and a notable improvement in the adjusted EBITDA margin, pre-management fees.

Total resorts and hotels income was up 7.6% on the prior year, to R3.3 billion, despite the first half of the year being impacted by the national elections. Rooms and food and beverage revenue achieved excellent growth, with an increase of 10.9% on the prior year. Adjusted EBITDA, premanagement fees, was up 11.8% at R788 million. The adjusted EBITDA margin, pre-management fees, of 24.2% reflects an improvement on the 23.3 % achieved in the prior year.

In 2023, Sun International announced the proposed acquisition of Peermont Holdings Proprietary Limited and the proposed transaction, valued at a total enterprise value of R7.3 billion, received overwhelming shareholder approval on 4 March 2024 and credit-approved funding from Sun International’s current lenders.

On 25 October 2024 the Company announced, via SENS, that the Competition Commission had recommended to the Competition Tribunal that the proposed transaction be prohibited under section 14A (1) (b)(iii) of the Competition Act, No. 89 of 1998, as amended. The Commission found that the proposed transaction is likely to substantially prevent and/or lessen competition in the provision of casino services in South Africa and in central Gauteng.

The Tribunal has now scheduled a hearing between 19 May to 30 May 2025, to review and deliberate on the merits of the proposed transaction. The company, along with its legal team, is preparing to present and advocate for the approval of the proposed transaction before the Tribunal.

Meropa Casino & Entertainment World in Limpopo kicked off 2025 with the appointment of two female Assistant Gaming managers on the casino floor. Suzan Dikutle, Assistant Gaming Manager for the Tables Department; and Thembi Maseko, Assistant Gaming Manager for the Slots Department both report directly to General Manager Sammy Mokhele.

“Within International Women’s Month, we acknowledge Suzan Dikutle and Thembi Maseko, who recently joined Meropa, the heartbeat of Limpopo. Suzan Dikutle, Assistant Gaming Manager for the Tables Department

Dikutle, Assistant Gaming Manager for the Tables Department, brings over 25 years of

extensive gaming experience and over 15 years in Management. Her career started at Sun City Resort where she has held various positions, including Tables Dealer, Tables

Inspector, Tables Pit Manager, and Gaming Floor Manager. Dikutle holds a degree in Business Administration from UNISA and certifications in project and operations management, corporate governance and ethics.

“I aim to grow the casino’s private gaming table games such as Blackjack, Baccarat, and Poker, and develop the skills of those in my department,” Dikutle said.

Thembi Maseko, Assistant Gaming Manager for the Slots Department

Maseko returns to Meropa after almost 10 years as Assistant Gaming Manager for the

Slots Department. Her career started in 1999 in Johannesburg at Carnival City as a Guest Service Attendant. From there, Maseko has moved up the ranks from Slots Supervisor, Slots Shift Manager, Assistant Slots Manager to Gaming Manager.

Maseko has completed numerous training courses, including the Gaming Management Development Programme; Supervisory Development; HR; and learning and development programmes, and customer service.

“I have managed a vast range of projects, including the opening of new casinos, machine moves planning, casino promotions, loyalty programmes, and training and development,” said Maseko. “I am thrilled to be back under the Sun International brand, and look forward to bringing my many years of gaming and hospitality experience to Meropa.”

Maseko advises women entering the gaming and hospitality industry to embrace the unique perspectives they bring, as diversity is a valuable asset.
