It is with a heavy heart that I must inform you of the Executive Committee’s decision to cancel FRSA’s 98th Annual Convention and the Florida Roofing and Sheet Metal Expo, originally scheduled to take place July 15-17, 2020 in Kissimmee, FL. As you know, we have been closely monitoring the worldwide situation with COVID-19 and, after a careful review of the facts and current guidelines, we do not feel the industry can safely gather this July. I appreciate the thoughts, feedback, survey comments and personal stories that you have shared with us over the past few weeks. Please know that we did not make this decision lightly and were guided by the voices of our exhibitors and attendees. At the end of the day, health and safety must be our priority. The FRSA leadership is well aware that the Convention and Expo is, for many, the only opportunity all year long to have face-to-face contact with many contractors, so we’re expanding our reach to offer those who support us with additional free exposure. We also recognize that our contractors are still working and that the need for industry products and services is great. We want to make it as easy as possible for Florida contractors and exhibitors to connect. We have asked exhibitors and sponsors to consider donating or rolling over their payments to the 2021 year. In the coming months, FRSA will be promoting exhibitor products and services through Florida Roofing magazine, the FRSA website and an all-new Expo Guide available in print and digital format at no expense to those who choose to donate or rollover their funds to 2021. We greatly appreciate the support the industry is showing FRSA. Although a face-to-face meeting will not be held for the Convention and Expo, we are making plans to convert many of the other events that take place during the same time to digital and online formats. The Silent Auction is the annual fundraiser for the FRSA Educational and Research Foundation and will now convert to an online auction beginning on July 10. You’ll be able to bid on the same great items, only now you’ll be able to do it electronically and receive instant notifications when items are posted or when bids on that item you’ve had your eye on increase. Through this online platform, we’ll also host the annual Affiliate Competition. All the seminars originally scheduled for the Convention – 17 hours, will now be hosted online. There are eight code-specific seminars that include changes to the Florida Building Code, which will be implemented on December 31, 2020. Many of them deal with changes due to ASCE 7-16. The new version of the FRSA-TRI Tile Installation Manual has also been updated to the 6th Edition. You’ll want to make sure you register for these important industry courses. Plans

are to launch the seminars in July. More information will be available soon. Be sure to look for an email from FRSA. Although we’ve been presented some very challenging circumstances, our industry has always weathered through. We may do things differently and communicate from a distance, but we are resilient and we will get through this challenging time FRSA President together and the industry Brian Swope, CPRC will gather again. FRSA LEGAL COUNSEL Cotney Construction Law

The Easiest Way to Get Paid is to Be Thinking About It from the Start Brian Lambert, Attorney, Cotney Construction Law Everyone is waiting for the dust to settle in the wake of the coronavirus pandemic. As our country starts to reopen, there will obviously be a few bumps as we travel down this unchartered road. Given this environment, vigilance is especially important in one area: getting paid. Getting your company paid for projects is undoubtedly the single most important thing as we move forward in this economy. How you can get paid is highly dependent on how much homework you have done on your clients and your contract terms. After working in this industry for many years, I have noticed that there always seems to be a natural “rub” between our clients’ sales and finance departments. Sales folks may have a natural talent for bringing in work, but the finance department has to figure out how to get paid once the work is done. In order to collect payment, get these folks working together, not when you are not getting paid, but right at the time you are entering into contracts. Before your sales team hands over a contract for the customer to sign, your finance department should have already reviewed it and done its due diligence on the customer, investigating any obstacles that could arise in the payment process. Certain situations, as discussed below, are areas that need close attention. Do you do business with condominium associations? Like many of our clients, if you do, then you may be dealing with a property manager. That property manager may even be the one signing the contract. But does that property manager have that type of authority? Before signing, ask to see the property manager’s power of attorney or agreement with the association to make sure it is within the property manager’s scope to enter into a contract. This same rule applies anytime you are getting a signature from someone who is not the property owner and is acting as the agent for the property owner. If the association is owned by a company, limited liability company or trust, make sure the person signing has the proper authority. Another word to the wise is to check the local property records to make sure you are dealing with the property owner, regardless of whether you are involved in residential or commercial projects. You want to make sure the contract has the correct spelling of the owner and, if the property is owned by a company, that the company name is spelled correctly. Have the person signing print their name and the capacity upon which they are signing. The next major consideration goes directly to 6


payment. Does the association or company have the funds to fully pay you for the work? Have you even asked them? At best, you could have them escrow the full contract amount. At worst, you could at least get them to provide proof that the funds are available. If you are going to perform a half million dollar re-roof, you definitely do not want to find out half way through the job that the other party does not have the funds to pay you (and even worse, never did from the time you signed the contract). Essentially, you do not want to finance a new roof, or even part of one. In that regard, always know who the real parties are with the interest in the property you are working on. It sounds simple, but from a legal standpoint, not getting it right can lead to severe consequences, including the inability to get paid. What are your payment terms? A lot of work can be done in 30 days if that is how often you plan on getting paid. Consider changing it to every 15 days or even every week if possible. There is really no reason not to bill in close step with the work when possible. For any extended period where your work is being done without payment, you are basically financing that work to the benefit of the other party. If you subcontract downstream, make sure you have “pay when paid” language in your contracts. If you are asked to provide a bond, consider using a conditional payment bond. While it may be more difficult to administer on the front end, the project owner cannot tap your bond unless it has paid you for the work in question. Regardless of whether you are performing residential or commercial work, think about getting an upfront deposit. We have seen many residential cases where the roofer does not receive his first dollar until work is complete. In this market, not only can this lead to the loss of payment for that single project, but if enough of these occur at once, it can break the back of any company. For Florida contractors taking deposits that are more than ten percent of the contract amount, be mindful that you will need to start work within 90 days. See e.g., Fla. Stat. 489.126.

From Curves to Cones: Hurricane Season in the COVID-19 World June has finally arrived in the Sunshine State, bringing a familiar foe to all Floridians: hurricane season. According to forecasters, we’re in for an active year, with several trusted models predicting an above average season. (Don’t shoot the messenger, but something along the lines of 18-22 named storms… YIKES!) The return of hurricane season also brings back our friend the “cone of uncertainty,” a tool meant to provide a best guess on a charging storm’s projected path. We can debate the accuracy of this forecasting aid, but it’s something we are all familiar with and equipped to respond to in our own way. The 2020 hurricane season, much like 2020 itself, promises to be anything but familiar. When a storm inevitably starts churning our way this year, it is the COVID-19 curve, not just the cone, that will be on emergency management officials’ minds. In the age of COVID, Florida is having to completely rethink its strategy for hurricane response. For instance, the state will be stockpiling personal protective equipment (PPE) this year in addition to the staples of water, gasoline and MREs, with more than 10 million face masks expected to be in state reserves by June 1. Handling people in a hurricane emergency will also be a challenging new frontier with COVID-19 threats looming. A top concern is how the state’s emergency shelters can be utilized to protect citizens while also maintaining social distancing standards to prevent transmission of the virus. New protocols could range

from separating people in the shelter based on temperature checks to non-congregated sheltering in hotels. Evacuations themselves will also be viewed differently this year, in part to address for space limitations with the implementation of these new shelter protocols. Officials are hinting that people in structures (outside of flood zones) built to newer codes and standards may be asked to shelter in place rather than evacuate. State officials and the Federal Emergency Management Agency (FEMA) are in constant communication and daily planning to tackle these new contingencies. COVID-19 is certain to play a leading role for officials when a hurricane starts to bare down our way, and it will be even more critical to follow local and state directives as we adjust to a “new normal” for hurricane response. Ironically, in this time when our lives are continuously shaped by efforts to “flatten the curve,” our old friend the cone of uncertainty may just provide an unintended benefit: normalcy. Aside from the above, always consider your lien and bond rights and keep close tabs on the time requirements for perfecting these claims. In most scenarios, you do not have a huge window of time to comply with these requirements. Therefore, let your attorney know at the earliest opportunity that you are experiencing a slow or no-pay. Remember that lien/bond claims take time to prepare and typically require a thorough analysis before they can be completed and served or recorded in the county records. Given the closure of many county’s clerks and skeleton staff crews, recording may take longer than normal. In sum, attention to detail and forethought are going to be the keys to success as we move through this time. Do your homework. Know who you are dealing with. Make sure they have the money set aside to pay you. If they resist providing this information, be cognizant of the fact that you may have an issue with payment down the line. Have sales and finance teams work in tandem at the beginning, not when slow or 8


no-pay starts to happen. There is light at the end of the tunnel. We are starting to see it. But be vigilant. We will get through this.

Seaman Corporation Names Jeff Swartz Chief Executive Officer

Seaman Corporation, a family-owned business headquartered in Wooster, OH, recently announced that its Board of Directors has selected Jeff Swartz as its new Chief Executive Officer. Swartz will replace John Crum who is retiring after 18 years at Seaman, including the last 5 as CEO. Swartz is a veteran of the building products industry, having spent 23 years with Armstrong World Industries and 6 years at Fortune Brands Global Plumbing Group in a variety of sales, operations and general management roles in the US, UK, China and Germany. He was most 10


recently President of Moen’s Americas business, where he had P&L responsibility for the US, Canada and Latin America. Swartz has a degree in Industrial Engineering from Penn State University and an MBA from Columbia University. “Jeff brings a unique and wide range of proven business leadership experience,” said Richard Seaman, Chairman of the Board. “The Board, the family shareholders and I are confident that these career experiences will enable Jeff to provide the leadership to further develop and execute Seaman Corporation’s strategic growth objectives in the coming years. Beacon announced the appointment of Frank Lonegro as Executive Vice President and Chief Financial Officer. Lonegro joined Beacon in April and will assume his role as Chief Financial Officer as current Chief Financial Officer Joseph Nowicki transitions his duties. Prior to joining Beacon, Lonegro had a long and distinguished career at CSX Corporation, a $12 billion Fortune 500 transportation company, where he served for nineteen years, culminating as Executive Vice President and Chief Financial Officer from 20152019. Lonegro’s career at CSX entailed a unique blend of cross-functional experience, combining financial, operational and functional executive leadership roles. New Phone App Puts Everything at Your Fingertips

Harry Yeatman Named to NSBA Leadership Council Harry Yeatman, President of Gulf Coast Supply & Manufacturing, was recently named to the National Small Business Association (NSBA) Leadership Council. NSBA is the nation’s oldest small-business advocacy organization and operates on a staunchly

nonpartisan basis. Yeatman, a recognized leader in the small-business community, joins the NSBA Leadership Council alongside other small-business advocates from across the country as they work to promote the interests of small business to policymakers in Washington, DC. “As the President of a small-business, I see daily the importance of being involved and active when it comes to laws and regulation,” stated Yeatman. “Joining NSBA’s Leadership Council will enable me to take our collective small-business message to the people that need to hear it most: Congress.” Yeatman brings over 30 years of experience in the metal-building manufacturing industry. His background includes leading manufacturing facilities, sales, brand identity and strategy. Yeatman joined the NSBA Leadership Council as part of his efforts to tackle the many critical issues facing small business, including tax reform, regulatory restraint, health care costs and how the Affordable Care Act will impact small business. Is COVID-19 Compensable Under Workers’ Compensation? Vanessa Palacio, Claims Manager, FRSA Self Insurers Fund As we all face the pandemic that is COVID-19, a question that comes to mind is whether or not this is covered under workers’ compensation. The general answer is no. Unless you are a first responder or are employed in an occupation where you have a higher chance of exposure, such as a healthcare worker, illness due to COVID-19 is not compensable. So why is this not considered an injury or illness? Because you cannot prove where you contracted the virus. Under the occupational illness section of the Florida Statutes, you must prove with clear and convincing evidence where you contracted the virus and that the level of exposure was enough to cause the illness. That is a very high legal standard to prove. Ask yourself, even with the quarantine, where have you been the last two weeks? Have you been to the grocery store, gas station, pharmacy or possibly 12


curbside pick-up for food? Now think, where have your family members been in the last two weeks? It should be easy to see that exactly how you contracted the virus would be impossible to prove. When you think of all the people you have been in contact with and multiply that by the number of people they have been in contact with, there were hundreds of potential exposures over the last two weeks alone. Hopefully, I didn’t scare you too much, but just know that you are in a line of business that does not have any special presumptions for exposure claims, so any incidents of COVID-19 are not covered. A New Challenge for an Old and Extremely Strong “Family” Mike Silvers, CPRC, Owner Silvers Silvers Inc., and FRSA Technical Director Like many of you, I recently received an email from FRSA informing me that our Convention and the Florida Roofing and Sheet Metal Expo had been cancelled. I know this was a very tough decision, but one that was necessary and, with all things considered, definitely the right one. Over many, many decades attending Convention has been a regular part of my life. We are not alone in this. So many events have been cancelled, postponed or are being conducted by teleconference. For us, these include our Board and Committee meetings, seminars, apprenticeship classes and now Convention. The Future Builders of America Summit was cancelled. We will never know the important discussions or learning experiences that for now at least, will not take place. The Florida Building Commission and Technical Advisory Committee meetings are now conducted by teleconference. This has been convenient but, unfortunately, this eliminates the hallway discussions that can be used to present different viewpoints that may influence a decision. A discussion on a conference call leaves a lot to be desired compared to a face-to-face review of the issues at hand. Often, in real time, we can overlook the most important moments in these events. The firm handshake of a colleague, the welcomed hug of a good friend, kind words of encouragement, gratitude or condolence. The look on the face of the apprentices or other Convention newcomers when they realize what a big industry they are part of. A moving address

by a speaker or important piece of information gained in a seminar. Most of all, I’ll miss the characters. The stuff that makes up the fabric of the human existence. The construction industry has many of these; FRSA certainly has more than its fair share. I’m not going to name names here. You know who you are and please, don’t change. Contemplating the loss of our Convention brought back a lifetime of Convention memories. There have been some personal highlights. Being sworn in as this organization’s President and receiving the Campanella Award were both personally important and very humbling. Watching so many people that I respect and admire receive these and other recognitions also stand out. But one particular memory came rushing back. It was during one of the now famous annual Welcome Receptions. Just before this event the Association sponsors a Past Presidents, Life, Honorary and Campanella Reception, so that many of us FRSA lifers could renew old friendships and acquaintances. I was in the middle of my first Convention as a member of the FRSA staff. There were new responsibilities to prepare for and new duties to contemplate. This was keeping me somewhat distracted. The party was roaring. Sitting on a long couch in the middle of the room was another FRSA lifer. He was one of my mentors and someone for whom I have great respect. I asked if I could sit with him and take a break for a few minutes. This gentleman (in the truest sense of the word) was

getting on in years, so I decided that this might be a great opportunity to tell him how much of an influence he had been on my career and beyond. These conversations can be hard, but when heartfelt they can also be important. He was old school and wasn’t too big on warm and fuzzy, but of course, I persisted. The room seemed to go quiet as we reminisced. He and I did not always agree, but we always respected that we each had the interest of our Association and our industry at heart. Several months later he fell ill, his family blessed me with the opportunity to talk to him one last time in his hospital room prior to his passing. I remain grateful that I had the chance to tell him how I felt during our discussion at Convention because life does not always allow us those moments. It wouldn’t have happened if we weren’t in that setting at that time. His son recently told me that he really seemed to spark up during our last visit at the hospital. I said he was ready to go at it one last time. FRSA’s dedicated staff and volunteers are committed to make our new virtual Convention all that it can be. A new President and Executive Committee will be sworn in. Awards will be presented. Scholarships will be awarded. An online auction will be conducted, and many other programs will take place. Seminars will also be presented virtually. They will be roofing-specific and presented by industry

professionals. Many will cover the numerous roofing-related changes in the new 2020 7th Edition of the Florida Building Code. Don’t let these code changes or license renewal continuing education requirements sneak up on you. Preparing these seminars will be a challenge and a new learning experience. Our ability to accomplish this is necessary and will survive this temporary pause that we are all living with. There will be a Convention next year and the one after that. Our leaders will make every attempt to share the spotlight with those for whom it was dimmed. It will take a lot more than a virus to dissuade our hardheaded and incredibly resilient roofing family. After all, we have survived 98 years’ worth of challenges and we’re just getting started. With social distancing so much a part of this time, most of us will find ourselves at home with our families when we would have been attending the Convention. It makes this year’s theme seem especially fitting: “FRSA - A Family Tradition.”

Bush wasn’t just a decorated U.S. naval pilot, he’s the only man to serve as Director of the CIA as well as Vice President and President of the United States.

George Allaster, Jr. can relate. In addition to sharing the same first name as our 43rd president, he is also following in his father’s impressively large footsteps, having moved to Florida to provide superior metal roofing ventilation and accessories for Marco Industries. A Legendary Career George Allaster, Sr.—or “Mr. Goodvent” as he’s known—got his first taste of satisfying customers in 1958 when he joined 3M in Canada. A fresh 20 years old, he had no idea that after just two years working in sales correspondence and customer service that he would be pro-

Though George was prospering at 3M, he was hungry for a new challenge. In 1976, he left to find them. After successful stints holding executive leadership positions at two other companies, he made a decision that, looking back, was pivotal in him becoming the metal roofing industry’s acknowledged ventilation expert. George had dealt with metal roofing ventilation in his previous companies. However, when he accepted the position of National Sales Manager for GAF in 1995, it became his passion. There, he combined his incredible knowledge of roof ventilation with his innate leadership and sales ability. Managing a sales staff that

grew to more than 450, George introduced GAF to Canada and built a successful, multi-million-dollar presence there. Along the way, he educated thousands about the importance of proper ventilation. His presentations, sometimes to audiences of 500+, were so informative, he became known as “Mr. Goodvent.” George Sr. retired to Florida in 2007 at the age of 70. But that didn’t last long. Soon, an old acquaintance whom he’d helped make a splash in the ventilation business came calling. Marco Industries’ founder talked George Sr. back into the ventilation game, selling the Marco Weather-Tite™ System across the Sunshine State. George Sr. answered the call, setting the industry standard in ventilation knowledge for the now-familiar red “M” of Marco. Finally, in 2011, Mr. Goodvent retired for good. Sort of. Like Father, Like Son Much like the president with whom he shares a name, George Jr. had big shoes to fill—especially since he chose to go into the same business as his father. George Jr. started his sales career right out of college. Following his dad’s advice, he took a position in one of the toughest sales markets imaginable: copier sales. While many didn’t make it past 60 days, the younger Allaster flourished in the harsh competition, becoming a top salesman for a Panasonic distributer over his 4-year tenure there.


But George Jr. wanted to get outside on job sites. An opportunity took him to a Jacksonville, Florida-based company selling footage products. He was asked to sell a line of more than 600 products with practically no training in a state—Tennessee— where they didn’t have much market share. But like his dad had done years before in Canada, George Jr. built a market from the ground up. In fact, he was so successful, the company built a plant there. In 1992, fate came calling in the form of a recruiter. George Jr.’s successful track record had been noticed and he was offered a job with a company called MBCI a division of American Building Components. Like his dad, George Jr. was now officially in the metal roofing industry. According to George Jr., one of

his greatest professional accomplishments happened during his seven years at MBCI. He was one of 8 or 9 people promoting a product called Galvalume®. Back then, everything was G100 and many weren’t interested in hearing about anything else. But persistence paid off, and that small handful of promoters laid the foundation for today’s practically 100% market share

Cybersecurity Tips for Working Remotely Steve LaPha, Vice President, Dytech Group With the global health crisis forcing people worldwide to work from home, there is increasing evidence that malicious actors are using peoples’ fear to prey on remote workers. Home networks, actions of family members and the security of workstations can impact your company’s security. There are some simple steps companies can take to keep safe. First, you must increase your awareness of current attacker activities and tactics to avoid falling victim to their schemes. Second, you must use secure workstations when working remotely. Attackers are already taking advantage of the current crisis and our strong desire for information and answers. They are using a variety of tactics, but the most common attacks observed are: ■ Phishing Emails – Bad actors are sending emails impersonating trusted sources of information, such as the World Health Organization (WHO) or the Centers for Disease Control (CDC), health organizations, universities, government entities or other official sources to trick recipients into clicking links or opening attachments that can compromise credentials or infect devices with malware. ■ COVID-19 Website and Interactive Map – Bad actors have registered domains and launched sites that host information about COVID-19 or show interactive maps detailing the spread of the virus. Attackers have laced many of these unofficial sites with malware, which commonly leads to ransomware, credential theft or persistent remote access to workstations. ■ Malicious Apps – Attackers are creating malicious mobile device apps and deploying them to different app stores, mostly Android.

To ensure your new work environment is secure when accessing company systems, data and networks, follow the guidelines below: ■ Modern Operating System – you should use a company-managed workstation or personal device with a supported operating system (OS) ■ Patched Operating Systems – be current on OS upgrades and patches (no more than 30 days since last patch application) for any workstation from which you conduct business ■ Patched Browser – use a vendor-supported and fully patched browser ■ Current and Enable Antivirus – have Antivirus software installed and operational on any workstation.

Remain vigilant while reading emails and messages or web browsing; and be aware of common phishing techniques. Exercise heightened caution while engaging with COVID-19 based content. Stay connected to a VPN Client when working from any laptop or desktop, because additional security protections have been added to prevent malicious attacks. Avoid public network access points (shared Wi-Fi spots like coffee shops) and stay on your home network anytime possible. Confirm in your wireless router or cable modem that your home Wi-Fi is secured with WPA2 or WPA3. Ensure insecure features like UPnP are disabled and default logins to Internet of Things (loT) devices (smart doorbells, wireless cameras, robot vacuums, thermostats, etc.)

FRSA Building Update Lisa Pate, FRSA Executive Director With another month behind us, the construction on the new building is progressing faster than I anticipated. As of now, it looks like our tentative mid-June completion date will become a reality and we’re excited at the prospect of moving in early. Over the last month, six huge air conditioning units have been installed. These are state of the art energy efficient units offering a bit more capacity than we’ll need on a daily basis, but will be necessary once the training center is full. In addition, the pad for the full-building generator has been poured, but installation is delayed as the company that makes the relay switch panel shut down at the beginning of March due to COVID-19. They’re open now and anticipate the end of May for shipping the panel. Once the panel is installed, all electrical will be inspected, and the power company can connect permanent power to the building. After the building has electrical and air conditioning, the drop ceilings and flooring will be installed,

Seminar Updates FRM Staff With the cancellation of FRSA’s Convention, we’ve been busy making sure that all planned seminars are converted to an online format so that contractors are able to take the industry-specific courses needed for their continuing education credit. Scholarships as Trustees Award an At the end of April, the Trustees met again after Unprecedented $30K During an April conference call of the FRSA Educational & Research Foundation, the Trustees discussed the 2020 scholarships that they would soon be scoring and awarding. Specifically, they were talking about the $29,000 that had been budgeted for distribution this year. Last year, $19,000 had been awarded, so the 2020 amount represented a more than 50 percent increase. But the Trustees had decided on the amount well before COVID-19. Now, at the height of the spring stay-at-home mandate, uncertainties about the well-being of the industry and about the wisdom of sticking with the $29,000 amount were on the minds of the Trustees. Trustees found themselves split between reducing the aggressive $29,000 to something more in line with last year – say $20,000 – and the potentially increased need faced by FRSA Foundation scholarship applicants. At the time, Foundation investments were down and, given the circumstances, no one wanted to try to predict how the annual Silent Auction – a major Foundation fundraiser – would turn out, or if there would even be one. Also, ticket sales for the annual $5,000 Foundation raffle, which normally occur at FRSA Affiliate meetings and other faceto-face events were lagging behind normal years as well. As one after another Trustee expressed the mixed emotions they felt about the current situation, a consensus began to take shape that the Foundation needed to do everything possible in the midst of the uncertainty to assist this year’s scholarship recipients. A motion arose to increase the 2020 amount to $30,000; a second and then a unanimous approval soon followed. The Trustees would meet again in a few weeks to discuss which of the applicants should receive a portion of the precedent-setting $30,000 distribution by the FRSA Educational & Research Foundation. The discussion then turned to funding the additional $1,000 just approved. There were a few options available to the Trustees, but after several minutes no decision had been reached. It was then that Gary Register, Register Roofing & Sheet Metal, Jacksonville said that they could stop

As one recipient wrote in her application, “A scholarship will provide me with assistance for rent, food and tuition for school... in three to five years, I’d like to work for a large company that focuses on commercial design.” Speaking for the Trustees, Foundation President Burt Logan, CORE Roofing Systems, Orlando said, “It’s great to be able to offer scholarships to these amazing students. Hats off to the Foundation members and other donors whose generous contributions make good things like this possible.”

PPP Loans Mike Reed, CPA, FRSA Controller and General Manager Note - I hope that what follows is old news to any contractor taking the time to read this article. It is intended to let you know a few of the things we learned at FRSA in the process of applying for and receiving a loan. FRSA recently applied for and was granted a Small Business Administration (SBA) Payroll Protection Program (PPP) loan. The 2020 FRSA Convention and Expo had not yet been cancelled, but the prospects of holding the event looked dim at the time we applied. We felt we had a need for the funds because the income produced by the Convention and Expo on an annual basis makes up a large portion of FRSA’s budgeted revenue. Warning lights started flashing about the possibility of having to refund sponsor and expo payments already made. We learned that although not all banks are approved SBA lenders, many small banks are. The best place to apply for a loan is with a smaller bank that will be more likely to give your application individual attention. FRSA applied for its loan at two banks. While a large national bank that we have been doing business with for many years has yet to consider our application, but a small regional bank that we had to open an account with just to qualify to apply did. Guess which one will be getting more of FRSA’s business in the future. We found that it helps to respond quickly when the bank requests any documentation to process the loan application. When money is released for the PPP, it is a first-come, first-served protocol that rules. If all your paperwork is in order so the bank can upload documentation when funds are released, you have a much better chance of receiving a loan. For contractors that rely heavily on independent contractors (1099 “employees”) there is not much good news in the PPP rules. “Employee” compensation paid to independent contractors cannot be included in calculating the requested amount for a loan, nor will payments made to independent contractors be allowed as a covered item in the use of loan proceeds. Maybe the most important thing we have learned through the PPP process is that there are items that still need clarification from the SBA. One of those items was recently clarified. The SBA has determined that a “safe harbor” exists for all PPP loans with an original principal amount of less than $2 million. The clarification further states that borrower will have been deemed to have made the required certification concerning the necessity of the loan request in good faith. This is good news because it relieves almost all

borrowers from having to certify that they could not get funds elsewhere through conventional borrowing or other sources of business capital. Another late clarification from the SBA is that the amount received from a PPP loan is not taxable income, but neither are the expenses paid with loan proceeds tax deductible expenses. For everyone using the loan amounts for PPP stipulated reasons, this makes the loan a wash for tax purposes. Of course, there are complexities that arise the more complicated a business structure is. Even though the National Bureau of Economic Research has not officially called a recession while they wait for the official GDP numbers, we are in one. There is no doubt about that; the only question is how long will it last? The answer to that is, no one knows. We have never in history had an economy come to a halt in a 30-day time frame. Our economists do not have any prior models to base a recovery plan from.

Protecting Your Business

Make sure all payment terms are clearly outlined in writing and agreed upon with a signature before the commencement of any work. Get Control of Your Accounts Receivable

Invoice daily on any time and material work you do. On contract work, invoice early and project your work completion percentages out for the month. Dedicate energy to collecting those payments as soon as you invoice them. Now is not the time to be shy about asking when you will receive payment. If you do not offer discounts for early payment, consider offering one or two percent discounts for early payments made within ten days. Waiting for your normal thirty-day pay cycle may increase the possibility of a delayed or defaulted payment. If your customer’s payment goes beyond the due date, you must apply pressure on late payers. Remember, it is your money for services you have already performed.

■ Let your customers know that you value their business and understand their situation, but inform them that you must have their payment before you continue to provide services. ■ Follow up with friendly phone calls and email reminders of payments due—never more than once a day. ■ If you are not receiving a positive outcome, a registered letter should be sent to a customer requiring immediate payment arrangements for overdue balances. ■ Try to negotiate installment payments, but do not continue to provide your service until they have caught up on the past due amounts. ■ If they still do not pay, inform them that your attorney or collection agency will be handling their account. ■ If the balance owed to you is significant enough to justify the cost, take them to court. ■ Never be afraid to lose a customer over a late or unpaid bill. They are a customer not worth having. There’s absolutely nothing that will make your business one hundred percent recession-proof. But

S.T.A.R. Award Recipients – Spotlight Trophy for the Advancement of Roofing S.T.A.R. Awards – the Spotlight Trophy for the Advancement of Roofing, is an awards program designed by FRSA to recognize members’ unique and outstanding projects. A panel evaluates the entries for inclusion and outstanding performance in each category. This year there were 48 submissions for placement in one of four categories: Low Slope, Steep Slope, Community Service and Craftsmanship. Three industry judges – Jim Brauner, Brauner Safety Services, Jacksonville, Joe Williams, RRC, AIA, A/R/C Associates Inc., Orlando and Mike Silvers, CPRC, Silvers Systems Inc. and FRSA Technical Director, St. Petersburg spent the better part of a day reviewing the projects. Judging criteria is inclusive of, but not limited to aesthetics, special circumstances, unique project design, complexity of project, workmanship, teamwork, testimonials and creative problem solving. The judges use before, in-progress and completed pictures and videos to assist in the process. Below is a list of the top 12 projects in alphabetical order by company. Next month we’ll announce the winners in each category and highlight the Shining Star Award – the best of the best from project submissions.

Advanced Roofing Inc Riverside Hotel

Low Slope The historical Riverside Hotel is a 12-story, 231-room hotel that has multiple roof levels. Its existing hotmopped modified 43,500-square-foot roofing system was at the end of its life. Advanced Roofing’s crew worked on the hotel’s 13 roof areas, which featured various deck types, so the scope of work differed throughout the entire project. All roof areas received a variation of the Carlisle 60-mil PVC Kee and 60-mil PVC Kee Fleeceback membranes that required applying both Rhino Bond and fully-adhered roof systems. Advanced Roofing is proud to have completed the project on time, within budget and with no safety incidents or disruptions for hotel guests of this historic gem on the Fort Lauderdale skyline.

Todd Braid Project Steep Slope Carroll Bradford Roofing installed a flat profile Boral Plantation concrete tile in Midnight Black to give the Todd Braid project roof new life. They used 70


custom-fabricated copper for all metal accessories, including valley metal, drip edge, bird stop and flat window ledges. The crew also upgraded the copper bird stop to increase copper exposure at the eaves to ensure continuity with the metal. Copper pan sheets were installed under the garage window, as well as another window on the south side of the home. Instead of two sheets seam-sealed together, they were custom made to be one continuous sheet to provide a more waterproof and aesthetically appealing solution. With the slopes ranging from 7/12 to 10/12 and even areas of 12/12, the job required specialty roof loading equipment, safety harnesses and extra property protection.

First Church of Christ Scientist Steep Slope The new roof on the First Church of Christ Scientist had to meet the exact requirements of the original roof, installed in 1931, in color, style and type of tile to become a historical landmark. With the help of Mike Anusbigian and Ludowici, the team from Complete Roofing Solutions were able to reproduce the original roof tile that was used 89 years ago. This was a labor-intensive job with only one access point. With the expertise of their team, they were able to complete this project on time and within budget. This project also was nominated for an award with the City of West Palm Beach’s historical department of development.

Wallwood Scout Reservation Volunteer Re-Roof Community Service The most important component of this volunteer project was unquestionably the people who donated their time, energy, resources and trade knowledge to help make this re-roof a success. The project was unique because re-roof involved contractors and distributors who are competitors in the business world, but during this volunteer operation, worked together to establish coordination, team mentality and joint collaboration. The results were overwhelming. Challenges on the project included the

size of the overall scope of work (three buildings), the many phases of construction and the logistics needed to schedule and equip the various contractors.

The Current, An Autograph Collection Low Slope The Current, An Autograph Collection, consisted of a GAF 60 Mil Fleeceback TPO adhered to the light weight insulated concrete deck and included a Siplast roof with a Guardian Paver system at the pool bar and upper deck. Martin Roofing Services fabricated all copings and trims in their shop. Space near the jobsite was tight, so the crew had to park over a mile away; someone would walk back and forth to get the trucks. The main garage was built sooner than they expected, which caused the crew to expedite some of the roofing areas in order to get a crane in to load the roofs that wouldn’t be accessible once the garage was built. Many of the roof areas were small and on the ocean side with poor access to those areas.

UF Griffin Floyd Hall Craftsmanship Historical University of Florida GriffinFloyd Hall was built in 1912 and still had the original 107-year-old Ludowici tiles on the building, as well as a modified bitumen flat roof section that were both showing signs of wear. The university needed the original tiles removed, restored and reinstalled and needed the flat roof section replaced with a new Siplast modified roof, all while ensuring the project complied with local historical regulation codes. Perry Roofing Contractors completed this project despite overcoming challenges related to the 14/12 pitch, installing new internal pole gutters and preserving original architectural metal. The iconic UF hall now has improved functionality, while preserving the historical nature of the building.

The project was unique in that it was the first major charitable project performed by this affiliate in over 20-plus years. The biggest challenge was to coordinate the laborers, supplies and vendors to accomplish the removal and replacement of the roof in a day’s time.

Jaleo at Disney Springs Craftsmanship The Jaleo project at Disney Springs was a skill-intensive project that required offsite fabrication of custom components that were field measured and delivered nightly for installation on third shift. The distinctive metal panels were shipped to the project and curved on site to conform to the multiple radii of the unique roof petals. Final placement of the panels required precise logistics to hoist them through the gaps in the petals for installation.

FSU Earth Ocean and Atmospheric Sciences Building Craftsmanship The FSU Earth Ocean and Atmospheric Sciences Building was a new construction project designed to match historical buildings on the Florida State University campus. Steep roof pitches of 6/12, 8/12 and 12/12 were a part of the project. These steep-slope roof areas were roofed with a Ludowici clay roof tile three-color blend, which required hand sorting and blending of the tile colors. NEFRSA Plants “Boots on the Roof”

Running on a referral by FRSA, the NEFRSA participated in their “Boots on the Roof” program by lending aid and assistance to an armed forces member, Kyle & Ann Johnson of Jacksonville and his young family. NEFRSA’s Charity Committee members, Todd Brown and Ralph DeCicco, were the first to respond and generated the information on the home – pictures of the roof, type, pitch, size, missing and cracked shingles for the Board and membership to make the decision to participate. The Board performed due diligence by reviewing the information gathered and receiving three proposals to review. They ultimately chose the one by Stonebridge Construction Services,

led by Director Shane Dickens, based on cost and rapid scheduling. The Johnsons, who had been in their home less than two years, had been “misled” by a home inspector who rated the roof as having 5 to 8 years of life among other misinformation. Facing cancellation of their homeowner’s insurance due to the roof’s condition and possibly losing their home, they appealed to FRSA. Kyle, who received a back injury in Kuwait while deployed there, is still active and serves as a non-combatant in the Florida National Guard. The Johnsons were pleased (thrilled in their words) with the actions and expressed their gratitude to the FRSA, NEFRSA and the fine people and craftsmen at Stonebridge.

NRCA recently provided a list of manufacturers, distributors and contractors doing good for their communities. We wanted to share it with you. “Sherwin Williams, Beacon Building Products and Tecta America donated thousands of N-95 masks to healthcare workers who needed them. Antis Roofing, Irvine, Calif., organized its first blood drive for the American Red Cross to help offset blood bank shortages stemming from shelter-in-place orders and worked with Second Harvest food pantries to get food to those in need. Duro-Last Roofing converted one of its manufacturing lines to begin producing gowns and masks for hospitals. Owens Corning made grants to hospitals, food pantries and homeless shelters across the globe. Tropical Roofing Products went local, organizing a fundraising campaign for Feeding South Florida, a food bank that’s able to put 98 percent of all its donations directly back into the community. There are no doubt dozens of additional stories of local contractors and companies serving their communities during this challenging time. Thanks for all you do!”
