Letisha Azizah is a disabled Marine Corps veteran who has lived in Rochdale Village Inc. for six years. In 2021, she was elected as a Rochdale Village board of director. In her tenure as a board member, she was Chair of Orientation Committee, Commercial Services Committee, and Treasurer. She contributed to several important changes during her term:

1. Implemented anew policies to make check signing process more efficient.

2. Voted FOR the board to review new management companies

3. Voted FOR hiring new legal firm

4. Voted FOR term limits for board members

5. Voted FOR recognizing House Congress as a tenant association

After her first term, she took a break for a year but she is running this year to advocate for our cooperative again. When she was on the board,

she advocated for transparency, holding contractors accountable, and giving reviews to our property management company. Letisha has over 15 years’ experience in Commercial and Industrial Real Estate. Her skill set will give our corporation an advantage dealing with commercial tenants, budgets, communication, and various systems.

Using social media, she created the Decoration Facebook page which has hundreds of followers from our community. The pages allow cooperators to share pictures of their decorative apartment designs. With so much frustration about maintenance, public safety and poor communication, Letisha gave cooperators a safe space to communicate and promote positivity.

Letisha is amiable with a great spirit, but she also is driven with focus and determination. As a former board member, she understands the issues and the process. With the carrying charge increases, she will fight to keep Rochdale Village affordable. If she is re-elected, she will always put shareholders first because she loves the Jewel of Jamaica.

Clifton Stanley Diaz is the former Chairman of the Rochdale Village Board of Directors, a former Chairperson for the Public Safety, Maintenance And Orientation Committees. As former chairperson of the Public Safety Committee he spearheaded the National Night Out event where he honored the public safety officers, recognizing them for their exceptional work throughout the years. He worked closely with the 113th Precinct officers on matters for Rochdale Village to ensure safety within the community. Mr. Diaz was able to obtain approval for NYPD type police vehicles purchasing all current and past vehicles, purchase of bullet proof vests for our RV Safety officers and was able to obtain a critically needed Physical Security Survey for the Powerplant. Mr. Diaz has an unmatched record of getting things done for Rochdale Village through his large network of associations.

Mr. Diaz is a former member of the Community Board 12 serving as chairperson for the Public Safety Committee. He is currently a delegate for the Judicial Democrat Organization which selects new judges as those currently serving reach their maximum age limit. He is also the President of the Rochdale Village Civic Association.

Mr. Diaz serves as a member of the USPS Advisory Committee. When

our mail was being stolen from our apartment doors and was being delivered late, he put a stop to it by leading the fight to correct this. He was able to get 40 New Free U.S. Postal Parcel Locker Boxes installed in all 20 buildings valued at over a Million dollars! Lastly, he was able to get New NYC Park Night Lights installed (between building 3 and 4) behind I.S. 72. On another note, Diaz always has time to listen to cooperators’ issues and help when they need assistance.

He is seeking election for the Rochdale Village Board of Directors, to continue the good work that he started when he was a board member. The love for his community, dedication, and being a long-time cooperator is what compels Mr. Diaz to continue to serve the Rochdale Village Community. He wants to ensure the laundry rooms have machines that provide efficient services to all of us. He will work with others for the completion of the buildings, facades and convectors. For years Rochdale has remained affordable, he would like to make sure that our carrying charges are stabilized through effective management and partnership with elected officials. He is committed to helping our public safety officer to be trained to become special patrol officers. He continues to stay consistent serving with all his experience, abilities and professionalism.

Mr. Diaz’s goals are to continue to work hard to keep Rochdale Village a beautiful place in which to live and work, to fight to keep Rochdale Village affordable and to maintain the quality of life for all cooperators.

I have been a proud resident of Rochdale Village for the past 25 years, witnessing both Its challenges and its remarkable potential. I believe it is time to rekindle the sense of unity and shared purpose that once defined our community.

Professional Experience

My career of 38 years has always been rooted in service to Rochdale Village. I began in the Rochdale Village Public Safety Department, where I served for 3 yrs 6 months and progressed from Patrolman to Special Patrolman, working diligently to protect and support our residents.

My hands-on experience expanded into building maintenance. I worked as a porter my first year and advanced to handyman where I developed practical skills that contributed to the safety and upkeep of our facilities. My total years of service with maintenance was 7 years and 6 months.

Later, I worked at the Rochdale Village Power Plant for 27 years. My first 6 years I worked as an operator (boiler man) and then advanced to a mechanic until retirement. I also represented workers as the shop steward. My responsibilities included:

• Performing preventive maintenance on critical infrastructure

• Troubleshooting and repairing complex mechanical systems

• Overseeing daily operations and ensuring strict safety compliance

• Maintaining detailed documentation and collaborating with engineers and operators for seamless plant performance

Community Involvement

My dedication extends beyond my professional contributions. I cofounded and coached the Davis-Johnson Basketball Tournament to foster youth engagement and teamwork. I Also taught Shoto Khan Karate which develops discipline, focus, and mental clarity.

Vision as a Board Candidate

As a candidate for the Board of Directors, I bring hands-on experience, institutional Knowledge, and a commitment to transparency and responsible management- especially In this time of financial uncertainty. My priorities include:

As a proud shareholder committed to the continued growth and stability of Rochdale Village Inc., I bring over 15 years of professional experience in financial management, compliance, and governance across the private, city, and federal sectors.

I am committed to keeping Rochdale affordable.

I hold a bachelor’s degree in accounting from Hampton University and a Master’s in Public Administration, with a concentration in Forensic Accounting, from John Jay College of Criminal Justice. My background has equipped me with a strong foundation in financial oversight, budgeting, risk assessment, and accountability—skills that directly align with the responsibilities of a board member.

I am no stranger to serving the community of Rochdale. I am currently a board member and Treasurer of Rochdale Village Social Services. I assist the Comptroller in managing finances for RVSS which requires making choices that directly affect programs for residents.

I am a proud and active member of the Queens Alumnae Chapter of Delta Sigma Theta Sorority Incorporated. As a member of this community-based organization, our mission is committed to empowering communities and improving lives through established programs in areas of economic development, educational development, political awareness

and involvement, International Awareness and Involvement. and Physical and Mental health. I am a part of the chapter’s Internal Audit team, where I assist the Chair in the review of quarterly audits of the chapters' financial records, reviewing compliance with national policies and local procedures, and ensuring proper handling of finances and internal controls.

A Rochdale Village Board Member must act as a fiduciary steward, ensuring the cooperative’s finances are transparent, responsibly managed, and in the best interests of all shareholders. It also requires collaboration, integrity, and strategic decision- making to safeguard the community’s assets while promoting its long-term sustainability for years to come.

My name is Eugen “Nunu” Evans, and I have been a proud resident of the Rochdale Village community for over 50 years. During this time, I have raised my family here, and today my children are successful professionals--a testament to the strength of our community.

I am a retired City of New York employee with 20 years of dedicated service. My Education began at the United Nations International School and continued at Long Island University, where I attended on a football scholarship. I also had the privilege of playing professionally in Europe.

In 1979, my family founded Nunu Car Service, which has proudly served Rochdale Village and the surrounding neighborhoods for 46

years (www.nunucarservice.com). In addition, I established the Southeast Queens Kid Wrestling Association (SEQKWA) in 2007, a youth program still thriving today in Room 10 of the Rochdale Village Community Center (www.seqkwa.com).

From 2015 to 2017, I served as President of the Rochdale Village House Congress Organization. These experiences, along with my business background and deep understanding of our community’s history have prepared me to contribute meaningfully to the continued growth and financial stability of Rochdale Village, Inc.

For the past 3 years, I have served on the Rochdale Village Board of Directors as the Chairperson, efficiently leading our monthly board meetings with professionalism, and respect.

I have a Doctorate in Education, a Master’s Degree in Public Health, a Bachelor’s degree in Health Education, and I’m a Registered Parliamentarian (RP). I am a Higher Education Administrator with over 20 years of experience managing education programs and funding for private, government, academic, and community-based organizations. I am currently a member of the Jamaica Branch of the National Association for the Advancement of Colored People (NAACP), Sigma Gamma Rho Sorority, Incorporated, and the National Association of Parliamentarians.

As a member of the Board, I promise to continue providing respect to our cooperators and work with other members of the Board, along

with other shareholders and management, to find satisfactory solutions to some of our problems. During my tenure as a Board Member, I have supported efforts to resolve some of our most pressing matters:

My name is Jean RandolphCastro. For over 40 years, I have proudly called Rochdale Village my home. As a current Board Member and former Board President for 10 years, I have worked tirelessly to ensure our cooperative remains a safe, affordable, and high-quality housing environment for our 28,000 residents.

A mother, grandmother, and great-grandmother, I bring the values of family, Community and responsibility to everything I do.

My commitment to public service began with a 30+ year career at the NYC Department of Social Services, providing distinguished service where I served in multiple departments Administration of Children’s Services (ACS) Family Preservation Program (FPP), General Social Services (GSS), and more providing essential support to families and children in need. I retired in 2002 as a regional office manager/supervisor at the Family Preservation Program. At FPP I served as office manager/supervisor for the region in which she worked. I also received a H.C. Doctorate Degree from Christ is the Answer University with a Major in Religious Theology. I am a member of the Greater Springfield Community Church (GSCC), serving on the Usher Ministry.

I hold a Liberal Arts degree in Sociology from the College of New Rochelle, a Nursing Certificate from Metropolitan School of Nursing, and a RAM certificate in apartment management from National Associated Builders and Owners (NABO). These qualifications have helped me contribute meaningfully to the growth and care of our community.

I am an activist in the truest sense of the world, inside out. I serve as a Judicial Delegate for the County of Queens. I can be counted on to work tirelessly in efforts to protect my community from harm, injustice and exploitation. I’ve have been a fierce advocate with involvement in DC37 in efforts to obtain fair wages, safe working environments and community protection for municipal workers. I have been in the forefront of protest to prevent building of a sleezy hot sheet motel in

proximity of a public school. And when large corporations and government endorsed entities setup shop to rake in huge profits from valuable community resources, I am among the first to ask, “Where is the community’s fair share of return in the form of jobs, education and general improvement projects?” I recognize the importance of volunteer work, especially in a time of need. I headed a clothing and food drive to help victims of Hurricane Sandy in the Rockaways. I did the same thing in 2005 for victims of Katrina in New Orleans, renting a truck and driving a load filled with goods and supplies to a local drop- off location for the trip south.

I currently the Vice President of the Southeast Queens Chambers of Commerce, and the Chairperson of the Community Board 12 Senior Citizens Committee. I am the Chairperson of the Community Relations Committee, and Co-Chair of the Rochdale Village Senior Citizens Committee. I am also the founder and Chairperson of the Cancer Support Group. I formally served as Vice-president on the Rochdale Village Social Service/NORC Board that services the needs of a growing elderly population that seeks to maintain its independence with aging in their own homes. I previously served as President and Vice President of the cooperative’s House Congress. I am also a former Treasurer of the Rochdale Village Board of Directors and former President of the PTA Board for the Queens Preparatory Academy in Springfield Gardens where she was very instrumental in ensuring the students received the Proper education. For several years, I was also a volunteer auxiliary Police Officer at the 113th Precinct. I am a Daughter ELK Majestic Temple 1395 Queens, as well as a longtime member of the Fred Wilson Democratic club located in Rochdale Village.

My most recent recognition was the City Citation from Council Member Nantasha Williams and the Award of Excellence from iRock Charities.

I am seeking re-election because Rochdale Village is not just where I live, it’s where I lead, serve, and strive to make a difference. I remain committed to enhancing the quality of life for all residents, especially our seniors, youth, and working families.

My family and I have lived in Rochdale Village for over 26 years. As a single mother, I understand that many shareholders will be devastated by the huge carrying charge increase. I’m running as a candidate for the Board of Directors to ensure affordability, transparency, fairness, and accountability.

As a Benefit Administrator Liaison, I advocate for fairness, resolve concerns, and ensure members receive the resources and the benefits they work for and deserve. As a Union Shop Steward, I negotiate contracts, resolve disputes, and protect employees’ rights.

Previously, I worked as a Revenue Agent for the Internal Revenue Service (IRS) which gave me a deep understanding of financial account-

ability, and the importance of fiscal responsibility. These experiences have taught me how to navigate complex issues, listen to diverse perspectives, and find solutions that serve the greater good.

As a community advocate in this community, I’ve been writing letters to our elected officials, attending various community meetings, getting cooperators to sign petitions, and mobilizing cooperators on social media. I’m a leader and I love my community. And I will always be involved in making a difference.

As a Board Member, I will bring the same dedication and motivation ensuring that decisions are made with integrity, funds are managed wisely, and that every shareholder’s voice is heard.

As Rochdale Village faces difficult financial decisions, including the proposed carrying charge increase, Mr. Shareef brings seasoned financial leadership when it’s needed most. As a financial executive with 35+ years of experience, he has served as Chief Financial Officer, Director of Finance, and Controller for nonprofit and for-profit organizations across New York City, managing budgets ranging from $2M to $50M while consistently delivering cost savings and maintaining operational excellence.

Mr. Shareef holds a Bachelor of Science Degree in Accounting and a Master of Business Administration Degree in Management. Throughout his career, he has championed financial accountability and organizational transparency--principles that directly align with cooperative governance.

Proven Community Leadership

Mr. Shareef’s commitment to Rochdale Village runs deep. He previously served on the Budget and Finance Committee and as a Board of Directors member, where he held the position of Treasurer. His financial stewardship helped guide the community through previous challenging periods.

Beyond financial governance, Mr. Shareef has been a catalyst for positive community change

• Co-founded Black Men Against Drugs (B-MAD) in 1988, responding to rising drug activity by creating positive programs that redirected youth energy toward martial arts, sports, and fitness activities, serving over 200 young people

• Established the Shareef Martial Arts Academy as Sensei, directly mentoring both youth and adults in discipline, health and self-respect

• Launched Rochdale Village’s first major free Tai Chi program in partnership with the Senior Center and Community Center, hosting annual World Tai Ci Day events that bring the entire community together

Mr. Shareef will bring to the Board a knowledge-based drive to preserve Rochdale Village’s affordability while protecting the shareholder’s quality of life, even during challenging financial times. Mr. Shareef is ready to tackle the tough decisions ahead--from budget constraints to infrastructure needs--with the same hands-on approach that has defined his decades of service to Rochdale Village.

My name is Alfred E. Smith, and since June 17, 1976, I have enjoyed forty-nine years of affordable housing that Rochdale Village, Inc. has offered its shareholders; however, affordable housing is abruptly coming to an end. In early 2025, the Rochdale Village Board of Directors informed shareholders that Rochdale Village owes $13 million to the NYC Water Board and $8.7 million to other vendors, totaling $21.7 million. A 29% carrying charges increase was suggested to address these arrears. Furthermore, Rochdale Village is facing $26.5 million budget shortfall for the fiscal years 2026 and 2027 as then an increase of 20.3% would be needed to cover the said budget deficit. Summit Property Management Services, Inc. oAered three options: (1) A HPD 30 year loan of $20 million at a 3% interest to include a 22.3% carrying charge increase in the fiscal year 2026 and a 4.5% carrying charge increase in the fiscal year 2027; (2) Refinance the existing Wells Fargo loan of $195 million with an FHA loan of $339 million at 5.7% interest for 35 years of which would also include a $20 million HPD loan at 3% interest for 30 years. Carrying Charges would increase to 34.7% in the fiscal year 2026 and 5% in the fiscal year 2027; and (3) Refinance the existing Wells Fargo of $195 million with an FHA loan of $278 million that would include full payment of all vendor arrears and provide approximately $60 million for capital work. Carrying charges would increase 29% in the fiscal year 2026 and 5% in the fiscal year 2027. While COVID19 and inflation are the explanation given for financial crisis we shareholders are now facing, I feel that the Board of Directors has failed the shareholders of Rochdale Village. My carrying charges can increase by as much as $388.42. Many seniors who on fixed income can become homeless for reasons beyond their control. Who should be held accountable?

The Board of Directors have served Rochdale Village for far too many years without illustrating any innovative ideas or vision of prosperity.

They have facilitated loans in the amount of $80 million, $130 million, and $195 million. The preceding loans were liquidated upon receiving the succeeding loans wherein the $80 million loan was paid with the proceeds of the $130 million loan as the $130 million loan was paid with the proceeds of the $195 million loan. Thus, it is evident that if Rochdale Village receives the proposed loan of $339 million, the proceeds of the $339 million loan would liquidate the $195 million loan. You want to ask the question: What was the $195 million used for and how much is still owed?

On July 21, 2025, a “Funding Announcement” was schedule to take place wherein NYS Assembly Speaker Carl E. Heastie and NYC Assembly Member Vivian E. Cook addressed the Rochdale Village shareholders to announce an award of $5 million and $25 million grant received from NYS Assembly; thus, a total of $30 million would be allocated to assist Rochdale Village with its financial crisis. Both parties received my support, but they did not address how Rochdale Village entered into current financial crisis or how $30 million will be allocated. The Board of Directors and Summit Property Management Services should be held accountable for the financial crisis Rochdale Village is facing – not shareholders.

In years past, the Board of Directors implemented loans rather than increasing carrying charges. As this was a good idea, it became a bad idea when the reason for the loans was not being achieved. Gentrification, the process by which Rochdale Village’s character will be changes by wealthier people moving into Rochdale Village whose sole purpose is to displace the current shareholders as they use their financial resources to seize neighborhood business only to inflate the cost of household necessities as they then become Board of Directors who are willing to increase the carrying charges they are able to pay that current shareholders are unable to afford; thus, Rochdale Village will cease to exist as we know it.

Upon being elected, I plan to bring forth fresh ideas to the Rochdale Village Board of Directors, focusing on investing in current properties to generate essential capital as borrowing capital and/or increasing carrying charges creates more concerns than it resolves.

ReV. dR. nikka Williams-sTenson #7

Rev. Dr. Nikka Williams – Stenson, (Hutcherson) LMSW, loves her community and desires to see it thrive and be a comforting source of life to all who reside here. Dr. Nikka Williams Stenson stands with the Rochdale community. Her slogan is: “For the people, with the people…of Rochdale”

Dr. Williams-Stenson is a member of Christ Pentecostal Temple, Inc. where Bishop Dr. Derrick Farmer, is the Senior Pastor. In 2023 she was elevated to serve as one of the Assistant Pastors. Under Bishop Farmer’s practical teaching and life changing preaching, he continues to instill the principals of God in her life.

Dr. Williams-Stenson completed her professional studies for a Bachelor of Science degree On criminal justice from St. John’s University and a master’s degree in social work from Stony Brook University, graduating cum laude. In the summer of 2023, Dr. Williams-Stenson successfully

defended her dissertation and earned her Ph. D in Organizational Leadership from Columbia International University. Dr. Williams-Stenson has launched Go, Grow & Glow, LLC, a faith-based counseling, and life coaching practice.

In 2017, Dr. Williams-Stenson was inducted into Alpha Nu Omega, Inc., in which she served as the Vice President of the New York Alumni Chapter on the executive board. In March 2018, which is known as National Women’s History Month, Dr. Williams-Stenson Was honored by Beautiful Men & Women’s Magazine as a phenomenal woman in her community. In July of 2018, Nikka was certified as a life through John Maxwell Team School of Life Coaching. In 2025, Dr. Williams-Stenson was invited to join the Jamaica hospital psychiatric team as one of their premier psychotherapists, holding her license in Social work, LMSW. Dr. Williams-Stenson provides therapeutic services for those who need mental health peace.

Within the Rochdale community, Dr. Williams-Stenson has served on the social service board for more than five years. Dr. Williams-Stenson has also been a part of community campaigns such as Black Lives Matter, distributing mask to the community During COVID virus pandemic, and offering and leading prayer during community events. many. It has been affordable and has provided necessary services, all while being a place of home and community to many. Dr. WilliamsStenson intends to help Rochdale grow to a thriving community, while remaining home to many. It is also her desire to provide life-transforming initiatives for the middle-aged of Rochdale, the forgotten population. Dr. Williams-Stenson intends to get this done by pulling on her past experiences of running church boards as well as secular boards, advocating before city officials, using her intellectual prowess. Dr. Williams-Stenson is excited to help Rochdale go to the next level. It is Dr.

Williams-Stenson’s heart’s desire to see Rochdale remain the jewel that it is. Her slogan, For the people, With the people… of Rochdale, speaks volumes to where she desires to throw her weight and power. My name is Robert Wright Jr, and I have been a proud resident of the Rochdale Village community for over 8 years. During this time, I moved my parents to live with me so I could take care of them.

I attended Shaw University in Raleigh, N.C. and served in the United States Air Force for six years. I have worked in the hu-

man Resources and Accounting for over 20 Years.

I ran for the Board in 2020 but did not give my 100 percent due to my mother had Dementia and I was her caregiver. Both parents have passed away and my mother loved, Rochdale and that it is why I will be committed to ensure this community stays strong, secure and safe. I humbly ask for your support and your vote for our Team -- the United Shareholders.

1) The 2025 Election for Directors of Rochdale Village, Inc., will take place during the Stockholders meeting on Tuesday, October 7, 2025.

The Stockholders meeting of Tuesday, October 7, 2025, will be held as a hybrid meeting in person and/or via Zoom conference or other acceptable platform to start at 8 pm. The Stockholders meeting will then recess and continue at the voting places between 6:00 a.m. and 9:00 p.m. on Wednesday, October 8, 2025, for the election of the Directors and By Law changes. All approved By Law Amendments will be available for review at the Stockholders Meeting with the name of the submitter. Up to date By Laws will be published in the August Rochdale Bulletin.

2) The election will be for five (5) Board of Director positions. The top five (5) candidates who receive the highest amount of votes will serve three (3) year terms ending October 2028, and until their successors are elected. Should there be another vacancy on the Board prior to August 30, 2025, then the person receiving the 6th highest vote total shall serve out the term of the vacant seat.

3) Voting will take place in Community Rooms in the following groups:

the Absentee ballot and machine ballot will include names of all nominees. Only the ballot prepared by the Election Company (no reproductions will be allowed) can be used and they will have return envelopes back to the Election Company and must be received by 10:00 a.m. on Tuesday, October 7, 2025, to be accepted. To be eligible to vote in person or obtain an absentee ballot, the voter must show identification such as a driver's license, Medicare card or other acceptable photo ID.

8a) Absentee ballots can be picked up from the management office or requested to be delivered to the cooperator’s residence with verification of acceptable photo ID.

9) BY LAW AMENDMENTS: Proposed By Law Amendments must be submitted by personal delivery to the Management office (no mail) no later than 5:00 p.m., Monday, August 18, 2025. No By-Law Amendments will be accepted after that time and date. The Election Committee and Counsel will review all By Law Amendments for form and legal content and may recommend changes to the submitter. If changes are accepted by submitter, then the proposed By Law will be reviewed as changed by the Election Committee and then the Board. If the submitter does not accept the recommended changes, then the By Law Amendment will be reviewed "as is". The submitter is not bound to accept any recommendations. No changes for any reason may be made after 7:00 p.m. on Wednesday, August 27, 2025. The final determination of whether a proposed By Law Amendment appears on the ballot will be recommended by the Election Committee and decided by the Board of Directors.

If no quorum is reached, then the Election Committee may extend the Election that evening or extend the Election to Thursday, October 9, 2025, between the hours of 3 p.m. and 9 p.m., or take any other action they may deem appropriate. If there is still no quorum, then existing Directors will continue in the positions until the next Annual Meeting and until their successors are elected.

4) There will be one (1) vote per apartment by residents who are stockholders on Friday, August 1, 2025. Attendance for quorum purposes shall include personal appearance, attendance proxy or voting.

5) The election will be supervised by an independent Election Company.

6) Candidates must be Stockholders of record on Friday, August 1, 2025, and their primary residence must be Rochdale Village, Inc. Both being Stockholders and primary residence in Rochdale Village must continue for their entire term in order to continue serving as Directors.

7) No person shall be eligible to be elected a Director of Rochdale Village, Inc. who at the time of his or her nomination is delinquent or in arrears in the payment of carrying charges greater than the equivalent of two months of that person’s monthly maintenance or if he or she has ever been removed for the Board.

8) VOTING: Voting for candidates for the Board will be by Absentee Ballots requested by a cooperator and by machine ballot prepared by the Election Company, or as provided in paragraph 13. Both

10) NOMINATIONS: Nomination forms will be available at the Management Office from Friday, August 8, 2025, to Wednesday, August 27, 2025. All persons shall be nominated by two (2) cooperators. Nominations and biographies for candidates must be personally delivered (no mail) only to the Management Office by 5:00 p.m. Wednesday August 27, 2025. Biographies shall be limited to 500 words. No additional nominations for candidates to the Board of Directors will be accepted after 5:00 p.m. on Wednesday August 27, 2025. Therefore, it is imperative that all potential candidates for the Board deliver their nominations and biographies to the Management Office only and receive confirmation of receipt by 5:00 p.m. Wednesday August 27, 2025. Mailed nominations or dropped off nominations other than at the Management Office will be disregarded. Withdrawal of candidates will only be accepted until 12:00 noon Thursday September 4, 2025. Attempts will be made to remove the name of the Candidate withdrawing, but the final decision of how to handle this will be up to the Election Committee with the advice of Legal Counsel. After that time, all nominated candidates must remain on the ballot except for death of the candidate. Biographies will be distributed by Management in the Special Election Edition of the Bulletin on or about Friday, September 5, 2025. Each candidate must receive official notice of receipt of his or her Declaration of Candidacy by Management and follow the procedures outlined by the duly appointed Election Committee.

11) ELECTION COMMITTEE: The Election Committee will handle the drawing for positions on the ballot for all groups in the Management Conference Room, located in the Management Office at 8:00 p.m. on Wednesday August 27, 2025. Any candidate unable

to attend can send a representative with written authorization to draw for him or her. If a candidate does not appear personally or through a representative, his or her position will be selected last. The Election Committee will have full authority over compliance with the rules of the election and the By-Laws of the Corporation as they pertain to the election, with the advice of General Counsel.

12) NOTICE OF ANNUAL MEETING AND ATTENDANCE BY PROXY: The Election Company will mail to each stockholder (one per apartment) on or about Thursday, August 21, 2025, the Notice of Annual Meeting and Attendance Proxy. The Attendance Proxy shall be made available by the election company the same day. The attendance proxy shall be returned directly to the Election Company up to 10:00 a.m. on Tuesday, October 7, 2025. It shall designate the Secretary of the Corporation to attend, for the sole purpose of establishing a quorum*. *Notwithstanding the Attendance by Proxy, a shareholder should vote either by a timely submitted Absentee Ballot or in person on Wednesday, October 8, 2025, but will not be counted twice towards a quorum. All proxies and/or Absentee Ballots must be enclosed in the envelope provided for that purpose and the envelope must be signed by the person attending by proxy and contain the Building and Apartment Number.

13) ABSENTEE VOTING: Absentee Ballots will be numbered and may not be reproduced. Absentee Ballots will contain the names of all nominees and proposed By Law changes. Absentee ballots will be available starting September 5, 2025, and may be picked up at the Management office or hand delivered ti a cooperator’s residence upon request. The voter must show photo identification such as driver’s license, Medicare card or other acceptable photo ID. All such ballots must be received in the office of the Election Company by mail or in person before 10:00 a.m. on Tuesday, October 7, 2025. All Absentee Ballots must be enclosed in the envelope provided for that purpose and the envelope must be signed by the person voting by Absentee Ballot and contain the Building and Apartment Number. Absentee Ballots may be revoked any time up to the close of the balloting by the person voting by machine.

14) CANDIDATES NIGHT: will be Thursday, September 11, 2025, at 8:00 p.m. as a hybrid meeting in person and/or via Zoom meeting or other acceptable platform. The Election Committee will determine the format for Candidates Night and will assign people as deemed necessary to assist in Candidates Night.

15) CANDIDATES & GROUPS SPONSORING CANDIDATES: may use the building bulletin boards for campaign literature commencing Thursday August 27, 2025, and ending Tuesday, October 7, 2025, provided that prior to posting of any campaign literature, copies of same are submitted to the Management Office and notice given as to which bulletin board will be used. Building Community Rooms may be used for campaigning and fundraising activities. The Election Committee shall coordinate the use of the Building Community Rooms with the person(s) in charge of the Community Rooms so that they will be made available to the respective candidates.

Candidates for election to the Board of Directors may purchase advertising space in the Rochdale Village Bulletin and/or Rochdale Village Weekly Sheet.

No Officers of the Corporation, Board Members or candidates may appear in the Bulletin or the weekly sheets from Thursday, August 28, 2025, through Tuesday, October 7, 2025, excluding any reports they may issue as Officers and the minutes of the Corporation, except for the Special Election Edition and ads they may purchase in the normal course of business.

16) CAMPAIGN STANDARD OF CONDUCT: TThe posting of all campaign signs, literature and other material (posters, gummed stickers, etc.), in Rochdale is prohibited except on personal property with the owner’s permission.

Residents, candidates and their supporters may remove any campaign material posted OUTSIDE the bulletin boards as a service to Rochdale Village. Candidates and groups sponsoring candidates are prohibited from removing opposing candidates/groups literature from bulletin boards.

17) All authorized literature used or distributed by a candidate must have printed on the literature the name and address of the person or organization who issued such literature and in the case of an organization, the name of the Chairperson or President.

18) Campaign literature may be slipped under apartment doors and campaign handouts are permitted.

19) Board Members or candidates are not to be POLL WATCHERS.

20) No candidate or group sponsoring a candidate shall engage in electioneering or other campaign activities within 50 feet of the polling places on Election Day Wednesday, October 8, 2025, between the hours of 6:00 a.m. and 9:00 p.m. or the second day of voting Thursday, October 9, 2025, between the hours of 3:00 p.m. and 9:00 p.m. Any electioneering and/or harassment of voters may result in appropriate action by the Election Committee.

21) An election bulletin will be published as soon as practical but no later than two (2) Fridays before the election. The Bulletin Editor shall only accept an election bulletin package from the Manager’s Secretary. The bulletin shall contain a sample ballot with the names of the candidates, the day, date, time and place of the balloting; the names, photos and biographies limited to 500 words of each candidate in alphabetical order; (all photos shall be no larger than (2"x 2"); By Law Amendments, and if space allows, a quote of the previous By-Law which is being changed.

22) This memorandum shall be distributed to all apartments between Wednesday, August 6th and Saturday, August 9th and shall constitute notice to remind cooperators of the Monday, August 18 deadline for By Law Amendments and Wednesday, August 27 deadline for nomination of candidates. The Election Committee may also put out additional notices to the Cooperators, as it deems necessary.

23) ELECTION RESULTS: Unofficial election results will be announced by the Election Company, if a quorum is reached, within approximately one to two hours after the close of the polls, in Rooms 12/13 of the Community Center or such other location as determined by the Election Committee. If there is no quorum, the Election Committee will provide further instructions.
