4.BrokerObligations:BrokeragreestomakediligentandcontinuedeffortstosellthePropertyinaccordancewith

5.MultipleListingService:PlacingthePropertyinamultiplelistingservice(the“MLS”)isbeneficialtoSeller 41 becausethePropertywillbeexposedtoalargenumberofpotentialbuyers.AsaMLSparticipant,Brokeris 42 43obligatedtoenterthePropertyintotheMLSwithinone(1)businessdayofmarketingthePropertytothepublic 44(seeParagraph6(a))orasnecessarytocomplywithlocalMLSrule(s).Thislistingwillbepublishedaccordinglyin theMLSunlessSellerdirectsBrokerotherwiseinwriting.(Seeparagraph6(b)(i)).SellerauthorizesBrokerto 45 46reporttotheMLSthislistinginformationandprice,terms,andfinancinginformationonanyresultingsaleforuse byauthorizedBoard/AssociationmembersandMLSparticipantsandsubscribersunlessSellerdirectsBroker 47 48otherwiseinwriting.

7.SellerObligations:InconsiderationofBroker’sobligations,Selleragreesto:

(a)CooperatewithBrokerincarryingoutthepurposeofthisAgreement,includingreferringimmediatelyto

BrokerallinquiriesregardingtheProperty’stransfer,whetherbypurchaseoranyothermeansoftransfer.

(b)RecognizeBrokermaybesubjecttoadditionalMLSobligationsandpotentialpenaltiesforfailuretocomply

(c)ProvideBrokerwithkeystothePropertyandmakethePropertyavailableforBrokertoshowduring

90reasonabletimes.

(d)InformBrokerbeforeleasing,mortgaging,orotherwiseencumberingtheProperty.

(e)IndemnifyBrokerandholdBrokerharmlessfromlosses,damages,costs,andexpensesofanynature,

includingattorney’sfees,andfromliabilitytoanyperson,thatBrokerincursbecauseof(1)Seller’s

94negligence,representations,misrepresentations,actions,orinactions;(2)theuseofalockbox;(3)the 95existenceofundisclosedmaterialfactsabouttheProperty;or(4)acourtorarbitrationdecisionthatabroker whowasnotcompensatedinconnectionwithatransactionisentitledtocompensationfromBroker.This

clausewillsurviveBroker’sperformanceandthetransferoftitle.

(f) 98PerformanyactreasonablynecessarytocomplywithFIRPTA(Section1445oftheInternalRevenueCode).

(g) 99Makealllegallyrequireddisclosures,includingallfactsthatmateriallyaffecttheProperty’svalueandarenot readilyobservableorknownbythebuyer.SellercertifiesandrepresentsthatSellerknowsofnosuch

SellerwillimmediatelyinformBrokerofanymaterialfactsthatariseaftersigningthisAgreement.

(h) 104Consultappropriateprofessionalsforrelatedlegal,tax,propertycondition,environmental,foreignreporting 105requirements,andotherspecializedadvice.

However,nofeewillbedueBrokerifthePropertyisrelistedafterTerminationDateandsoldthroughanother

withallotherbrokersexceptwhennotinSeller’sbestinterestandtooffercompensationintheamountof

10.BrokerageRelationship:Brokerwillactasatransactionbroker.Brokerwilldealhonestlyandfairly;willaccount

138forallfunds;willuseskill,care,anddiligenceinthetransaction;willdiscloseallknownfactsthatmateriallyaffect 139thevalueoftheresidentialpropertywhicharenotreadilyobservabletothebuyer;willpresentalloffersand 140counteroffersinatimelymannerunlessdirectedotherwiseinwriting;andwillhavelimitedconfidentialitywith Seller 141unlesswaivedinwriting.

11.ConditionalTermination:AtSeller’srequest,BrokermayagreetoconditionallyterminatethisAgreement.If 142 Brokeragreestoconditionaltermination,Sellermustsignawithdrawalagreement,reimburseBrokerforalldirect 143 144expensesincurredinmarketingtheProperty,andpayacancellationfeeof$____________________plus applicablesalestax.Brokermayvoidtheconditionaltermination,andSellerwillpaythefeestatedinParagraph

12.DisputeResolution:ThisAgreementwillbeconstruedunderFloridalaw.Allcontroversies,claims,andother

administrators,successors,andassigns.BrokermayassignthisAgreementtoanotherlistingoffice.This

162 willbebindingonSellerorBrokerunlessincludedinthisAgreement.Electronicsignaturesareacceptableand 163 164willbebinding.Signatures,initials,andmodificationscommunicatedbyfacsimilewillbeconsideredasoriginals. 165Theterm“buyer”asusedinthisAgreementincludesbuyers,tenants,exchangors,optionees,andothercategories 166ofpotentialoractualtransferees.

AgreementistheentireagreementbetweenSellerandBroker.Nopriororpresentagreementsorrepresentations
