Territory Each City in the USA will have a specified number of Dealership allocations determined by how many dealers it will take to properly service the population of that area. In most cases the definition of a City will include the immediate suburbs which are normally considered as part of the “greater metropolitan area” and the population of such will be included. Cities of less than 100,000 in population will be allotted 1 Dealership. Cities between 100,000 and 250,000 will be allotted 2 Dealerships. Cities between 250,000 and 500,000 will be allotted 3 Dealerships. Cities between 500,000 and 1,000,000 in population will be allotted 4 Dealerships. Cities over 1 million in population will be calculated at 1 allocation per population of 250,000 and additional factors such as land area, location, etc. It is possible for a company to purchase more than 1 Dealership allocation in one or more areas. If an entire area is purchased by one single company an additional exclusivity premium is required. This program solves the concern of having too many Dealerships in any one specific area. For example a city with a population of 1 million supports on average anywhere from 50 to 150 sign and/or wrap shops competing with similar products. With LumaWire™ this same area will be constrained to only 4 Dealership allocations providing for a substantial advantage. Please note that Dealership allocations are determined by further criteria for Countries outside of the USA. Please contact us for specifics regarding your Country.

Dealership Requirements Inistial Start-up Fee The initial fee for a LumaWire™ Dealership allocation is $5,995.00. This includes the following: • Training – ( 2 ) training position for 2-day required certification, additional training positions available for $695.00 per individual. • Product – ( 5 ) LumaWire™ panels • Territory – Allocated according to the population of each town or city.

Minumum Order A single Dealership allocation must purchase a minimum of $1,000.00 (approx. equivalent of one average vehicle) of LumaWire™ products within 90 days of completion of dealership training. If purchasing multiple Dealership allocations there will be an on-going minimum purchase required of $5,000 per month per Dealership allocation. (approx. equivalent of one larger vehicle, or tractor trailer) This prevents a Company from purchasing multiple allocations in an area to lock out the competition with no intention of properly selling to that area. This minimum will be calculated as an average at the end of the year giving ample time to “ramp up” sales. If a Dealership holding multiple allocations fails to meet the required minimums they will not lose their Dealership, however, an additional Dealership allocation will be added to properly service that area.

Renewal There will be an annual renewal fee of $500.00 per Dealership allocation due on July 4th of every year, and the initial year will be pro-rated.

On-Going Dealership Responsibility Minimum of 1 vehicle illuminated with 2 LumaWire™ logos displayed one on each side and 2-3 Custom Logos of your company (These illuminated panels are all included in dealership package). Your vehicle lighted by LumaWire™ is by far the best advertising you can have to sell the LumaWire™ product. Minimum of 1 individual employed by Dealership to complete and be certified through our training program. If certified individual leaves your company you will be required to send another individual through our certification program to maintain Dealership status.

Terms • $1,500.00 deposit due with Dealership Application to secure training position. • $4,495.00 balance is due 30 days prior to scheduled training. NOTE: LumaWire™ Dealerships are for the sole purpose of selling retail product to consumers. Wholesaling is not allowed under our standard Dealership program. If there is the possibility your company may sell wholesale in large quantities for a specific application or if you have an idea for a new application for our technology or if you are interested in becoming a LumaWire™ manufacturing partner in a Country outside of the USA please contact us for further details.

Frequently Asked Questions

Q: What is the ordering process and turn-around timeframe? Average turn-around from the day we receive your final art until the day we ship it out will be 7 to 10 business days depending on project size. Dealers should plan on ordering the LumaWire™ lit panels once they have project confirmation from their client. This will allow for custom LumaWire™ product to be made and shipped for installation at the time the vehicle is scheduled to be wrapped. For quantities above 10 of any 1 design we will quote the delivery date based on manufacturing load at that time. In most cases no more than 30 days will be necessary for large quantity orders. We are currently expanding manufacturing capabilities and will soon be able to accommodate larger orders in the same 7 to 10 day period. Q: Is LumaWire™ street legal? Every State has different regulations and we recommend contacting the Department of Transportation in your State to verify your state and local laws/ordinances. In the State of Florida which has been similar to many states, they do not allow red or blue lights on the vehicle or any lights flashing while the vehicle is in motion. Basically, the vehicle cannot be confused with an emergency vehicle. When the vehicle is parked you can use any color and it can flash, be animated, etc. This is EXTREMELY effective when used in a parking lot with the vehicle flashing, parked by the road driving traffic into a plaza where a store may have no street visibility otherwise. Q: Is LumaWire™ durable? A: Yes, extremely durable. By the nature of our patent pending manufacturing process, we have created a product that, unlike traditional neon, is cool to the touch, flexible in shape and very durable, allowing it to be applied to many surfaces in countless interior and exterior applications. Q: Is LumaWire™ “Green” friendly? A: Yes. Our technology is very energy efficient. It converts over 90% of the energy used to light and is between 50% and 90% more energy efficient than other technologies used for the same application. It is so efficient that it is practical to use solar power. A vehicle fully lit with LumaWire™ draws an average of 1 amp at 12 volts or the equivalent of only 12 watts. Q: How much does LumaWire™ cost? Q: Is there a Sq. Ft. price? In our training program we will thoroughly go over how to properly quote LumaWire™. By the nature of our product it would be difficult to accurately quote per sq ft due to the amount of variables in that area. For example a 4 sq ft area that is outlined in LumaWire™ would be less than a 4 sq ft area that was detailed with many extra ft. of product throughout the same area. As a general guideline, the LumaWire™ example shown on the first and third page of this document or in the short video at www.LumaWire.com shows “The Mad Wrapper” covering the entire side door panel. This size area, depending on your design, would range between $275.00 and $325.00 wholesale.

Frequesntly Asked Questions Con. Q: How much can we sell LumaWire™ for? This is determined primarily by your sales area, type of clientele and the specific application of our product. Also, your creativity in design has a substantial effect on how much you will be able to charge. For example, if you are marketing in a large metropolitan area to high profile clients for illuminated wall murals you would be able to charge more than selling a typical banner in a more rural area. In any case you should be able to charge at least double wholesale, and as much as 3 to 4+ times the wholesale cost of LumaWire™ for creative high impact applications. Due to the ability to apply LumaWire™ to multiple surfaces and power it multiple ways there are many applications that will allow for even greater profit margins than traditional signs and/or wraps. We will continuously develop new applications and make them available to our dealers. Will LumaWire™ be building brand awareness? We have already been featured in major trade magazines, print publications, and had our product debuted on a nationally televised high profile special event. We are deploying a marketing campaign that includes exposure at high profile events and televised shows including music videos and print. Our goal is to significantly build consumer awareness of the LumaWire™ brand driving customers to our dealer network internationally. Where is training held? Training will be held at our headquarters near Daytona, Florida. You will be able to fly into either the Orlando (Approx. 1 hour commute) or Daytona (Approx. 10 minute commute) airports with convenient access to our training facilities. Do you have pre-arranged discounts at hotels during training? We have hotel discounts pre-arranged for all trainees at the on-site hotel in our complex. This is a comfortable hotel that has individual rooms and adjoining suites available at a discounted rate. Please contact us 15 to 30 days prior your training and we will give you the best arrangements available. What is there to do near your Training Facility? Our headquarters’ where training is held is located at Destination Daytona at the intersection of I95 and US1. The complex is home to Bruce Rossmeyer’s World’s Largest Harley Davidson Dealership and has many motorcycle shops within the complex. This is home to the infamous “Bike Week”, “Biketoberfest”, multiple car shows, and concerts with something going on almost every weekend. There are also multiple restaurants and a hotel on the property. If you are a beach fan we are approximately 20 minutes to the Atlantic Ocean. Do you offer on-site Training? We will arrange training at your facility on a case-by-case basis. There will be an additional charge for this and availability will be limited. What do I do if I have an idea for a new application for LumaWire™? Contact David Schumaker, our Director of Business Development to discuss a possible licensing relationship for a specific application. We are a R&D company dedicated to working on new and improved application of our Patent Pending technology. We welcome all ideas and suggestions from our Dealers.
