Re: Board of Directors Meeting Absence October/December
I fully understand the Board Mandated Policy regarding attendance. Unfortunately, I had two consecutive scheduling conflicts. The most important absence came in October due to my daughter Grace , youngest of my four children, senior at Dublin High School, soccer showcase in San Diego. This trip spanned from Oct 13 -16 which included 2 college site visits.
The most recent absence in December 2-4 was due to the Monterey Peninsula Country Club Member/Pro. My girlfriend is a member there and we have played this event since its inception. Other Board Members were also in attendance.
I am still committed to serve my term as a Director with your approval. DeDe Moriarty and John Abendroth strongly suggested I get involved with becoming a Director because of my unique perspective. A perspective that has been lacking due to representation.
My family, like most of us comes first. Serving our Section and growing the game comes in right behind that!

Overview-
The 2023 Operating Plan is a cautious, yet promising plan given the carryover events of the past three years. Working through the challenges of 2021 and 2022, we have once again found our pace as an industry, adjusting to new post-COVID practices in combination with the continued interest in the game of golf .
The plan in total reflects a Net Operating Income (NOI), of $ 3,946.
Revenues of $1,186,322 vs. expenses of 1,182,376. This NOI incudes the non-operational, non-cash Depreciation charge of $13,117.
Comparison 2023 and 2022.
For the period ended December 31, 2022: The budgeted revenues for the period ended December 31, 2023, are conservative in nature, given the reestablishing of NCPGA Partner Agreements. Total income 12/31/2023 is $1,186,322 vs realized income of $ 1,265,517. Expenses for the period ended 12/31/2023 are $1,186,376 vs realized expenses of $1,187,977. This reflect austerity in expense control as the YOY is a decrease of $5,601 yet the Operating Plan includes COLA adjustments of 8%
1) Notable Adjustments. The following is a list of material aspects :
• Addition of Assistant Executive Director
• Contract Labor for the months March through August to assist with event programming
• Addition of 3rd Drive Chip and Putt Pilot Program reducing staff travel and overnight lodging
• Structural staff changes allow for allocation of expenses to the NCPGA Foundation
• The use of virtual meetings assists in modest cost reduction
• Wage increases of 7% - 8% keeping in line with the 2023 COLA adjustment, doing all possible to decrease staff turnover and stay in line with the cost of California living
Each year, we are faced with rising facility costs for our events, and do not necessarily have the luxury of increasing entry fees to keep pace. To that end, we are undertaking We continue to explore expansion with our NCPGA Partner base, as evidenced through Partner Agreement submissions as a result of the attending the recent PGA Merchandise Show in Orlando.

North Coast Chapter Report
The North Coast Chapter has not had any activity since the last meeting. The last time we met was during the Annual Meeting at Redwood Empire GCC last October, which was virtual It was a productive meeting, and we are looking forward to making ’23 a successful one with our current officers of myself, President Ted Mattila (Buckingham GCC), Vice-President Don Harling (Beau Pre GC), Secretary Greg Bean (Baywood GCC), Education Chairman Brent Stone (Beau Pre GC) and Tournament Chairman Mark Wotherspoon (Buckingham GCC).
The next North Coast Chapter event will be the Semi-Annual Meeting in February at Buckingham GCC. After finishing up with some old business, we will be finalizing the 2023 Pro Am Schedule

December 31, 2022, Statement of Financial Position & Statement of Activities
The Northern California Section PGA Statement of Financial Position reflects a net growth in unrestricted assets in the amount of $ 67,051. The largest influences are the reduction in accounts receivable and the growth in cash reserves. Our programming allowed us to “earn” Tier Funding available ($40,000) in addition to the annual Association Development Program (ADP) funds. As noted in the comments of the report for the year ended December 31, 2021, organizational changes were a component of the 2022 results.
Results for the year-end period December 31, 2021, reflect a Section operating NOI of $ 67,109 and Chapter NOL of $58 for a combined NOI of $67,051 inclusive of Investment Interest and net of Depreciation. Benefit is also realized through virtual meetings, for example, both in education and Section Meetings. The institution of Pilot Programs (facility hosted, two in 2022) for Drive Chip and Putt Qualifiers resulted in decreased travel and labor costs, and continued Section growth in PGA Junior League participation grew our Player Development base. As to Drive Chip and Putt, there are three Pilot Programs scheduled in 2023. We continue to explore ways for host facilities assist in pre- during and post event activities which in turn drive down our hard costs.
Monetary support for the NCPGA Section from the PGA of America remained consistent at just under $400,000. benefitting our General Fund, Tournament Purses, and national meeting reimbursement . Each season, our Partners are more discerning as to the return on their investments, so funding from the PGA OF America is not to be taken for granted.
2023 allows us to continue on our path of adjusting to the post -COVID environment and we are encouraged as we look ahead.

1. Significant Accounting Policies Principles of Consolidation
The combined financial statements include the financial statements of the Northern California Section, PGA of America, (“The Northern California Section”, a 501(c)(6), non-profit, tax-exempt organization), and its chapters (San Joaquin Chapter, North State Chapter, Sierra Nevada Chapter, North Coast Chapter, Monterey Chapter, and Bay Area Chapter), Assistants Division, Women’s Division, and Seniors Division. All significant intercompany balances and transactions have been eliminated.
The Northern California Section operates membership programs through its Divisions and Chapters. A division and a chapter are regional groups of members. Divisions consist of the Assistants Division, Women’s Division and the Seniors Division. Chapters consist of Northern State Chapter, Sierra Nevada Chapter, North Coast Chapter, Bay Area Chapter, Monterey Chapter and San Joaquin Chapter. Some volunteers assist the divisions and chapters under the direction of the Northern California Section.
Affiliated Party
The Northern California Section is chartered by the PGA of America. Under the PGA of America’s constitution, all members of the PGA of America must belong to both the National Association and the local Section. The PGA of America is a separate 501(c)(6) organization. The PGA’s governance system is designed so that the 41 sections, including the Northern California Section, select the Board of Directors for the National Association.
Revenue Recognition
Revenue from tournaments is recognized when the event takes place. Revenue from member dues is recognized ratably during the year to which it relates. Revenue from all other activities is recognized at the time goods or services are provided.
Leases
Capital leases are required to be accounted for by the lessee as an acquisition of an asset and an assumption of obligation. The capitalized value of a depreciable asset under a capital lease is amortized over the period of expected use. Lease payments under operating leases are included in the determination of net income over the lease term on a straight-line basis. This differs from US GAAP (ASC 842), which requires the recognition of lease assets and lease liabilities by lessees for both capital and operating leases.

Property and Equipment
Property and equipment are stated at cost less accumulated depreciation. Depreciation of property and equipment is determined on a straight-line basis over the estimated useful lives of the assets are as follows:
Deferred Revenue and Prepaid Expenses
Revenue received in advance of an event is deferred until the event takes place. Costs incurred relating to such events are similarly recorded as prepaid expenses and later recognized with the related revenues.
Income Taxes
The Northern California Section of the PGA is exempt from federal and state income tax for activities related to its respective tax-exempt purposes. Provision for unrelated business income tax, when applicable, is made for activities unrelated to the stated tax-exempt purposes of the entities.
Use of Estimates
The preparation of financial statements in accordance with accounting principles generally accepted in the United States of America requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the financial statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.
2. Section Loan Program
The Section has loaned funds to The PGA of America on a short-term basis. Interest on this loan accrues at a fixed rate that is adjusted quarterly by the PGA of America. The loan can be called in whole or in part by the Section on the first day of each calendar quarter. At December 31, 2022 and 2021, the Section’s outstanding receivable under this loan totaled $410,008 and $227,053 respectively.

NCPGA FOUNDATION REPORT – February 2023
Vision Statement: Impacting Lives Through Golf
The Mission of the NCPGA Foundation is three-fold: To serve Veterans - Their health and their families; to provide resources to PGA members serving their communities in Northern California and Northwestern Nevada; and to grow the game of golf
PGA HOPE 2023 -- Spring program registration is underway as of February 1, 2023 and we expect to host 14 different locations throughout Northern California with 15 different programs PGA Reach agreed to fund 90% of our program for the 2023 sessions ($275,000 out of $306,000) Our programs were increased from 6 weeks to 7 as we focus on a more impactful program for Veterans and to give more opportunity for PGA Professionals
For the first time adaptive golf carts were needed at four separate locations to assist veterans with varying mobility needs. These carts provide veterans with the opportunity to experience what it ’s like to swing from a more upright or standing position. Unfortunately there aren’t enough carts to go around (the Foundation has 4 carts / 1 is broken) so the Foundation will look towards purchase of another adaptive cart.
● The 14 Host locations are: Diablo Creek Golf Course, Metropolitan Golf Links, Cypress Lakes Golf Course, Hag gin Oaks Golf Complex, Bayonet Black Horse, Mariners Point Golf Center, Presidio Golf Course, Swenson Park Golf Course, Sierra Sage Golf Course, Santa Teresa Golf Course, Lincoln Hills Golf Course, Boundary Oaks Golf Course, Gold Hills Golf Course, and pending confirmation with Ridge Creek Golf Course.

Three opportunities for PGA Members & Associates and LPGA pros to become certified as PGA HOPE Instructors (yes pros can repeat the seminar)

● The Salute at Pebble Beach - June 30-July 4, 2023 - New fundraising opportunity before the US Women’s Open. Exclusive golf experience for affluent amateur golfers in conjunction with Pebble Beach ownership group, LPGA Tour legends, and top military brass. Four nights at the Inn at Spanish Bay, and three rounds of golf at: Pebble Beach Golf Links, Spyglass Hill Golf Course, and the Links at Spanish Bay.
● The Langley - Scheduled for August 15-16, 2023. Steve Young is confirmed as the Local Celebrity Honoree and we’re awaiting confirmation of the PGA Tour Legend Honoree.

As we start 2023, see below image of our newly updated logos and names of all PGA Player Engagement Products that are available to all PGA Members and Associates. This pathway only includes PGA Programming but individual PGA Sections can certainly make this their own as well by plugging in their own player engagement initiatives as well. All these products can engage individuals of all skill levels and ages by centering the PGA Golf Professional as the expert guide. Members and Associates can reach out to me for any of these programs.
In 2023, the PGA Western Region Team will collaboratively work together to support the Northern California PGA Section. This support will include i n-person meetings/visits from myself, Caitlyn Doyle (Career Consultant), and Caleb Hung (PGA Recruiter). Additionally, we will schedule virtual opportunities as well. We will continue to be available for everyone and a resource.

The average program fee increased by 14%. The average fe e number DOES NOT include the $99 GameChanger Fee. And although some of the other data looks like it may be lower, our player numbers have increased and I believe overall, more coaches are offering multiple seasons throughout the year.
Congratulations to 17u Redwood Empire League Team Redwood and Coaches Demian Reddy, PGA and Derek Felciano, PGA and the 13u Santa Teresa League Team #1 and Coaches Terry Sullivan, PGA and Kevin Kauinana, PGA - these teams were our Northern California PGA Section Champions and they advanced to the Regional Championships at Wailea Golf Club in Maui, Hawaii.
The new additional pathway of All -Star Play Days were taken advantage of by a few coaches and we even saw some success with Derek Felciano’s 13u Redwood Empire Redwood Team and Demian Reddy’s 17u Redwood Empire Cypress Team. Both teams qualified for the Regional Championship through the Regional Leaderboard.
We are looking forward to a great 2023 season! Let’s continue to grow PGA Jr. League in NCPGA!

FEBRUARY GOVERNANCE UPDATE
The PGA Board of Directors during their December and January Meetings, approved several policy or Bylaw modifications:
Credit for PGA Golf Management University Internships
At the recommendation of the PGA Membership Committee and PGA University Committee, the Board of Directors has modified the Bylaws to allow up to 16 internship credits if approved by the University and PGA for Students regardless of graduating with the PGA GMU designation. This brings the PGA Associate and PGA Golf Management University Programs in full alignment
Life Member Dual Section Status
At the recommendation of the PGA Membership Committee, the Board of Directors has modified the Bylaws to allow PGA Life Members who reside at least 90 days a year in a secondary Section to have the option to be a dual Section Member, paying dues to each Section. This is consistent with the ability of Class A Members who are employed in more than one Section to be Dual Section Members.
PGA Years of Membership Credit for PGA Recognized Professional Golf Association Members
At the recommendation of the PGA Board of Control and PGA Membership Committee, the Board of Directors, as part of the overall Reciprocity process, will allow the Board of Control to grant up to five additional years of PGA Membership to those PGA of America Members who are current or former Members of a PGA Recognized Professional Golf Association . (PGAs of Australia, GB&I, Canada, Germany, New Zealand, and South Africa)

WHAT IS DEFERRED COMPENSATION?
For many years the PGA of America has searched for a way to develop some kind of retirement plan for members. As we all know, there are tax rules that prevent the Association from directly giving money to members. But the basic principle is that we can reasonably compensate a member for performing services that advance our exempt purpose; specifcally for growing the game of golf. Therefore we created a plan whereby members that participate in programs that meet specifed performance objectives can earn a contribution towards a deferred compensation fund.
WHY DID WE DO THIS?
The aim is that over the years these investments will grow and provide a supplemental income for the member upon reaching the age of 65. Because of the power of compounding over time, clearly younger members will beneft most from the program, but everyone can participate.

WHO IS ELIGIBLE?

WHAT IS THE CURRENT TIMELINE?
NOVEMBER 2022 - Updates provided to Delegates at Annual Meeting.
JANUARY 2023 - The goal is to start registration at the PGA Show. Registration will occur digitally with a link connected from PGA.org.
APRIL 2023 - The goal is that one will start to be able to earn points starting April 1, 2023 with the annual calendar going April 1 to March 31 every year consistent with the PGA’s fscal year.
JULY 2024 - We are continuing to work on this schedule, but we expect that eligible members will receive contributions to their respective accounts around 90 days following the conclusion of that program year (e.g., in the frst year participants would receive contributions in July 2024). This time-frame will allow for any needed auditing and applicable reconciliations and processing.

The initial development of the points system was worked on internally with outside counsel and reviewed by the Offcers and the Board at the time. It was then submitted to the IRS for review. Based on review there were a number of changes that were required. The revised points document was shared with a working group that included a cross-section of PGA Members including those who worked in coaching, operations and executive management, as well as representation by Section Executive Directors. This working group provided further feedback which we reviewed with outside counsel and made adjustments to the extent allowable by the IRS.
DOES THIS MEAN GOLF RETIREMENT PLUS IS GOING AWAY?
No, Golf Retirement Plus will continue as is. Deferred Compensation is a separate and new program PGA Members may also participate in.

Who is eligible?
All PGA Members in good standing that are working in the United States. Class F Members will not be eligible to earn points while in Class F status.
A Member that is Class F but returns to good standing in a given year may earn points solely during that time he/she is in good standing. If a Member earns points and an award in a given year but then goes Class F in a later year, that person is still entitled to the amounts previously provided.
Unfortunately, the program is not currently offered to those Members working outside the U.S., including those members working in U.S. territories such as Puerto Rico, Guam and the Virgin Islands. We will continue to explore opportunities for an adjustment to this policy on an annual basis.
Are PGA Section employees that are PGA Members eligible?
Yes, provided they meet all other eligibility criteria.
Are national PGA of America employees that are PGA Members eligible?
No.
I’m already close to retirement or retired, how does this benefit me?
Although we very much wish were able to have this program in place earlier in your career, we are very excited for the long-term beneft to the profession and game that we have been able to put the program in place now. With that being said, even if it may not beneft you as much as if it was put in place earlier in your career, it does have the opportunity to beneft all members no matter what life stage they are in.

Why are so many more activities related to coaching than operations or management?
We do recognize that it does seem that there are more opportunities for those members that are coaches to earn points. Based on the regulations of the program, generally speaking, more coaching activities were eligible for points. With that being said, we worked diligently with outside counsel to ensure that there were enough activities in golf operations and executive management that allowed for those members working in those job functions to very much beneft from the program.
Why isn’t volunteering on a National, Section or Chapter Board eligible for points?
After consultation with the IRS and outside council it was determined that such activities were not aligned with the proposed plan.
I do not understand the percentages. Can you explain this?
To take into consideration that in some instances there are multiple members involved in a given activity, this permits a person for some activities to earn points even though they may not be the only person involved or the leader of such activity. Some activities allow for partial points and others do not. Please read the defnitions to determine the category you may qualify for.
Can I qualify multiple times for the same type of activity?
Yes, with some notations. Although it can be the same type of activity it cannot be the exact same thing submitted multiple times. For example, one may lead multiple PGA HOPE programs throughout the year. In this instance, each program would count as a separate activity. Some of the activities have a cap on the number of total points one may receive in the category and some activities due to their nature only allow for one-time participation (e.g., one year of participation on PGA.com).
How do you verify that someone has participated in an activity?
For each activity, the applying member will need to attest to having participated in that activity. Furthermore, the participating member will need to have another member to attest to that individual’s participation in such activity. Upon request, a member may need to provide additional proof of a completed activity.

How will you ensure that members are reporting their activities accurately?
PGA Members are deeply committed to a code of conduct and ethics in keeping with the tradition of the game. Therefore, we will rely on a multi-pronged model which includes self-attestation, the attestation of another member, and to the extent available the use of other readily available data sources. In an instance where it is believed that someone has purposefully submitted for points that he/she is not believed to have earned, such cases will be brought to the Board of Control consistent with other cases related to code of conduct and ethics violations.
Do I need to earn a minimum amount of points?
Yes. In order to be eligible to receive any funds for a given program year, an eligible member must earn no less than 200 points in a given program year. If one does not receive that threshold, such points will be forfeited and will not be eligible for roll over to the next program year.
If I earn more points than the max amount, can these points be rolled over to next year?
Unfortunately, they cannot.

The maximum amount an eligible member may receive in program year 2023 is up to $1,500 with a plan in place to increase at a rate of 3% per year. The actual amount received will depend on the number of points earned, total participation and overall contribution by the PGA that year as set at the beginning of each program year. At the end of each program year, a calculation will be done that takes the total fund contribution by the PGA and divides it by the number of points earned minus those points that were forfeited (due to less than the minimum threshold being achieved or someone earning the equivalent of over the max threshold of $1,500).
Why was volunteering on National, Section and Chapter Boards not included for receiving points?
After consultation with the IRS and outside council it was determined that such activities were not aligned with the proposed plan. The IRS did, however, approve that Board members be eligible participants for activity outside of such board service.
Will there be changes to the points system in the coming years?
As this is a new program, we will work on an on-going basis to optimize the program to best support the mission. Annually we will evaluate the current point structure (types of activities, number of points and qualifcations for points) and determine whether changes should be made to the extent allowable.
When will I receive the funds earned?
We are continuing to work on this schedule, but we expect that eligible members will receive contributions to their respective accounts around 90 days following the conclusion of that program year (e.g., we would anticipate that for the frst year you would receive contributions in July 2024). What is the PGA contributing?
As the program continues to evolve and scale, the PGA will continue to evaluate the amounts it contributes to the program on an annual basis. It is estimated that the PGA will contribute millions of dollars in the frst year alone not including administrative costs and funding for future years will be reviewed with the hope to scale it based on participation, provided the PGA is not required to fund the program in any given year.
How will the funds I earn be administered?
The PGA will work with a third-party administrator to oversee the accounts. We have selected Corebridge to be the administrator who is also the administrator for Golf Retirement Plus. It should be noted that even if you have a GRP account, you will need to register separately for this program.
When will I be able to withdraw the funds contributed based on my participation?
65 years old
Is there a penalty for withdrawing the funds early?
Funds may not be withdrawn prior to age 65. However, there may be some hardship exceptions in limited circumstances.
Can I contribute additional monies to this fund?
No.
What if I am no longer a PGA Member?
You will still be entitled to the funds you earned while a PGA Member subject to all other provisions for eligibility and withdrawals.
Does this impact the max contribution amount I can make to my 401K or other retirement account?
No. This has no impact.
How will the Sections be involved in administration?
The Sections will not be burdened with administrative needs around deployment of this program. We have decided this based on conversations with several Section EDs that were part of the working group. With that being said, we will ensure that the Sections have all of the needed information so that they can direct Members in the best way.
How does Deferred Compensation relate to Golf Retirement Plus?
Golf Retirement Plus will continue as a separately managed program. Eligible Members can participate in both Golf Retirement Plus and the Deferred Compensation program.
