BOARD OF DIRECTORS MEETING Minutes

NCPGA Section Office, Vacaville April 10, 2023 11:00 AM

Present: Eric Lippert, Nick Bailey, Andrew Workman, Jeff Wilson, Justin Saragueta, Ashley Wood, TJ Duncan, Pat Jones, Mark Naylor

I. Called the meeting to order at 11:00 AM by President Lippert

II. Invocation – Vice President Nick Bailey performed invocation.

III. Roll Call – All Directors in attendance; noted above.

IV. Past President’s Comments

 Past President Moriarty commented on full attendance and wished each candidate good luck.

 Past President/Executive Director Dumas passed around a “goodbye” card for Carol Gossett; he welcomed guests Caitlyn Doyle, Mike Ray, John McNair and Suzy Schneider, and commented on quality of the four candidates for office of Secretary.

V. Action Items

a. Board Meeting Minute Approval – Motion by Duncan to approve the February 10, 2023 Board minutes/ second by Bailey/ motion carried

Executive Session Minute Approval – Motion by Naylor to approve the February 10, 2023 Executive Session minutes/ second by Duncan/ motion carried

b. Board Director Swearing-In – Vice President Bailey lead each of the following Directors in taking their oath for service on the Board of Directors: Andrew Larkin, Jeremy Ostrom, Sam Frick, John Hermans, Jeff Wilson, and Andrew Workman.

c. NCPGA Secretary Election

i. Letter of resignation from Devin Meheen was read; his resignation is due to his move to Florida for a new job. His resignation creates vacancy for office of Secretary.

ii. Secretary Candidates: Four candidates addressed the Board privately one at a time; ten (10) minutes was provided to each candidate for their presentation; random

drawn to determine order of presentation: Andrew Workman

1. Scott Kirkwood

2. TJ Duncan

3. Mark Naylor

After presentations were given, ballots were distributed in person and virtually; all votes were tallied by Executive Director Dumas which determined that TJ Duncan won the majority vote to fill the position of Secretary. Vice President Bailey lead new Secretary TJ Duncan in taking the oath of office.

d. NCPGA Bylaw 6.3 – Review of proposed language to reduce the size of the Board of Directors by removing the six Chapter Presidents and one Honorary Director positions. Chapter Presidents will be represented by a Director assigned as Liaison.

i. Motion by Duncan to propose the suggested language, subject to review by legal counsel, to the Membership for approval/ second by Bailey/ motion carried

e. Hall of Fame Committee – Chair Moriarty presented suggested language to change to the nomination process so that candidates must be nominated each year with no limit to the number of times he/she can be nominated. Currently reads: “A nominee may remain on the ballot for eight years”; Suggested change: “There is no limit to the number of times a nominee may be presented on a ballot.”

i. Motion by Moriarty to approve suggested language/ second by Bailey/ motion carried

f. Consent Agenda – Chapter Reports provided by Bay Area, Monterey Bay Area, North Coast, North State, San Joaquin, and Sierra Nevada chapters.

i. Motion by Duncan to accept reports as submitted/ second by Iskander/ motion carried.

VI. President’s Report – Eric Lippert, PGA

a. Strategic Plan – President Lippert thanked the Committee for their work on the draft. Mark Naylor provided an overview of components of the plan: SWOT Analysis, Education Long-Term strategies, Employment Long-Term strategies, Tournament Long-Term strategies, and Player Development Long-Term strategies.

b. Committee Assignments – The following suggestions were provided from the floor for President Lippert’s consideration:

i. Utilize Chapter networks; tap into experienced Members to serve as mentors; anyone willing can serve as a mentor; encourage face to face engagement; ii. Reinstitute “New Member Orientation” program

VII. Vice President’s Report – Nick Bailey, PGA

a. Financial Narrative, February 28, 2023 – The 2023 Operating Statement now includes the Foundation’s financial summary.

b. Financial Statements, February 28, 2023 – Results for period ending 2/28/23 reflect Net Operating loss of $11,157, which is consistent with results from same period last year. Current cash position of $149,739 reflects annual slow activity period; total Liabilities & Unrestricted Net Assets are $594,256. April 2023 marks the beginning of collection for 2023 Partner Agreements.

c. Resolution for new PGA Membership Classification – Review of proposed new classification “A-25” for PGA Members primarily employed in a senior leadership role within a PGA Recognized Golf Facility.” This class could cover a variety of leadership roles for Members taking on more tasks for facility enhancement (membership sales, F&B, accounting).

VIII. Secretary’s Report – Nick Bailey, PGA

a. Membership Report – Members 860 (up by 5 since last Board Meeting); Associates 176 (up by 10); New Members in last month 2; New Associates in last month 15; Transfer in 9; Transfer out 8; Class F 58; Reserve 26; ADM Certified 213.

IX. Executive Director/COO Report – Len Dumas, PGA, CCM

a. Section Revenue Base – For period 4/1/23 to 3/31/24 will be $189,108; to be distributed in equal payments in June and October. Section Strategic Funding Program provides the opportunity to earn additional $26,738 to $46,238, depending on the level of participation required.

b. Unclaimed Property Agreement – Outstanding checks totaling approximately $30,000 are subject to claim by State of California; funds cannot be claimed by the Association; oversight by Price-Waterhouse.

c. Assistant Executive Director – The search for candidates is underway and managed by Career Consultant Caitlyn Doyle, PGA.

d. Lagoon Valley Project – A community housing and golf course project, west of Vacaville, is being considered as a long-term future home for the Section office.

e. Regional Director Update – The new Regional Director is Mike Ray, PGA.

X. Hall of Fame Update – Class of 2023 – Dede Moriarty, PGA

a. Following its next meeting, the Committee will announce its decision on the new Hall of Fame Inductees.

XI. NCPGA Foundation Report –Tim Burr, PGA, given by Suzy Schneider

a. In 2022, a total of 23 program were held at ten different golf facilities, serving 511 Veterans. In 2023, a total of 32 programs will be held at fourteen different golf facilities estimated to serve 650 Veterans. Three Instructor training seminars were held in March which provided training for 27 additional instructors. The average class size is 24 Veterans which requires 5 Instructors; Instructors can be PGA, Associates, or LPGA professionals.

b. Premier Fundraising Event – The Langley A Tribute to Legends will be held August 14 & 15 at Pebble Beach Resorts, honoring PGA TOUR Legend Sir Nick Faldo, and San Francisco Super Bowl legendary quarterback Steve Young.

c. How to Help? 1) Become an Instructor, 2) Become a Facility Partner by offering discounted rates for non-peak tee times, 3) Hold a fundraiser for PGA HOPE.

XII. PGA of America Reports

a. Regional Director – Mike Ray, PGA, was welcomed to the meeting. Ray served thirty years with the South Texas Section PGA. Ray’s motto is “communication is key.”

i. Career Consultant - Caitlyn Doyle, PGA – Report as submitted. Summary on PGA ExecuSearch; Section ED application period will close on 4/16; Key messaging about the New 3.1 program for the Associates; PGA Compensation Survey completion goals currently at 51% - need to be at 75% in order for Section to earn additional revenue of $19,500; Member-Search Committee positive feedback; list of upcoming travel/events.

ii. Player Engagement Consultant – Junko Harkins, PGA – report as submitted. Review of all Player Engagement opportunities: “Learn, Coach, Host”. Update on PGA Junior League which has over 29,000 registrations nationwide. Season schedule for Section Qualifiers and Championship was provided. PGA.Coach profiles have increased. 2022 Drive, Chip and Putt National Finals at Augusta National are complete, and the 2023 season registration is now open.

b. District 11 Director –John McNair, PGA – report as submitted

i. USGA National Development Program is putting PGA and LPGA Professionals at the center of its framework of the American Development Model focused on coaching and player development.

ii. Deferred Compensation – PGA Members can earn up to $1,500 a year to a deferred compensation fund by participating in a combination of 16 activities.

iii. Regional Model Leadership Changes – Monte Koch will remain in his role as Career Consultant for the Pacific Northwest Section, and Mike Ray has become the new Regional Director.

XIII. Tournament Director – Shawn McEntee, PGA – report as submitted

a. Completed Tournaments: NCPGA Yamaha Match Play Championship - 58 players, EZGO Club Team Championship - 88 players, Pro Series #3 – 101 players

b. Upcoming Tournaments: NCPGA Two Person Club Team Championship, April 1718 at Bayonet Black Horse, Yamaha Pro-Scratch April 24th at Diablo Country Club, NCPGA 4-Pro Scramble June 12h at Lakeridge Golf Club,

 6 Chapter Challenge to be added to the 4-Pro Scramble

 Section Mid Year now called the Summer Meeting to be held June 11-12 at The Eldorado Resort at The Row in Reno.
