Fresh Direction for NACM Connect New Branding and a Common Name If you missed your local Annual Meeting, you missed some big news. NACM Connect revealed the brand transformation NACM National has been working on to bring uniformity to all the NACM affiliates. We’re thrilled to share our inspired new logo, modern color palette and streamlined design. The new look and feel is the ideal blend of financial tradition and modern technology. The updated brand better reflects the pivotal role we play in Driving Results. “This is an exciting time for NACM,” said Phil Lattanzio, President and CEO of NACM Connect. “The shift to national unification under one clear, professional and modern brand brings clarity and enhances NACM’s ability to meet the ever-evolving needs of today’s credit practitioners. I’m thrilled to embrace the new brand.” The work of NACM Connect has always been to support credit professionals in their pursuit to improve corporate cash flow and increase profits for their clients. Simply put, they are in the business of Driving Results. I think the fresh new brand

identity captures that idea in a strong and memorable way with the goal of creating consistency and unification in Affiliate Associations nationwide. The rebrand process revealed our essential value the one thing the brand stands for on the highest level is: DRIVING RESULTS.

As the lead voice in the credit management industry, the NACM voice sounds consultative, intelligent and friendly. The look is warm, universal and fresh. The logo is the perfect blend of financial tradition and modern technology. The wheel icon signifies progress and momentum, while the placement of NACM at its core speaks to the how NACM’s full

range of products and services are at the crux of the solid decisions made by its membership daily - driving results to the bottom line. NACM Connect has begun rolling out the new logo in our marketing materials and at our Annual Meetings. NACM National began rolling it out in the April edition of the Business Credit Magazine with a big splash planned for Credit Congress. NACM Connect’s governing Board of Directors approved the new logo at its January Board meeting. At that time the Board of Directors also approved to go to one singular name of NACM Connect for all regions, thus eliminating all the other regional names. Please join us in embracing this exciting change as we move forward together under a unified brand umbrella. ■

2017 Annual Meeting Wraps Up Year for NACM Connect The NACM/Chicago-Midwest Annual Meeting was held at the Meridian Banquet Hall in Rolling Meadows, IL on April 20th. NACM/Chicago-Midwest (the legal name of the entity that encompasses the NACM Connect family). As is tradition, at this meeting the members of NACM Connect are invited to participate in a day of educational sessions, offering both a domestic and an international credit track, followed by a networking reception where the governing Board of Directors is installed for the upcoming year. Outgoing Chair, Larry O’Brien, CCE, ICCE: Wow, how time flies! I cannot believe another year has already passed. This last year I have had the privilege to be Chairman of NACM Connect. This has given me the opportunity to see how much effort this association puts forth to make all of us in Credit become successful. In my career, I have had the good fortune to work for some great leaders such as Dick Pearson, Bill Dawkins, and Tom Wuich that provided excellent examples of what it means to be a Credit professional. Each of these men had one thing in common, they were all committed to making their employees successful by allowing them to participate in this great organization. Craig Smith and the Credit Reporting Group continue to offer members a variety of options to meet their credit reporting needs. By working with NACM Connect’s team you can obtain contracts without use it or lose it expiration dates, mix and match your reporting resources, or take advantage of their price structure which is often discounted from pricing you can get individually.

Now let me take a few moments to talk about some of the initiatives your board worked on over the past year. The Board approved expansion of the Elite Members program. This group organized interesting and fun events that we hope will build potential new members. For an association to survive we need to attract new young members. If you have members of your Credit Department, or know of any credit person that is under the age of 35, ask them if they want to get involved. It allows them to network and share ideas about Credit and will help enrich each of them professionally. Your Board approved the reconstruction of the existing parking lot which includes tearing up the current lot to the base and starting over with a fresh new surface. This will provide a functional face lift to the property and work should start sometime in the coming weeks. Things at the association are a little brighter these days since the board approved the installation of new efficient LED light fixtures and replaced external lights on the 3005 building. This was done with the assistance of a program sponsored though ComED that allowed the association to complete this for a fraction of the normal cost. In just the first two months, the association has seen savings of $300 per month on average. In addition, approval was given to add two more HVAC units as part of a multi-year approach to replacing equipment past it’s useful life with new more efficient units. Phil and Kerry worked hard to complete negotiation with our tenant, EDot, to renew their lease with a 5- year agreement that includes a guaranty for the first three years. This secures an income stream for the next three years. Great job on this! A decision was also made to lease new video equipment instead of purchasing. This type of equipment becomes obsolete constantly so a lease will allow us to have access to the latest models. This equipment is key to the growing need for webinars. Webinars have proven to be very popular with busy credit departments and will save on travel expenses if company budgets are tight. I have always been amazed at how this

association seems to run like a finely tuned watch. Being closer to the action this past year I can tell you the reason for this success is hard work.

And finally, the guy who makes it all work is Phil Lattanzio. This association is successful year in and year out and that doesn’t happen unless you have a forward thinking and capable leader. Phil, you made my job so easy this past year and I really appreciate all that you do.

Education has always been important with NACM Connect. Lillian Novak and our dedicated instructors continue to grow the opportunities to our members throughout the 8-state region. Particularly strong last year was our growth in on-site-training. If you have a department that all needs to be trained in the same skills, consider NACM Connect’s programs.

I would like to close my comments by thanking my fellow board members for taking time out of their busy schedules to help guide our association. To a person, your board members put a great deal of effort to help this association prosper. I want to wish John Fahey all the best for his Chairmanship next year. I have known John for many years and I know your association will be in very capable hands. Thank you.

Leslie Harrison continues to work with our members in both finding candidates for openings and positions for those searching. This year she led the project to produce our first ever Credit Professionals Compensation Survey which many of you participated in. Thank you.

Incoming Chair: John Fahey, CCE I am honored to be here on the 120th Anniversary Annual Meeting of NACM Connect and its predecessors. The Association has been at the Forefront of Developing Innovative Ideas for the Credit Profession Since 1896.

NACM Connect continues to be a leader in Industry Credit Group administration. Led by Themis Vlahos and his team of group administrators, they are constantly looking to expand the number of groups available to our members, and in many states have been adding benchmarking groups for those credit managers who want to share information but don’t have an industry that is conducive to a group.

It is often said that credit professionals don’t seek credit but credit finds you. I don’t know of anyone who set out in the business world after twelve to eighteen years of formal education to enter the world of credit. Without any formal training in the principles of credit I don’t know where I, or any of us who have taken the time out of our busy schedules to attend this meeting, would be without NACM. How different would the U.S. and global economy look and how

2017 Annual Meeting Wraps Up Year (cont'd) would business transactions be facilitated without the extension of unsecured credit? When I started in credit the business world was much different. Companies intended for employees to remain the span of their career. Large companies had formal, structured credit training programs. This all started changing in the 1980’s when companies fueled by merger & acquisition activity moved from a slow fix to their business growth and success, to a short term, quick results mentality. Today with the exception of large banks, whose credit policies are often not applicable to the quick paced needs of B2B and B2C credit, there are few companies providing formal credit training. NACM has been at the forefront training generations of credit professionals and will continue to be the leader in guiding credit practitioners in the future.

We can all learn, improve, and build skills to grow professionally. Pay no attention to your job title. Ask yourself - what can I do that provides outstanding, quantifiable, exceptional value? Ignore your job description. Question yourself- what accomplishment am I proudest of and able to leverage? Get credit for being an expert; you will strengthen your status as a professional. Look for challenges and new opportunities. Be the go to person in your company for answers. Become the authority noticed by the C-suite. Are you inquisitive? Looking for a challenge? Join a committee. About twenty years ago I was on a committee with Phil Lattanzio and Bill Lovett. “The internet Committee” . This was before search engines and Google. We were trying to find ways for credit

ways to engage a diverse group of members, including Millennials and Gen X. Join us on Linked In and Facebook. Find a credit group. NACM Connect has both local and national groups covering many industries. The network I have developed at group meetings has allowed my company to avoid millions in potential losses. Personally it has also lead to new career opportunities. What processes can you improve at your company? What projects could you undertake? NACM Connect can provide expert Collection Services on slow moving receivables or an under-performing portfolio gained through a merger. Growth or turnover? NACM Connect can provide temporary or permanent candidates through a knowledgeable Staffing Service Department. From my personal experience,

I sincerely believe that to not only be successful in our careers but to enjoy the self-satisfaction that an accomplishment personally brings you have to be a lifelong learner. NACM provides us the tools to continue our education. NACM Connect has invested in teleconference technology to bring training to members who find it difficult to travel to meetings due to budget constraints or the distance commuting. They have sought out experts in many facets of credit to host webinars throughout the year. Therefore I don’t accept the explanation that I don’t have time to attend. An hour spent to broaden one’s horizon is priceless. One of my favorite business gurus, Tom Peters said that “ A career is a portfolio of projects that teach you new skills, gain you new expertise, develop new capabilities, grow your colleague set, and constantly reinvent you as a brand.” NACM can help you develop these skills. During my career I volunteered to move to the position of International Credit Manager with no background in international credit. Fortuitously there was an NACM Chicago semester long evening class in International Credit at the same time. I accepted the challenge to become the Credit & A/R Business Process Owner for my company’s SAP implementation without any SAP experience. NACM Connects’ SAP users group was available to provide the forum and network of experts I needed. All of us have an opportunity to succeed.

professionals to benefit from the internet. We actually composed an ever expanding list of websites, by subject matter, which could help credit practitioners. How times have changed! Today we have the Social Media committee. As membership needs evolve, email and traditional face to face meetings may not be the preferred way to interact with tech savvy members. The Emerging Leaders group and Social Media committee are embracing

Leslie knows the pool of qualified candidates better than any placement firm in the region. What type of credit reports do you require to make sound credit decisions? Consider the NACM Trade Credit Report or reports through partners like D&B, Experian, Equifax or Skyminder for International reports. I believe this service will greatly assist our members, having qualified experts on call. Also member surveys to provide insight into best practices. NACM Connect will come to you with training – yes on-site training for a large enough group. Is there limited financial support from your company? NACM Connect can offer scholarships to events and has several membership levels. Third Party partners can provide services for dunning letters & invoice presentment; credit card processing; check guaranty; on-line cash application; deduction management; escheat process; UCC and mechanic lien filings; risk mitigation; and automated credit applications and customer master integration. I am sure there are more benefits and NACM Connects staff can consult with you to assess your company needs. In addition to services NACM Connect can provide stability to the members. The organization is financially sound and is investing in the infrastructure of the business. We have a tenant on site with a newly extended lease. Management has contracted for parking lot improvements in 2017. Technology and HVAC are upgraded annually. Management should be proud of their facility and can successfully host meetings and training sessions rather than use off-site locations. We also have upgraded satellite offices. I plan to focus my term on supporting education as a means to grow membership. During this upcoming year I look forward to collaborating with Association management team and the entire NACM Connect staff who make our association the most successful affiliate in the country. I am excited to work with a very experienced and energetic Board of Directors. I take my position as liaison with the members seriously and hope to be approachable with any observations or needs you may have. Will everyone please recognize Larry O’Brien and give him a cheer for his guidance over the past year as well as commitment to the Board and progression to Chairman over the prior six years. Larry is a extraordinary

Over the past 120 years you could expect NACM to be at the forefront of innovation for the credit profession. We look to successfully grow together as we journey into the next decade with NACM Connect. President and COO, Phil Lattanzio, CCE: Following are the comments made by Phil Lattanzio, CCE, President and COO of NACM Connect at our Associations annual meetings: I have a couple of points I would like to address, the new NACM logo and the NACM Connect year in review. I would like to thank the membership and group members, the Board of Directors, Advisory Boards and committee volunteers. I would also like to thank our vendor partners, faculty and the NACM Connect staff. NACM Connect continues to make membership growth a priority. With 8 regions NACM Connect continues to be the largest NACM affiliate. In our region, we maintained a 90% member retention rate and gained a total of 179 new members for the year. We successfully launched and completed our first year of the Elite Membership Program, coordinated new membership campaigns and grew the preferred partner program. We continue to be a financially strong association, exceeding both the consolidated and operating budgets. Cash flow continues to improve and we are poised to be in a position for growth. We continue to provide the best education for our members. Ninety-seven students went through NACM Connect Institute of Credit classes in all eight regions. Thirty-two

members earned their CBA, 10 earned their CBF and 6 earned their CCE. Numerous CCE’s also recertified. Three members won National Honors Awards which were given out at the 2016 Credit Congress is Las Vegas. Judy Wagner, CCE from Roche Diagnostics was awarded the O.D. Glaus Award, Susan Thomas, CBA, Eli Lily received the CBA Designation of Excellence, and Denise Kephart, CBA, Lozier Corporation, won the CFDD Distinguished Member Award. Twelve members were nominated for awards this year of which three are finalists and two others have been named as award winners: Terry Lawler, CBF, CCRA, The Chamberlain Group, will receive the CCRA Designation of Excellence Award and the Emerging Leader Essay Award will go to Kevin Stinner, CCE, CCRA, Crop Production Services. The Robert L. Vodraska Scholarship Foundation awarded 18 scholarships in the amount of over $6,000. Scholarships were awarded to members in all eight states. A monthly webinar series enjoyed participation from 171 members. Video conferencing equipment has been installed and we will be able to begin delivering education from our Rolling Meadows Headquarters to our members in remote regions beginning in the fall. We are in the midst of holding seven annual meetings throughout the regions and held three successful credit conferences last fall. We continue to reinvest in the Association. We have replaced all light fixtures inside and outside in Rolling Meadows office with higher efficiency LED lighting, saving an average of over $300 per month in electrical costs. Our tenant in our Rolling Meadows office space exercised their 5-year renewal option. Our 401K administration service provider was reviewed to ensure the service provided to us and the cost were competitive. All requirements for PCI compliance were completed. NACM Connect continues to be the NACM leader in industry credit groups. We administer 88 groups in all regions. We gained 35 new data contributors to the National Trade Credit Report. Two new local groups were established in NACM Upstate NY. Three industry credit groups were successfully transitioned to the CMS MAY/JUNE 2017 PAGE 7

All industry credit group administrators renewed their Certified Group Administrator status. A full menu of credit reporting choices are available to our members. The Credit Reporting sales team has had an exceptional year, growing revenue by 20%, with 131 members signing up for new subscription or deposit programs. They also signed up 24 new NACM Connect members last year. The department’s budget was exceeded by $394,000. Our new deposit contract the provides flexibility by being able to access both domestic and international credit reports from D&B, Experian, Equifax and SkyMinder. Continue to build and develop the NACM National Trade Credit Report. NACM Connect came in first place for new customers and second overall in new sales in a Dun & Bradstreet contest.

We re-designed the NACM Connect credit report web pages for Illinois, Great Lakes and New York. Our exposure is continually enhanced through our Marketing Department. A bimonthhly eNewsletter, The Credit Check was launched. Mini-websites were created for all NACM Connect conferences. An infographic was designed explaining and promoting the path to a credit designation. Continuing to fine tune our social media platforms. Will soon be launching an experimental ad campaign on Facebook. NACM Midwest Business Staffing continues to find employment for our members. A total of 18 people were placed in temporary, temp to hire and direct hire positions. We enhanced the temporary employee experience by creating a web-portal for them to upload tax documents and timesheets. Illinois direct hire placements exceeded

budget by over $77,000 and we completed our first year of staffing in the Ohio region. Recently, the first Credit Professionals Compensation Survey was conducted with over 230 companies participating. I am very optimistic for the upcoming fiscal year. Our goal this year is to continue our growth in terms of both revenue and membership while providing our members with exceptional products and services. Illinois Construction Stuff and Stuff By Norm Cowie, CCE

If you’ve been reading my articles* (if not, why not?), then you know it’s really hard for me to say I’m wrong. Those words don’t come easily to my mind, and if they survive warring synapses that protect my pride, they don’t usually make it out of my mouth, at least in intelligible form.

to bond and replace any lien claims by their subs. This, of course, will result in the GCs writing these terms into their contracts with said subs.

But … (sigh)… yeah, I just might be wrong.

But I gotta tell you a quick story (Let’s see, how many more words do I get in this article? Okay, I think I’m okay, so here goes.)

There, I said it. Well, wrote it, but I still didn’t say it, so nobody can hold it against me. Here’s what I’m talking about. Section 38.1, which allows any party to replace a lien with a bond, might, maybe, perhaps have some positive attributes. I’ve written a bunch of articles ranting and frothing about how 38.1 is going to kill the lien law in Illinois, but after a year and a few odd months, the lien law is holding on pretty steadily. Of course, that may be because owners and GC’s simply haven’t learned they can wipe out liens like this. Or maybe, it might be that it’s not going to be used all that often. I even spoke with a bonding company and they were completely unaware of the new law. Let’s examine why it might not be problem in the future. First of all, the bond is going to be more expensive than a normal payment bond, because the bonding company is going to anticipate that there will most likely be litigation. A normal payment bond might cost a couple points, but a bond to replace a lien might cost as much as ten points. That, plus the bond has to be for 175% of the amount of the lien claim. So bonding over a $100,000 lien could run roughly $17,500 (10% of $175,000). So it’s a bit costly. Second, would the GC be willing to fork out this kind of money when they most likely have a pay-when-paid contract with their subs? If it’s not their money getting held up, I doubt it. Though this might change once poo-poo heads, er, attorneys start writing terms into owners contracts requiring GCs

Devious, huh? And you wonder why I pick on attorneys.

One of my customers came in to see me a month ago or so. He said he was a subcontractor on a job, but also subcontracted another electrician to do some of the electrical work in his contract. That sub-sub-contractor … at least to hear my customer tell it … did a crappy job. Late with work, lots of problems. He fired them and when they left the job site, not only did they take their own tools and equipment, but they also took a bunch of material that he had purchased. So he called the cops on them. He got the product back (nobody wants to go to jail), but then they filed a lien for the amount they owed, but also for work they hadn’t yet completed. This put my customer in a bad light with the owner of the project who told him that until the lien was cleared up, he couldn’t bid any more of their many upcoming projects. He sucked in his pride and called the subsub-contractor, and offered payment of what they had coming to them, and they said, “nope, all or nothing.” The choice: pay them more than they have coming, or fight it out in court, all the while losing business opportunities with the owner. When he told me all this, I blurted out words I never thought I’d hear myself say (other than “No” to ice cream), “You know, you could always get rid of their lien by bonding it with a Section 38.1 bond.” (Yeah, I’m surprised, too.) Because, you know, this would be a great application for the law.

One that solves a dilemma, and frees my customer to do business with the owner while giving the sub-sub-contractor a path to air their grievances and, if possibly recoup both money and attorney fees. So maybe 38.1 does have some positive qualities to it. Maybe I was wro… er… not entirely correct about what it’s going to do to the lien statutes. Maybe we will see good governance from our Federal government. Maybe mosquitoes will stop biting. Maybe … Oh, wait, last thing. An update on House Bill 2615, the bill my legislator introduced adding conditional waivers to the lien law. There was some opposition by the Illinois Land Title Assn and Home Builders Assn, but in both cases it was an objection mostly to some of the language, but not necessarily an issue with the intent of the law. I’m working with both and with an attorney from the ASA to tighten the language. More later! The Importance of a Credit Application and Personal Guarantee What’s the main purpose of a credit application and why do they exist? “The key goal of a credit application is to assist the seller in learning as much as possible about the applicant before making a decision to extend credit,” according to NACM’s Principles of Business Credit. Another reason for having a credit application is to “create a contract between the seller and the buyer.” Within this contract are important details about the applicant, which include: the applicant’s legal name, address, contact information, Federal Tax Identification Number (FEIN) and the amount of credit requested, among other items. Making sure the correct name is on the credit application is the first step to a successful document, said Matthew Jameson, Esq. of Dallas-based Jameson & Dunagan, P.C. It is important to note that having an assumed or trade name could hold up the application process initially and cause issues down the line. This falls under the umbrella of “Know Your Customer (KYC).” The credit application is designed to help credit professionals make the best, informed “decisions about a customers’ ability and willingness to meet obligations within credit terms,” according to NACM’s publication. Two other goals for a credit application are to limit credit risk and to get a better understanding of a customer’s business. “The credit application is the credit professional’s first, and sometimes only, opportunity to protect their company from risk of loss through credit sales and/or fraud.”

Another way to assure payment is with the personal guarantee. It could wind up being the difference between getting paid and not getting paid, said Jameson. “Often, the personal guarantee is the most important piece of the credit

application,” said Jameson in Business Credit magazine’s January 2017 issue. This clause in the application makes it so guarantors cannot escape the debt. Some of the items to consider, according to Principles of Business Credit are: • Personal guarantees should be irrevocable without a written notice • They should be termed a “payment guarantee” as opposed to a “performance guarantee” • The guarantee should continue as long as the debt exists—a “continuing” guarantee • Guarantors agree to pay all costs of collection (attorney’s fees and court costs). The personal guarantee could come into play later on if litigation occurs. Creditors with a personal guarantee have someone to go after if an entity such as an LLC loses assets. The underlying obligor is someone to pursue for payment should the life of a credit application go this far. The two types of guarantees, guaranty of collection

and guaranty of payment, differ in such that a creditor can sue the underlying obligor and the personal guarantor at the same time with a guaranteed payment, according to Jameson. When putting together credit applications, Jameson said he makes sure the language is clear and that the personal guarantee statement is not ambiguous. He added to make sure it is an open and continuous guarantee and not limited in time, so it will remain in force until the guarantee is terminated with a written notice. If the guarantor decides to remove their personal guarantee to personally back all debts, then the creditor has to make the decision whether to continue doing business or end ties. If it is time for a credit application update, “both the customer and the personal guarantor must consent to any revised terms,” according to Jameson’s article in Business Credit magazine. He added to always be careful when dealing with a personal guarantee. You don’t want to remind them about it if they have forgotten, causing them to remove the personal guarantee. Sometimes the best approach is to “continue to operate on the old terms … [rather] than risking the loss of personal liability,” Jameson said. One thing for credit professionals to remember is they could receive three separate signatures while drafting a credit application: “the signatory of the credit application, the signatory of the consent to obtain a consumer credit report and the signatory of the personal guarantor,” said Principles of Business Credit. ■ -Michael Miller, Editorial Associate, NACM MAY/JUNE 2017 PAGE 17

Supreme Court Summarily Vacates Fifth Circuit Decision Upholding Texas Surcharge Prohibition On March 29, 2017, the United States Supreme Court issued its long-awaited decision in Expressions Hair Design, et al. v. Schneiderman, holding that New York’s prohibition against surcharging credit card transactions is a regulation of commercial speech and remanding the case to the Second Circuit Court of Appeals for further consideration as such. On Monday, April 3, 2017, the Supreme Court ruled on petitions for certiorari in the two other surcharge-related cases that were pending before it. In Rowell, et al. v. Pettijohn, a group of merchants sought review of a decision by the Fifth Circuit Court of Appeals, which, like the Second Circuit in Expressions, held in early 2016 that the Texas surcharge ban is a constitutionally permissible regulation of pricing. On Monday, the Supreme Court granted the merchants’ petition, summarily (i.e., immediately and with no further briefing or argument by the parties) vacated the Fifth Circuit’s decision and remanded the case back to the Fifth Circuit for further consideration in light of the Supreme Court’s holding in Expressions. In Bondi v. Dana’s Railroad Supply, et al., the Florida attorney general sought review of a decision by the Eleventh Circuit Court of Appeals, which held in late 2015 that Florida’s surcharge ban is a facially unconstitutional regulation of merchants’ speech. The Supreme Court denied the state’s petition for a writ of certiorari, leaving the Eleventh Circuit’s ruling intact. As a result, the Florida surcharge ban has effectively been overturned in its entirety. Denial of certiorari in Dana’s means the Supreme Court will not have an opportunity to provide further guidance on the application of the commercial speech doctrine to credit card surcharge bans unless and until another case—possibly even Expressions or Rowell, depending upon the outcome in those cases on remand—comes up from the courts of appeals. However, the Dana’s decision at least suggests that the Supreme Court is receptive to the Eleventh Circuit’s reasoning, and is a knockout punch for Florida merchants, whose surcharging fight is now over unless and until the Florida legislature decides to craft a new surcharge ban.

Supreme Court Determines New York Credit Card Surcharge Ban Regulates Speech On March 29, the United States Supreme Court issued its ruling in Expressions Hair Design et al. v. Schneiderman, in which a group of retailers challenged New York’s prohibition on credit card surcharges. The challenged New York statute, N.Y. General Business Law § 518, provides that “No seller in any sales transaction may impose a surcharge on a holder who elects to use a credit card in lieu of payment by cash, check or similar means.” Prior to 2013, Visa and MasterCard rules mostly prohibited U.S. merchants from imposing surcharges for credit card payments, rendering the New York statute essentially redundant. However, as a result of a massive 2013 antitrust settlement (which was recently overturned by the Second Circuit Court of Appeals and is in the process of being re-engineered), Visa and MasterCard amended their rules to permit merchants to surcharge credit card payments, bringing the New York statute and similar laws in a handful of other states back into the news—and in several instances, into court. The Expressions plaintiffs sought to enjoin the New York Attorney General from enforcing § 518 against them, arguing that the statute violates the First Amendment by regulating how they can communicate prices to their customers. Rather than raising prices across the board and offering a discount for cash payments, the retailers wanted the ability to maintain and post their usual, single prices, but charge an additional fee for credit card payments to properly reflect the added costs imposed by the credit card networks. The merchants prevailed in the United States District Court for the Southern District of New York, which held that § 518 is unconstitutional because, among other infirmities, the statute impermissibly regulates merchants’ speech by drawing an arbitrary distinction between the words “discount” (which was permissible) and “surcharge” (which was forbidden) even though the economic underpinnings of both are essentially the same. The Second Circuit Court of Appeals reversed the District Court, holding that § 518 is not unconstitutional because it is simply a pricing regulation and because it

is “far from clear” that § 518 prohibits dual pricing (i.e., separate prices for cash and credit, as opposed to a single price plus a surcharge for a particular mode of payment). The Supreme Court granted certiorari to review the Second Circuit’s decision. In the Supreme Court, the merchants waived a facial challenge to the overall constitutionality of § 518, and instead challenged the statute only as it has been applied to them in one particular pricing scenario: posting a single cash price and an additional credit card surcharge (either as a percentage of the price or a fixed amount). For instance, a particular retailer might post the price of a particular item at $9.99 but also disclose that it imposes a 3% surcharge for credit card payments. The Supreme Court agreed with the Second Circuit’s determination that § 518 would bar this type of pricing arrangement. However, the Supreme Court disagreed with the Second Circuit’s holding that § 518 is simply a pricing regulation, holding instead that § 518 regulates speech because it regulates “the communication of prices rather than prices themselves” (emphasis added). Accordingly, the Supreme Court remanded the case to the Second Circuit to consider § 518 instead in the same context the District Court previously did—as a regulation of commercial speech and thereby determine the constitutionality of the surcharge ban as applied to this pricing arrangement. It is likely, given the Supreme Court’s directive to consider § 518 as a speech regulation, that the Second Circuit will reverse its prior course on remand and will instead uphold the District Court’s determination that § 518 is unconstitutional, at least as applied to the “single price” pricing arrangement described above. The takeaway for merchants accepting credit cards from customers located in New York (debates regarding the applicability of § 518 to business-to-business transactions aside) is that, pending the Second Circuit’s ruling on remand, it is very likely § 518 will no longer prohibit the posting of a single price and the imposition of a surcharge atop that price for payment by credit card. ■ – Bruce Nathan, Esq., and Andrew Behlmann, Esq., Lowenstein Sandler LLP

Kevin Stinner has been in credit and collections since 2007. He earned his BA in Business Management and leadership in 2001 from Blackburn College, and a MBA with emphasis in management in 2004 from AIU. He is currently the Credit Manager for Crop Production Services where he has worked since 2007. He earned his CCRA in 2013 and CCE in 2011. He is currently Chair of the NACM Gateway Region Advisory Board, Director of the Chicago Midwest Governing Board and member of the editorial committee for “Business Credit” magazine. Kevin is a contributing author for “Business Credit” magazine and a webinar presenter for NACM National. He’s been a presenter at Credit Congress, NACM Connect Annual Meetings and Credit Conferences. Kevin was the recipient of the NACM Gateway Region’s 2015 Credit Excellence award.
