The Natural Extension of MLP’s Mission to Investor Relations

As a self-described investment company, MLP’s focus is on finding strategic and systematic solutions for underperforming real estate investments in growing markets and stabilizing them for “best use”.

Our targeted assets are affordable housing communities within the greater Greenville and Spartanburg SC to greater Charlotte NC, a territory that is experiencing rapid growth but lacks sufficient affordable housing options. Our rehab of these communities is intended to encourage residents to become more involved in the community and ultimately purchase their unit.

This goal embodies MLP’s objective to provide individuals with financial security through home ownership.

How does Investor Relations fit in?

We know that continued growth requires a solid and sustainable financial position. Our objective is to increase MLP’s financial base, helping to ensure our long-term success.

Following is our more global financial strategy, defined to support MLP.

The MLP Investor Relations Policy and Strategy

Investment Objective:

Develop new, optimize and preserve existing, MLP capital to support our affordable housing projects and to balance the MLP portfolio.

Investment Strategy: •

To obtain additional distressed affordable housing properties in our targeted territory that show promise of positive return with limited downside risk and a likelihood of future transition to resident ownership.

To maintain positive long-term returns on carefully chosen commercial / industrial investment projects; and

•

To continue development of new investment opportunities to increase MLP’s investor base.

Investors participate in our underlying projects, both affordable housing and commercial / industrial properties, through debentures and equity participation. Ø

Through our debentures investors gain consistent reliable income with very little risk. These instruments are currently guaranteed by the PAM Trust and redeemed upon maturity or redirected to another MLP investment.

Our “TIC” investments provide the opportunity for equity participation in both our affordable housing projects, commercial and industrial properties. As an equity owner / investor you receive a passive income return on the investment as operations stabilize, as well as the opportunity to participate in the growth of the property upon its ultimate sale. These “TIC” investments also qualify as 1031 exchange property investments, providing additional tax benefits to investors. It is important to note that equity investments such as these are intended to be long-term investment options. They will not have a readily available market for subsequent sale. The greatest benefit comes from holding the asset long-term.

With all this in mind, we have developed some new investment opportunities. Here is a snapshot of our 2021 – 2022 investment options.

I. Debt Instrument / Investment Account.

II. Debt Instrument / Capital Loan Account.

MLP offers an Investment Account pursuant to which you will receive a Promissory Note from MLP that is personally guaranteed by Peter Morgan. The Investment Account requires a minimum investment of $50,000. This Account has a four (4) year term and yields Four Percent (4%) interest annually. Payments can be made or reinvested quarterly, in arrears.

MLP offers a Debt Instrument / Capital Loan Account. You will receive a Promissory Note from MLP that is personally guaranteed by Peter Morgan or by the Peter A. Morgan Revocable Trust. The minimum investment in this Account is $50,000. The Loan Account has a four (4) year term and yields Seven and One-half Percent (7.5%) interest annually.

Interest Payments are made or reinvested quarterly, in arrears.

Because this, and the following Investment Accounts, are debt instruments fully personally guaranteed by Peter Morgan or by the Peter A. Morgan Revocable Trust, the risk level is conservative.

This Capital Loan Account has been filed with the United States Securities and Exchange Commission under “Regulation D”, which means that the investment is not registered with the SEC as a “security” and, accordingly, is exempt from many securities regulations. However, there are certain restrictions associated with a Reg D investment. Our investment package will provide all necessary details.

In addition, this Debt Instrument/Investment Account is always available as a vehicle for the initial placement of investment funds as you consider our other investment options or are awaiting availability of pending MLP opportunities.

Funds can be easily transferred to other MLP investments.

MLP New Investment Opportunities | Fall 2021 continued TIC Investment Options Our TIC investments are long-term, passive equity investment opportunities that provide stability and a positive return on your investment. They are intended to be long term investments, yielding the greatest benefit after a minimum hold of 4-5 years.

Moore’s Chapel Village (“MCV”) II | 9115 Samlen Lane, Charlotte, NC.

Units in Phase II are being offered at $57,000/unit, equaling a 1% interest in the property, up to a maximum offering of 20% of the MCV property.

In January 2021, we closed on the MCV I TIC offering. Phase I was offered at $45,000/unit equaling a 1% interest in the property. Based on the strong performance of the project, its value and that our financial position has increased substantially, we are currently offering a MCV II TIC investment opportunity as follows: •

An Industrial Asset Portfolio | TIC Investment Opportunity.

We have begun to develop a portfolio of certain commercial/industrial properties to be offered as additional TIC equity investments. These have historically been high-performing commercial assets for MLP. Our TIC investments are long-term, passive equity investment opportunities that provide stability and a positive return on your investment.
