Terms&Conditions

1. INTRODUCTION

WearepleasedtoconfirmYourkindinstructionsauthorisingUstoactasYourAgentinthelettingand/ormanagementofYourProperty.WetrustthatanyinformationalreadyprovidedbyUswillbe ofassistancetoYoubutshouldmentionthatsuchinformationhasbeenbaseduponOurknowledgeofthemarketandprevailingmarketconditions.Weshouldalsomentionthatnostructural examinationofthePropertyhasbeenundertakenbyUs.Ouradvicegivenonthelettingpriceisontheunderstandingthattherearenoonerouscovenantsorconditionsattachedtothetitleofthe Propertyand/oranystructuraldefectstothePropertywhich,ineithercase,couldmateriallyaffectthelettingprice. ThisAgreementsetsouttheTermsofthecontractbetweentheLandlordandtheAgentanddetailstheobligationsofeachPartytotheother.Thisisalegallybindingcontractoncesignedanddatedby bothParties.EveryefforthasbeenmadetouseplainlanguageinsettingoutthisAgreementbutinevitablytherearesomelegalterms,thedefinitionsofwhicharesetoutbelow.Pleasereadthis documentcarefullyandrequestanexplanationofanythingYoudonotunderstandbeforesigningit.

2. DEFINITIONS

Agent,We,Us,orOur:

Applicant:

“BrandVaughan”atradingnameofBrandVaughanLimited,ouremployeesornominatedAgentsoraffiliates,oranyotherdulyauthorisedperson,notifiedto theTenant,whoisactingfromtimetotimeonbehalfoftheLandlord.

Theperson(s)whoisseekingtoenterintoanAgreementtoRenttheProperty.

AssuredShortholdTenancy/AST: AssuredShortholdTenancy,isthedefaultlegalcategoryofresidentialTenancyinEnglandandWales.ItisaformofAssuredTenancywithlimitedsecurityof tenurewhichwasintroducedbytheHousingAct1988.

CalendarDayorDay: Meansanydayoftheyear,includingSaturdays,SundaysandBankHolidays

CommunalParts/Area Asharedareawhichcanbeusedbyalloccupiersinthebuildingsuchasentrancehall,corridors,stairsandlifts.

Consentof theLandlordor hisAgent: Wheretheconsentof theLandlordorhisAgentisrequiredfortheTenanttocarryoutsomeactionitisstronglyrecommendedthat wheresuchconsent isgranted,theTenantobtainsconfirmationinwritingsoastoavoidmisunderstandingsordisputesatalaterdate.

Deposit/SecurityDeposit: ThemoneyheldagainstanylosssufferedbyYouasaresultof anyfailureof theTenanttofulfilhisobligationsassetoutintheTenancy Agreement. DepositheldasStakeholder: Attheendof theTenancy,theLandlordandTenantshouldjointlyagreeontheapportionmentof anydeductionsfromtheDeposit.Any portionin disputeshouldnotbepaidoverto,ortakenby,eitherPartyuntilandunlessmutualAgreementisreachedorunlessan appropriatethirdpartymakesa decision.

Fixtures&Fittings/Contents: ReferencestoFixtures&FittingsrelatetoanyoftheLandlord’sfurniture,furnishings,sanitaryware,decorativefeatures,whitegoods, otherequipment oranyfloor,ceilingorwallcoveringsandincludesanythinglistedinanyInventoryand/orScheduleofConditionas supplied.

FullyFurnished:

SamedefinitionasFurnishedbelow,plushouseholditemsandkitchenutensils.

Furnished: SamedefinitionasUnfurnishedbelow,plusfurniture.

Guarantor: ApersonwhoactsasaGuarantortoaTenantandbecomesboundtotheTenancyAgreement,whichentitlestheLandlordtolegally requestthe GuarantortopayRentif theTenantfailsto.

HeadorSuperiorLease: MeansaLease(if any)underwhichtheLandlordholdsorownstheProperty,andwhichcontainstheobligationswhichtheLandlord,or hisTenantsin turn,maybebound.

Household:

Thiscanbeafamily,acoupleorasingleperson.

ICO: TheInformationCommissioner’sOfficeistheindependentregulatoryOfficeinchargeof upholdinginformationrightsintheinterestof thepublic.

InsuredRisks: The“InsuredRisks”referstoinsuranceagainstfireandtheusualcomprehensiverisks.

Inventory,Inspection,Checkout,

Scheduleof Condition:

ThisreferstoanydocumentpreparedbytheLandlord,theAgentoranyInventoryClerkandprovidedtotheTenant,detailingtheLandlord’sfixtures,fittings, furnishings,equipmentandthedecorandconditionofthePropertyingeneral.SuchadocumentmaysubsequentlyberelieduponattheendoftheTenancy inassessingdamage,orcompensationfordamage(overandabovefairwearandtear)andsoshouldbecheckedcarefullyatthecommencementofthe Tenancy.Anysignificantmistakes,mis-descriptionsorotheramendmentsshouldbenotifiedtotheLandlordorhisAgentwithinfivedaysofreceiptofsuch Inventory.Inordertoavoidmisunderstandingsordisputeslater,itisstronglyrecommendedthatthisnotificationbeinwritingandacopykeptforfuture reference.AnyInspectionofthePropertyshouldnotbeconsideredastructuralsurveyandWecannotacceptliabilityforhiddendefectsorforfailuretonotice anythingconcealedfromUs.Inspectionsof thePropertywillnotincludeanyloftspacewhichhasnotbeenconvertedforthe Tenantsuse.Inspectionsof anycellar,garageorshedwillonlybecompleteduponwrittenrequestfromtheLandlord.

Joint&SeveralLiability: TheexpressionJointandSeveralliabilitymeansthatJointlytheTenantsareliableforthepaymentofRentandallliabilitiesfallinguponthemduringthe TenancyaswellasanybreachoftheTenancyAgreement,oranyextensionofit,untilallpaymentshavebeenmadeinfull.IndividuallyeachTenantis responsibleforpaymentofallRentandallliabilitiesfallinguponthemaswellasanybreachoftheTenancyAgreement,oranyextensionofit,untilall paymentshavebeenmadeinfull.AmaximumoffourpeoplecanbesuchJointTenants.WherethereismorethanoneLandlord,theywillalsobeJointand Solelyliableforallfees,expenses,costsandLandlordsundertakingsandagreementsasoutlinedinthisAgreement.

Landlord: Theperson(s),firmorcompanynamedinthe‘OurAgreement’form,whoatanyrelevanttimeown,orhaveaformalinterestinthePropertythatgives themrighttopossessionoftheProperty.

MandatoryHMOorHMO: Ahouseinmultipleoccupationisapropertylettofiveormorepeople,fromtwoormoreseparateHouseholdswheretheOccupiersshare basicamenities. Masculine&Feminineand

Singular&Plural: Anyreferencetoeitheronegenderincludestheotherandanyreferenceinthesingularshallincludetheplural,if appropriate.

Member: TheAgentwhoisaMemberof theTenancyDepositScheme.

Month/Monthly: MeansacalendarMonth.

Office: OurregisteredOfficeaddress,orprincipalplaceof business.

Party/Parties: AllindividualsnamedwithinthisAgreement,whichincludestheAgentandtheLandlord(s).

Property: ThePropertyspecifiedinthe‘You&YourProperty’formtogetherincludinganypartof thedwelling-house,gardenspaths,driveways, fences,boundaries orotheroutbuildings,whichformpartof thelet.

RelevantPerson: MeansapersonwhopaidtheDepositoranypartofitonbehalfofaTenant:

Rent TheincomeaccruedfromthePropertythatisbeinglet.

Scheme: MeansanauthorisedTenancyDepositProtectionScheme(setupinaccordancewiththeHousingAct2004andoperatedunderaservice concession agreementwiththegovernment)administeredbyTheDisputeServiceLimited.

Sharer: ThreeormoreunrelatedpeopleintwoormoreseparateHouseholdssharingatoilet,washingfacilitiesorcookingfacilities.

Stakeholder: MeansapersonorbodywhoholdstheDepositatanytimefromthemomentithasbeenpaidbytheTenantuntilitsallocationhasbeen agreedbythe partiestotheTenancyAgreement,determinedbytheADRprocess,ororderedbytheCourt.

StatutoryTimeLimit: MeansthetimelimitsetoutintheHousingAct2004(asamended)inwhichtheinitialrequirementsoftheSchememustbemet,and prescribed informationmustbeprovidedtotheTenantandanyRelevantPerson.

SuperiorLandlord: People,orpersons,towhomtheownershiporinterestintheLeaseholdPropertymightrevertinthefullnessoftime,followingtheexpiry of thetermof anyhead,orSuperiorLease.

TenancyAgreement: ThewrittencontractbetweentheLandlordandtheTenant.

TenancyDepositScheme,TDS: Undertherequirementsof theHousingAct2004allDepositsheldunderAssuredShortholdTenanciesmustbeprotectedandheldin

accordancewithagovernmentapprovedScheme.WewillprotectDepositsundertheTenancyDepositScheme.

Tenant/Occupant: Theperson(s),whoatanyrelevanttimeareentitledtooccupythePropertyunderthetermsof aTenancyAgreement.

TermsandConditions,T&C’s: TheAgentsTermsof BusinessforLettingandManagementServicesanditssuccessorintitleorassigns whicharewrittenfromtimetotimeandsignedbythe Landlord.

TheTermortheTenancy: Referencestothetermof theTenancyincludeanyextensionorcontinuation,oranystatutoryperiodicTenancywhichmayarise followingthe endoftheperiodsetoutinThePrincipalTerms.

Unfurnished: AnUnfurnishedPropertynormallyincludescarpets,curtains,lightfittingsandwhitegoods.TheTenantisexpectedtobringtheirown furnituretoenable themtooccupytheProperty.

Utilities: Thisincludescharges,ratesorcostsrelatingtoGas,Electricity,Oil,CouncilTax,TelephoneandBroadbandservices.

WaterCharges: Thisincludescharges,ratesorcostsrelatingtoWater,SewerageandEnvironmentalservices.

Week/Weekly: Meansafullweek,i.e.,sevenfullCalendarDays.

WorkingDay: MeansadaythatisnotaSaturdayorSunday,noranydaythatisaBankHolidayundertheBankingandFinancialDealingsAct1971or anycustomaryor publicholidayinEnglandandWales.

You,YourorYou’re: TheLandlordortheLandlords obligations.

3. SERVICELEVELAGREEMENT

MANAGEDSERVICE

3.1 TocompleteamarketappraisalofthePropertytoadvisetheLandlordontheRentachievable,dependentuponmarketconditionsandtheconditionofthe Property.Furthermore, noliabilityistakenbytheAgentforthemarketappraisalprovided.

3.2 ErectaToLetboardatthePropertywhereconsideredappropriatebyUsunlessotherwiseinstructedbytheLandlord.

3.3 MarketthePropertytoidentifyaprospectivesuitableTenant.

3.4 Arrangeviewings for prospectiveTenants.

3.5 ReportalloffersreceivedandNegotiateonbehalfofandnotifytheLandlordonceanacceptableapplicationhasbeenreceived,subjecttoreferencesandcontract.TheAgentwill proceedwithanyapplicationdeemedsuitablewithoutpriorconsultationunlessexpresslyrequestedbytheLandlordprior,atcommencementofmarketingtheProperty.

3.6 The Agentwill obtain a holding deposit/reservation fee from the proposedTenant, equal to no more than one Weeks Rent. This holding deposit/reservation fee mustbe returned to the Tenantexceptincircumstances where the Tenantwithdraws, fails a Rightto Rentcheck or provides false or misleadinginformation, which the Landlord is reasonably entitled toconsiderindecidingwhethertogranttheTenancybecauseitmateriallyaffectstheirsuitabilitytorenttheProperty. TheAgentwillbeentitledtoretainanymoniesinthisrespect.

3.7 Obtainreferencesforalladult(aged18+)TenantsontheLandlord’sbehalfincludingallRighttoRentchecksundertheImmigrationAct2014andtheImmigrationAct2016,usinga referenceagency.WheretheresultsareacceptablewithoutfurtherconsultationwiththeLandlord,theAgentwillproceedwiththetenancy.Intheeventtheresultsareunsatisfactory, theAgentwillconsulttheLandlordandtaketheirinstructionsastowhethertoproceedwiththeTenancy.Copiesofthereferencescanbeprovidedonrequest.

3.8 DrawuptheTenancyAgreementincludinganyspecialclausesagreedbetweenbothparties.

3.9 From1June2019,thecostsforreferencingandthepreparationoftheTenancyAgreement(orExtensionAgreement)willbecometheresponsibilityofthe Landlord,asperthe Scheduleof Fees,withtheexceptionof TenanciesthatarenotgovernedbytheHousingAct1988.Suchchargeswillbepayableupon completionof thenewTenancy.Thisdoes notapplywhereaTenancyapplicationhasbeenaborted.

3.10 ArrangefortheTenancyAgreementtobesigned,eitherelectronicallyorby‘wetsignature’,byboththeLandlordandtheTenant;orsigntheTenancy Agreementas‘Agentof the Landlord’whichmeanstheLandlordisboundlegallytoallconditionscontainedtherein.BysigningthisAgreement,theLandlord authorisestheAgenttosigntheTenancy Agreementontheirbehalfunlessinstructedotherwise.OncetheTenancyAgreementhasbeenexecuted,allpartiesare legallyboundtotheTenancy.

AnInventoryoftheProperty’sContentsandaScheduleof ConditionofthePropertywillbepreparedbyUsandchargedinadditiontotheLettingFeeaspertheScheduleof Fees.TheInventoryincludestakingmeterreadingsattheProperty,subjecttoallrelevantinformationbeingprovidedbytheLandlordand availableaccesstothemetersspecifictothe Property.If WeareunabletoaccessandreadthemetersduringtheInventoryandYourequireUstomakean additionalvisittolocatethemeters,thiswillbesubjecttoachargeas pertheScheduleofFees.IfYoudonotrequireanInventory,pleasenotifyUsnolaterthan threeWorkingDaysbeforetheTenancyisscheduledtocommence.

CollectfirstMonth’sRent.IntheeventtheLandlordrequiresUstoactasStakeholderfortheSecurityDepositWewillcollecttheDepositfromtheTenantand anannualchargewill beappliedforregistrationofthesame.Chargesapplyforthisservice,asperOurScheduleofFees.

Onreceiptof initialRentpayment,deductfeesandforwardbalanceof moniestoLandlordbyBACStransferunlessotherwiseagreed.

ArrangeforthePropertytobecleanedifnecessary,priortoletting,uptoalimitof£150.00plusVATtobepayablebytheLandlord.If therequiredcleanis deemedtoexceedthis cost,approvalwillbesoughtfromtheLandlordinordertoproceed.

ProvidetheTenantswiththerequireddetailstosetupaMonthlystandingorder,payablebytheTenant(s).Allsubsequent paymentsafterthefirstMonth’sRentarepayablemonthly unlessitisagreedthatthefullsumof RentfortheinitialtermoftheTenancyispaid inadvancebytheTenant.

ExtendanexistingTenancyfollowingtheexpiryof afixedtermAgreementandnegotiateahigherRentwherepossible,if requestedbytheLandlord.Fees applyforthisservice,as perOurScheduleofFees.

ProvideeachnamedTenantwithafullsetofkeysincludinganyfobsfortheProperty.Ifadditionalsetsneedtobecut,andtheLandlorddoesnotprovidethese totheAgentwithin threeWorkingDayspriortotheTenancystartdate,theAgentwillarrangeforadditionalsetstobecutasrequired.Thecostwillbeborne bytheLandlordandafeeforarrangingthis servicewillapplyasperOurScheduleof Fees.

ProvidetheApplicantwithacopyof thecurrentGasSafetyRecord,ElectricalInstallationConditionReport(EICR),HowtoRentGuideandEPC.Itisthe responsibilityof theLandlordto ensurethatthePropertycomplieswithcurrentlegislationandthatthePropertymeetstherequiredminimumstandards.

Provideinstructionbookletsforallappliances,togetherwithinformationregardingthecareofspecialsurfacesifrequestedbytheLandlordandprovidedthe relevantinstructions havebeenreceivedfromtheLandlord.

ServetheappropriatelegalnoticetoendtheTenancyif instructedtodosobytheLandlord,chargeapplicableasperScheduleof Fees.

TheLandlordwillnotbeentitledtoarefundof anyfeesif theTenancyAgreementisterminatedpriortotheendof theinitialfixedterm.

3.22 Any interestaccrued onmonies thatthe Agentholds on the Landlord’s behalf will be retainedto cover bank andadministration charges etc.Any commission earnedwhile acting on the Landlord’s behalf will be retained to covercosts; and any fees paid by a Tenantwill be retained. Full details of fees paid by a Tenant can be obtained from the Agent’swebsite andcomplywiththeTenantFeeAct.

3.23

ReceivetheRentfromtheTenantontheLandlordsbehalfandforwardthistotheLandlords’designatedbankaccount,lessOurfeesandanyotherappropriate deductionsand submitstatementsofaccounttotheLandlordbyemail.ShouldtheLandlordrequireadditionalcopiesofMonthlystatementsbypostand/orannualstatementsofaccount,forthe purposesoftaxassessment(bypostoremail),theseserviceswillbesubjecttoanadditionalcharge.PleaseseeScheduleofFees.

3.24 ReceiveandholdtheTenants’securityDepositasStakeholderthroughoutanduntiltheterminationoftheTenancy.ThiswillnotapplyiftheprovisionofaLetterofIndemnityinlieuof amonetaryDepositisagreedbetweenthepartiesforaTenancywhichisnotanAssuredShortholdTenancy.WheretheTenancyisanAssuredShortholdTenancy,theDepositwill beheldinaccordancewiththecompulsoryTenancyDepositProtectionScheme.OntheanniversaryofaTenancyandoneveryanniversarythereafter,afeewillbepayabletomaintain theTDSregistration.SeeScheduleof Fees.

3.25 PriortotheendoftheinitialtermoftheTenancy,ascertaintheintentionsof bothpartiesandserveanyrequiredstatutorynoticesforpossessionif instructed andasappropriate.The serviceof noticesoneitherpartywillbebyhanddelivery,orfirst-classpost(deemedservedtwoWorkingDayslater)orbyemail.Ifsent byemailthenoticeordocumentwillbe deemedservedatthestartof thenextWorkingDay.

3.26 NegotiateontheLandlords’behalfthetermsof anyrequiredandagreedextensionorrenewalof theTenancyandprepareoradministertherelevant documentstobesignedbyall parties.Anadditionalfeewillapply,asperOurScheduleof Fees.If theLandlordcannotbecontactedregardingtheTenant’s requestforaTenancyextensionduringthelast60days

of aTenancy,anextensionwillbeenteredintoforafurthertermof uptotwelveMonthsintheabsence of anycontrarywritteninstructionsfromYou,andYouwillbenotifiedof thedetails.

3.27 TwoMonthspriortotheterminationof aTenancy,unlessithasbeenagreedtoextendtheTenancyandintheabsenceofanycontrarywritteninstructionsfromtheLandlord,Wewill re-marketthePropertywithaviewtoarrangingafurtherTenancyofuptotwelveMonthsunderthesameTerms&Conditionscontainedinthiscontract.ARentincreasemaybe appliedatOurdiscretionintheabsenceof writteninstructionsfromYou,andafeeincreasemayalsobe appliedwhereahigherRentisachieved.

3.28 Ifinstructed,arrangeonYourbehalf forthecheckingof theInventoryattheendof theTenancy(Checkout).Anadditionalfeewillapply,asperOurSchedule of Fees. On receiptof written confirmation from both parties of the Tenancy Agreementreached betweenthe Landlord and Tenantregarding anydeductions to bemade from the Deposit, disperse the Depositas instructed and confirmed inwriting byboth parties, and where applicable in accordancewith the compulsory Tenancy Deposit Protection Scheme. The Agent will notbe party to negotiations or agreements regarding Depositdeductions or chargeswith the Tenant, with the exception ofanymonies due to the Agent. Any fees or charges due bytheTenanttotheAgentwilltakepriorityoveranyotherchargesordeductions.

3.29 From1June2019,theRighttoRentCheckswillbecometheresponsibilityof theLandlord,,withtheexceptionofTenanciesthatarenotgovernedbytheHousingAct1988.Itis agreedthattheAgentwillcarryoutanychecksrequired undertheImmigrationActandtheAgentwillberesponsiblefortakingthestepsnecessarytoestablishanexcuseagainsta penalty.Wherenecessary,maintain anyfutureimmigrationstatuschecksduringthetermoftheTenancy,e.g.,if anyTenantorOccupierhasatimelimitedRighttoRent,andto taketherequiredappropriateactionwhereapplicable.ChargesmayapplyandaredetailedintheScheduleofFees.

3.30 TheAgent’sresponsibilitiesforsuchcheckswillonlyextendtothedurationofthisAgreementandattheterminationof thisAgreementtheAgentwilltransfer thestatusevidenceto theLandlordandtheresponsibilityformaintainingimmigrationstatuscheckswillreturntotheLandlord.

3.31 ArrangeonYourbehalf andatYourcostfortherequiredSafetyRegulationsinspectionstobeundertakenpriortothestartandthroughthetermof the Tenancy.SeeScheduleof Fees.

3.32 CarryoutroutineInspectionsandadvisetheLandlordonthestateandconditionof theProperty,subjecttogainingaccesstotheProperty.If theAgentisdenied accesstothe PropertybytheTenant,theAgentwillbeunabletocompletetheInspectionsduetotheTenant’srightto‘QuietEnjoyment’.

3.33 Carryoutthedutiesof theManagingAgentwithregardtoanyrepairsandstatutoryobligationontheLandlord’sbehalf.

3.34 Handleallmaintenanceissuesonadailybasis,if clearedfundsareheldbytheAgent,subjecttoanyagreedfinanciallimits.Byinstructingacontractoronthe Landlord’sbehalf,the Agentwillnotbeheldresponsibleorliableforanynegligenceorbreakof contract,ordamagecausedbythatcontractor.

3.35 IftheLandlordrequeststheAgenttoarrangeorsupervisemajorbuildingorrefurbishmentwork,therewillbeanadditionalchargeforthis.Thetypeof works whichmightneedto beprojectmanagedinthiswayinclude;newkitchen/bathroom,roofing,replacementwindows,newflooring,redecorationorstructural workstotheProperty.Thisisnotan exhaustivelistandisprovidedbywayofexample.OurEmployeesarenotqualified/trainedProjectManagers,howeveras experiencedPropertyManagersareabletoundertake suchwork.Workof thistypeischargedoutandcalculatedagainstthegrossvalueof theproject.PleaseseeScheduleof Fees.

3.36 TheAgentwillnotberesponsibleorliableforthepaymentofanygroundrentorservicecharge

3.37 AdvisetheLandlordifanyarrearsariseandfulfilalllevelsoftheAgentinternalarrearsprocess,providingwrittendocumentationtoenableSolicitorstoacton behalf of theLandlord. TheAgentcannottakecourtproceedingsontheLandlord’sbehalf.TheAgenthowevercanattendcourtontheLandlord’sbehalf.See Scheduleof Fees.

3.38 ServeanystatutorynoticeswhenapplicableorrequestedbytheLandlord.Theserviceof noticesoneitherpartywillbebyhanddelivery,orfirst-classpost (deemedservedtwo WorkingDayslater)orbyemail.If sentbyemailthenoticeordocumentwillbedeemedservedatthestartofthenextWorkingDay.

3.39 Attheendof theTenancytakebacktheTenant’skeys,checktheInventoryandprepare,if appropriate,aCheckoutscheduleof dilapidationsforagreement betweentheLandlord andtheTenant(s).

3.40 EndeavourtoobtainaforwardingaddressfortheTenantwhentheyvacatetheProperty.

3.41 ReturnthesecurityDeposittotheTenant(s)lessanydeductionsinaccordancewiththeTDS.

3.42 TheAgentonlymanagesthePropertyduringthetermofaTenancy.IfYourequire,theAgentcanprovideasupervisoryserviceduringvoidperiodsupon writteninstructionbut subjecttoanadditionalfee.PleaseseeScheduleof Fees.

3.43 Ininstancesthatthelandlordisthefreeholderofalargerpremises(egblockofflats)theagentsresponsibilityislimitedtothemanagement,asdetailedwithintheseterms,ofthe individualpropertywithinthelargerpremisesanddoesnotincludeanycommunalpartsareas.

4. THE LANDLORDS UNDERTAKINGS AND AGREEMENTS

4.1 The Landlord is responsible forpaying the agreed fees as detailedwithin the ‘Our Agreement’ form and those fees detailedwithin the Schedule of Fees that has been provided. VAT is included atthe prevailing rate unless stated otherwise, whichmay changefrom time to time. Whenany person, company or other organisation entersintoabinding contractfor the occupationof theProperty,thefollowingtypesofintroductionwillapply;

i. sightof anymarketingoradvertisingmaterialproducedbytheAgent;

ii. viewingsconductedbytheAgent;

iii.orbyanyverbalorwrittenrecommendationbytheAgent;

iv.bywayofanintroductionfromanexistingOccupierthroughtheworkoftheLandlordoranyotheragentwherethisoccurswithoutnoticebeing giventotheAgent, whichrequiressevendaysnotice.

4.2 TheLandlordshouldprovideinformationofanyviewersorpotentialApplicantsthroughapreviousagent,astheLandlordmaythenbeliablefortwosetsofagentfeesifthat ApplicantthenletsthePropertythroughUs.

4.3 If anotheragentissuccessfulinsourcingasuitableTenant,itistheLandlord’sresponsibilitytonotifyUsinwritingandaslongasWehavenotidentifiedasuitableTenant,therewillbe nocharge.IfasuitableTenanthasbeenfoundbuttheLandlordchoosestoletthePropertytoaTenantintroducedbyanotheragent,thewithdrawalfeewillbecomepayable,asper OurScheduleofFees.UnlessYouinstructusotherwise,thisisaSoleAgencyAgreement.

4.4 ShouldtheTenantorLandlordlawfullyexerciseareleaseorbreakclause,OurfeewillbepayableuptoandincludingthelastlawfullydueRentpaymentand willceasetobe applicablethereafter.

4.5 Intheeventof theTenantceasingtopayRentforwhateverreasonotherthanthelawfulexerciseof areleaseorbreakclausethefeeduetoUswillremaindue andpayableupon demand.

4.6 Norefundof anyfeesreceivedinadvancewillbegivenshouldtheTenantceasetopayRentforwhateverreasonotherthanthelawfulexerciseof areleaseor breakclause.

4.7 Intheeventthatthelegaltitle/ownershipofthePropertychangesduringthecourseoftheTenancy,Youwillremainliableforallfeesthatwouldordinarilybe dueandpayablefor thefulltermof theTenancy.However,if thenewowneriswillingtomaintaintheTermssetoutinthisAgreementandbeliableforthe same,thiswillsupersedesuchliability.

4.8 Interestwillbechargedat3%abovetheBankofEnglandBaseRatefromtimetotimeonanysumsowingfromtheduedateuntilpaymentismadewhether beforeorafter judgementhasbeenobtained.

4.9 WherethereareJointOwnersoftheProperty,eachLandlordisJointandSeverallyLiableforallfees,expensesandcosts.

4.10

ThepersoninstructingtheAgent,theLandlordnamedonthisAgreement,isentitledtorentthePropertyandiftheyarenotthelegalownerornotthesolelegalownertheyhave writtenconsenttodosofromanyonewithbeneficialinterest.TheLandlordconfirmstheyhaveobtainedanynecessaryconsentsfromallPartieswithbeneficialinteresttotheProperty andacceptsfullliabilityaccordingly.IftheLandlordisacompany,thepersonsigningonbehalfofthebusinessmusthaveauthoritytodoso,i.e.theCompanyDirector/Secretary.Proof ofauthoritytosignmayberequestedifrequired.

4.11 TheLandlordwillobtainanynecessaryconsentstolet.Theseincludebutarenotlimitedto;theFreeholder,MortgageLender,Insurer,ManagementCompany,LocalAuthorityand anyotherinterestedthirdparty,ifapplicable.TheLandlordconfirmstheyhaveobtainedanynecessaryconsentsandacceptsfullliabilityaccordingly.

ProvidecopiesoftherelevantconditionsoftheMortgageLender,ifapplicable,totheAgentforinclusionwiththeTenancyAgreement.Specialconditionscannotbeaddedafter theTenancyAgreementhasbeensignedbytheTenantand/orLandlord/Agent.

ProvideacopyoftheHeadLeasetoattachtotheTenancyAgreementtoensuretheTenantcomplieswithanyconditions.TheHeadLeasemustbeprovidedtotheAgentpriortothe creationoftheTenancyAgreement.

Providecopiesof therelevantsectionsof theBuildingsandContentsinsurancepoliciestoensuretheTenantabidesbythem.

4.15 If YourinsurancestatesthatYouneedtonotifythemwhenYourPropertyisempty,thenitisYourresponsibilitytodoso.ItisalsoYourresponsibilitytoensure thatYouundertakeany

precautionsstipulatedwithinYourBuildingsandContentsinsurancepolicy,suchaspreventingfrostdamageduringthewintermonthsifthePropertyisunoccupied.

4.16 TheLandlordwillliaisedirectlywiththeirinsuranceproviderregardinganyinsuranceclaimsrelatingtotheProperty.TheAgentcannotactonbehalf of the Landlordasathirdparty.

4.17 TheLandlordmustprovidearesidentialaddressthatisbasedinEnglandorWales,forthepurposesof theTenantservingnotice.If nosuitableresidential addressisavailable,the TenantwillnotbeobligatedtopayRent.TheLandlordmustkeepUs uptodatewithcorrectcontactdetailsandresidentialaddressdetails.

4.18 Whereapplicable,theLandlordwillbeliableatanytimetoreimburseanysumswhichWe,actingonYourbehalf,arerequiredtorepaytothelocalauthority inrespectofHousing Benefit/LocalHousingAllowance/UniversalCredit,receivedonbehalfoftheTenantasaconsequenceofoverpayment,ineligibility,or afraudulentclaim.

4.19 TheLandlordwillalsoprovidetheAgentwithrelevantkeys,fobs,alarmcodesand/oraccessarrangementstothePropertyforthepurposeof viewings.The Landlordwillprovidethe Agentwithonesetof keysforeverynamedTenantontheTenancyAgreementbeforethestartoftheTenancy.IftheAgentisinstructedtoManagetheProperty,theLandlordwill provideafullsetofkeys/fobs,whichwillbeheldattheAgent’sofficeincaseof emergenciesandforthe purposeof carryingoutallManagementrequirements.

4.20 NottodiscriminateagainstanyApplicant,TenantoranyEmployeeof theAgent.If discriminationoccurstheAgentcangiveimmediatewrittennoticeto terminatetheAgreement.

4.21 ConfirmthattheAgentmayreceiveinterest,commission,feesordiscountsfromthirdpartieswhileactingontheLandlord’sbehalf,whichwillberetainedbythe Agent.

4.22 TheAgenthasnoliabilityif theLandlordfailstocomplywithhisstatutory responsibilities.

4.23 AgreethatanyclaimagainsttheAgentwillbelimitedtoamaximumof £2,000,000.

4.24 TheLandlordmustadvisetheAgentif theywillbearesidentoverseasformorethansixmonthsof ayearandconfirmarrangementsregardingtheFinanceAct 1995.TheLandlord mustregisterwithHMRCandprovidetheAgentwiththeFICOapprovalnumber.

4.25 RegisterthePropertyaddresswiththeLandRegistrytoprotectthePropertyfrombeingdefraudedbyanotherperson,i.e.eitherbythemobtainingamortgageonthePropertyorby themsellingit.

4.26 ComplywithallSafetyRegulationsregardingElectricity,Gas,otherfuels,orfurnitureif applicable;ensureallsmokealarmsandcarbonmonoxidedetectorsare inworkingorder;thata riskassessmenthasbeencarriedoutforLegionella;andallblindsandcurtainscomplywithcurrentRegulations.

4.27 ItistheLandlordsresponsibilitytosetupapostalredirectionforanymailthatmaybereceivedattheProperty.TheAgentisnotliableforthecollectionand forwardingof anymail thathasnotbeenredirected.

5. ENERGY SUPPLIERS

5.1 TheAgentmayappointapreferredenergysuppliertoprovideenergysupplymanagementservicestotheLandlord’sProperty.

5.2 TheLandlordherebyauthorisestheAgenttouseapreferredenergysuppliertomanagetheenergysupplyduringthevoidperiodof theirProperty(s).ThismayresultintheAgents preferredenergysupplierchangingtheelectricityand/orgassupplierfortheProperty;however,thiswillnotpreventtheLandlordfromchangingtoadifferentenergyproviderif desired.

5.3 TheLandlordagreesthattheAgentmaypasstheLandlord’snameandcontactdetailstotheirpreferredenergysupplierforthepurposesof:

i. enteringintocontractswiththeAgentspreferredenergysupplierinconnectionwiththesupplyof gasand/orelectricitytoeachPropertywhile thatPropertyisvacant.

ii. engagingwithrelevantenergysuppliersinconnectionwiththemanagementandadministrationofanyenergysupplycontract(s)inconnectionwitheachProperty.

iii.registeringtheLandlordwiththerelevantlocalauthorityforthepaymentofcounciltax;and

iv. registeringtheLandlordwiththeincumbentwatersuppliertotheProperty.ThewatersuppliermaycontacttheLandlordinordertoprovidefurtherinformationabout it’sservicesandproductsandconcludeanagreementwiththeLandlordforthoseservicesandproducts.

v. theTenant(s)inoccupation,forthedurationof theTenancy,willbeinherentlyresponsiblefortheservicedetailedabove.

5.4 TheLandlordnotesthataminimumnoticeperiodof 21daysisrequiredinorderforenergysupplymanagementduringthevoidperiodoftheirPropertytotakeplace.

6. PARKING

6.1 WhereaPropertyhasaparkingspaceattachedtoit,theLandlordwillberesponsibleforsupplyingtheAgentwiththeparkingspacenumberand/orpermitand location.The LandlordshallindemnifytheAgentfromanycost,claims,paymentsandexpensesthatarisefromsupplyingtheincorrectinformation.

7. UNUSUAL BOUNDARIES OR CIRCUMSTANCES

7.1 WhereaPropertyhasanunusualboundary/circumstances,theLandlordwillberesponsibleforsupplyingtheAgentwithallrelevantinformation.TheLandlordshallindemnifytheAgent fromanycost,claims,paymentsandexpensesthatarisefromsupplyingtheincorrectinformation.

8. REPAIRSANDSTATUTORYOBLIGATIONS

8.1 TheAgenthasauthoritytocarryoutrepairstothePropertyanditsContentsupto£250.00plusVATwithoutconsent,saveinthecircumstancessetoutinthis Clause.TheAgent willnotbeliableif sufficientfundsarenotheldonaccount.

8.2 TheLandlordauthorisestheAgenttocarryoutanyappropriateactiontocomplywithallStatutesandRegulationsandtoincurthenecessaryexpenditure.If thelocalauthoritytakes enforcementactionagainstYouastheLandlord,WeasYourAgentwillactuponthenoticetoensureWearecompliant.IfYourefusetoprovideUswithconsenttoremedythe instructedrepairsanddonotprovidethenecessaryfundstocoverthefullcostsincurred,WereservetherighttoterminateOurAgreementwithYouandnolongeractasYour ManagingAgentfortheTenancyortheProperty.

8.3

TheLandlordfullyindemnifiestheAgentagainstallcosts,claims,damagesandexpensesandotherpaymentsmadepursuanttothisauthorityorarisingoutof anybreachornon

8.4 observanceornonperformancebytheLandlordof suchStatutoryObligationsorRegulations,Rulesandorders.

8.5

TheAgentshallnotbeheldresponsibleforthenon-paymentof CouncilTax,Rates(if any)orsupplyof Utilitiespayableinrespectof theProperty.

8.6 If RentispaidinadvancebytheTenantbywayofinstalments,includingquarterly,halfyearly,yearly,orforthefulldurationoftheTenancyforaPropertyManagedbytheAgent,one Month’sRentwillberetainedasareserveforrepairsetc.AnysurpluswillbereturnedtoYouattheendoftheTenancy.If themoney retainedisinsufficienttheLandlordwillbe requiredtomakeupthedifference.

8.7 IntheeventthattheLandlordinstructstheAgenttocarryoutrepairswherethecostfortherepairsexceedsthenetMonthlyRentafteragencyfees,theLandlord agreestoputthe ManagingAgentinfundstomakeuptheshortfallrequiredpriortothecommencementof thework.

8.8

Paymentof contractorsinvoicesaretheresponsibilityof theLandlord.

8.9 IftheLandlordwishestheAgent’sPropertyManagementTeamtousehisowncontractor,pleasenotethefollowingresponsetimes;foremergencyrepairstheLandlordisrequiredto respondandapprovewithintwohoursoftheAgentfirstcontactandfornon-emergencyrepairsaresponsetimeoffiveWorkingDaysisrequired.IftheLandlordfailstorespond,the AgentswillinstructoneofitsapprovedcontractorstoundertakethenecessaryrepairswithoutrecoursefromtheLandlord,uptothevalueof£250.00plusVAT.TheAgentwilluse theirbestendeavourstominimisethespendandprotecttheLandlord’sinterests.

9. THE DEPOSITASSURED SHORTHOLD TENANCY (AST) DEPOSITS

9.1 IfaTenantpaysaDepositinconnectionwithanAssuredShortholdTenancy(AST),theDepositmust,fromthemomentitisreceived,bedealtinaccordancewithagovernment authorisedTenancyDepositProtectionScheme,asrequiredbylaw.

9.2 Since6April2007,LandlordsandAgentsmustuseoneofthreeapprovedTenancyDepositProtectionSchemesbylaw,DepositProtectionService(DPS),MyDepositsandTenancy DepositScheme(TDS).

9.3 TheLandlord/AgentmustgivetheTenantandanyRelevantPersonprescribedinformationabouttheDepositandcomplywiththeinitialrequirementsofanauthorisedSchemewithin theStatutoryTimeLimit.

9.4 IfWereceiveanASTDepositonYourbehalf,WewillservetheprescribedinformationandcomplywiththeinitialrequirementsoftheTenancyDepositSchemeonYourbehalf,unless YougiveUspriorwritteninstructionstothecontrary.

DEPOSITSPROTECTEDBYTHELANDLORD

9.5 IfYoudonotwantUstoprotecttheAssuredShortholdTenancyDeposit,itwillbeYourresponsibilitytoprotecttheDepositasrequiredbylaw.YoumustregistertheDepositwithan authorisedTenancyDepositProtectionSchemewithin30DaysofthedateYoureceivetheDeposit.

9.6 ItwillbeYourresponsibilitytoservetheprescribedinformationandanyotherdocumentsrequiredontheTenant(s)andanyRelevantPerson,complywiththe initialrequirements of anauthorisedSchemeincludingtheStatutoryTimeLimitandtoretainproof ofserviceincaseofanyfuturelegalproceedings.Wewill havenoliabilityif Youfailtodoso.

9.7 ATenantoranyRelevantPersonmayapplythroughthecourtsforcompensationof atleasttheamountof theDeposit,anduptothreetimesof theDeposit,if theLandlord(or someoneactingontheLandlord’sbehalf):

i. FailstogivetheprescribedinformationwithintheStatutoryTimeLimit;or

ii. Failstocomplywiththeinitialrequirementsof anauthorisedSchemewithintheStatutoryTimeLimit;or

iii.Notifies the Tenantor Relevant Person thatthe Deposithas been protected in a Scheme, butthe Tenantor Relevant Person cannotobtaintheScheme’sconfirmation thatthe Deposit is protected. Tenantscanmake an application to a County Courtfor a penaltyaward even wherethe Tenancy has ended, and can do so for up to six years.TheAgenthasnoliabilityforanylosssufferedif theLandlordfailstocomply.

9.8 AvalidnoticeseekingpossessionunderSection21oftheHousingAct1998cannotbeservedonaTenantwhoseDepositisnotprotected.Bylaw,Youmaynotserveanoticeseeking possessionunderSection21oftheHousingAct1988untilYouhaveservedtheprescribedinformation.IfYouhavenotcompliedwiththeinitialrequirementsofanauthorisedTenancy DepositProtectionScheme,YoucannotserveaSection21noticeuntilYouhavereturnedtheDeposit(ortheagreedbalanceofit)totheTenantorcourtproceedingsrelatingtothe returnoftheDeposithavebeendisposedof.

9.9 WeshallnotbeliabletoYouforanylosssufferedorcostincurredifYoufailtocomplywithYourobligationstoprotecttheDepositandgiveprescribedinformation.YoumustpayUsfor anylossorinconveniencesufferedorcostincurredbyUsifYoufailtocomplywithYourobligations.

9.10 ItwillbetheLandlord’sresponsibilitytonegotiatedeductionsfromtheDepositattheendof theTenancy.TheAgentwillnotnegotiateontheLandlord’sbehalf.

9.12 WewillholdtheDepositrelatingtoYourProperty,underthetermsoftheTenancyDepositScheme(TDS).WemustcomplywiththerulesoftheScheme,andthismeansthatWewill notbeabletoactonYourinstructionswithregardstotheDepositifthoseinstructionsconflictwiththeSchemerules.TheSchemerulesareavailabletoviewanddownloadfrom www.tenancydepositscheme.com.

9.13 TheAgentholdsTenancyDepositsasStakeholder.ThismeansthatWeonlypaymoneyfromtheDepositif:

i. BothLandlordandTenant(andanyRelevantPerson)agree;or

ii. ThecourtordersUstodoso;or

iii.TheTenancyDepositSchemedirectsUstodoso.

9.14 WewillservetherelevantprescribedinformationandanyotherdocumentsrequiredandcomplywiththeinitialrequirementsoftheTenancyDepositScheme.Wewillalsoretaina copyoftheprescribedinformationandproofofserviceontheTenant.

9.15 If YouinstructUstoprotecttheAssuredShortholdTenancyDepositachargewillapplyuponeachnewTenancycompleting, asperOurScheduleof Fees.

9.16 AfeewillbechargedtoallLandlordsforre-registeringtheDepositandthechargewillapplyupontheanniversaryofaTenancyi.e.applicablewhentheTenancy entersitssecondyear andannuallythereafter,asperOurScheduleof Fees.

DuringtheTenancy

9.17 WewillholdtheDepositasStakeholderinOurclientaccount(separatefromthemoneyWeusetorunOurbusiness).

InterestearnedontheDepositwillbelongtothepersonentitledtoitundertheTenancyAgreement.

9.19 If theTenancyDepositSchemedirectsUstosendtheDeposittothem,Wemustdosowithin10Daysof receivingtheirdirection.TheSchemewillnotnormally directUstosend themtheDepositunlessthereisadisputeabouthowitistobepaidattheendof theTenancy.

AttheendofanASTWewillliaisewithYoutoascertainwhat(ifany)deductionsYouproposetomakefromtheDeposit.WewillhelpYoutotryandresolveanyareasofdisputewithin areasonabletimeobtainingquotations,estimatesorarrangingcontractorsonYourbehalfinaccordancewithYourinstructions.

OnceYouandtheTenanthaveagreedhowtheDepositshouldbeallocated,WewillaskYoubothtoconfirmYourAgreementinwriting.WewillthenpaytheDepositaccordingto whatYouhaveagreed,withintenDaysofreceivingconfirmationofagreementfromYouandtheTenant(s).WecannotpayuntilWehavetheTenant’sagreement.IfYouhaveJoint Tenants,allofthemmustagree.

YoumustusereasonableeffortstoreachasensibleresolutiontothedisputeassoonaspracticableaftertheTenancyends.

ATenantcanaskUstorepaytheDepositatanytimeaftertheTenancyhasended.YoumustagreetoUsreleasingpromptlyanypartof theDepositthatdoes notneedtobeheld backtocoverbreachesof theTenancyAgreement.WewilltakeYourinstructionsatthetimeregardingtheamounttobewithheld.

IftheTenantasksUstorepaysomeoralloftheDeposit,andWedonotdosowithintenDaysfromandincludingthedateoftheTenant’srequest,theTenantcannotifytheTenancy DepositScheme.TheSchemewillthendirectUstopaythedisputedamounttotheScheme.WehavetenDays,fromandincludingthedateWereceivetheScheme’sdirection,to sendinthemoney.

9.25 IfWeprotectaDepositwiththeSchemeonYourbehalf,YouherebyauthoriseUstopaytotheSchemeasmuchoftheDepositastheSchemerequiresUstosend.WewillcontactYou tokeepYouinformed,butWewillnotneedtoseekYourfurtherauthoritytosendthemoneytotheScheme.

9.26 TheTenancyDepositSchemewillreviewtheTenant’sclaimanddecidewhetheritissuitableforindependentalternativedisputeresolution.Usually,thiswill taketheformof adjudication,butitmayinvolveassistednegotiationormediation.‘Alternative’inthiscontextmeansanalternativetocourtproceedings.Itisintendedtobeafasterandmorecosteffectivewayofresolvingdisputes.TheSchemedoesnotmakeachargetoLandlordsorTenantsforusingthealternative disputeresolutionserviceif itrelatestoanAST.

9.27 IftheTenant’sclaimisreferredforalternativedisputeresolution,WeandYouwillbeinvitedtoacceptorcontesttheclaim.YoumustnotifytheSchemewhether Youagreetosubmit thedisputeforalternativedisputeresolutionwithintenWorkingDaysfrom(butnotincluding)thedateoftheScheme’scommunicationto You.If Youdonotrespondtothe Schemebythedeadline,YouwillbetreatedashavinggivenYourconsenttoalternativedisputeresolution.

9.28 AgentsandLandlordsarepermittedtoreferadisputeaboutaDeposittotheTenancyDepositScheme.IfYouorWereferaDepositdisputetotheScheme,theSchemewillcontactthe TenanttoconfirmwhethertheTenantwillagreetoalternativedisputeresolution.IfthereareJointTenants,alltheJointTenantsmustagree.ATenantwhodoesnotreplytothe SchemeisNOTdeemedtoconsenttoalternativedisputeresolution.IftheTenant(orallJointTenants)donotagreetoalternativedisputeresolution,anddonotagreetotheDeposit deduction(s)Youclaim,YouwillneedtobegincourtproceedingsifYouwishtopursueYourclaim.

9.29 IfthePartiesagreetoadjudication,theadjudicator’sdecisionisfinalandthereisnorightofappeal.Furtherinformationaboutadjudicationisavailablefreeto downloadfrom www.tenancydepositscheme.com.

9.30 TheTenancyDepositSchemewillpaythedisputedamounttotheperson(s)entitledwithintenDaysbeginningonthedatetheSchemereceivesnoticeof (a)the adjudicator’s decisionor(b)anorderfromthecourtthathasbecomefinalor(c)anagreementbeingreachedbetweenYouandtheTenant(s).

9.31 If YouorderanyworktobedoneatthePropertybeforeadisputehasbeenresolved,YoudosoatYourownrisk.Thereisnoguarantee,if Youincurexpense, thatadisputewill ultimatelyberesolvedinYourfavour.

9.32 WhenYouagreetouseOurservices,YouagreethatWemayuseinformationYougiveUs,includinginformationaboutYourself,forthepurposesofperformingOurobligationstoYou.

9.33 YouagreethatWemaysupplysuchinformationasisreasonablyrequiredtotheScheme.YouagreethattheScheme,orthegovernmentdepartmentresponsiblefortheScheme,may contactYoufromtimetotimetoaskYoutoparticipateinsurveys.IfatanytimeYoudonotwanttheSchemetocontactYouforthatpurpose,YoushouldwritetotheSchemeas explainedintheSchemeLeaflet(seewww.tenancydepositscheme.com).

OurDutytoProvideCorrectandCompleteInformation

9.34 WhenYouagreetouseOurservices,YouguaranteethatalltheinformationYouprovidetoUsiscompleteandcorrecttothebestofYourknowledgeandbelief.YouagreetoinformUs immediatelyifitcomestoYourattentionthatanyinformationwasincorrect.

9.35 IfWesufferanylossorincuranycostbecauseinformationYouhavegivenUsisorwasincompleteand/orincorrect,YouagreetopayUstheamountnecessarytoputUsintheposition Wewouldhavebeeniniftheinformationhadbeencompleteandcorrect.ThisclausedoesnotrelieveUsofOurownobligationtousereasonableskillandcareinprovidingOur servicestoYou,ortotakereasonablestepstokeepOurlossesandcoststoaminimumonceWerealisethatthereisaproblem.

WheretheTenancyisnotanAST

9.36 TheDepositdoesnothavetobeprotectedbylaw.However,theTenancyDepositSchemewillmakeitsindependentalternativedisputeresolutionservice availabletoYouasOur client,becauseWeareaMemberof theScheme.

9.37 If adisputearisesYou,WeortheTenantwillcontacttheScheme.Then:

i. theSchemewillproposewhattheyconsidertobethemosteffectivewayof resolvingthedispute(assistednegotiation,mediation, adjudicationorarbitration);

ii. You,WeandtheTenantsmustconsentinwritingtotheproposedmethodif Weallwanttoproceed(if Wedon’t,theoptionsareto negotiateorlitigate);

iii.thePartieswillhavetopayafeeof £600.00inclusiveof VAT(orsuchotherminimumfeeastheSchememaysetfromtimetotime)or 12%of theDepositinclusive of VAT,whicheveristhelargeramount.

9.38 TheSchemewillnotstartthedisputeresolutionprocessuntilallPartieshaveagreedinwritingtousetheSchemeandpaidtheapplicablefeeandthedisputed Deposittothe Scheme.

JointLandlords

9.39 IfthereismorethanoneLandlord,anyofYouwillbeabletoparticipateinalternativedisputeresolution.TDSdoesnotacceptliabilitytoanyoneormoreJoint Landlordsforacting ontheinstructionsof anyotherJointLandlord.TDSdoesnotacceptdirectionsfromJointLandlordstodealonlywithinstructionsagreed unanimouslybyJointLandlords.If You wantalldecisionstobemadeJointlythisissomethingthatshouldbeagreedbetweentheLandlords.Itwillthenbea matterfortheLandlordstoresolveamongthemselvesif oneor morehasnotcompliedwiththatagreement.

10. NODEPOSITSCHEME

10.1 TheNoDepositScheme(NDS),whereatenantdoesnotprovideadeposit,isonlyavailabletolandlordsatour discretion.

10.2 TheNDSwillendwhenwe,foranyreason,stopmanagingthelettingof your property.

10.3 Wearrangereferencingandapprovalproceduresandassessthesuitabilityof theprospectivetenantsusingourextensiveexperience

10.4 Ifattheendofthetenancy,despiteourprocedures,thereareoutstandingamountsinrelationtorentordilapidations,wemayconsidermakingyoua discretionarypayment

10.5 AnyqueriesrelatingtotheNDSandthetermsandconditionsshouldberaisedbeforesigningandif youhaveanydoubtaboutthetermsandconditions,you maywishtoseek independentlegaladvice.

10.6 ItisimportanttonotethatthereisNOentitlementtoanyawardfromus,andwhetherwemakeanyawardand,if so,itsamountisamatterforourabsolute unfettereddiscretion.

10.7 We will notconsidermaking a discretionary award unlessyou have compliedwith the terms and conditions of the NDS setoutbelow. For theavoidance ofdoubt, should we in our absolute discretion decide to make any award, any discretionary amountawarded would in no circumstances be formore than theequivalent of 8 weeksrentunder the tenancy agreement,excludinganyamountsforutilitiesorcounciltaxincludedintherent.

10.8 You,aslandlord,agreeandacceptthat:

a) Youwillpayusthe annualfeeof£45,plusVAT. Thefeewillbecollectedasdetailedinthescheduleoffees.

b) WhilsttheNDSisinexistence,youcannotrequireacashdepositfromthetenant,norcanyourequireadepositduringanyextensionof continuationof the tenancyorany statutoryperiodictenancyorotherperiodofoccupationarisingaftertheexpiryoftheoriginaltermofthetenancy.

c) IfthetenantfailsatanytimetopaytheapplicablemonthlyfeethetenantagreestopayusforparticipatingintheNDS,wemaytakestepstorecovertheamountsdue.

d) Youwillkeepthepropertyinagoodstateofrepairandcomply,onatimelybasis,withallthelandlord’sobligationsassetoutinthetenancyagreement.

e) Youwillinstructustocompleteatleastonepropertyinspection/videotourevery12monthsforthedurationofthetenancy.

f) Youwillusetheinventoryclerknominatedbyustocompiletheinventoryandscheduleofconditionatthecommencementofthetenancyandtocompletethecheckoutattheendof thetenancy.

g) Youwillinstructustoprepareascheduleofdilapidationsanddamagesattheendofthetenancyandagreetoactreasonablyatalltimesinassessingthevalueofanyclaimfor dilapidationsanddamages

h) Ifthetenantdisputesanyliabilityfordilapidationsanddamageswithintendays,theymayreferthedisputetoanindependentadjudicator.Ifthetenantfailstorespondwithintendays, theyaredeemedtohaveacceptedtheamountsduetoyou.

i) Iftheadjudicatordoesnotfindthatanyamountsareduetoyouwillpay100%oftheadjudicator’sfee.Thecurrentfeesareasfollows:

• claimvalueupto£10,000=£220+VAT

• claimvalue£10,001-£20,000=£250+VAT

• claimvalueover£20,001=£350+VAT

Ifthe adjudicator partially upholds the tenant’s claim you will be liable for aproportionof the adjudicator’s fee based upon the amountoftheclaim If theadjudicator partially upholds the tenant’s claim youwill be liable for a proportion of the adjudicator’s fee based upon theamountofthe claim notupheld. You agree to pay any fee owed to Michael Jones theadjudicator, withinfiveworkingdaysfromthedateoftheadjudicator’sdecision.

j) If the tenantowes youmoney in relation tooutstanding rentor dilapidations anddamages (“Outstanding Amounts”), wemay in our absolute unfettered discretion consider making a gratuitous paymentto you. We are notunder any obligation tomake this payment. Weare notguaranteeing paymentofthe Outstanding Sums. Ifwewere tomake any discretionary paymenttoyouinrespectofanyunrecoveredOutstandingAmounts,itwouldnotbemorethantheequivalentof8weeksnetrentundertherelevanttenancyagreement.

k) Ifwemakeanypaymenttoyou,youwilltakereasonablestepstoassistustobringaclaimagainstthetenantor,ifrequired,youwillassigntousanyrightsyouhaveagainstthetenantin relationtotheOutstandingAmounts.Iffollowinganyassignment,werecoveranymoneyfromthetenantinexcessofanydiscretionaryamountthatwehaveawardedtoyou,wewill paythisextraamounttoyou,lessanyamountthatwehaveincurredincostsandexpenses.

l) Ifyouhavereceivedadiscretionaryawardfromus,inrespectofunrecoveredOutstandingAmounts,andsubsequentlyyoureceivemoneyfromthetenantinrelationtothose OutstandingAmounts,youwillnotifyusimmediatelyandreturntoustheamountofthediscretionaryawardwepaidtoyouuptotheamountyoureceivedfromthetenant.

m)Anyliabilitywehavetoyouforanyfailuresinassessingthesuitabilityof atenantwillnotexceedtheequivalentof 8weeksnetrentunderthetenancy.

10.9 ThesetermsaregovernedbyEnglishLaw.If anytermofthisagreementisruledtobeinvalid,theinvaliditywillnotaffecttherestofthisAgreement,whichwill remainvalidand enforceableinallrespects.

10.10 Thesetermsconstitutetheentireagreement between usandsupersedesanyprior agreementorarrangementinrelationtothe NDS.

10.11

11. VAT

11.1

Thisagreementhasnotbeenenteredintoinrelianceupon,andneitherweoryouhaveanyremedyforanymisrepresentation,representationorstatement,which isnotsetoutin thisAgreement,butnothinginthisclausewillbeinterpretedorconstruedaslimitingorexcludingtheliabilityforfraudorfraudulent misrepresentation.

12. SHORTFALL

12.1 SufficientfundsmustexistintheLandlord’saccountatthetimeof aTenancycompletingtodischargeoutstandingfeesandcostsinfull.Incircumstanceswhere thereareinsufficient funds,theAgentwillbeunabletocompletetheTenancyuntilsuchtimethattheshortfallhasbeenmet.

13. PAYMENT OF RENT IN ADVANCE

13.1 WhereaTenantpaysallRentinadvanceonthecommencementof theTenancy,theAgentwillholdsuchRentandforwardittotheLandlordinequalMonthly instalmentsasitfalls due.ThefullamountcanbereleasedtotheLandlordoncommencementoftheTenancyonlyincircumstanceswheretheLandlordsupplies totheAgentanuptodatemortgage statementconfirmingtherearenomortgagearrears.InsuchcircumstancestheAgentwillretainaminimumreserveof one Month’sRent.

14. TERMINATION OF INSTRUCTIONS

14.1 ThisAgreementmaybeterminatedpriortotheintroductionofasuitableTenantbyeitherPartygivingtotheothernotlessthansevendays’noticeinwriting.However,wherethe Agenthas introduceda suitableTenantandtheLandlordrefusestoallowtheTenancytoproceed,thuscausingafailedtenancystart,theLandlordwillbeliabletopayawithdrawal fee,asperOurScheduleofFees.

14.2 TheManagementservicecannotbeterminatedoncetheTenancyAgreementhasbeenentered into,untiltheendof thecurrentfixedtermTenancyAgreement.If theLandlord terminatesthisAgreementandtheTenantremainsintheProperty,theAgent willbeentitledtoManagementfeesdetailedintheScheduleof Feesfortheremainderof the Tenancy.

14.3 AttheendofanyfixedtermTenancyAgreementtheManagementServicemaybeterminatedbyeitherpartygivingtwomonth'sadvancewrittennoticetotheother,suchnoticenot toexpirebeforetheendofthecurrentfixedtermTenancyAgreement.

14.4 IftheTenancyAgreementcontinuesbeyondafixedtermonaperiodicbasistheLandlordcanterminatethisagreementinitsentiretybygiving2months’advancewrittennoticeand subjecttoimmediatepaymentofwithdrawalfeeasshownonOurscheduleoffees.

14.5

Contraryto terminationclausesabove,IftheLandlordisbenefitingfromtheNoDepositScheme,thenTheManagementServicecannotbeterminatedoncetheTenancyAgreement hasbeenentered into,untiltheendof thetermofthetenancy.

14.6 ThisAgreementmaybeterminatedif onePartybreachesthecontractanddoesnotremedythebreachwithin30daysof notification.

14.7 TheAgentreservestherighttoterminatethecontractwithimmediateeffectiftheLandlorddiscriminatesinanyway;orbreachesstatuteandtheAgentcannot continuetobe instructed;orif theLandlordisinmaterialbreachof anypartof thiscontractandtheAgentcannotcontinuetoact.

15. COOLING OFF PERIOD

15.1 YouhavetherighttovalidlyserveUsanoticeorcancellationwithin14DaysofsigningthisAgreement,knownasthe‘CoolingOffPeriod’.Suchrightisonly applicableiftheAgreement ismadeinYourhomeorplaceofworkinthepresenceoroneofOurEmployees.ThisrightdoesnotapplyifYousignthe AgreementinanyofOurOffices.IfWeintroduceaTenant (directlyorindirectlybeforetheendoftheCoolingOffPeriodandYouhavewithintheCooling

OffPeriodexercisedYourrighttocancelthisAgreement,YouwillbeliabletopayOuragreedlettingfeeintheeventthattheintroducedTenantsubsequentlycompletestheTenancyIf YouareunabletosigntheAgreementinanyofOurOfficesandYouwishforBrandVaughantostartmarketingYourPropertyimmediately,itisessentialthatYoucompletethe‘You &YourProperty’formandsignthefinalsection‘ContractualAgreement/Waiver:ImmediatePerformanceRequest’.

16. STATUTORY OBLIGATIONS OFTHE LANDLORD WHEN LETTING RESIDENTIAL PROPERTY

16.1 TheLandlordherebywarrantstotheAgentthattheProperty,Furniture,FurnishingsandAppliancescomplywiththerequirementsof theConsumerProtection Act1987andall statutoryinstrumentsmadeunderit,inparticular;

16.2 Theintentionof theHousingHealthandSafetyRatingSystem(“HHSRS”)istoensurethatOwnersmaintaintheirPropertiesinasafemanner,whichmeans theymustbefreefrom hazardsthatmayaffecttheOccupier’shealthand/orsafety.TheEnvironmentalHealthOfficerif calledtoaPropertywillreviewthe Propertytoensurethereisnoriskof anyhazard totheTenantandif necessarytakeenforcementactionbyservingtherelevantnoticeonanowner.The29 HHSRShazardsare:Dampandmouldgrowth;Excesscold;Excessheat; AsbestosandManufacturedMineralFibres;Biocides;Carbonmonoxideandfuel combustionproducts;Lead;Radiation;Uncombustedfuelgas;Volatileorganiccompounds; Crowdingandspace;Entrybyintruders;Lighting;Noise;Domestic hygiene,pestsandrefuse;Foodsafety;Sanitationanddrainageproblems;Watersupply;Fallsassociatedwithbaths; Fallsonlevelsurfaces;Fallsassociatedwith stairsandramps;Fallsbetweenlevels;Electricalhazards;Fire;Flames,hotsurfacesandmaterials;Collisionandentrapment;Explosions; Ergonomics;and Structuralcollapseandfallingelements.Ownersareobligedtocomplywiththetermsof improvementnoticesorprohibitionorders,whicharesubjectto rightsof appeal.If theAgentisinstructedtoManagetheProperty,theLandlordmustensurethatadequatefundsareavailabletocomplywithanynoticeor order.Ifanimprovementnotice isservedontheLandlord;thentheLandlordisunabletoserveaSection21NoticeforsixMonthsandallworkspecifiedinthe noticemustbecompleted.

16.3 UnderTheHomes(FitnessforHumanHabitation)Act2018,LandlordsandAgentsactingontheirbehalf mustensureproperties,includingcommonparts wheretheyhaveanestate orinterest,arefitforhumanhabitationatthebeginningandthroughoutthedurationof aTenancy.Tenantswillnowbeabletotake directlegalactionif theirAgentorLandlorddoes notcomplywiththeAct.Apropertyunfitforhumanhabitationis‘sofardefectiveinoneormoreof those mattersthatitisnotreasonablysuitableforoccupationinthatcondition.’ ‘Matters’refersto:Repair;Stability;Freedomfromdamp;Internalarrangement; Naturallighting;Facilitiesforpreparationandcookingoffood;Watersupply;Drainageandsanitary conveniences;Ventilation;andfacilitiesforthedisposalof wastewater.TheHousingAct2004definesa‘hazard’as‘anyriskof harmtothehealthorsafetyof anactualoccupierof a dwellingorHMOwhicharisesfrom adeficiencyinthedwellingorHMO’.ThehazardsusedintheHomesAct,arethe29aslistedintheHousingHealthandSafetyRatingSystem (HHSRS).TheLandlordherebywarrantstotheAgentthatanyhazardsthatareidentifiedmustberemediedbeforetheTenancybegins.Ifthe AgentisinstructedtoManagethe Property,theLandlordmustensurethatadequatefundsareavailabletocomplywithremedyingahazard.

16.4 UndertheEnergyPerformanceof Buildings(CertificatesandInspections)(EnglandandWales)Regulations2007,asof 1October2008EnergyPerformance Certificates(EPC’s)are mandatoryrequirementswhenlettingresidentialpropertyandremainvalidfortenyears.Acopyofthecertificatemustbeprovidedto theAgentor,alternatively,Youcan authorisetheAgenttoobtainanEnergyPerformanceCertificateonYourbehalf,atanadditionalcost,asperOurSchedule of Fees.PleaseletUsknowif YouwouldlikeUsto arrangethisforYou,exceptinthecaseof listedbuildingswhichareexempt.TheAgentisalsorequiredto besatisfiedandhavetangibleevidencethatanEPChasbeenordered beforemarketingcancommence.BysigningthisAgreement,Youagreetotheprovision of anEPC.Underrevisedlegislation,asof 1April2018,itwillbeunlawfulforaLandlordto grantanewTenancyof aPropertywithanEnergyPerformance Certificateratingbelowtheminimumrequiredstandard.TheMinimumEnergyEfficiencyStandardswillapply wheretheEPCshowsaratingof ForGand worksmustbecarriedoutuptoaminimumEratingunlessanexemptionappliesandisregistered.ALandlordwithasub-ratedProperty willbeexpectedto installallenergyefficiencyimprovementspriortothePropertybeingTenanted.

17. TAXATION& NONUKRESIDENTOVERSEAS– S.78TAXESMANAGEMENT ACT1970

17.1 AnypersonororganisationreceivingincomefromaPropertysituatedintheUKmaybeliablefortaxonthatincome,whetherornothisnormalplaceof abode isinsideoroutside theUKandisrequiredtodisclosesuchincometoHMRCandkeepallrecordsforuptosixyears.

17.2 WhereaLandlordisresidentoutsidetheUKortaxedassuch,theAgentshallbeentitledtoretainfromrentalincometheamountof anytaxdueorlikelyor estimatedtobeduetothe InlandRevenueifrequiredbythem.TheLandlordindemnifiestheAgentagainstallpaymentsof tax,interestthereon,orpenalties leviedonormadebytheAgentandshallpayto theAgentanyshortfallofsuchmoniestogetherwithinterestthereonat3%aboveBankofEnglandlendingrate inforceonadailybasisfromthedateof paymentbytheAgentuntil reimbursementinfull.ShouldtheLandlordfailtoapplyforanExemptionApprovalNumber,(referredtoasaHMRCapprovalNumber)fromtheHMRCviaNRL1Form,theAgentshall beentitledtoaquarterlyfeeinconsiderationoftheadditionaladministrationandcostsincurredinprocessingtheaccounts.TheLandlordmustnotifyUsimmediatelyiftheirresidency statuschangesatanytimeduringtheTenancyorextensionofTenancyandprovideUswitharesidentialaddressinEnglandorWales.

18. SELECTIVELICENSING

18.1 TheLandlordisresponsibleinensuringthatSelectiveLicensingLegislationiscompliedwith.However,whereaManagingAgentisinstructedbytheLandlordandiscollectingRenton theirbehalf,theAgentmustensurethatthelegislationisobserved.TheLandlordisrequiredtoprovideacopyoftheexistinglicencetotheAgent.

18.2 TheAgentshouldcheckthattheirclienthasalicence,orhasatleastappliedforone,unlesstheAgentistobethelicenceholder.Inthisinstance,thelicencewillbeheldinthecompany nameoftheAgent.Otherwise,as“Personhavingcontrol”theAgentcommitstheoffenceofoperatinganunlicensedPropertyandcouldfaceafineofupto£30,000.00.

18.3 IfaPropertyisnotlicensedwhenitshouldbe,itisacriminaloffenceandthe“Personhavingcontrol”andthe“PersonManaging”canbothbeprosecuted.

18.4 IntheeventaLandlordhassaidalicenceisinplaceanditissubsequentlyfoundthatitisn’t,theAgentundertheTerms&Conditionsofthisrelationshipisgiventheirrevocablerightto obtainalicenceaminimumofsevenDaysbeforethecommencementofaTenancy,attheLandlord’scost.

19. MANDATORYHMO LICENSING

19.1 APropertywillrequireaHMOlicenceif thePropertyislettoagroupof fiveormoreindividualsformingmorethanoneHousehold.

19.2 If thePropertyisaHMOitistheLandlord’sresponsibilitytoobtainthelicenceandprovideacopyof thelicencetotheAgent.

19.3 TheLandlordisresponsibleforensuringthatthePropertyiscompliantwiththeArticle4ChangeOf UseDirectionwhereapplicable.Thisisaplanningmatter whichmayrequire localauthorityapprovaltochangetheusefromClassC3(dwellinghouse)toClassC4(HMO).If theLandlordisunsurepleaseseekdirection fromthelocalplanningoffice.

19.4 TheAgentshouldcheckthattheLandlordhasalicence,orhasatleastappliedforone,unlesstheAgentistobethelicenceholder.Inthisinstance,thelicencewillbeheldinthe companynameoftheAgent.Otherwise,as“Personhavingcontrol”theAgentcommitstheoffenceofoperatinganunlicensedPropertyand couldfaceafineof upto£30,000.00.

19.5 IntheeventaLandlordhassaidalicenceisinplaceanditissubsequentlyfoundthatitisnot,theAgentundertheTerms&Conditionsof thisrelationship,is giventheirrevocableright toobtainalicenceontheirbehalf.TheprocesstoobtainalicencewillcommencewithinsevenDaysbeforethecommencementof a newTenancyandwillbeentirelyatthe Landlord’scost,toincludethelicencefeeandanyadministrationcostsincurredbytheAgentinapplyingforthelicence.

19.6 TheLandlordisresponsibleinensuringthatHMOLicensingLegislationiscompliedwith.However,whereaManagingAgentisinstructedbytheLandlordand iscollectingRenton theirbehalf,theAgentmustensurethatthelegislationisobserved.

19.7 TheLandlordandtheAgent(if instructedbytheLandlordtoactastheManagingAgent)willberequiredtoensurethatminimumsleepingroomsizesareobserved;

i. Roomsusedforsleepingbyonepersonovertenyearsoldwillhavetobeaminimumof 6.51squaremetres.

ii. Roomsusedforsleepingbytwopeopleovertenyearsoldwillhavetobeaminimumof 10.22squaremetres.

iii.Roomssleptinbyachildundertenyearsoldwillhavetobeaminimum4.64squaremetres.

19.8 If aPropertyisnotlicensedwhenitshouldbe,itisacriminaloffenceandthe“Personhavingcontrol”andthe“PersonManaging”canbothbeprosecuted.

19.9

Conditionsandallotherrelevantlegislationinrespectof HMOLicensing,eithercurrentorinthefuture,willapplyandaresubjecttochange.

20. CONFIRMATION OF INSTRUCTIONS

20.1 AnyandallinstructionstotheAgentregardingtheserviceortheTenancymustbegiveninwriting(letteroremail).Sufficienttimemustbegivenfortheinstructionstobefulfilledand failuretodosowillnotrendertheAgentnegligent.InstructionsreceivedatWeekendsorBankHolidaysmayonlybeactionedonthenextWorkingDay.

20.2

NovariationtotheseTermswillbeeffectiveunlessagreedbyUsinwriting.

21. LIABILITYOFTHEAGENT

21.1 UnlesscausedbytheAgent’snegligence,noliabilityshallbeattachedtotheAgentforanyloss,injury,damage,legalorotherexpensessustainedasaresultof:

i. Theclient’sfailuretoprovideaccuratelyallinformationreasonablyrequiredfortheAgenttoundertaketheservice.

ii. AnyforecastbytheAgentoflikelyincomeorexpenditure.

iii. FailuretoidentifyanydefectinthePropertyoritsfixtures,fittingsandfurnishings.

iv. InstructingacontractoronbehalfoftheLandlordandthecontractorsperformance.

v. Theact,omissionorinsolvencyofanypersonotherthantheAgent.

vi. AnyfailureoftheTenanttopaytheRentorcomplywiththetermsoftheTenancyAgreement.

vii. AnyfailureoftheLandlordtoundertaketheirresponsibilitiesstipulatedbytheirBuildingsandContentsinsurancewhenthePropertyisunoccupied.

21.2 TheLandlordshallindemnifytheAgentinrespectofanyclaimsmadebyanotherorthirdpartyforanyloss,injury,damageorlegalorotherexpensesreferredtoabovebyincluding PublicLiabilityCoverintheirinsurance.

21.3 TheContract(RightsofThirdParties)Act1999doesnotapplytothisAgreement.TheAgentisnotresponsibleorliablefortheacts,omissionsorfailuresofthirdpartiesunlessitisdueto thenegligenceorbreachofcontractoromissionsoftheAgentortheirEmployees.

21.4 TheLandlordagreesnottotakeactionorbringanyclaiminrespectoflossordamagesufferedbytheLandlordarisingoutoforinconnectionwiththisAgreementagainstanyindividual Director,Partner,Consultant,EmployeeoftheAgentevenwhereanyofthosepersonshasbeennegligent.ThisrestrictionwillnotoperatetoomissionsofanyoftheirPartners, Consultants,EmployeesorAgents.

21.5 TheAgentcannotbeheldresponsiblefortheperformanceofthecontractbytheTenant.WecanassistwithhowTenancybreachesarehandledbyusingthelevelsofservicethatWe offeraManagedLandlordbutWecan’tbeheldliableiftheTenantdoesnotcomply.

22. COPYRIGHT

22.1 TheAgentretainsthecopyrightof allphotographsanddetailspreparedinthelettingof Yourhome.Theycannotbereproducedorusedforalternative marketingwithoutexpress permission.

23. THIRD PARTY MARKETING

23.1 TheAgentreservestherighttouseallmarketing/onlineportalsavailabletothematthetimeofmarketingYourProperty.Fromtimetotime,thismayinvolve theuseof athird party.Asaresult,theAgentcannotalwayscontroltheexistenceofanonline‘historical’presenceorwebpageoncethePropertyhasbeenlet orwithdrawn.However,everyeffortis madetominimiseaccesstosuchmaterial.

24. RENT&LEGALPROTECTION

24.1 Inthisclause,thefollowingdefinitionsapply:InsurancePolicyOurinsurancepolicy,underwrittenbyDASLegalExpensesInsuranceCompanyLimited,ofwhichWearethesole policyholder;ServiceOurrentandlegalprotectionservicemorefullydescribedinthisclause

24.2 IfYouappointBrandVaughanasAgent,YouwillbeautomaticallyoptedintotheService,subjecttoeligibility.IfyouwishtooptoutoftheServicebeforechargesapply,Youmustwriteto ustocancelwithin14daysofthetenancycommencing.ThiscanbesentviaemailtoUslettings@brandvaughan.co.uk

24.3 WewillaskOurinsurertonoteYourinterestontheInsurancePolicywhichwillmeanthatYouwillbeprovidedwiththeprotectionslistedbelow.ThatmeansthatifYourTenantdefaults ontheirRentpayments,orexample,YoucaninformUsandWewillmakeaclaimundertheInsurancePolicy.Iftheclaimissuccessful,Wewillpayanysumsrecoveredthataredueto You.

24.4 TheServiceincludesprotectionor:

i. FullRentprotectionforthetotalMonthlyrent,aslistedintheTenancyAgreement.

ii. Rentpayableuntilvacantpossessionisobtained.

iii. ServiceofevictionnoticestoreclaimpossessionoftheProperty.

iv. LegalcoststoobtainpossessionofthePropertyiftheTenantfailstopaytheRent.

v. Atotallimitofindemnityof£100,000.

vi. BreachesoftheTenancyAgreementbytheTenantiftheyaregroundsforpossession,includingnon-paymentofRent,expiredSection21notices,subletting,andillegal activity.

vii. DefencecostsifaTenantraisesacounterclaimduringtheevictionprocess.

viii. CostsandexpensestoevictanyonewhoisnottheTenantorex-TenantfromthePropertyandwhohasnotgotpermissiontoresideinthePropertyi.e.evictionof squatters.

ix. CourtattendancebyalegalrepresentativeappointedbyUs.AttendancebyaBrandVaughanrepresentativeischargedasperOurScheduleofFees.

x. 90%oftheRent,aslistedintheTenancyAgreement,payableaftervacantpossessionobtaineduntilre-let,uptoamaximumofsixweeks.Thisissubjecttothe Landlordre-lettingthePropertyviaBrandVaughan.

xi. LegalexpensesforpursuingacivildisputeafteraneventcausedbytheTenant,whichresultsinphysicaldamagetothePropertyinexcessof£1,000.00

xii. CostsandexpensesrelatingtoadisputewithapartyYouhaveadirectcontractualrelationshipwitharisingfromanagreementoranallegedagreement,which YouhaveenteredinfoforbuyingandhiringanygoodsorservicesinrelationtotheProperty

24.5 TheServiceisonlyavailableprovidingTenantshavepassedsatisfactoryreferencesapprovedbyareferencingagentappointedbyUs.

24.6 TheServiceisstillprovidedintheeventthatthefullsumofRentispaidinadvancebytheTenantspriortotheTenancystartdatebecauseitprovidesYouwithprotectionagainstbreaches ofcontractwhichenablegroundsforpossession.

24.7 IfYoudonotcanceltheServicewithinthe14daysofthetenancycommencing, theservicewillremaininplacefor12monthsandthecosttoYou,theLandlord,willbedeductedfrom YourMonthlyRental.ChargesaredetailedintheScheduleofFees.

24.8 TheServiceisnotavailabletoLandlordswheretheRentalamountorthePropertyexceeds£10,000.00percalendarMonth.

24.9 TheServicewillautomaticallyberenewedannually.IfYoudonotwishtorenewthisservice,Youmustwritetoustocancelwithin14daysofthepolicyrenewaldate.Thiscanbesentvia emailtoUslettings@brandvaughan.co.ukWewillrequireuptofiveWorkingDaystoactionYourrequest.Ifyoudonotnotifyusofyourwishtocancel,theservicewillremaininplacefor 12monthsandthecosttoYou,theLandlord,willbedeductedfromYourMonthlyRentalIncome.

24.10 IftheTenantfallsintoarrearsandYouarereceivinganyofthebenefitsoftheServiceYouwillnotbeentitledtocanceltheService,untilsuchtimethateithertheTenantputsUsinfundsor possessionofthePropertyistaken.

24.11 IftheTenanthasnotpaidthefullRentduewithin31DaysoftheRentduedate,thenthelateRentpayments(equatingtotwoMonthswillbepayabletoYouwithina75Dayperiodfrom whenthefirstfullMonth’sRentpaymentwasinitiallydue.

Monthlypayments,equatingtoamaximumof15Months’Rent,subjecttoalimitedindemnityof£100,000,willthenbepaidoneMonthinarrears,onanon-goingbasisuntilsuchtime thateithertheTenantsputUsinfundsorpossessionofthePropertyistaken.

PaymentswillbemadesubjecttoanydeductionsdetailedwithinOurAgencyAgreementandOurScheduleofFees,suchasOurManagementchargeandcontractorinvoices.

TheServiceisfullytransferabletoensurecontinuousprotectionevenwhentheTenantschange(subjecttoclause25.5).

24.15 Iflegalrepresentationisnecessary,Wewillappointapreferredlawfirmasthelegalrepresentativeandfullco-operationfromYouasmayberequiredbyUsortheappointedlegal representative

CostsorrepossessionofthePropertywillnotbecoveredbytheServiceunlessthePropertyisletunderoneofthefollowingagreements:

i. AnAssuredShortholdTenancyunderthe1988HousingAct.

ii. ACompanyResidentialTenancy(Companylet)createdafterthe28thofFebruary1997wheretheTenantisaPrivateLimitedCompany(Ltd)orPublicLimitedCompany (Plc)andthePropertyisletpurelyforresidentialpurposestoanemployeeoftheTenant.

iii.ALawofContractAgreementnotgovernedbytheHousingAct1988,theHousing(Scotland)Act1988andthePrivateHousing(Tenancies)(Scotland)Act2016.

iv.AShortAssuredTenancyorAssuredTenancyasdefinedintheHousing(Scotland)Act1988.

v.APrivateResidentialTenancyAgreementcreatedafter1stDecember2017asdefinedwithinthePrivateHousing(Tenancies)(Scotland)Act2016.

IfYouareanexistingLandlordcompletingandsigningthisnewTermsofBusinessandYourequesttoaddtheServicemid-Tenancyi.e.afterthecommencementoftheTenancy Agreement,Youwillonlybenefitfromtheserviceafter60DaysbutwillbesubjecttochargesasperOurScheduleofFees.TheTenantmustnotaccrueanyRentarrearswhichhavenot beenpaidinfull,beforethe60Daytimescale,ortheservicewillbecancelledonDay61.

TheServicedoesnotinclude:

i. Pay-outswherethelegalrepresentativeWeappointdoesnotbelievethatWewillbemorelikelythannottowinthecase.

ii. AnylegalproblemswhichstartedpriortothecommencementoftheService.

iii. Anycostswhichexceedtheindemnitylimitof£100,000.

iv. AnycostsifYouappointYourownlegalrepresentative.AnylegalactionYoutake,whichWeortheappointedlegalrepresentativehavenotagreedto,orwhere YoudoanythingthathindersUs,ortheappointedlegalrepresentative.

v. Propertydamagelegalexpenseswheretheamountindisputeis£1,000.00orless.

vi. ThecostofanyPropertydamagecausedbytheTenant.

vii. CostsrelatingtoeverydaymaintenanceofthePropertyforwhichtheTenantisnotliableundertheTenancyAgreement,forexamplegeneralwearandtear.

viii. Anyfines,penalties,compensationordamagesYouareorderedtopaybyacourtorotherauthority.

ix. RentarrearsoncethePropertyisre-let.

x. Contractdisputeswheretheagreemententeredintoisdatedbeforethecommencementofthisservice.

xi. Contractdisputeswheretheamountindisputeislessthan£100.00(includingVAT)

xii. Thenon-performanceofYourobligationsundertheTenancyAgreementandtheHousingAct1988(excludingdefencecosts).

xiii. Thepaymentornon-paymentofservicechargesasdefinedwithintheLandlordandTenantAct1985.

xiv. Anycostsrelatingtoregisteringrents,reviewingrents,rentcontrol,buyingthefreeholdoftheProperty,oranyothermatterthatrelatestoRenttribunals,rates tribunals,landtribunals,Rentassessmentcommitteesandrentofficers.

xv. Anycostsandexpensesarisingfromorrelatingtojudicialreview,coroner’sinquestorfatalaccidentenquiry.

xvi. Anycostsorexpensescausedby,contributedtoorarisingfrom:

a) Ionisingradiationorcontaminationbyradioactivityfromanynuclearfuelorfromanynuclearwastefromburningnuclearfuel;

b) Theradioactive,toxic,explosiveorotherhazardouspropertiesofanyexplosivenuclearassemblyornuclearpartofit;

c) War,invasion,actofforeignenemy,hostiles(whetherwarisdeclaredornot),civilwar,rebellion,revolution,militaryforceorcoup,oranyotheractof terrorismasdefinedintheTerrorismAct2000;

d) Pressurewavescausedbyaircraftoranyotherairbornedevicestravellingatsonicorsupersonicspeeds.

24.19 Fortheavoidanceofdoubt,BrandVaughanisnotauthorisedbytheFinancialConductAuthority.TheServiceofferedisacontractualguarantee,butnotaninsurancepolicy.

25. CLIENT IDENTIFICATION

25.1 UndertheprovisionsoftheProceedsofCrimeAct2002itisalegalrequirementthattheAgentmustbeabletoidentifytheirclient.Therefore,allprivateLandlords/legalownersofthe PropertyarerequiredtofurnishtheAgentwithacopyoftheirPassportorEUphotoDrivingLicenceandproofofaddress,tobeheldonfileinaccordancewiththeDataProtectionAct of2018andDataProtection,PrivacyandElectronicCommunications(amendmentsetv)(EUExit)regulations2019(SI2019/429).WherethereareJointLandlords,acopyofthe relevantidentificationforeachLandlordwillberequired.WheretheLandlordisaCompany,atleasttwoDirectorsoraDirectorandCompanySecretarymustfurnishUswithrelevant identification.

26. DATA PROTECTION ACT

26.1 InordertocomplywiththeDataProtectionActof 2018,UKGeneralDataProtectionRegulation(UKGDPR)andTheDataProtection,Privacyand ElectronicCommunications (Amendmentsetc)(EUExit)Regulations2019(SI2019/429),topreventanyunauthorisedaccesstooruseof personaldata,theAgenthastheresponsibilitytokeeptheLandlord’s personalinformationandthatof anyTenantorOccupierconfidential,andwillonlyusethepersonal informationof theLandlordif feesarenotpaidandtheAgentwishestoreferthe mattertoaSolicitor;orif theAgentisspecificallyrequiredtodivulgetheinformationbylaw;orpassittoaGovernmentAgencybylaw;ortocomplywithanytermsof this Agreement.PleaserefertoOurwebsiteforOurPrivacyandCookiesPolicywhichexplainstheuseWemakeof personaldataWereceiveinthecourseof Ourworkincludingdetails of howtocontactOurData ProtectionOfficer.Youcanfindthisatwww.brandvaughan.co.uk

26.2 YourObligations-IfYousendUspersonaldataaboutanyoneotherthanYourselfYouagreethatYouwillensureYouhaveanyappropriateconsentsandnotices inplacetoenableYou totransferthatpersonaldatatoUs,andsothatWemayuseitforthepurposesforwhichYouprovideittoUs.

26.3 IntheeventthatthePropertyisnotManagedbyUsandtheLandlordwillbeindirectcontactwiththeTenantforManagementof theTenancy,theLandlord isrequiredtoregister withtheICOastheywillbedeemedadatahandler.

27. CLIENTS’ MONEY

27.1 Clients’moneyisheldinaclientaccountthedetailsofwhichcanbeobtainedfromanyofOurOffices.MoniesinthisaccountcanincludebutisnotlimitedtoTenant’sDepositsandRent instalmentspaidinadvance.

27.2 AnyinterestaccruedonmoniesthattheAgentholdsontheLandlord’sbehalfwillberetainedtocoverbankandadministrationchargesetc.Anycommissionearnedwhileactingonthe Landlord’sbehalfwillberetainedtocovercosts;andanyfeespaidbyaTenantwillberetained.FulldetailsoffeespaidbyaTenantcanbeobtainedromtheAgent’swebsite.

27.3 AsperTheClientMoneyProtectionSchemesforPropertyAgents(RequirementtoBelongtoaScheme)Regulations2019,from1April2019,allProperty AgentsinEnglandholding clientmoneymustbelongtoagovernment-approvedClientMoneyProtectionScheme.BrandVaughanisamemberof the government-approvedClientProtectionScheme Propertymark(propertymark.co.uk/working-in-theindustry/memberrequirements/client-money-protection).AcopyofthecertificateconfirmingourMembershipcanbeprovided uponrequest,freeofcharge.

28. SALEOFPROPERTY

28.1 Asalesfeewillbechargedifatenant,connectedpersonorsomeonewe’veintroducedpurchasesyourproperty. Thisfeewillbebasedonthepriceachievedandmayinclude discussingthesalesprice,agreeingthepurchasepriceandmovingthesalealong.

29. WAIVER

29.1 NoactionsperformedbyeithertheLandlordortheAgentshallpreventtheothersubsequentlyinsistinguponhisrightsandremediesunderthisAgreement.

30. ARBITRATION

30.1 AnydisputebetweenLandlordandAgentarisingoutof thisAgreementmaybereferredbyeitherorbothPartiestoasolearbitratortobeagreedbetweenthe LandlordandAgent.

31. CHANGES TO THESE TERMS AND CONDITIONS

31.1 TheAgentmayaltertheseTerms&Conditionsatanytimeinwriting.TheywillbebindingonallLandlordsfollowingoneMonth’swrittennotice.Ifthe amendmentsaredueto statutorychanges,theywilltakeeffectimmediatelyuponwrittennotification.

31.2 Allfeesandchargesstatedinthe‘You&YourProperty’form,‘OurAgreement’form,‘Terms&Conditions’andthepertaining‘Scheduleof Fees’aresubject toreviewatOur discretion.If thesechargesaretobeadjusted,WeshallnotifyYouinwriting,effectivewithinoneMonth’snotice.

31.3 TheAgentreservestherighttoassigntheTermsof thecontractand/orobligationsundertheseTerms&ConditionsupongivingtheLandlordwrittennotice, whichwillbeeffective immediately.

31.4 TheAgentwillnotacceptanyalterationstotheseTerms&ConditionsunlessagreedbyUsinwritingpriortothecommencementof thecontract,acopyof whichtobeannexed totheseTerms&Conditions.

32. CODES OF PRACTICE

32.1 ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofEnglandandWalesandtheCourtsofEnglandandWalesshallhaveexclusive jurisdictioninrespect of anydisputeunderit.TheAgentcomplieswithalllawsrelatingtotheLettingandManagementof ResidentialPropertyandinparticular totheDataProtectionActof 2018and DataProtection,UKGeneralDataProtectionRegulation(UKGDPR),PrivacyandElectronicCommunications (amendmentsetv)(EUExit)regulations2019(SI2019/429),UnfairTerms inConsumerContractsRegulations1999,theConsumerProtectionfromUnfair TradingRegulations2008(CPRs),ConsumerContracts(Information,CancellationandAdditional Charges)Regulations2013,BusinessProtectionfrom MisleadingMarketingRegulations2008(BPRs),EnergyAct2011(GreenDeal),LandlordandTenantAct1985,HousingAct2004 (TenancyDeposits)andall othercurrentandrelevantprimaryandsecondarylegislation.

32.2 TheAgentandtheLandlordmustcomplywiththeConsumerProtectionfromUnfairTradingRegulations2008.Statementsmustbefactuallycorrectinall communicationsandthe AgentmustnotgiveapotentialTenantthewrongimpressionaboutthePropertytobeLet.PriortomarketingtheLandlordshould disclosetotheAgentanymaterialinformationthat mightaffectaprospectiveTenant’sdecisiontorenttheProperty.Failuretodosocouldleadtoaclaimbeing madeagainsttheLandlord.TheAgentisrequiredundertheabove Regulationstodisclosethisinformationtointerestedparties.

32.3 UndertheUnfairTermsinConsumerContractsRegulations1994WearelegallyrequiredtoensurethatOurstandardTermsarefullyunderstoodand acceptable.If Youdonot understandordonotwishtoacceptanyof OurTerms,pleasetellUsandWewillbepleasedtodiscussthemwithYou.Bysigningthe ‘OurAgreement’formandthese‘Terms& Conditions’,YouacknowledgeandacceptOurTermsandagreetobeboundbytheconditionsoutlinedwithinthem.

32.4 TheAgentisamemberof ARLAPropertymarkandadherestotheCodesof Practice.
