A PRIVATE FOUNDATION is a

lawful mechanism that is usual set up by a group of individuals or a family to protect their Income. A Private Foundation operates entirely in the PRIVATE and can self - assess its tax obligations and, if used correctly, it has NO tax obligations. Private Foundations have been around for at least 2000 years. In the same way as trusts were not well known 30 – 40 years ago, people are just discovering Private Foundations now. Private Foundations are still primarily the realm of the elite and very wealthy. Those people still want to keep this secret and for themselves.

ITS PURPOSE serves just as Unit

Trusts and Discretionary Trusts “protect your Assets”, Private Foundations are designed to “protect your Income”.

They are created to sustain the Principals of the Foundations (you) by providing goods or service to help and assist the general community. It is a means of paying for the participants day to day living expenses such as food, clothing, lodging, petrol, phone, internet, utilities etc. It can engage in benevolent activities by funding, facilitating, implementing, and operating projects and enterprises that are socially and environmentally sustainable.

Unlike a charitable foundation, a Private Foundation does not generally solicit funds from the public. It is different to a Humanitarian NFP, which operate for the purpose of humanitarian and in the public (or Public Registered Charity) and is not to be confused with privately operating Foundations.

Private Foundations have a minimum of 2 (TWO) and a maximum of 3 (THREE) Principal Participants. The minimum requirements of two Principal Participants to form an Association, is as a result of the Anti-Money Laundering Act (AMLA) Global legislation.

Private Foundations do not have employees, so anyone working for them would need to “Contract” to them. You cannot be a sole Participant. You can, however, have a “Silent Participant” which is reflected in your Foundations Minutes after the initial setup of the Foundation. You can remove a participant by writing minutes of the actions and the reason for it. You need to notify the Foundations bank of the changed to the principal participant in writing.

The regimen regarding minutes is significantly less onerous. You can keep regular Minutes if you choose to, but it is not a mandatory requirement. All record-keeping is conducted at the discretion of the “Primary Principal Participants” of the Private Foundation; however, I do recommend that you keep accurate records.

IMPORTANTLY, THERE ARE FEATURES AND REQUIREMENTS THAT ARE NECESSARY FOR THE SUCCESSFUL INAUGURATION AND OPERATION OF A LAWFUL PRIVATE FOUNDATION. 1. You do not have to open a bank account.

A Private Foundation operates entirely in the PRIVATE and can selfassess its tax obligations and, if used correctly, it has NO tax obligations.

It can be used WITHOUT a bank account to stay totally private if your Private Foundation was to invoice other entities who pay in cash, bullion or BitCoin. A Private Foundation’s bank account exists in the PUBLIC and it can be NO other way. The Foundation’s bank account is subject to Banking laws and regulations, but it does offer the convenience of Debit cards and internet banking. You can choose whether you wish to operate your Foundation with or without a bank account.

All Participants can receive a Visa Card debit card which has access to EFTPOS and ATM’s and full internet facilities. Some banks, including CBA, offer a merchant facility payment platform called “Albert” which you can apply for separately. Paypal is also one of the simplest forms of

merchant facility, and this can be useful when intending to provide products or service on-line.

2. How does a Private Foundation deal with Tax, GST & ABN’s?

Tax: There are NO regulatory requirements that the Private Foundation needs to abide by. It is NOT registered with any government body. There is NO requirement for the Private Foundation to submit a Tax return or BAS statements as it does not have an ABN and is not authorized to collect GST. Donations through foundations CANNOT be tax deductible for others. Tax deductibility can only occur if you register for an ABN and obtain Deduction Gift Recipient (DGR) status which is not possible through our Private Foundations. www.ato.gov.au – Organisations that are NOT charities can self-assess their income tax exempt status. They do not need to get confirmation of their income tax status from the ATO. All the following organisations and more can self-assess their income for exempt status.

GST: A Private Foundation cannot accept GST. Not being a registered ATO collector, a Private Foundation is unable to collect GST on behalf of the government. A Private Foundation only pays GST when buying from GST registered entities, like everyone

else. How does the GST exemption work?

Private Foundations contracts out its services and invoices clients using ATO forms that exempts charging GST and removes the requirement for an ABN. ABN: You do not get an ABN with a Private Foundation. If you require an ABN for Licensing and/or for insurance purposes, you may wish to consider a hybrid model where you combine a private and public operation.

3. Doing Business Through Your Private Foundation.

As a PAYG, a Private Foundation is still an option if your employer is willing to engage you (and your Foundation) on a contractual basis. Your Foundation enters into a contractual arrangement with your former employer (now considered a client) and then your Foundation would send an invoice to your client for them to pay directly into your Foundation. This is often a benefit for them as they do not have to pay payroll tax, holiday pay loadings, sick pay, superannuation etc.

4. Accountants.

Accountants generally know extraordinarily little, or nothing, about Private Foundations and their setup, as this is not common knowledge and is not taught in the general accounting curriculum. (Remember, the elite wish to keep this for themselves).

Private Foundations reduce the need for accounting services, and this would compromise their livelihood, so it is not in their best interests to “know” about them, and this is why they are generally used only by the very wealthy.

There is no need to engage an accountant to do the accounting for the Foundation. Most participants use basic book-keeping to maintain their records, as a private Foundation is not subject to any auditing requirements and it is entirely at the discretion of the Principal Participants to keep records, but it is advisable. You are not required by any outside entities to use an account, as your Foundation is not registered with any of them.

5. Investment.

Foundations can own and acquire assets that complement the chosen purpose of the Private Foundation, as set out in the Foundation Articles. A Foundation can NOT buy shares in its name as the Foundation does not have an ABN. NB: - We do not recommend use of Private Foundations for asset protection purposes, that is what Trusts are for. Private Foundations are to protect your INCOME.

6. Who uses Private Foundations?

Many businesses have transferred over to Private Foundations, for the tax benefits alone.
