An alliance uniting educators and edtech leaders to discuss and influence the future of learning through the convergence of AI types coming beside and embedding in the technology architectures of schooling.
Omni-AI holds potentials to solve many intractable problems in teaching and learning, including shifting the underlying assumptions of schooling form, model and teaching methods to create more personalized learning and unburden teaching.

The rise of Omni-AI is more than a trend—it’s a structural shift in how learning is delivered, paced, and personalized. Our membership empowers educators, schools, and districts to stay ahead of the curve by understanding and implementing AI-driven strategies that transform traditional systems into agile, responsive, learner-centered environments.
Individual administrators needing to understand AI convergence, educators curious about balancing AI with human intelligence development methods or a company thought leader or sales executive wanting to hold the company’s relevancy stable in the entire landscape as AI gains ground in schools, the Alliance offers deep insights and a chance to gain marketing leads and genuine sales relationships.

Why Now: Drivers of Convergence
A perfect storm of problems has converged on traditional schools, particularly public. Attrition to alternatives, especially homeschooling is making major gouges in enrollment across America. Many States are now offering school vouchers and amplified choice that includes homeschoolers purchasing resources and using gig teaching online.
Schools, districts and governments have been looking for the future blueprint of schooling, not just teaching and learning. Schools have tried innovation within, but not necessarily with a mind to using tech as a mind to transform how time, space, resources and methods are deployed with precision to each and every student. The Omni-AI Alliance will explore the depths of what AI can do to attack all of the most entrenched problems while elevating the importance of human teaching.
The Alliance will also help guard the domains of well-crafted edtech and emphasize the science of learning being applied in instructional materials.

Acceptance of Application
Upon receipt of this application by THE LEARNING COUNSEL and acceptance by THE LEARNING COUNSEL, this application shall become a binding agreement between the Sponsor and THE LEARNING COUNSEL. Faxed copies of this application are legal and binding; the rates and general information set forth in this agreement are hereby incorporated by reference. The Sponsor acknowledges that none of the Sponsor investment is refundable except as expressly set forth in section 3 of the Terms and Conditions. By the signature above, the individual signing this application represents and warrants that he or she has read, understood and agrees to abide by the Terms and Conditions of this agreement as set forth herein and is authorized by the Sponsor to enter into the agreement, which shall become binding upon acceptance by THE LEARNING COUNSEL.

Upon acceptance/signature of this Application for Sponsorship, all monies are due upon receipt of billed invoice unless governed by terms set forth in a valid Purchase Order issued to The Learning Counsel, Inc.

Terms of Agreement/Contractual Rules
1. Indemnity and Limitation of Liability
Except for gross negligence or willful misconduct, neither THE LEARNING COUNSEL, Sponsor, any co-sponsor, convention center or other exhibit space provider, nor any of their officers, agents, employees, facilities, other representatives, or assigns shall be liable for, and are hereby released from, any claims for damage, loss, harm or injury to the person, property or intermediate staging. The Sponsor and THE LEARNING COUNSEL shall indemnify, defend and protect each other and hold each other harmless from any and all claims, demand, suits, liability damages, losses, costs, attorney’s fees and expenses which might result or arise from gross negligence or willful misconduct in connection with either parties’ participation in the Event or any actions of its officers, agents, employees, or other representatives, provided that (I) the indemnified party gives prompt notice of the claim to the other party; (ii) the indemnifying party has sole control over the defense of the claim, including any decisions to settle; and (iii) the indemnified party provides the other party with all reasonable assistance therein. THE LEARNING COUNSEL shall have full responsibility for any theft or other loss, including any subrogation claims by its insurer. It is the responsibility of the Sponsor to maintain proper insurance coverage for its property and liability.
2. Right to Refuse
THE LEARNING COUNSEL reserves the right to review and reject any Application for Sponsorship without prejudice.
3. Cancellation or Termination of Event
If for any reason beyond its reasonable control, including fire, strike, earthquake, damage, construction or renovation to the Exhibition Center, government regulations, public catastrophe, Act of God, or any similar reason, THE LEARNING COUNSEL shall determine that the Event or any part may not be held, THE LEARNING COUNSEL may cancel the Event or any part. In that case, THE LEARNING COUNSEL and Sponsor shall mutually determine the refund to the Sponsor for its share of the balance of the aggregate fees, which remains after deducting all expenses incurred by THE LEARNING COUNSEL.
4. Sponsor Cancellation
If Sponsor cancels its sponsorship, all payments made to THE LEARNING COUNSEL, under this application, shall be deemed fully earned and non-refundable in consideration for expenses incurred by THE LEARNING COUNSELand THE LEARNING COUNSEL’s lost or deferred opportunity to provide sponsorships to others. Full cancellations with refund are allowed provided they are outside of a 60-day cancellation window before any one event.
5. Liability
Under no circumstances will any party to this agreement, any co-sponsor or the convention center or other exhibit space provider be liable for lost profits. In no event shall THE LEARNING COUNSEL’s or Sponsor’s liability under any circumstances exceed the dollar value of the agreement. THE LEARNING COUNSEL makes no representations or warranties, including, but not limited to, the number of persons who will attend the Event.
6. Agreements to Terms, Conditions and Rules
Sponsor agrees to observe and abide by the foregoing terms and conditions and by such additional terms, conditions and rules made by THE LEARNING COUNSEL from time to time for the efficient and safe operation of the Event. Sponsors are advised to not promote any other event during a Learning Counsel event. In addition to THE LEARNING COUNSEL’s right to cancel sponsorship and withdraw its acceptance of the application, THE LEARNING COUNSEL, in its sole judgment, may refuse to consider for participation in future events a Sponsor who violates or fails to abide by all such terms, conditions and rules This application represents the entire agreement between the Sponsor and THE LEARNING COUNSEL, and THE LEARNING COUNSEL is not making any warranties or other agreements except as set forth above. Any amendment to this agreement must be in writing, signed by THE LEARNING COUNSEL. The headings used in this agreement are for organizational purposes only and are not to be used in the interpretation of the substance of this agreement. The rights of either party under this agreement shall not be deemed waived except as specifically stated in writing and signed by an officer of THE LEARNING COUNSEL
