Deposit Terms & Conditions 1. These terms and conditions relate to the 10% deposit ('the Deposit') that you pay in relation to your plot of land ('the Plot') that you intend to purchase from Knox Worldwide Limited (Knox Worldwide). These terms and conditions do not apply until we, or our Representative receive the Deposit from you as cleared funds. 2. These terms and conditions do not form part of the Sales Agreement with Knox Worldwide in relation to the Plot. 3. You must read the terms and conditions that will be contained within the Sales Agreement ('the Sale Conditions') with Knox Worldwide. 4. In the event that you proceed to exchange contracts and complete your purchase of the Plot within the period of 14 days from and including the day that your Deposit is received as cleared funds by Knox Worldwide ('the Reservation Period') the Deposit will constitute part payment of the purchase price of the Plot and will be set against the balance of the purchase monies due from you. 5. Payment by you of the Deposit will not confer any legal or beneficial right or interest upon you in relation to the Plot but on receipt of the Deposit as cleared funds Knox Worldwide agrees not to market the Plot for sale for the Reservation Period. 6. In the event that you fail to proceed to exchange contracts and complete the purchase of the Plot within the Reservation Period ('Default') Knox Worldwide, or its Representatives will be entitled to keep the Deposit and will be entitled to market the Plot for sale to an alternative buyer. In the event of Default any agreement formed between you and Knox Worldwide in relation to the reservation of the Plot is immediately terminated. 7. Following receipt of the Deposit as cleared funds Knox Worldwide will within 5 days of receipt of the Deposit as cleared funds dispatch the following documents ('the Completion Pack') to the Representative as a secure PDF: 7.1 Sales Agreement 7.2 Transfer deed in Form TP1 7.3 Identity Form ID1 7.4 Signature instructions 7.5 Completion statement The Knox Worldwide Representative will then contact you to go through the documents. 8. On receipt of the following from you (within the Reservation Period): 8.1 the documents contained in the Completion Pack signed in accordance with the signature instructions contained in the Completion Pack and 8.2 the balance of the monies due, as cleared funds, are paid into the bank account as detailed in the completion statement. (This is contained within the Completion Pack). 8.3 sign and date the sale and purchase agreement and transferdeed in form TP1 and 8.4 complete the Land Registration formalities and forward the forms to HM Land Registry for the Transfer to be registered. Upon receipt from HM Land Registry of the Confirmation of the Transfer having taken place Knox Worldwide will obtain an Office Copy Entry from the Land Registry and forward this to the Purchaser. The Office Copy Entry will show the record held at the UK Land Registry of the name of the person holding title to the Land and the Title Number of the Land. This should be kept as a record of your ownership of the Land. 9. Any interest accruing on the Deposit during the Reservation Period will belong to Knox Worldwide. 10. The Contracts (Rights of Third Parties) Act 1999 does not apply to any agreement formed by your acceptance of these terms and conditions and you are not entitled to transfer the benefit of any such agreement to a third party. 11. For the purposes of section 22 of the Solicitors Act 1974 Knox Worldwide confirms that it has not supplied the contract for sale and purchase of the Plot or the transfer in expectation of any fee gain or reward other than the purchase price of the Plot and that all forms are submitted to the appropriate authorities by Knox Worldwide on your behalf and for your convenience only. Sales Agreement - Wickford Park 1. This Agreement incorporates the Standard Conditions of Sale (4th Edition). Where there is a conflict between those Conditions and this Agreement, this Agreement prevails, any disputes over this contract will be exclusivery dealt with by the Courts in Gibraltar. Terms used or defined in this agreement have the same meaning when used in the Conditions. This contract will be exclusively dealt from our legal office in Gibraltar. 2. The Land is sold subject to those matters contained or referred to in the registers of title number save for any financial charges and the Buyer will raise no requisitions on them. 3. Subject to the terms of this Agreement and to the Standard Conditions of Sale, the Seller is to transfer the Property with full title guarantee. 4. The Property is sold with vacant possession on completion. 5. The title to the Property being sold is registered under Title No. EX 796439, this Title No. is for the whole of the land. Your inidivudal plot will be allocated a new Title No. by HM Land Registry when it is transferred to you. A copy of the said title together with Knox Worldwide' interest in the land can be obtained from the Land Registry by post or on line via http://www.landregisteronline.gov.uk and the Buyer confirms that it has inspected a copy of the title prior to the date of this Agreement. The Buyer having inspected a copy of the title prior to the date hereof the Buyer shall purchase with full knowledge of the same and shall not be entitled to raise any objection or inquiry in connection therewith after the date. 6. Following the inspection by the Buyer of the title to the Property as described in special condition 5 the Buyer confirms that they purchase with full knowledge of the obligation to pay to Roy Michael Shinnick and Lilian Shinnick or their successors in title certain monies ('the Additional Payment') as described in the title to the Property in the event that any outline or detailed planning permission is granted during the period described in the title authorising the development of the whole or part of the Property for any non agricultural purpose ('the Additional Payment Event'). The Buyer further confirms that they purchase with full knowledge that stamp duty land tax may be payable at the rate of 1% (as the law stands at the date of this Agreement) on the Additional Payment and that the Buyer will (as the law stands at the date of this Agreement) be required to file a stamp duty land tax return accompanied bv the Buyer's remittance in relation to the said stamp duty land tax within 30 days of the Additional Payment Event. 7. Unless expressly stated nothing in this Agreement will create rights pursuant to the Contracts (Rights of Third Parties) Act 1999 in favour of anyone other than the parties to the Agreement. 8. The Buyer admits that he has inspected the Property and conducted his own searches and enquiries and purchases it with full knowledge of its actual state and condition and shall take the Property as it stands and the Buyer now admits that he enters into this agreement solely as a result of his own inspection, searches and enquiries and on the basis of the terms of this agreement and not in reliance upon any representation or warranty either written or oral or implied made by or on behalf of the Seller and that this agreement contains the entire agreement between the parties. 9. The Buyer purchases the Property subject to the following matters: 9.1 all local land charges whether registered or not before the date of this Agreement and all matters capable of registration as local land charges whether or not actually so registered 9.2 all notices served and orders demands proposals or requirements made by any local public or other competent authority whether before or after the date of this Agreement 9.3 all actual or proposed charges notices orders restrictions agreements conditions contraventions or other matters arising under the enactments relating to town and country planning and environmental law and 9.4 all easements quasi-easements rights exceptions or other similar matters whether or not apparent on inspection or disclosed in any of the documents referred to in this Agreement 10. The Buyer acknowledges that following completion of the sale and purchase of the Property neither the Seller nor any of its appointed Representatives will have any obligation in relation to the management of the Property or in relation to pursuing planning permission for development of the Property. 11. Without prejudice to the generality of special condition 7 the Buyer acknowledges that the: 11.1 Property is within an area designated as green belt in the Basildon District Local Plan 1998 11.2 current lawful planning use of the land is agricultural 11.3 that the Buyer will require planning permission before erecting any boundary structures and 11.4 that the Buyer has not purchased the Property in reliance upon any representation or warranty either written or oral or implied made by or on behalf of the Seller that the planning permission for development of the Property will be granted or that the Property will be removed from the current green belt designation.
