Meetings are held on the 4th Thursday of the month at the Bedford Presbyterian Church Fellowship Hall from 11:30AM to 2:30PM, unless otherwise indicated. Bring your name badge and calendar to all meetings. Name badges are white for all members. “Gems” are used to designate new members. Guests are welcome at all meetings except the April members only meeting.

BWC TAX STATUS

The BWC has a not-for-profit tax status with the IRS and New Hampshire. We are classified as a 501c(4) organization and may proudly state that we are a not-for-profit club and that our fundraising money goes to charities and toward scholarships in Bedford. Unlike a 501c(3) organization, donations to us are not tax deductible.

The information contained in this book may only be used by members of the Bedford Women’s Club for club business. Any other use, selling, or passing on any of the information herein is prohibited.

CHARITABLE DONATIONS

The function of this committee is to oversee the club’s annual donation requests from local non-profits.

FINANCE COMMITTEE

The function of the Finance Committee is to work with a paid Certified Financial Advisor to promote the Club’s interest when making investments. In 1995-96, with the goal of establishing a steady source of income to enhance the Club’s charitable donations and scholarships, the BWC published the Tasteful Treasures cookbook and raised $35,000. Currently $25,000 is in a Schwab CD and

approximately $11,000 is in a Schwab investment account. Yearly interest from the CD is added to our fundraising monies each year for charitable donations and scholarships. The investment account is tapped as needed to supplement our other fundraising.

The Public Relations Committee submits notices and articles about club activities to the Bedford Bulletin, the Union Leader, Greet Bedford magazine, BCTV, and local Facebook groups. Committee/event chairs are responsible for providing writeups, photos, and other pertinent details. Please provide information 3 weeks in advance for newspaper publications and 3 months in advance for magazines.

SCHOLARSHIP COMMITTEE

The Scholarship Committee manages the marketing, selection, and awarding of scholarships. The Josephine A. Fearon Scholarship is available to male and female high school seniors who are residents of Bedford. The nontraditional Scholarship for Bedford Women is available to adult women who are enrolled in a degree or certificate program for a minimum of three credits.

All active members are required to serve on one monthly luncheon committee. Officers and the Board of Directors are responsible for the New Member Coffee. Board members may serve at monthly luncheons, although that is not required. If a member is unable to serve in her scheduled month, she may either trade with someone in another

month OR pay $30 (via check payable to Bedford Women’s Club). Notify the Chair of the Luncheon Committee of any trades, or if a payment will be made. Each member’s assigned month will be listed in the Yearbook.

Experience the magic of Bedford’s newest and most anticipated annual tradition! The BWC Festival of Trees and Holiday Market is free to the public and has quickly become a must-do for locals and visitors alike. We offer dozens of beautifully decorated trees, available for raffle, each with its own unique and captivating theme.

Attendees will enjoy a visit from Santa Claus, a free craft area for children, fantastic door prizes, and exciting raffles. Local artisans will provide an array of handcrafted items available for purchase at their tables. We also welcome the participation of local businesses and nonprofits, whether by displaying their own trees or contributing funds for BWC members to create stunning decorations. A new feature on Saturday afternoon is a tree lighting by the Bedford Garden Club with free refreshments from the Bedford Presbyterian Church served immediately after!

All proceeds from the raffle benefit our scholarships and charitable donations, making a positive impact in our community!

Your donation will be offered by our Guest Auctioneer in a live auction before, during, and after our lunch or in a Silent Auction.

CHARITY: Women’s Prison

About six years ago, the warden of the NH Women’s prison spoke to the BWC about the situations that lead to women being incarcerated. Most are non-violent offenders who found themselves in difficult circumstances.

Items Requested: The recreational therapist has asked for plastic crochet hooks, Sarah Bates sizes 4-5; plastic darning needles, sock looms, sock yarn, and yarn in any shade of pink.

PROGRAM:

New England Lighthouses and the People Who Kept Them, Jeremy D’Entremont

Jeremy D’Entremont tells the history of New England’s historic and picturesque lighthouses primarily focusing on the colorful and dramatic stories of the lighthouse keepers and their families. Jeremy’s presentation will combine historic and new photos, film and audio clips.

Mr. D’Entremont has been called the leading expert on New England’s historic Lighthouses. He is the author or co-author of more than 20 books including: The Lighthouses of Maine;

The Lighthouses of Massachusetts, The Lighthouses of Rhode Island, The Lighthouses of Connecticut, Great Shipwrecks of the Maine, The Lighthouse Handbook: New England, All About Nubble Light, and Ocean Born Mary: The Truth Behind a New Hampshire Legend.

He may have several of these books available for sale in the hall following the presentation.

Welcome to the 78th Miss New Hampshire – Emily Spencer! The 23 year old Bedford resident has lived here since the 1st

grade, attending the Peter Woodbury School and Bedford High School.

Emily has been participating in the Miss New Hampshire program since 2016. She was crowned Miss Bedford in 2019. In addition to performing a dance number, Emily will talk about the process and responsibilities of being Miss New Hampshire and her outstanding work as a founder of “Miss Inspiration” a non-profit program.

CHARITY: Bedford Community Food Pantry (BCFP)

The BCFP provides food insecure residents and students of Bedford, NH with healthy food on a weekly basis.

SILENT AUCTION

The Silent Auction takes place during the Holly Luncheon and is a fundraiser for our scholarships and charitable donations. Items for this auction are obtained through donations from our local businesses. As a BWC member you are asked to approach local businesses and services providers for donations of goods, time and/or gift cards. A letter to introduce yourself and the purpose of the auction is available for you to give to each establishment and explains our 501(c)(4) tax status. A “where will you go” list will be available at the monthly meetings prior to the auction. Items should be given to Betsy Stull or Bobbie Gibbons as they are obtained.

The mission of Girls Inc of New Hampshire is to inspire all girls to be strong (through healthy living), smart (through education), and bold (through independence).

Items Requested: Sharpie pens, glue sticks, 2" ring binders, 2-pocket folders, colored pencils, ink pens-clickable, scientific calculators and/or multipurpose calculators ($10-$15 range).

PROGRAM:

New Hampshire’s One Room Rural Schools: The Romance and the Reality, Steven Taylor

Steven Taylor explores the lasting legacies of the one-room school and how they echo today. Hundreds of one-room schools dotted the landscape of New Hampshire a century ago and were the backbone of primary education for generations of children. Revered in literature and lore, they were actually beset with problems, some of which endure today. The greatest issue was financing the local school and the vast differences between taxing districts in the ability to support education. Other concerns included teacher preparation and quality, curriculum, discipline, student achievement, and community involvement in the educational process.

Bless This Home’s mission is to support underprivileged women and their families emerging from restorative programs. This Bedford based charity harnesses the generosity and talents of the local community to provide both the necessities and the niceties of living.

Items Requested: They are always in need of microwaves, coffee makers, air-conditioning units, knife sets, utensil sets, and new bathroom sets. Walmart gift cards and cash donations are happily accepted too.

Interior Design Tips and Trends, Meghan Collins

Curious about what new trends are happening in Interior Design? Looking for some tips to do some easy updates and organize your home, or planning a renovation? Then this presentation is for you! Meghan Collins will discuss what's hot in home design, how to make some simple but impactful updates, and share ideas on managing a larger home remodeling project. She will also address practical ways to update your home if you plan to stay in it long term, tips on decluttering tastefully (for your own sanity or if you are preparing to stage your home for sale!), and how to incorporate current trends without going overboard.

Once again the Time & Talent Auction will be a combination of ONLINE and LIVE Auction.

The Online portion will be held from Tuesday, March 4th at NOON through Tuesday, March 11th at NOON. The winning bidders will be able to pick up their items on Thursday, March 13th at the Time & Talent Luncheon or make other arrangements with the donor.

Drawing heavily on the repertoire of traditional singer Lena Bourne Fish (1873-1945) of Jaffrey and Temple, New Hampshire, Jeff Warner offers the songs and stories that, in the words of Carl Sandburg, tells us “Where we came from and who brought us along. “ These ballads, love songs and comic pieces, reveal the experiences and emotions of daily

life in the days before movies, sound recordings and, for some, books. Songs from the lumber camps, the decks of sailing ships, and the textile mills and war between the sexes

offer views of pre-industrial New England and a chance to hear living artifacts from the 18th and 19th Centuries.

Members meet in June to recommend titles and volunteer to moderate the discussions. Meg Cronin, Prof. of English and Dir. of College Writing at St. Anselm College, usually leads one of our spring discussions. The librarians arrange to borrow multiple copies of each month’s title so they are available at the Reference Desk at no cost. If you want to read a book but don’t plan on actually attending the discussion, please refrain from taking out a library copy during the assigned month so as not to prevent another participant from getting a copy.

THE BEDFORD WOMEN’S CLUB HISTORY

1905 - 2024

The year 1905 was iconic in the history of New Hampshire and Bedford. The Russo-Japanese Peace Agreement was signed in Portsmouth, Mark Twain was summering in Dublin (NH), everyone was reading Edith Warton’s controversial new book, The House of Mirth, and under the leadership of Mrs. Gordon Woodbury, the women of Bedford formed the Child Study Circle.

The first meeting of the Child Study Circle was held in the “little green house” where tea and coffee were made over a wood burning cooking stove. Ladies brought freshly made tea sandwiches and pastries to enjoy while organizing their worthwhile endeavor. Their goal was to “raise the standard of home life, to study the means for best developing the physical, intellectual, and spiritual nature of the child. In 1926, to broaden the scope of interest, the group became the Home Study Club.

During World Wars I and II this same group of women aided in the war effort by working for Bedford’s Red Cross. In addition, with war induced shortages, they taught women about nutritional values and safety measures in conserving food. For many years the BWC ladies participated in the Well Child Clinic which provided immunization shots for the local children.

In the early 40’s they formed the first scholarship committee. The financing of this fund came from selling homemade baked goods and needlework at the Unity Club Fair. It was an extraordinary day when they presented their first $25 scholarship. How wonderful that the original award has

grown into the Josephine A. Fearon scholarships and charitable donations of over $26,000 this past season!

In the 50’s and 60’s the members hosted many Smorgasbord dinners, Fashion shows and Gala Dances for fun and fundraising. In the mid 1990’s Club members provided financial security by compiling, publishing and successfully selling Tasteful Treasures, a hardbound cookbook featuring members' own recipes.

Present day fundraisers such as our Time & Talent Auction, Whale of a Sale, Holly Luncheon Silent Auction and monthly non-cash charitable donations continue to give our membership the opportunity to serve and support the local community.

Recently, while responding to the COVID 19 pandemic and its restrictions, we began to utilize social media and technology in new ways. The Bedford Women’s Club has its own website, www.BedfordwomensClub.org, a presence on Facebook (ask to join!) and we have adapted to meetings held over Zoom. As we anticipate a full season of interesting programs, we realize the success of our club can be attributed to the many members and leaders who offer their time, talents and energy not only for the continuation of this long-standing organization but for the benefit of our Bedford community.

By-Laws of the Bedford Women’s Club, Inc.

Article I. NAME

The name of this organization shall be the Bedford Women’s Club, Inc.

Article II. OBJECTIVE

The objective of the Bedford Women’s Club, Inc. shall be to foster social and cultural relationships among its members and to provide scholarships and make charitable contributions to tax-exempt organizations serving the Bedford community.

Article III. MEMBERSHIP

Section A. Any woman who is a resident of Bedford in sympathy with the purpose of this organization may become a member by completing a membership application furnished by the Membership Chairman and paying the required annual dues.

Section B. Membership shall be in four classes: Active, Presidential, Life, and Non-Resident.

1. ACTIVE MEMBERSHIP

Active Members have all the rights, privileges and responsibilities of membership. The rights and privileges consist of attending meetings and programs, participating in interest groups, voting, holding office, and serving on committees. All active members must perform hospitality duty at one meeting per year and pay full dues. If a member is unable to perform hospitality duties, that duty may be waived at the discretion of the President.

2. PRESIDENTIAL MEMBERSHIP

Presidential Membership will be granted to all Past Presidents, in honor of, and with gratitude for, their service to the Bedford Women’s Club. Past Presidents will have all the rights, privileges and responsibilities of active membership. The Club will retain the dues and hospitality duty waiver for all Past Presidents serving prior to 2011.

3. LIFE MEMBERSHIP

Life Membership will be granted to any member that has reached her 75th birthday and has been an active member for a minimum 10 years. She must submit a written request to the President to become a Life Member; this request shall be honored and announced to the membership at the following general meeting. Life Members may choose

to be exempt from any dues, duties or office. They may attend meetings and programs, participate in interest groups, vote, hold office and serve on committees.

4. ASSOCIATE MEMBERSHIP

All names already on the Associate Membership list as of May 2016 will remain there, but no new names will be added. Associate Members will pay full dues and may participate in interest groups and serve on committees. They may not vote or hold office. If an Associate Member is able to attend a meeting, a hospitality service fee will be due.

5. NON-RESIDENT MEMBERSHIP

Non-resident Membership shall be open to members who have moved their permanent residency more than 50 miles from Bedford, NH. These members are exempt from club duties and pay one-half of the Active Member dues. They may not vote or hold office. They may attend meetings and programs, participate in interest groups and serve on committees. A member must submit a written request to the President to change her membership to non-resident. A Non-resident Member must submit a written request to the President to return to active membership accompanied with the payment of the second half of her dues and perform a hospitality duty at one meeting.

Article IV. OFFICERS

The elected officers of the organization are President, 1st Vice President, 2nd Vice President, Recording Secretary, Corresponding Secretary, Treasurer and Auditor. These positions may be co-chaired at the discretion of the Nominating Committee. Each co-chaired position will have only one vote. Said officers shall hold the same office not more than two years in succession, unless, at the discretion of the Board of Directors and Nominating Committee, the continuance of office for one additional year is deemed necessary. These officers shall serve on the Executive Board.

Article V. DUTIES OF OFFICERS

Section A. PRESIDENT

It shall be the duty of the President to preside at all general and executive board meetings; to appoint Directors, Chairmen and a Parliamentarian; and to have a general oversight of the Club. Upon resignation of an officer, the President, with the approval of the Board of Directors, shall appoint a replacement and notify the members at the next general meeting. The President shall be notified of all committee

meetings, serving ex-officio on the Program, Ways and Means and Finance Committees. During her term as President, her dues and hospitality duties will be waived.

Section B. VICE PRESIDENTS

1. 1st VICE PRESIDENT

It shall be the duty of the 1st Vice President to assist the President and to take over all duties of the President in case of absence or disability. Should the President vacate her position, the 1st Vice President(s) can assume the Presidency. The 1st Vice President shall serve as Chairman of the Program Committee.

2. 2nd VICE PRESIDENT

It shall be the duty of the 2nd Vice President to serve as Chairman of the Ways and Means Committee.

Section C. SECRETARIES

1. RECORDING SECRETARY

It shall be the duty of the Recording Secretary to keep records of all Executive Board and general and special meetings.

2. CORRESPONDING SECRETARY.

It shall be the duty of the Corresponding Secretary to attend to all correspondence of the Club.

Section D. TREASURER

It shall be the duty of the Treasurer to keep an accurate record of accounts received and payable. The Treasurer shall consult with the President to develop a proposed budget to present to the Executive Board for approval. This budget shall be presented to the membership at the September business meeting for a final vote. The Treasurer oversees and reports on all accounts. The Treasurer shall file tax returns and or any other reports required by State or Federal government. The Treasurer shall serve as chairman of the Finance Committee.

Section E. AUDITOR

It shall be the duty of the auditor to review the accounts and present a report to the Executive Board after the close of the Fiscal Year.

Article VI. BOARD OF DIRECTORS

Section A. The Board of Directors shall consist of five members: two elected members, the outgoing President(s), and one or two members appointed by the President with over 5 years of membership in the club

or have held an executive position. The Board of Directors shall elect its own chairman.

Section B. It shall be the duty of the members of the Board of Directors to be advisors to the officers in determining Club policies. Additional meetings may be held when deemed necessary, by the President or Chairman of the Board.

Article VII. EXECUTIVE BOARD

Section A. The Executive Board shall consist of all elected officers and the five Directors. Members of the Executive Board have one vote per position at the Executive Board meetings. The Parliamentarian may not vote.

Section B. Duties of the Executive Board are limited to those included in these by-laws. The Executive Board will use due diligence in selecting outside organizations to receive donations. Recipients should represent non profit organizations that serve the Bedford community. These recommendations shall be approved by the general membership at the April meeting.

Section C. The Executive Board can approve non-budgeted items under $250. Non-budgeted items over $250 must be approved by the membership.

Section D. Except for proposed changes to By-Laws, The Executive Board may authorize and establish conditions of electronic voting for members with voting privileges.

Article VIII. NOMINATING COMMITTEE

The Nominating Committee shall consist of three to five members including at least one Past President. At the March meeting, the Nominating Committee shall present a slate of officers, two Directors, and three to five members to serve as the Nominating Committee.

Article IX. COMMITTEES AND DUTIES

All standing and special committee chairs shall maintain records of their committee’s activities.

Section A. STANDING COMMITTEES

The term of the Chairman of each committee shall not exceed three years.

1. CHARITABLE DONATIONS COMMITTEE

The committee shall consist of 5 members appointed by the President including no fewer than 3 members from the Board of Directors. The

committee shall elect a Chairperson. The function of this committee is to assemble the Club’s annual donation requests from non-profit organizations and municipal organizations that serve the Bedford Community, and consolidate the requests for consideration by the Executive Board.

2. FINANCE COMMITTEE

The Treasurer shall serve as the chairman and appoint a committee of two additional members. It shall be the duty of the Finance Committee to work with a paid Certified Financial Advisor to promote the Club’s interest when making investments. A minimum of $25,000 of the proceeds from the cookbook

Tasteful Treasures shall be invested in a diversified manner that has minimal risk to the principle. All accrued interest, appreciation and dividends shall be made available for scholarships and charitable donations as approved by the membership at the April meeting. The President shall serve ex-officio.

3. MEMBERSHIP COMMITTEE

The chairman shall appoint committee members to attract new members to the Club and provide applications to candidates for membership. The chair shall submit collected dues to the Treasurer.

4. PROGRAM COMMITTEE

The 1st Vice-President shall serve as chairman and appoint a committee of three or more members. It shall be the duty of the program committee to plan and arrange all of the programs for the general meetings. A report of the programs shall be presented to the Executive Board for approval before the year’s activities begin. The President shall serve ex-officio.

5. PUBLIC RELATIONS COMMITTEE

The chairman shall appoint members as needed to see that all activities of the Club are publicized through local and social media. This committee shall coordinate activities with those of other standing and special committees.

6. SCHOLARSHIP COMMITTEE

a. The chairman shall appoint a Selection Subcommittee to consist of a minimum of five members and a maximum of eleven members including the chairman. The Selection Subcommittee shall review applications for scholarships and determine recipients according to established criteria. The amount available for scholarships will be determined by a vote of the membership at the April meeting.

b. The chairman will also appoint an Administrative Subcommittee; one of the members shall serve as Corresponding Secretary for the Scholarship Committee.

7. WAYS AND MEANS COMMITTEE

The 2nd Vice-President shall serve as chairman and appoint a committee of three or more members to develop plans to raise money for the Club’s scholarships and charitable donations. The President and Treasurer shall serve ex-officio.

Section B. SPECIAL COMMITTEES

Special committees may be established with Executive Board approval.

Article X. MEETINGS

Section A. General meetings of the Club shall be held on the 4th Thursday of each month, from September through May, unless otherwise indicated. In the event that reservations for a meeting approach the fire code capacity of the venue, the club reserves the right to limit attendance.

Section B. One-third of the membership with voting privileges shall constitute a quorum for the transaction of business at any general meeting of the Club.

Section C. The business meetings of the Club will be held in September and April. At the September meeting, the membership will approve the annual budget. At the April meeting, the membership will approve the slate of officers, annual dues, scholarship and charitable donations. Recommendations for all items on which there will be a vote at the April meeting shall be presented to the membership at theMarch meeting.

Section D. The end of year meeting will be held in May with the installation of officers.

Section E. The President may cancel a meeting due to an emergency situation. Only the annual business meeting in April must be rescheduled if canceled.

Section F. The President or Chairman of the Board of Directors may call a special meeting or a special vote at any time after notifying the membership. The purpose of the meeting/vote shall be set forth in the notice. Notice of a special meeting/vote shall be given at least seven days in advance.

Article XI. FISCAL YEAR

The fiscal year shall be June 1 to May 31.

Article XII. DUES

The Executive Board shall present the proposed amount of the dues and late fees for the subsequent year at the March meeting. The amount shall be approved by the membership at the annual meeting in April. Dues for the subsequent year must be received by June 1. Members who have not paid by June 1st will no longer be considered a member until the dues and the late fee is paid and they will not be allowed to participate in any Club activities. New members joining after January 31st pay one-half of the annual dues.

Article XIII. INDEMNIFICATION

Section A. RIGHTS

Subject to limitations in this Article, The Corporation, hereafter known as “the Club”, shall indemnify its Directors, Officers, and members, including those formerly holding such positions, for all claims and liabilities actually and reasonably incurred, including reasonable expenses and attorney fees, to which they may become subject by reason of their positions within the Club or their actions on its behalf. Their indemnifications shall apply whenever such person is a party or threatened to be made a party to any threatened, pending or completed actions, suit or proceedings, whether civil, criminal, administrative or investigative (other than an action by or in the right of the Club). The Club may directly pay or settle any claim or liabilities as are determined by the Board of Directors. The foregoing shall not be exclusive of any other rights to which such persons may be lawfully entitled.

Section B. LIMITATIONS

No indemnification shall be provided for any person with respect to any matter as to which he or she is determined not to have acted in good faith in the reasonable belief that the action was in, or not opposed to, the best interest of the Club, and with respect to any criminal action or proceeding, where the person is determined to have had reasonable cause to believe the conduct was unlawful. If these determinations are not made in a legal proceeding related to the claim, they may be made by the Board of Directors. If not made or able to be made by either, the determination shall be made by independent legal counsel appointed by the Club. Payment of expenses incurred in defending a civil or criminal proceeding in advance of its final disposition may be made only upon

receipt by the Club of an undertaking to repay such amounts if the person shall be determined to be not entitled to indemnification under this Article.

Article XIV. CONFLICT OF INTEREST

Any possible conflict of interest on the part of any member of the Board, officer or member of the Club shall be disclosed in writing to the Board and made a matter of record through an annual procedure and also when the interest involves a specific issue before the Board. Where the transaction involving a board member, trustee or officer exceeds five hundred dollars ($500) but is less than five thousand dollars ($5000) in a fiscal year, a two-thirds vote of the disinterested directors is required. Where the transaction involved exceeds five thousand dollars ($5000) in a fiscal year, then a two-thirds vote of the disinterested directors and publication in the required newspaper is required. The minutes of the meeting shall reflect that a disclosure was made, the abstention from voting, and the actual vote itself. To the extent required by law, every new member of the Board will be advised of this policy upon entering the duties of her office, and shall sign a statement acknowledging, understanding of and agreement to this policy. The Board will comply with all requirements of New Hampshire law in this area and the New Hampshire requirements are incorporated and made a part of this policy statement.

Article XV. DISSOLUTION OF THE CLUB

The dissolution of the Club requires previous notice and a 2/3 vote of all members with voting privileges. All monies belonging to the Club shall be disbursed as scholarships and/or charitable donations. This disbursement shall require a 2/3 vote of the membership with voting privileges.

Article XVI. AMENDMENTS

These by-laws may only be amended at any general or special meeting by a two- thirds vote of the members with voting privileges in attendance, providing the proposed amendments have been presented at the previous meeting.

Article XVII. PARLIAMENTARY AUTHORITY

Robert’s Rules of Order shall be the accepted Parliamentary authority. The Parliamentarian should attend all Executive Board and general meetings.
