By-law: Minimum Representation from the Urban Water Sector on the Board
Pursuant to Rule 56 of the Constitution, the following By-law is established in relation to Rule 35.2(c):
1. Purpose: To ensure adequate representation of the Urban Water Sector on the Board of Directors, reflecting the importance of this sector in the planning and provision of public works and services in Queensland and the Northern Territory.
2. Requirement: One At-Large Director elected under Rule 35.2(c) must have professional expertise, experience, or active involvement in the Urban Water Sector.
3. Eligibility Criteria: Candidates for these positions must meet the following criteria:
o Be a current financial member of the Institute.
o Demonstrate qualifications, professional expertise, or active involvement in the Urban Water Sector, including but not limited to:
▪ Employment or leadership roles in water utilities, water infrastructure planning, or water resource management.
▪ Significant contributions to projects, research, or policy development in the Urban Water Sector.
4. Nomination Process:
o Candidates nominating for At-Large Director positions must indicate their eligibility under this By-law during the nomination process.
o The Returning Officer will verify the eligibility of candidates based on the criteria outlined above.
5. Election Process:
o If no eligible candidates from the Urban Water Sector are elected during the ballot process, the Board may appoint additional eligible members to meet the minimum requirement, as per Rule 40.
6. Review and Compliance:
o The Board will review this By-law prior to the commencement of each election nomination process to ensure its relevance, effectiveness, and alignment with the Objects of the Company.
o This By-law may be amended or repealed by the Board in accordance with Rule 56.
This By-law is effective immediately upon adoption by the Board and will apply to all future elections and appointments of At-Large Directors.
