s of 3 April 2014, the Austrian “Ring” International Holding AG (RIH) is the new majority shareholder of Helios Domžale, d.d. With a total turnover of about EUR 450 million, a joint production capacity of almost 100,000 tons of liquid and powder coatings, and altogether 15 production sites, the group is among the top 10 European coatings producers. The Helios group, with headquarters in Slovenia (Domžale near Ljubljana), was before one of the 15 largest coatings producers in Europe and, as of 3 April 2014, has a new majority shareholder: The Austrian Remho Beteiligungs GmbH, the parent company of the entire Coating Division of “Ring” International Holding AG (RIH). This step marks the completion of the sales process after 2.5 years. With the closing of 3 April, 77.93 % of the shares in the Slovenian coatings giant were transferred to the industry group; the members of the “selling consortium” received EUR 106 million (EUR 520 per share). Almost simultaneously, the public takeover bid for the remaining shares will be published and the bidding documents will be submitted to the authorities so that the takeover bid can be published as soon as possible and to protect minority shareholders. To finance the acquisition, RIH got two of the most renowned investment firms on board: the Blackstone subsidiary GSO and Franklin Templeton, both were enchanted by the astonishing track record of the industrial group. This is reconfirmed by the amazingly high performance of the RIH Coating Division in the first months of 2014. Against the general trend on the coatings market, the companies of the group did very well and will close the first quarter with a considerable increase in profits. Carried along by the extremely good performance of RIH, also the Helios group will end the first quarter with long-awaited record results after a disappointing year 2013. After the closing, RIH expands to employ 3,500 staff who give their best every day and generate a joint turnover of about EUR 550 million. At 21 sites, about 100,000 tons of liquid and powder coatings are produced annually as well as 55,000 tons of resins and almost 52,000 tons of decorative coatings, and 30,000 tons of steel are processed. Thus the group is among the largest European coatings producers and also plays an important role on an international level. The companies of the Stationery Division also successfully defend their leading positions and make the group market leader for lever arch mechanisms in Europe and the largest European ring binder mechanism producers. Con un fatturato di circa 450 milioni di Euro, una produzione totale di quasi 100.000 tonnellate di vernici liquide e in polvere e 15 siti produttivi, il gruppo è tra i dieci maggiori produttori europei di vernici. Il gruppo Helios, con sede principale in Slovenia (Domžale, vicino a Ljubljana) era prima uno dei quindici produttori di vernici più grandi in Europa e, a partire dal 3 aprile 2014, ha un nuovo azionista di maggioranza: l’austriaca Remho Beteiligungs GmbH, società madre di tutta la Divisione Vernici di “Ring” International Holding AG (RIH). Questo passo segna la conclusione del processo di vendita durato due anni e mezzo. Con la vendita del 3 aprile, il 77,93% delle azioni del gigante delle vernici sloveno sono state trasferite al gruppo industriale; i membri del consorzio di vendita hanno ricevuto 106 milioni di Euro (520 Euro per azione). Quasi contemporaneamente, l’offerta di pubblico acquisto per le azioni restanti sarà pubblicata e i documenti dell’offerta saranno sottoposti alle autorità in modo che questa avvenga il prima possibile, anche per proteggere gli azionisti di minoranza. Per finanziare l’acquisizione, RIH ha collaborato con due delle più rinomate società d’investimento: GSO, sussidiaria di Blackstone, e Franklin Templeton, entrambe sbalordite dal curriculum del gruppo industriale. Contrariamente alla tendenza generale del mercato delle vernici, le aziende del gruppo hanno raggiunto degli ottimi risultati e chiuderanno il primo trimestre con un aumento considerevole dei profitti. Trascinato dalle eccellenti prestazioni di RIH, anche il gruppo Helios chiuderà il primo trimestre con risultati record da lungo attesi, dopo un 2013 deludente. In seguito all’operazione, RIH si espande con 3.500 dipendenti che daranno ogni giorno il proprio contributo per generare un fatturato congiunto di circa 550 milioni di Euro. 21 siti producono circa 100.000 tonnellate l’anno di vernici liquide e in polvere, 55.000 tonnellate di resine e quasi 52.000 tonnellate di vernici decorative, con la lavorazione di 30.000 tonnellate di acciaio. Con questi numeri, il gruppo è tra i più grandi produttori europei di vernici, con un ruolo importante a livello internazionale. Anche le aziende della Divisione Cancelleria hanno difeso con successo la loro posizione di primo piano, facendo del gruppo il leader di mercato dei meccanismi a leva in Europa e il più grande produttore europeo di meccanismi ad anelli.
