Message from President & Owner 2013 proved to me, as well as to many Romanians, that the driving forces behind Intact are our solid foundations, our commitment to pro­fe­­­ssio­na­ lism, our quality content and the support of millions of people. Thanks to these core pillars, we have overcome the challenges of a year which posed peril to the ultimate value of democracy: freedom of speech. All the attempts of those who tried to unfairly attack our mission and responsibility to the public have made us stronger and brought us closer. The journalistic investigations revealed by our reporters ruffled some feathers in high-level organizations and got international attention on the facts disclosed. The family spirit is the backbone of Intact, a group built by Romanians for Romanians. This family spirit is reflected in our business approach, in the way we treat our public and our partners. Given the trials and tribulations of last year, I would like to thank each and every one of you who believe in us. Your trust honors and motivates us, whilst being a huge responsibility to safeguard and uphold. 2013 was also about the enduring value of our work and the results we delivered. We invested millions of Euros in production and technology, which placed our group at the head of international media endeavors in Romania, proof to our compelling content and to the power of local knowledge. In TV and entertainment, we celebrated Antena 1’s twentieth anniversary through its strongest programming offer so far. We re-launched Antena 2 into a more glamorous identity, Antena Stars, and won prestigious international acclaim for Antena 3’s journalistic work. The creativity

of our artists and the talent of our journalists represent the hallmark of Intact, which currently assembles the strongest lineup of professionals in the market. Following innovative ideas to give consumers new ways to access our productions and thanks to a dedicated team of in-house digital enthusiasts, we have de­ ve­ loped a dynamic and comprehensive online platform, ­www. antenaplay.ro, which registered a record number of subscriptions in its first weeks and still continues to build. Due to rigorous financial discipline, we managed to get through challenging times in the publishing environment, holding on to the print editions of our nationally and internationally revered publications, while developing new and attractive online presences amongst these. This approach enabled us to raise our turnover by 12% in 2013 and achieve leadership on most of our targets. Fully aware of the importance that our media group has in society, we will continue to act in a responsible and professional manner, helping foster a better environment, through our journalistic involvement as well as through the actions of our foundations.

CONTRIBUTION TO PUBLIC BUDGET

All IMG activities combined contribute to the public budget with more than 19 million euros, amounting to an annual salary fund of 25 million euros. CONTRIBUTION TO COMMUNITY

INTACT Media Group is committed to corporate social responsibility through its Mereu Aproape Foundation as well as Antena 1’s main news journal campaigns Observator and a raft of charitable Antena 3 initiatives. During its nine years of existence, The Mereu Aproape Foundation has raised more than 8 million Euros, which were directed to over 100.000 direct beneficiaries. This life changing and life saving charitable foundation built 75 houses for flood victims and

raised more than one million Euros for other causes in 2013 alone. CONTRIBUTION TO HUMAN RESOURCES

As an acknowledgement of the outstanding effort and dedication of its 2000 professionals, Intact Media Group’s 2014 HR strategy is focussed on team performance and the continuous professional development of all employees. Individual’s skills are supported and nurtured in new training initiatives, Masters and MBA study programmes, motivational packages and talent development initiatives. At the same time, IMG is responsible for training a new generation of media professionals. As such, Intact Media Academy has become the most important educational project in Romanian media, accredited by the Ministry of Labor, Family and Equal Opportunities and the Ministry of Education, Research and Youth. In over 20 years of activity, IMG has grown hundreds of media professionals. The group has become an objective landmark in the career of most Romanian journalists. 12

INITIATIVES STARTED OR CONTINUED IN 2013 The Guiness Book of Records includes Romania and Antena 3 for the biggest national flag! Antena 3, in partnership with fabricadesteaguri.eu, put Romania in the Guinness Book of Records for the largest national flag in the world: 349.42 meters long and 226.92 meters wide.

Social and responsibility campaigns run by Observator (Antena 1’s daily news bulletin) – our journalists raised awareness on important issues such as cancer (Alege să nu suferi), abandoned children (Copiii nu sunt invizibili), child trafficking (Copiii nu sunt de vanzare), natural disaster areas (like blizzard or flood).

Honor the EU flag – Antena 3 saluted Europe’s Day by spreading a giant EU flag in front of Romanian Palace of Parliament: 800 kilos, 100 meters wide and 140 meters long.

Intact Media Academy - the most important professional training in Romanian mass media since 2011.

„Impreună pentru cei mici” – Mereu Aproape Foundation Romani, buni Europeni (Romanians, Good Europeans) – fundraising campaign for renovating and equiping the Intact Media Group’s 2013 campaign honored the valuable operating block at the Children’s Hospital “Marie Curie” contribution of those Romanians whose works and in partnership with „Salvați-vă îngerii” Foundation. ANTENA GROUP consists of a family of channels, each one targeting specific audiences: Antena 1 (family), Antena Stars (18-49, active people), Euforia (modern women), ZU TV (young people).

2013 OVERVIEW AND 2014 PRIORITIES “2013 was as much about people as it was about numbers. Number-wise, we have shown sustained appre­ciation on all tar­ gets and outgrew our main competitor with a historical 22.1 vs. 20.8 on the Whole Day interval. In a turbulent year, we led a series of initiatives designed to bring us closer to our public. Making the best of our entertainment resources, we have launched an unique concept on the television market in Romania, Antena Stars, the all-celebrity news TV channel, which showed stronger audience numbers immediately following its launch. Antena 1 marked its 20th anniversary with growing numbers on all segments in 2013, thanks to major productions and creative local approaches. Antena Group made important progress in building a strong digital presence to create a tighter bond between our content and our

customers. This strategy led to the launch of Antena Play, the ultimate online platform, including live streaming of the TV channels in the group, special branded content and an impressive archive of our best work so far. The traffic of our online entities quadrupled in 2013, including the launch of new exciting products. 2014 will see Antena Group launch a new TV channel dedicated to the youth market, part of a 360º multimedia platform with the phenominal Radio ZU at its core. At the same time, we are commited to deliver ever stronger results to our public and business partners. I mentioned here that 2013 was as much about people as it was about numbers. “2013 set new records in journalistic achievements, audience numbers and unparalled stories; as well as a world record! Antena 3 got in the Guiness World of Records for the biggest national flag, our gift to all Romanian people. Content-wise, Antena 3 proved itself to be the best in its class, thanks to its unrivaled team of journalists. Numerous local and international awards were won, amongst which a Gold Medal at the prestigious New York Festivals and our fourth AIB London award. All the credits go to the sustained work of my colleagues, who all contributed equally in gaining these accolades. On the other hand, 2013 definitely tested our limits and endurance annual review

in terms of the fundamental pillar of any democracy: freedom of speech. The unprecedented attacks against our journalists were highlevel responses to the revelations uncovered by our investigative reporting and where documentary evidence implicated big names in serious corruption cases. The main challenges of 2014 are holding on to our journalistic integrity in a tumoultous en­vi­ron­ ment, giving more people access to our information and proudly represeting Romanian journalism at international awards. HIGHLIGHTS 2013 Forza ZU 100,000 people occupied the Palace Square in Iași to see Buzdugan and Morar and more than 20 successful artists on stage. The largest karaoke in Romania became the biggest concert of the year. Hottest awards “Megaapartmantul” - one happy listener moved into a new house, fully furnished and equipped, decorated in the ZU style. Inna’s Porsche was won by another lucky listener as the “Grand Prix of Romania”. Coolest campaigns - Ministry of Good Works. Leading the sports newspaper market for many years, Gazeta Sporturilor made it through 2013 with its print identity even stronger than before, while the competition titles had to focus on their online entities. On the editorial front, its journalistic investigations into allegations of corruption echoed deeply in the justice system.

Highlights 2014 Gazeta will turn 90 on the 14th of September 2014. It is an important moment in the life of the third oldest sports newspaper in Europe, a time of celebration for its remarkable past and present.

Intact Production AV production The production house of the Group expanded its portfolio in 2013 with a new TV studio (Sema Parc – 1500 square meters), along the existing ones (Romexpo, Excelsior and Castel Film). “Vreau să ajut” - the campaign launched in 2011 helped 260 children so far. In 2013, it provided support for 60 children with serious diseases in order to receive treatments and surgery abroad. „Împreună pentru cei mici” - A fundraising campaign for renovating and equiping the operating theatre at the Children’s Hospital “Marie Curie” in partnership with „Salvați-vă îngerii” Foundation. The construction began in 2013 and continues in 2014.

“Lăsați-mă să învăț” campaign continued to equip rural libraries and schools. 20 units received support in this campaign so far.

„Vreau să fiu demn” campaign addressed families with social problems and contributed to the support of more than 100 people „Apa trece, România rămâne” – an emergency intervention for helping victims of severe flooding in affected communities.

When Antena 3 was launched, I thought about how much it would “cost” me, to give up Antena 1, the Observator brand, for Antena 3, a mere project at that time.
