Dear Fellow Members: Later in this document you will find the annual reports of our 11 standing committees. The work of the club is largely done by volunteers and these reports indicate the large body of work that they have undertaken. Each of the committee chairs’ email addresses are on the last page of each issue of Smoke Signals, and I highly recommend getting involved with a committee that suits your skills and interests. Besides contributing to the operation of the club, it’s a great way to meet your fellow member-owners, understand how the club works, and ensure your voice is heard.

Finishing year two of the Covid pandemic has been a surprise since I think most of us believed that we would be back to normal by now. As you know, we are far from it, and each day has been an exercise in improvisation by Brian and the staff. There are some reasons to be encouraged, however, and we continually review the Virginia Department of Health Covid infection rates and new case numbers with an eye toward relaxing the mask and distancing policies at the first opportunity. Throughout this time the Board’s only priority is the safety of the members, guests, and staff.

One bright spot this past year has been that the digital marketing procedures and processes that we put in place last year have paid off, and our membership numbers continue to outpace our most optimistic predictions. As of the end of October we have a total of 48 new member-owners. New members are the lifeblood of the club, and we are incredibly fortunate to have such a wide variety of talented new member-owners in the class of 2021.

This past year we saw the culmination of several years’ effort in the opening of the renovated club house and renaming of the indoor dining venues. The results speak for themselves, and the club house is a place where we are proud to meet our friends and bring prospective new members. None of which would have been possible without the dedicated efforts of the people involved in the design and construction.

The club house renovation is the first in a series of amenities and upgrades that were developed by the Architectural Master Plan Working Group, then translated into the Facilities Master Plan which was presented to the membership earlier this year. The remaining projects (Fitness Center, Outdoor Racquet Facility, Pool, Marina Pavilion, and Golf Practice Facility) are in the pipeline and currently in the design and definition stage. We have a well-developed process for project creation and management that is run by the Planning Committee. Sometimes that process runs slower than we would like, but we want to ensure that if we spend your money that things are well thought out and done right the first time.

Staffing has been our greatest challenge over the last year, and we continue to work as hard as we can to attract qualified candidates from a variety of sources. We are blessed with a core club house staff that has maintained our operations while severely short-handed. We are also blessed with a senior management staff that has pitched in when required to fill the gaps. We want to assure you that we don’t view this as a normal or acceptable situation, and we are doing everything we can to bring staffing levels, hours of service, and quality of experience to the appropriate levels.

We know that the rest of this year and next will be filled with new challenges. We will continue to do our best to provide the best member experience we can and appreciate your continuing support.

The Committee spent much of last winter planning events that would enable member engagement while being COVID safe. Since we did not know when the restrictions on number of people able to gather, our focus shifted to planning smaller events targeting less than 50 people while hosting these events outdoors, when possible. Events presented virtually included Kid’s Pie Making for Thanksgiving, Iron Chef of the Northern Neck and Trivia Nights.

Informative opportunities involved Warm Up to Weaving with Sandi Petty, Homeward Bound by Hank George, monthly Coffee Breaks with the Club President Al Ross and daily news the week leading up to Earth Day. We saw the return of Mah Jongg and Bunco (special thanks to Estelle Locklear and Betty Brown for organizing!)

New events this year, The Winter Wonderland “Tour”, the Concert on the Lawn with the RoadDucks and the Yappy Hour Dog Swim were very well received and benefitted from perfect weather.

Finally, after months of construction in the Clubhouse, we were able to host the Renovation Reveal and Ribbon Cutting Party.

Looking ahead save the date for Thanksgiving (in person and to go), a festive holiday gathering and New Year’s Eve with DJ George. Details will be forthcoming in “This Week at the Creek”.

Finance Committee FINANCE COMMITTEE MEMBERS

This report provides highlights from preliminary Financial Statements as of March 31, 2021, our Fiscal Year End. Indian Creek’s fiscal year runs April 1 – March 31. The complete report as compiled by our Accountants, Deihnert, Clarke & Co., P.C. will be available on our Club website within the next few weeks.

For fiscal year end March 2021, our Operating Profit (before Depreciation) was $446,277. The club had $311,462 in depreciation. Taking this non-cash item into account, our Net Profit was $-134,815. During this period, we added 43 new members and these new members provided $205,900 in initiation fees, $57,800 behind budget and $65,400 better than prior year’s numbers. As a reminder, Initiation fees are designated as Capital to be used along with our Capital Dues towards the continued investment in our Club Facilities.

Capital Dues for fiscal year 2021 were $271,432.

The operating business model for clubs revolves around member dues. Your continued membership and support keeps Indian Creek Yacht and Country Club viable for the long-term.

We finished our fiscal year with $351,015 in Cash, of which $286,150 was Capital cash. ICYCC had Current Assets of $802,500, Current Liabilities of $1,267,235, Long term Debt of $702,645, our Total Assets are $5,749,117 and our Total Net Assets are $3,765,837 During the past year, the Finance Committee has continued to focus on the balance sheet, particularly capital and operating cash positions. ICYCC was pleased that in the Spring of 2021, Covid-19 relief legislation provided the opportunity for 501(c)7 corporations to apply for a Payroll Protection Plan (PPP) loan. We applied for and received $343,000. After spending these funds directly on payroll during the summer, ICYCC applied for and was granted this loan forgiveness. This item is reflected on the current operating profit and loss statement under Other Income.

Operationally, the Finance Committee has focused on the Food & Beverage (F&B) area as well as the Golf program. The financial health of these two areas are important for the overall health of the club. F&B is a full club amenity which Club Benchmarking reminds us is at the core of the social health of our club. While the F&B Committee works hard to enhance the member experience, the Finance Committee keeps an eye on the cost of goods sold and the financial results in this area. While Covid-19 has limited the F&B hours and scope of service, the staff has worked hard to keep the financial impact at the budgeted levels.

The golf program continues to attract new members to ICYCC. Keeping the Pro Shop operations and the Green and Grounds expense to budgeted levels allows the overall financial results to remain in check. The Finance Committee balances the interest in the finest golf experience with the reality of annual costs and the very real major capital costs involved with the programs such as irrigation and bunker maintenance.

In order to address the many capital cash requirements of maintaining our current assets, ICYCC brought in Club Benchmarking to conduct a Capital Reserve Study. This study will allow us to review all the replacement and upgrade costs to our current assets that we will need to address in the coming years. These very real expenses have to be balanced with our interest in new and exciting facilities. The Board of Directors will be reviewing the results of this study in the coming months.

Food & Beverage Committee FOOD & BEVERAGE COMMITTEE MEMBERS

Year in Review Until May 15th, there were Executive Orders in place with restrictions and limitations on capacities for restaurants and gatherings which had a direct impact on the operations within the Club. Since then, the F&B operations have been navigating through the residual effects of the pandemic, all the while maintaining the goal of providing great, consistent experiences when dining at the Club.

These are events where a Member utilized the Club to host their event (i.e. birthday party, wedding, celebration of life, etc.).

5,532 meals with Member Sponsored Events compared to 5,479 in the prior 12 months. These are events in which a Member sponsors an individual or organization to hold their event at the club (i.e. service organizations, local non-profit organization fundraisers, etc.)

Over the last 12 months, 334 mobile orders were placed using our app! We hope that you have downloaded the app and found it to be convenient to order food, make a tee time and/or court reservations!

WINE CLUB The Wine Club was very active over the past year as there were 592 attendees in total at the monthly events. The events included stops in Southern Italy, Northern Italy, Chile, Paris, Spain, South Africa, Eastern Europe and Wild America. We learned about Pinot Grigios, Cabernets and Roses! You can join the Wine Club at any time throughout the year. We have more events planned through March. Where will we go in 2022?? You will have to join the Wine Club to find out!!

Throughout the year, the Committee received great feedback and worked with staff to continue to make Indian Creek the preferred destination for dining.

Thank you to the numerous volunteers who worked on our many events and made them spectacularly successful.

The Indian Creek Golf Program has experienced great growth this year. The combination of last year’s housing boom which led to great membership growth, a continuation of the COVID -19 ability to socially distance safely while playing golf and relatively good golfing weather. We are currently 1,541 rounds above last year and on pace to play 15,000 rounds. That is more than any year on record going back to 2002.

• Staffing – This summer we were fortunate to have an exceptional team in the Pro Shop. That luxury lasted until mid-August when three excellent employees left for school.

• COVID Safeguards - With the increased demand, we also continued COVID protocols. The ice machine was unplugged to avoid cross-contamination with a community ice scoop. Finally, this fall we received the cabinet that houses our new ice and water dispenser. It has been very well received. We have kept hand sanitizer, disinfecting wipes and masks available to all who enter the Pro Shop.

• Tournaments – Our full tournament schedule resumed this year with great well attended events. Only the Men’s Club Championship decreased in participation. That event was perhaps too close to the Men’s Member Guest.

• Instruction - PGA Junior League. Brenda coached PGA junior league for a third year. This year’s team won all of the regular season competitions, and the all-star team won the regional competition. Assistant professional Rob Pittman again taught a full schedule of Junior camps. Rob also coached the Lancaster High School soccer team, as well as, the undefeated Lancaster High School State Champion golf team.

• Golf Memberships: Growing club membership continues to be our greatest goal.

Golf Memberships grew this fiscal year to date by 16. We added 7 family golfer, 6 single golfer, 4 junior memberships. March 1 of 2020 we had 170 golf memberships.

Today we have 208. That is a great success story.

• Course Conditions: For the second year in a row, we have enjoyed healthy turf and nice playing conditions. Pete was challenged due to the staffing environment for much of the season, yet continues to produce a great product with lower than average costs.

• Community: The Fighting Cancer and Johnson Loving fundraisers had nice fields and raised $3,880 and 3,070 respectively. Many thanks to the members who assisted in organizing and promoting these events.

GOVERNANCE COMMITTEE MEMBERS

The Northumberland High School team came back to Indian Creek as its home course for practice. This meant that three days a week the school used our practice facilities and played nine holes. We hosted four of their meets and the district tournament.

• Member Events: We continue year-round organized men’s play every Tuesday, Wednesday morning and afternoon, and Saturday morning. We resumed two of our three Men’s Interclub matches.

Twenty-eight weeks of organized Women’s Golf Association (WGA) 18 Holers daily play, including four major tournaments.

Thirty 9-Hole WGA events, including two tournaments. Perhaps our proudest growth area was the nearly doubling of the 9-hole WGA. Their average weekly play increased from 16 to 32 players. Their invitational this year was fantastic as 44 players from Indian Creek and around the state enjoyed our facilities.

• We hosted three equipment demo days, featuring products from Titleist, Callaway and Ping. We utilized our Ping and Callaway fitting carts to custom fit many members.

Professional staff taught over 300 lessons in 2021.

Rob taught 70 junior campers for five days each over the course of three weeks.

• Brenda continues to conduct her free Tuesday afternoon clinic followed by 3-to9-holes of play. This program continues to develop new golfers who join the golf program.

Finances YTD April through September our income is $87,644 positive to budget and $133,354 above last year. Total expenses are $11,104 below budget and $37,688 above last year.

Our Net Profit of $293,337 is $98,748 above budget and $95,666 above last year.

GOVERNANCE COMMITTEE The primary duties of the Governance Committee are to “maintain currency of the Club’s Bylaws” and to identify, vet and nominate Stockholding Members to fill vacancies on the Club’s Board of Directors. The Board of Directors consists of twelve members who serve staggered three-year terms such that four Board members are elected each year at the annual Stockholders’ meeting in November.

Our Committee began the year reviewing and editing the various documents that are included in the Directors’ Handbook. The primary focus was on revising the Club’s Policies and Rules in order to make them accurate and consistent. The Club hours, the new names of the dining areas and the dress code were all addressed. After several

months and numerous redrafts the revised documents were approved by the Board and are posted on the Club’s website.

In March the Board learned that the CARES Act was amended to allow clubs such as ours to seek low interest, forgivable loans from the Federal Government to be used primarily for payroll expenses. In an effort to improve our chances of both getting the loan and having it forgiven our Committee made several non-substantive revisions to our Bylaws, which were subsequently approved by the Board. While we couldn’t know what impact those changes might have, the Club was successful in securing the loan and having it later forgiven, which greatly improved the Club’s financial position.

During the time our Committee was making changes to the Bylaws in connection with the Club’s loan application, the Board also sought a change to the definition of Family Membership to give the Board the discretion, on a case by case basis, to allow relatives of a Member not already specifically included under the membership, but who live fulltime with the Member, to be included under the Family Membership. That change was approved.

In the early summer, President Ross observed that our Board did not perform a self- evaluation and our Committee was asked to research that issue and draft a self-evaluation form. That task was completed, the Board approved the draft form and the Board completed its first self-evaluation in July. Overall, the Board felt that business was being conducted properly across the entire range of areas covered by the evaluation form; however, there were a few areas that needed improvement. One of those areas was risk management. Prior to that assessment, President Ross had suggested to the Board that it would be appropriate for the Board to examine the current Committee structure and consider possibly eliminating some Committees, combining others and adding several new Committees, including Risk Management. That discussion and the results of the self-evaluation resulted in President Ross appointing the Chairman of the Governance Committee to establish an ad hoc Committee to review and revise the current Committee structure.

The ad hoc Committee met several times and ultimately made a number of recommendations to the Board. After a thorough discussion by the Board, the Board voted to make the Audit Committee a standing Committee to be chaired by a non-Board Member; combine Entertainment with Food and Beverage; add a Risk Management Committee; and create three ad hoc Committees - Compliance, Communications and Planned Giving. Those changes to the Bylaws along with minor revisions to the various Committee responsibilities were published and posted in October and will be voted upon by the Board at its December meeting.

Beginning in July, the Committee began the task of identifying candidates for the Board to be offered to the Stockholding Members for their consideration at the annual Stockholders’ meeting in November. Three of the four Directors whose terms are to expire, Barbara Fentress, Gil Zimmerman and Kathy Rhodes, expressed an interest in serving another three-year term and they were unanimously nominated by the Governance Committee. That left the Committee with the task of nominating someone to replace the Yacht Club’s representative on the Board, Dan Hoyt. The Yacht Club recommended Bob Wayland for the Board seat and the Governance Committee unanimously agreed to put his name in nomination.

Lastly, in October a subcommittee of the Governance Committee nominated Al Ross to serve another term as President beginning November 16, 2021, which he graciously agreed to accept, and he was unanimously elected by the Board.

Green & Grounds Committee GREEN & GROUNDS COMMITTEE MEMBERS

The Committee oversees the care and maintenance of the golf course, the roads, and all grounds of the Club as well as the golf course equipment. The Committee coordinates its work with the Golf Committee. In addition to the golf course, Superintendent Pete Stephens and his staff also provide routine maintenance and repairs to the immediate clubhouse area, pool, pavilion, marina bath house, and docks.

The Committee met regularly over the year, either in person or electronically, and received timely updates from the Superintendent regarding the condition of the course and the effect of the climate on the turf, trees, and plantings on the grounds. The Committee emphasized providing the best possible playing conditions on the golf course and continuing improvements to the appearance of the grounds. A key goal of the staff is minimizing the use of fertilizers, pesticides, and fungicides, and protecting natural areas.

These efforts not only reinforce the Club’s commitment to protecting the environment but also reduce the overall costs to the Club. Coinciding with the annual Earth Day celebration, the Club released its first annual Stewardship Report to Members on the many steps the Committee supports to both minimize and enhance effects on the environment.

Unlike the unwanted excessive rainfall of 2020, the Club experienced an almost perfect irrigation season in 2021 compliments of Mother Nature. This allowed the Club to reduce its annual irrigation water use by nearly 90% this season. In addition to the environmental benefits of limiting water withdrawals, limited irrigation avoids the unwanted build-up of sodium and bicarbonates on the greens that occurs with irrigation use.

The grounds crew operated short-handed most of the year because of a lack of qualified candidates. Despite that, the course and grounds had one its most successful years due to hard work of the dedicated staff. The greens stayed healthy, the fairways were excellent, and the conditions of the bunkers improved. The grounds crew continues to make improvements to the irrigation system necessitated by its age. A more robust repair and replacement is among the long-term capital needs of the Club.

In addition to the excellent conditions provided on the existing course, the Club completed a long needed major renovation of the tee complex at the 16th hole. Funded by generous contributions of Members, multiple trees were removed to allow sunlight and airflow at the tee, the tee areas were regraded and sodded, and ornamental beds of native and low maintenance plants were installed to beautify the area and replace the trees removed. An eyesore became a shining star. The Club installed lights outside the Willow Oaks Terrace and lights to illuminate the trees along the 1st hole for safety and beauty.

Throughout 2021 the Superintendent did well to manage the budget in the face of rising fuel and supply costs. Over the next months expect to see tree removal and replacement, cart path repairs, drainage improvements, and equipment replacement due to expiring leases.

The Committee members worked hard to accomplish the Green and Grounds Committee’s responsibilities in accordance with the club bylaws and should be commended for their

efforts. The Committee looks forward to welcoming new Head Golf Professional Ed Carlisle, Jr. and his expertise to its membership.

House Committee The House Committee had a productive year. Most notably, completing the Clubhouse Renovation on the back rooms in the Clubhouse. The project was completed on time and for not making any significant structural changes, has really made a positive impact on the building. Seeing Members’ faces light up and the “oohs & ahs” when they walk into the fresh, new spaces for the first time never gets old! Many thanks to Bill Vose, Jack Blunt and the House Committee for seeing the project through.

What a year – And we are only halfway through it! The committee set its sights on success this year with an aggressive goal of 60 new members by the end of March 2022.

We are pleased to report that we see this goal as achievable, as we closed out September with 43 new members and 4 reinstatements. The time and talents of each of our committee members have allowed the club to grow and prosper and we are fortunate to have such a strong support of the general club membership who has been out sharing the club and what it can bring to the lives of others. The pandemic may not have given the relief that we had hoped for this year, but the committee steadied the course and remained committed to new member growth, member engagement and retention.

Overall, at the end of September, the Club had 575 total members (up from 559 total members this same time last year) with 371 stockholding members, 57 contributing members and 147 non-resident members. We continue to face attrition, as is typical in our industry, and thus we have said farewell to 19 members over the past several months. This is unfortunate; however, it is worth noting that we had planned to lose 25 members as of September 30, which puts the Club ahead of budget from a membership standpoint.

How to Sponsor a New Member Ways to Offer the Club Experience: - Bring them to the Club - We treat your prospective friend to their meal, simply let the staff know either when making your reservation or when you sit down to dine.

- Member for a day pass - This program does not require you to join your friends or neighbors during a one-day trial of the club. They may eat, play golf, tennis, boat over – they may enjoy the club however they would like.

- Realtors - Showcase the club when selling! Often people want to know there is something to do around town if they were to put an offer in on a home. If you bring them out for lunch or dinner, we take care of the tab.

- Give them a membership folder - This folder includes details and the application form and can be found in the front hall of the clubhouse, Membership Office, Pro Shop, Tennis Office and sent electronically or by mail by request.

The Planning Committee establishes a formal strategic plan for the Club of at least five years duration, maintains its currency, and reviews proposed major expenditures for their consistency with the plan. In coordination and cooperation with the General Manager and other standing Committees, the Planning Committee administers the Club’s Capital Projects program consistent with Board Policy.

Strategic Plan: In late January 2021, the Board conducted a special meeting to review the current Strategic Plan 2017-2021 and update it for the next 5 years. The Board had some highly informative discussions about the Club’s Mission, Vision, Core Values, Goals and Objectives. The Board approved revisions to the Club’s Mission, Vision and Core Values. There were no revisions to the four Goals; however, a few of the objectives under these goals were revised. One of the main themes of this retreat was to get the Board to develop a strategic focus as they approach their leadership responsibilities. A copy of the 2022-2027 Strategic Plan will be posted on the Club’s website by the end of this calendar year.

Facilities Master Plan: In January 2021, we conducted a membership meeting to roll out the draft Facilities Master Plan (FMP). Ninety-three Club members participated in this meeting, which was conducted by Zoom due to COVID restrictions.

There were three major themes which came out of this meeting which the Board will consider as we move forward with the development of specific amenity projects.

These themes were:

2. Consideration of Food and Beverage service in the athletic complex area.

3. Aesthetics and appearance of new facilities from a neighbor perspective (curb appeal).

In February 2021, the Board approved the FMP and initiated preliminary design efforts for the Pavilion.

The Board is also initiating a civil engineering study to determine the feasibility of an athletic complex (Fitness Center, Outdoor Racquet Courts and Aquatic Complex) on the west side of Fairway Drive. This study will Identify Federal, State and Local regulatory requirements and limitations, including but not limited to property boundaries, setback requirements, applicable zoning issues, lighting and environmental which may impact projects identified in the FMP; evaluate current septic systems and potential septic needs; evaluate and provide guidance on storm water management requirements; evaluate and provide guidance on domestic water and electrical service delivery requirements and evaluate parking areas identified in the FMP to determine siting and sizing feasibility.

In May 2021, the Board approved the conduct of a Capital Reserve study. This study includes an assessment of the repair and maintenance investment needs for

ICYCC existing facilities. This effort will provide the Board with a projection of capital needs to sustain our current physical plant and equipment.

Document Storage: The Club established a Projects and Planning page on the main Indian Creek Country Club website homepage to store critical procedural and instructions documents developed by the Planning and other committees to support Club business operations. This page is the repository for documents such as the Strategic Plan, Facilities Master Plan, Capital Project Handbook and selected projects of the AMPWG.

Pickleball Mon-Wed-Friday the indoor courts are used for Pickleball Play 2pm – 4pm Sunday – the indoor courts are used for Pickleball play from 4pm to 6pm

Spec Tennis Wed – Friday – Indoor courts are used from 1230pm to 2pm Spec Tennis numbers are growing slowly but growing.

Adult Tennis Clinics:

Tue/Thur – Cardio Tennis 8am to 930 – clinics have done well Drinks and Drills clinic is a continued success story – Wed nights are so much fun. o

Youth Tennis Clinics

High Performance Sat 8am-10am 10 and under Sat 2pm-3pm Middle School – High School 3pm to 430pm

Pickleball: Pickleball Clinic – with fast feeds, quick play Wed 1pm to 2pm Intro to Pickleball Play Sat 1pm to 2pm Tournament Level Pickleball Clinic Sun 3pm to 4pm Note: Tried Dinks and Drinks but it didn’t take off, may give it another shot

Camps Tennis Camps were a huge success, we had to turn away families this year. Morning and afternoon camps sold out.

Lessons Individual Private and Package Lessons were steady Group and Sem-Private Lessons were minimal Attempted monthly set fee deal to include all clinics – per request. – no one singed up

Tournaments Holiday Tournament – Successful Tournament Club Championships – Successful Tournament Member / Guest – Cancelled due to Covid last year, but is happening this year in the fall

Pro Shop Clothing line – Sofi Bella now in the pro shop ICYCC Swag – Clothing with ICYCC logo and tennis ball – big hit Shoes Lines – Addidas, Nike, KSwiss added to the shoe line Racquets – Head, Wilson, Technifibre, Babalot, Prince, Yonex – Any type of Racquet you may want, we can get – But we carry a large variety.

Maintenance Resurfaced the indoor courts completed Resurfaced the Outdoor Clay courts – New clay and new lines New Wind Screens added to the outdoor courts 3-4 New Standing Cooler added to the pavilion for parties, socials, etc…
