NOTICE OF THE 9TH ANNUAL GENERAL MEETING Notice is hereby given that the 9th Annual General Meeting of the Institute of Chartered Secretaries of Bangladesh (ICSB) will be held on Saturday, September 28, 2019 at 11:30 AM at the Grand Ball Room, Radisson Blu Dhaka Water Garden, Airport Road, Dhaka Cantonment, Dhaka-1206 to transact the following businesses: AGENDA 1. To receive, consider and adopt the Report of the Council for the year ended December 31, 2018; 2. To receive, consider and adopt the Audited Financial Statements of the Institute for the year ended December 31, 2018 together with the Report of the Auditors thereon; 3. Institute of Chartered Secretaries of Bangladesh A Statutory Body Under an Act of Parliament

ABOUT THE INSTITUTE Institute of Chartered Secretaries of Bangladesh (ICSB) was established under an Act of Parliament i.e. Chartered Secretaries Act 2010 and it is the only recognized professional body in Bangladesh to develop, promote and regulate the profession of Chartered / Company Secretaries in Bangladesh. The Institute was initially established under a license from the Ministry of Commerce in 1997 as the Institute of Chartered Secretaries and Managers of Bangladesh (ICSMB) and subsequently was converted to Institute of Chartered Secretaries of Bangladesh (ICSB) in 2010. The affairs of the Institute of Chartered Secretaries of Bangladesh (ICSB) are managed by a Council consisting of thirteen elected members and five nominees of the Government. The President is the head of the Institute. The major contribution of a Chartered Secretary is in the corporate sector. Chartered Secretary is a requisite qualification to become a Company Secretary. Company Secretary is an important professional, aiding the efficient management of the corporate sector. Company Secretary is a Statutory Officer under the Companies Act 1994. According to Bangladesh Securities and Exchange Commission (BSEC) all the listed companies should have a Company Secretary. Company Secretary is the compliance officer of the company, who has to interact, coordinate, integrate and cooperate with various other functional heads in a company. 2018 Report of the Council Dear Members, Pursuant to Regulation 8(2) of the Chartered Secretaries Regulations 2011, the 3rd Council of the Institute of Chartered Secretaries of Bangladesh (ICSB) is pleased to present the Council Report together with the Audited Financial Statements and the Auditor’s Report thereon for the year ended December 31, 2018. COUNCIL AND COMMITTEES The Council Report This Report is for the third year of the third Council which took the responsibility of the Institute on October 05, 2016. In accordance with the Chartered Secretaries Act 2010, the tenure of the present Council will expire on October 04, 2019. Detailed activities of the Institute for the year 2018 are stated below: Council Meetings and Attendance During the year under review, the Council met five times. The attendance record of the Council Meeting has been shown in ANNEXURE - I.

Commissioner, Bangladesh Securities and Exchange Commission (BSEC) and Md. Mosharraf Hossain, Registrar (Additional Secretary), Registrar of Joint Stock Companies & Firms were replaced by their respective nominating authorities. The Council acknowledged their contribution towards the development of the Institute. Pranesh Ranjan Sutradhar, Additional Secretary (IIT), Ministry of Commerce, GoB, Dr. Mohammad Mohiuddin, Joint Secretary, Legislative & Parliamentary Affairs Division, Ministry of Law, Justice and Parliamentary Affairs, GoB, Khondoker Kamaluzzaman, Commissioner, Bangladesh Securities and Exchange Commission (BSEC) and Md. Zakir Hossain, Registrar (Additional Secretary), Registrar of Joint Stock Companies & Firms joined the Council during this year in place of the aforementioned government nominated members. Key Achievements The key achievements of the year 2018 were: •

Successful holding of the ‘5th ICSB National Award for Corporate Governance Excellence 2017’ where Mr. Abul Maal A. Muhith MP Hon'ble Minister, Ministry of Finance, Government of the People's Republic of Bangladesh was present as the Chief Guest and twenty eight listed companies were awarded for Corporate Governance Excellence which will encourage corporate sectors to establish good practice.

Successful holding of the ‘7th National Convention 2018’ where Dr. Hossain Zillur Rahman, Hon’ble Former Adviser, Ministry of Commerce, Caretaker Government of Bangladesh graced the event as the Chief Guest and Suhel Ahmed Choudhury, Former Secretary, Ministry of Commerce was the Special Guest.

Successful holding of the ‘7th Convocation of ICSB 2018’ where CQK Mustaq Ahmed, Chairman, Financial Reporting Council (FRC), GoB was present at the event as Special Guest. Atiur Rahman Ph.D., Former Governor of Bangladesh Bank delivered the Convocation Speech.

Professional Development Sub-Committee conducted four Continuing Professional Development (CPD) Seminars for the development of the Members.

Meetings of the Standing Committees and other Sub-Committees A good number of Meetings of the Standing Committees and other Sub-Committees were held during the period for discharging their activities. The number of Meetings held by the Standing Committees have been shown in ANNEXURE - II. New Office Bearer Mohammad Bul Hassan FCS resigned from the position of Senior Vice President of the Institute. However, he continued as Council Member. The Council accordingly elected Safiar Rahman FCS as new Senior Vice President on September 22, 2018. Council Members gratefully acknowledged his valuable contributions and services to the Council during his tenure as the Senior Vice President. Executive Committee conducted four Training Programmes and one Workshop during the year under review.

Fifty six new Members were inducted as Associates and sixteen Associate Members were elevated as Fellow Members.

Successfully conducted scheduled coaching classes and examinations.

Developed ICSB Secretariat with five new personnel to meet the Institute’s requirement.

Promoted cultural interactions through organizing events like Celebration of the National Mourning Day, National Independence Day, International Mother Language Day, National Victory Day, Pohela Boishakh, Children’s Art Competition, Annual Picnic, and Iftar Mahfil.

Created awareness among the Corporate Leaders of the country about the profession of Chartered Secretary through meeting with the Hon’ble Commerce Minister, Hon’ble Finance Minister, Hon’ble Law Minister, Chairman and Commissioner of Bangladesh Securities and Exchange Commission (BSEC), Chairman, Financial Reporting Council (FRC), Former Governor of Bangladesh Bank, Commerce Secretary, Finance Secretary, Chairman and Members of National Board of Revenue (NBR), Chairman and Members of Insurance Development and Regulatory Authority (IDRA) and Registrar of Joint Stock Companies and Firms (RJSC).

Handed over financial assistance of BDT 2,00,000 (Two Lac) to the successors of Late Md. Rafiqul Islam FCS (F-0028) and Late Md. Safir Uddin ACS (A-0009) from the ICSB Benevolent Fund.

ENROLLMENT OF STUDENTS In 41st Batch of Winter Session 2018 (January-June) a total of 127 students were enrolled and in 42nd Batch of Summer Session 2018 (July-December) it was 103. The total number of students of the Institute registered in the year 2018 was 230. Council had taken some initiative for increasing enrollment of the students. Business faculties of renowned Public and Private Universities were informed about the Institute and different career counseling seminars were organized on “Chartered Secretary profession and its bright future” Besides, all the Members were cordially requested to be proactive from their own positions for promoting of ICSB branding. ORIENTATION PROGRAMME OF THE ENROLLED STUDENTS OF CS COURSE

The Orientation Programmes for the 41st and the 42nd batches of Chartered Secretary students of ICSB were arranged at the Campus of the Institute on February 16, 2018, and August 11, 2018, respectively. Mohammad Sanaullah FCS inaugurated both the programmes and welcomed the new students. Safiar Rahman FCS, Chairman, Education Committee, delivered the address of welcome. Mohammad Bul Hassan FCS, Senior Vice President and Md. Selim Reza FCS, Vice President, also spoke on the occasion while Nazmul Karim FCS, Treasurer of ICSB offered a vote of thanks. COACHING CLASSES The ICSB Coaching classes are an important part of professional learning. In 2018 both the day and evening shifts were in operation, same as the previous year. The coaching classes were conducted at the Institute’s premises covering all five levels of the prescribed courses. Corporate Secretaries International Association (CSIA) sent Educational Toolkits to ICSB so that we can modernize our teaching method and can produce highly capable professionals who can cope up with all stumbling blocks associated with Corporate Management. ICSB faculties consists of the senior members of the Institute as well as professionals and members of the relevant disciplines and cadres.

2018 MANAGEMENT DEVELOPMENT PROGRAMME Under the management development programme, the Executive Committee of the Institute conducted the following training programmes to develop the technical skills needed to perform jobs efficiently and smoothly for corporate personnel during 2018. Management of Company Meetings

A day-long Professional Training Programme on “Management of Company Meetings” was held on May 12, 2018, at the Training Room of the Institute. A good number of participants from different professions from different organizations participated. Some important topics were covered in the training session such as Essentials of Company Meetings, Procedure for Conducting Board/ Committee Meetings, Procedure for Conducting General Meetings including Statutory Meetings, AGM & EGM, Minutes & Resolution and, Reports & Return.

Topics were Finance Act 2018 (VAT Portion) and VAT Registration, Imposition of VAT, VAT Calculation, Collection & Return Preparation, VAT Accounting system, VAT Deduction at Source (VDS), VAT Audit and investigation, VAT Authority, Power and Litigation Management (Irregularities and Non-Compliance), Litigation Management (Offence, Penalty, Trail) and Appeal, Alternative Dispute Resolution (ADR), Withholding VAT and VAT Agents & VAT Consultants as well as Customs Classification and Duty Structure & Procedure were covered. Tax Management

Internal Audit & Control Environment

A four days Professional Training Program on “Internal Audit & Control Environment” was held from May 13 to 16, 2018 at the Training Room of the Institute. The importance of the activities of the Internal Auditor were widely covered. A good number of participants participated in the training program. Customs & VAT Management A four days Professional Training Programme on “Customs & VAT Management” was held from July 24 to

Most of the important topics were covered in the training session such as Finance Act 2018 and its Impact, Salary Tax & Wealth Statement Analysis, Assessment Procedure, Corporate Tax Computation, Tax Deduction at Source & Payment of Advance Tax, Filling of Tax Return, Appeal & Revision Procedure and Corporate Tax Planning. Hasan Mahmud, Executive Director, BSEC presented the keynote paper. Mohammad Sanaullah FCS President of the Institute Chaired the Workshop. The designated discussant of the keynote paper was Md. Abul Kalam, Director, BSEC. M. Hasan Mahmud, keynote paper presenter, focused on the importance of investors’ protection, qualification of Independent Director, additional statements of disclosures in the Director’s report, Code of Conduct for the Chairperson, Board Members and CEO, Governance of Subsidiary Company, Audit Committee Role, Role of Nomination and Remuneration Committee, External or Statutory Auditors, Maintaining Company Website and Disclosure and Compliance Requirements. Md. Abul Kalam, official discussant elaborately discussed on the keynote paper and replied questions raised by the members of the Institute.

Internship guideline programme for the Qualified Chartered Secretaries (QCS) of January-June 2018 Session was held on September 26, 2018 at ICSB Campus. President of the Institute was present at the internship guideline programme and urged them to undergo the internship with sincerity and the highest level of dedication. Chairman, Education Committee Safiar Rahman FCS exchanged his valuable experiences. Among others Md. Selim Reza FCS, Vice President, Salim Ahmed FCS, Council Member and Mohammad Bul Hasan FCS, Immediate Past Sr. Vice President, ICSB were also present. QCS Internship Report Presentation Programme Qualified Chartered Secretaries (QCS) Internship Report Presentation Programme was held at ICSB Campus, on Saturday, September 08, 2018. Mohammad Sanaullah FCS President, Md. Selim Reza FCS, Vice President, Gopal Chandra Debnath FCS, Council Member, Salim Ahmed FCS, Council Member were also present at the program to evaluate the reports. A total of twenty one (21) QCS presented their Internship Reports. This internship programme enables QCS to gain first-hand exposure to working in the real corporate world. The President spoke on ‘Internship Report’ for the benefits of the students. The council Members observed

2018 everyone’s presentation and provided their valuable feedback accordingly. MEMBERSHIP The Institute admitted 56 Members as Associate Member and elevated 16 Members as Fellow Members during the year under review, raising the total Membership to 511 as on December 31, 2018 consisting of 198 Fellows and 313 Associates. Most of the Members are in employment in corporate sectors, especially multinational, national and listed companies of the country. During the year under review, 45 students qualified as Chartered Secretaries and their applications for Membership are under process. Summary of ICSB Membership status is given below: Year

8TH ANNUAL GENERAL MEETING OF ICSB The 8th Annual General Meeting (AGM) of ICSB was held at Hotel Purbani International, Dhaka, on July 25, 2018.

Mohammad Sanaullah FCS, President of the Institute chaired the meeting. A large number of members attended the meeting and took part in the discussions on the different issues. They also raised question and gave their valuable suggestions for the development of the Institute. The President and the Treasurer replied to the queries. After discussion, Audited Financial Statements for the year ended December 31, 2017 were approved. M/s. A Qasem & Co. (E&Y) Chartered Accountants were appointed as Auditors of the Institute for the year 2018. CONTINUING PROFESSIONAL (CPD) SEMINAR

DEVELOPMENT

CPD Seminar on ‘Bangladesh Secretarial Standards Issued by ICSB’

Professional Development Sub-Committee of the Institute organized a Continuing Professional Development (CPD) Seminar on ‘Bangladesh Secretarial Standards Issued by ICSB’ on March 16, 2018 at Hotel Purbani International, Dhaka. Shubhashish Bose, Secretary, Ministry of Commerce, Government of the People’s Republic of Bangladesh attended the programme as the Chief Guest. He mentioned that the present government has taken a lot of initiatives to attract foreign direct investments (FDI) in Bangladesh and establish good corporate culture in the country. He also expressed his view that Professional Institute’s like ICSB should come forward and share their knowledge regarding the development process of the Country. He assured that the recommendations made by ICSB members in this programme for incorporation of the provisions of Secretarial Standards 1, 2, 3 and 4 in the Companies Act will be taken into consideration, so that the corporate sector of the country can be developed and the nation will be benefitted as a whole. Dr. Swapan Kumar Bala, Commissioner, Bangladesh Securities and Exchange Commission (BSEC) attended the programme as the Special Guest. He said that Bangladesh is on the path of rapid development and already graduated from Least Developing Country status. ICSB is a professional Institute which can work

2018 with BSEC to establish good governance in the corporate sector of Bangladesh. He appreciated the role of Chartered Secretaries in companies for compliance with the rules and regulations imposed by regulatory authorities from time to time. BSEC will do everything possible for the development of ICSB profession. Mohammad Sanaullah FCS, President of ICSB, in his address spoke about the Institute. The Council of the Institute of Chartered Secretaries of Bangladesh (ICSB) established a Secretarial Standard Board (SSB) to develop and release Secretarial Standards on Corporate Management in the year 2012. Secretarial Standards (SS) on (I) Board Meeting (II) General Meeting (III) Minutes and (IV) Payment of Dividend. Mohammad Asad Ullah FCS, Immediate past President and Chairman, Professional Development Sub Committee presided over the CPD program. He stressed the importance to enforce the Secretarial Standards (BSS-1: Board Meeting, BSS-2:General Meeting, BSS-3:Minutes and BSS-4:Payment of Dividend) for integration, harmonization and standardization of diverse secretarial practices prevailing in the country and requested the Chief Guest and Special Guest to incorporate the provisions in the new draft Companies Act and revised Corporate Governance Guidelines initiated by Ministry of Commerce and Bangladesh Securities and Exchange Commission (BSEC) respectively. He requested the BSEC to incorporate a mandatory clause in the revised Corporate Governance Guidelines for appointment of Chartered Secretary in every listed company as Company Secretary who would contribute to economic development as well as to achieve SDGs within 2030 in Bangladesh. The Professional Development Sub-Committee of ICSB organized a Continuing Professional Development (CPD) Seminar on ‘Intellectual Property Rights in Bangladesh’ on October 6, 2018. Mohammad Sanaullah FCS, President of ICSB, in his address pointed out that businesses are now competing with each other on the grounds of IPRs, not only physical goods. Bangladesh Government has declared in 2010 a long term vision, Vision 2021, which aims to achieve a prosperous Bangladesh by the 50th anniversary of the independence of the country and to transform it into a knowledge-driven economy. Without proper protection of IPRs in Bangladesh, it won’t be possible to attain the development goals the country has set for itself. In his welcome address he stated that the present market economy is driven by physical resources, innovation and knowledge as well. For ensuring an innovative society based on creative ideas, adequate protection of IPR is essential. To materialize the joint cooperation approach, necessary amendments should be made to the Trade Mark Act and Rules, so that the Chartered Secretary professionals could make a better contribution to the national economy.

Iftekhar Ghani Chowdhury Ph.D., Professor and, Dean of BRAC Business School, BRAC University chaired the programme. He thanked President of ICSB for taking such initiative to orient a challenging and rewarding profession to the students. He also discussed the necessity of good corporate governance in Bangladesh and appreciated ICSB’s contribution toward establishing governance in the corporate sector of Bangladesh. A good number of students and faculty members were present in the programme and participated spontaneously during the question and answer session. FINANCE AND ACCOUNTS The main source of the funds of the Institute is the subscription from the Members, Government Grants, admission and examination fees from students, training proceeds and advertisements in the Journal. After strong persuasion during the year under review the GoB has increased its funding to a good extent. The Budget allocation from the Ministry of Commerce (MoC), GoB was raised from BDT 20.87 million to BDT 25.00 million

During the year 2018, the overall financial position of the Institute was good except the term loan of total amount of BDT 80.00 million taken from Dutch Bangla Bank Limited to purchase the Aftab Nagar land. The total income of the said year amounted to BDT 58.09 million as against BDT 57.65 million earned during the preceding year. On the expenditure side, the current year’s outlays amounted to BDT 52.99 million as against BDT 50.10 million during the previous year. During the year 2018, there was an excess of income over expenditure to the tune of BDT 5.10 million compared to BDT 7.56 million in the preceding year. Chartered Accountants (An affiliated firm of Ernst & Young Global Limited), who were appointed as Auditors of the Institute in the 8th Annual General Meeting of the Company has carried out the audit for the year ended December 31, 2018. The Council recommended to appoint A. He hoped that the Institute of Chartered Secretaries of Bangladesh (ICSB) would work for further improvement of corporate management and good governance in Bangladesh. Achieving SDGs without proper development of Commerce and Industry is very difficult. They are the backbone of every economy. The Hon’ble Chief Guest again hoped that we would be able to achieve SDGs by establishing governance and Chartered Secretaries would be important actors to achieve this goal. Special Guest Suhel Ahmed Choudhury congratulated ICSB Members for organizing such an important event. He wished all success for the upcoming steps of ICSB. He said that ICSB, the newly enacted statutory body was doing well and he believes that ICSB would play a significant role on the development of the corporate sector of Bangladesh.

7TH CONVOCATION OF ICSB The 7th Convocation of ICSB was held on November 10, 2018 at the Radisson Blu Dhaka Water Garden in Dhaka. He said that the day was an opportunity for newly qualified Chartered Secretaries to reflect both on the past and future. This event may well signal a very significant change of direction in their lives. He also said that professional education was a tool that enriched the minds of the students with the skills necessary to compete and succeed in a challenging world and also with the knowledge to maintain peace and justice in the society. He urged the newly qualified Chartered Secretaries to be the best ambassadors of the Institute in the professional field in the country and abroad.

CQK Mustaq Ahmed, Chairman, Financial Reporting Council (FRC), Government of the Peoples’ Republic of Bangladesh was present in the programme as Special Guest. He also said that it is their supreme responsibility to continue to work to transform Bangladesh into a developed nation as envisioned by the Honorable Prime Minister within 2041. The Journal covers the current and relevant issues appropriately for the dissemination of knowledge to the Members and to the corporate leaders. The Journal has since made its own space in the market which is a positive indication of professionalism of ICSB. During the period under review ICSB published souvenir on the occasion of 7th National Convention 2018, 7th Convocation 2018 and 5th ICSB National Award for Corporate Governance Excellence 2017. OTHER EVENTS AND ACTIVITIES ICSB Annual Picnic 2018

The Annual Picnic 2018 of ICSB was held on January 19, 2018, at Sea Shell Resort & Picnic Spot, Purbachal. The picnic was organized by the Members’ Welfare & Recreation Sub Committee. A total six hundred and twenty members and spouses and children participated in the Picnic. The Picnic was inaugurated by the President by releasing balloons and festoons. Mohan Shaheed Dibosh and International Mother Language Day 2018

Mohan Shaheed Dibosh and International Mother Language Day was observed by ICSB Members with due solemnity and nationalist fervor at the Conference Hall of the Institute. On this occasion Members’ Welfare and Recreation Sub Committee of ICSB organized a programme on behalf of the Institute on February 21, 2018, which included handwriting competition, art competition, and poetry recitation. A good number of ICSB Members, their spouses and children participated in the programme with patriotic zeal and enthusiasm. The programme began with the recitation from the Holy Quran and singing of the national anthem. Visit to National Martyrs' Memorial in Savar ICSB Members led by Nazmul Karim FCS, Treasurer, ICSB paid tributes to the Liberation war martyrs on March 26, 2018 which marked the “48th Independence Day of Bangladesh”. They reached Jatiyo Smriti Soudho (National Martyrs' Memorial) in Savar early in the morning to pay floral tributes in remembrance of the souls who sacrificed their lives to earn Bangladesh liberation from the then Pakistan after a bloody war.

Pohela Boishakh Celebration at ICSB ICSB Members celebrated the Bangla Nobo Borsho 1425 “Pohela Boishakh” on April 14, 2018, with great enthusiasm with the participation of a large number of members along with their spouses and children and it was organized by Dhaka Regional Chapter Sub Committee. A cultural programme of Bengali tradition including poetry recitation, folk song and dress as you like the best (children) was also organized during the occasion. The programme ended with an enchanting cultural programme of authentic Bengali traditional. Customary Bengali foods were also served among the participants.

2018 Celebration of the 48th Victory Day

Doa and Iftar Mahfil Members’ Welfare & Recreation Sub Committee of ICSB organized a Doa and Iftar Mahfil on June 8, 2018 at Alumni Association Auditorium, Senate Bhaban, Dhaka University. A large number of Members including the Councilors and Office Bearers of the Institute attended the programme. Suhel Ahmed Choudhury, Ex-Secretary, Ministry of Commerce was also present.

ICSB Members celebrated the 48th Victory Day on December 16, 2018, at ICSB premises to pay deep homage to the martyrs who laid down their lives for the country. The day was celebrated through different programmes like discussions, children art competition and stage drama performance. Emeritus Professor Serajul Islam Choudhury was the Chief Guest. The programme started by offering prayers seeking eternal peace of the souls of the martyrs of Liberation War and peace, progress and prosperity of the Country. Prof. Islam appreciated the efforts of ICSB for organizing such a patriotic event. In his passionate speech he narrated in the tale of Bangladesh and its birth from 1947 through India, Pakistan partition. ICSB President stated that December 16, our Victory Day, holds a great significance that cannot be described in mere words. People made their utmost sacrifices to make us victorious against the autocratic Pakistani regime. We deeply remember the contribution of the Father of the Nation Bangabandhu Sheikh Mujibur Rahman in the creation of independent and sovereign Bangladesh. In our Institute, each year we celebrate Victory Day and Independence Day. We all are working to develop our nation as our freedom fighters dreamt of. As part of academic excellence ICSB organized a meeting with the honorable faculty members of the Institute at the council room of ICSB campus on October 13, 2018 and had discussions with the faculty members and tried to know about their success, failure and feeling about the current educational activity of the Institute. The President sought suggestions from faculty members to take initiatives for the betterment of the Institute. They also pointed out students’ views and advised us to provide all kinds of support in time.

Imrul Hasan, the CEO of Infosapex where he discussed the drawbacks of using papers in the board meetings and how it can be developed by using a software driven solution which can navigate the board meetings to a completely paperless environment.

Discussion Session with Absent Students ICSB organized a discussion meeting with the students who were absent in the CS examination of July 2018, at the council room of ICSB campus on November 24, 2018. The discussion session was chaired by the President. It was an elaborate discussion with the students and tried to find out the reasons for their absence. He also acknowledged support of the employees and staff of the Institute for their dedication and sincere effort. ICSB Annual Picnic 2019 Like every year ICSB arranged Annual Picnic to get relief from the monotony of our routine life. The Annual Picnic 2019 of ICSB was held on January 25, 2019 at Apon Bhuban Picnic and Shooting Spot, Khilgaon, Pubail, Gazipur under the supervision of the Salim Ahmed, Chairman of Members’ Welfare and Recreation Sub-Committee of ICSB. Mr. M. A. Mannan, MP, Hon’ble Minister, Ministry of Planning, GoB graced the seminar as the Chief Guest. He said that Bangladesh is one of the few countries that has achieved its Millennium Development Goals (MDGs) targets faster than projected and is actively engaged in realizing the more challenging SDGs. "To retain the optimum economic growth of our country, establishing corporate governance is essentially needed,". He hoped that ICSB would continue to strive hard to produce competent and worthy qualified professionals, who would help to build a prosperous Bangladesh. Members of ICSB observed Mohan Shaheed Dibosh and International Mother Language Day with due solemnity and significance at our campus. On this occasion, Dhaka Regional Chapter Sub Committee of ICSB organized a programme on behalf of the Institute on February 21, 2019, which was included hand writing competition for children, speech on “Use and application of Mother Language on the Spirit of Ekush” and poetry recitation. The programme began with the recitation from the Holy Quran and prayer for the departed soul of Martyrs.

ICSB President Mohammad Sanaullah FCS inaugurated the internship guideline programme by congratulating the Qualified Chartered Secretaries (QCS) for their accomplishment and urged them to undergo the internship with sincerity and the highest level of dedication. Senior Vice President and Chairman, Education Committee Safiar Rahman FCS participated in the discussion and exchanged his valuable experiences.

ICSB participated in Bangladesh Capital Market Expo 2019 for the fourth time held on April 4 to 6, 2019 at the Bangladesh Shilpakala Academy, Segun Bagicha, Dhaka. The Expo was organized by the “Arthosuchak”, an online news portal on Business and Economics as an annual event. The Programme was inaugurated by the Economic Affairs Advisor to the Prime Minister, Dr. Mashiur Rahman as the Chief Guest. ICSB Pays Tributes on the 49th Independence and National Day of Bangladesh A team of ICSB Members and Officials paid tributes to the Liberation War Martyrs’ on March 26, 2019, the 49th Independence and National Day of Bangladesh which is marked as a commendable and dignified day in the history of Bangladesh. On behalf of the Institute, Dhaka Regional Chapter Sub Committee organized the programme under the supervision of its Syed Moniruzzaman FCS, Chairman, Dhaka Regional Chapter Sub Committee.

President of the Institute presented a Keynote Paper on “Challenges of Implementing Corporate Governance Code” in a Seminar of the Expo 2019 on April 4, 2019. Prof. Md. Helal Uddin Nizami, Commissioner, Bangladesh Securities and Exchange Commission (BSEC) graced the Seminar as the Chief Guest. In the Expo, ICSB had a stall with prospectuses, brochures, handbooks, journals, souvenirs and multi-media presentations to provide information to the visitors regarding the Corporate Governance, procedure of becoming a Chartered Secretary, future prospects of the profession of Chartered Secretaries in Bangladesh, how to become a member of ICSB, admission process and other relevant information. A good number of visitors visited the stall with enthusiasm and collected information about the various aspects of Chartered Secretary Profession. 2018 Demonstration Programme to Promote Chartered Secretary Profession at University of Dhaka ICSB organized a demonstration programme on ‘Chartered Secretary as a Challenging Profession in the Corporate World’ for the students of Faculty of Business Studies, University of Dhaka at Professor Dr. Mohammad Habibullah Conference Hall on April 8, 2019 in collaboration with the Faculty of Business Studies of the University of Dhaka.

ICSB organized a Doa Mahfil and Iftar on May 25, 2019 at Samson H. Chowdhury Centre, Party Lounge, Dhaka Club Limited, Dhaka. A large number of Members including the Councilors and Office Bearers of the Institute attended the programme. ICSB Members are recognized as VAT Consultant National Board of Revenue (NBR) recognized ICSB Members as VAT Consultant through SROs. The Chartered Secretary can obtain a VAT Consultant License upon an application made in the prescribed manner with having 5 (five years) experience without any examination. The Honorable Chief Guest, in his speech, said that he was very delighted to attend the programme. He mentioned that the visionary leader Sheikh Hasina, Honorable Prime Minister, Government of the People’s Republic of Bangladesh had realized the requirements and imperative need and necessity for the growth and promotion of CS profession which paved the way for the promulgation of the Chartered Secretaries Act, 2010. He hoped that the Institute of Chartered Secretaries of Bangladesh (ICSB) would work for further improvement of corporate management and good corporate governance in Bangladesh. While extending heartiest thanks to the members of ICSB, Special Guest, Suhel Ahmed Choudhury underscored the present government’s commitment to ensuring good corporate governance and corporate culture in the listed companies of Bangladesh. 2018 Mohammad Sanaullah FCS, President of the Institute welcomed all the guests and their spouses. In his welcome speech, he expected that such social get-together will be arranged regularly in the future to pave the way for mutual sharing and understanding among the Members and their Families. He further expected that the bondage among the Members of ICSB will be more consolidated and resilient through attending such events. In his speech, the President outlined various activities taken by the Institute during last three (3) years and recalled the timeless effort and hardships that the Members went through to pursue the Government of Bangladesh for the growth of ICSB. He humbly requested to the Hon’ble Chief Guest to make necessary amendment in Companies Acts as it had become backdated and also include the proposal of ICSB the Companies Act. On the occasion, a good number of Fellow and Associate Members of the Institute gathered at the Ball Room along with their spouses and enjoyed an enthralling cultural program presented by the members of Institute and eminence artists of the country. Mosharraf Hossain Bhuiyan, ndc, Senior Secretary Internal Resources Division & Chairman National Board of Revenue (NBR), Ministry of Finance, Govt. of Bangladesh, graced the occasion as the Chief Guest while respected special Guests, Kanon Kumar Roy, Member (Tax Policy) and Dr. Abdul Mannan Shikder, Member (VAT Policy) attend the program. ICSB accorded a grand reception to the Chairman and Member (Tax policy) and Member (VAT Policy) of the NBR for their outstanding contribution to ICSB for issuance of two SROs being Nos. (SRO No: 171-Act/2019/28-VAT and SRO No: 238-Act/2019/74-Vat) which enabled the Chartered Secretaries with a minimum of 5 years’ experience to practice as VAT Advisor and Consultant’ without any examination which is the historical milestone of ICSB Profession. Mohammad Asad Ullah FCS, Chairman, Professional Development Sub-Committee, Immediate Past President and Council Member of ICSB presided over the CPD Seminar and delivered the address of welcome and summed up the session. Asad Ullah referred to section 174 of the Income Tax Ordinance, 1984 and Rule 37 of the Income Tax Rules 1984 which provides the eligibility of Chartered Secretaries as Income Tax Practitioner (ITP). He thanked for issuing two SROs (SRO No: 171-Act/2019/28-VAT and SRO No: 238-Act/2019/74-VAT) which enabled experienced Chartered Secretaries with a minimum of 5 years’ experience to practice as VAT Consultant’ without any examination. He sincerely expected that the Hon’ble Chairman and Members of NBR will take necessary positive steps to include ICSB members as ITP in the Income Tax Ordinance by issuing necessary SRO(s). Md. Mosharraf Hossain Bhuiyan, ndc, the Chief Guest appreciated the Chartered Secretaries who are working to ensure good governance in the corporate sector. He sought everyone’s cooperation so that the revenue earning target could be achieved for the national development and achieve the SDGs within 2030. NBR thinks the Company Secretaries should come forward for assisting NBR for revenue collection for the national development initiatives. Demonstration Programme to Promote Chartered Secretary Profession at Jahangirnagar University To Promote Chartered Secretary profession, the Institute has organized a demonstration programme on ‘Chartered Secretary as a Challenging & Rewarding Profession in the Corporate World’ for the students of Jahangirnagar University at Zahir Raihan Auditorium, Jahangirnagar University on July 20, 2019 in collaboration with the Faculty of Business Studies, Jahangirnagar University.

Kabir, Associate Professor, Dept. of Management Studies, Jahangirnagar University was present as discussant in the programme. A good number of students and Faculty members were present in the program and participated spontaneously during the question and answer session. Corporate Health Benefits ICSB has signed ‘Deed of agreement for healthcare services’ with seven (07) different hospitals initially named, Labaid Specialized Hospital, The IBN SINA Trust, Central Hospital Limited, Bangladesh Specialized Hospital Limited, BRB Hospitals Limited, CARe Medical College & Hospital Limited, Insaf Barakah Kidney and General Hospital for ICSB members, students, employees and their eligible dependents to avail health care benefits in discounted rates. Gradually all renowned hospitals in Dhaka would be covered. These ‘Deed of agreement for healthcare services’ were managed and initiated by the Members’ Welfare and Recreation Sub Committee of ICSB. Members ID Card ICSB has introduced Members Identification Card (ID) which is the special initiative of Members’ Welfare and Recreation Sub Committee. Carrying a photo ID card can make someone’s life much easier and ensure that they are able to be identified when necessary. In a modern world, it would be fairly difficult to do the things someone wants to without photo identification, as we would be unable to prove who we are such is the security fueled world we are living in. There are challenges ahead for retaining today’s position and holding a better position in the future. The Institute will have to be equipped adequately to face the challenges. The future leadership, for steering the wheel of the Institute, should be stronger and more effective, so that this respected profession can earn more repute in the corporate arena in Bangladesh. However, the unfinished missions lying ahead for the future Council will be long and more painstaking. They are: •

Organize 6th ICSB National Award for Corporate Governance Excellence 2018;

Updating syllabus of the Institute;

National Board of Revenue (NBR) recognition as TAX Practitioners.

Establishment of a new Campus Complex including office for the Institute at its own land & building; Institute of Chartered Secretaries of Bangladesh (ICSB)

Publishing study materials based on the New Syllabus and inducting more research-based projects;

Take more initiatives to incorporate the role of the profession in the new Companies Act;

Initiate activities like seminar, workshops on current professional topics for professional development of the Members;

Initiate activities for automation and digitization of ICSB library;

Strengthening international relations with similar institutes around the world;

Arrange more and more workshop and CPD seminars for updating Members’ professional knowledge;

Develop the Institute’s coaching classes and more research works for academic excellence;

Develop the Institute’s ERP software to bring all activities of ICSB under one umbrella;

Ensure regular publication of Institute’s Journal;

More Secretarial Standards need to be developed and implemented;

Conducting research on different issues related to the Chartered Secretary Profession;

Automation in admission application, form submission to all kinds of payment to the Institute;

Getting the flag of the Institute flying high in Corporate World;

Arrange training programmes regularly;

Development and Regulatory Authority (IDRA), Financial Reporting Council (FRC) and other regulatory authorities of the Government for their guidance and support for the development of the Institute. Independent Auditor's Report To the shareholders of Institute of Chartered Secretaries of Bangladesh (ICSB) Report on the Audit of the Financial Statements Opinion We have audited the financial statements of Institute of Chartered Secretaries of Bangladesh (ICSB) (the “Institute”), which comprise the statement of financial position as at 31 December 2018, and the statement of profit or loss and other comprehensive income, statement of changes in fund and statement of cash flows for the year then ended, and notes to the financial statements, including a summary of significant accounting policies. In our opinion, the financial statements of the Institute give a true and fair view of the statement of financial position as at 31 December 2018, and of its statement of profit or loss and other comprehensive income, statement of changes in fund and its statement of cash flows for the year then ended in accordance with International Financial Reporting Standards (IFRSs) as explained in note 2.3 and comply with other applicable laws and regulations. Basis for Opinion We conducted our audit in accordance with International Standards on Auditing (ISAs). Our responsibilities under those standards are further described in the Auditor’s Responsibilities for the Audit of the financial statements section of our report. We are independent of the Institute in accordance with the International Ethics Standards Board for Accountants’ Code of Ethics for Professional Accountants (IESBA Code), the rules and regulations issued by the Bangladesh Securities and Exchange Commission (BSEC) and we have fulfilled other ethical responsibilities in accordance with IESBA code and the Institute of Chartered Accountants of Bangladesh (ICAB) Bye-Laws. We believe that the audit evidence we have obtained is sufficient and appropriate to provide a basis for our opinion. Other Information Management is responsible for the other information. The other information comprises all of the information in the annual report other than the consolidated and separate financial statements and our auditor’s report thereon. The annual report is expected to be made available to us after the date of this auditor’s report. Our opinion on the consolidated and separate financial statements does not cover other information and we do not express any form of assurance conclusion thereon. In connection with our audit of the financial statements, our responsibility is to read the other information identified above when it becomes available and, in doing so, consider whether the other information is materially inconsistent with the financial statements or our knowledge obtained in the audit or otherwise appears to be materially misstated. If, based on the work we have performed, we conclude that there is a material misstatement of this other information, we are required to report the fact. We have nothing to report in this regard. Responsibilities of management and those charged with governance for the financial statements and internal controls Management is responsible for the preparation and fair presentation of the financial statements in accordance with IFRSs as explained in note 2.3, other applicable laws and regulations and comply with and for such internal control as management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error. In preparing the financial statements, management is responsible for assessing the Institute’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless management either intends to liquidate the Institute or to cease operations, or has no realistic alternative but to do so. Those charged with governance are responsible for overseeing the Institute’s financial reporting process.

2018 Auditor’s Responsibilities for the Audit of the Financial Statements Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with ISAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements. As part of an audit in accordance with ISAs, we exercise professional judgement and maintain professional skepticism throughout the audit. We also: •

Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances.

Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by management.

Conclude on the appropriateness of management’s use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Institute’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the consolidated and separate financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Group and the Bank to cease to continue as a going concern.

Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

Obtain sufficient appropriate audit evidence regarding the financial information of the entities or business activities within the Institute to express an opinion on the financial statements. We are responsible for the direction, supervision and performance of the Institute’s audit. We remain solely responsible for our audit opinion.

We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit. We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards. From the matters communicated with those charged with governance, we determine those matters that were of most significance in the audit of the financial statements of the current period and are therefore the key audit matters. About the Institute Institute of Chartered Secretaries of Bangladesh (ICSB), established under an Act of Parliament i.e. Chartered Secretaries Act, 2010, is the only recognized professional body in Bangladesh to develop, promote and regulate the profession of Chartered / Company Secretaries in Bangladesh. The Institute is a full member of Corporate Secretaries International Association (CSIA), Geneva, Switzerland with effect from 17 April 2012.

Nature of Activities The main activities of the institute is to develop, promote and regulate the profession of Chartered Secretaries in Bangladesh and confer professional degree in Chartered Secretary, imparting requisite training and education and then to offer membership of the institute to the deserving candidates, and to enforce strict discipline for exercising control over the conduct of members and students to uphold and regulate the profession by professional ethics and discipline.

2.1

Management of the Institute The overall affairs of the Institute are run by a Council consisting of 18 (Eighteen) members out of which thirteen are elected and five are nominated by Government. The tenure of the Council is for three years and the President is the head of the Council.

2.2

Member of the Institute The Fellow and Associate Members of the Institute up to 31 December 2018 were 198 (One hundred and Ninety Eight) and 313 (Three hundred and Thirteen) respectively totaling 511 (Five hundred and Eleven) excluding 8 (Eight) Honorary Fellow Members.

2.3

Statement of Compliance The financial statements of the Institute are prepared in compliance witha) International Financial Reporting Standards (IFRSs); b) Chartered Secretaries Act, 2010; c) Chartered Secretaries Regulations, 2011 and d) Other laws and rules applicable in Bangladesh.

Significant Accounting Policies and Bases of Financial Statements Preparation

3.1

Components of Financial Statements The Financial Statements referred to here are consisted of: a) Statement of financial position; b) Statement of profit or loss and other comprehensive income; c) Statement of changes in fund; d) Statement of cash flows and e) Notes to the Financial Statements.

3.2

Statement of Cash Flows Statement of Cash Flows is prepared in accordance with the International Accounting Standard (IAS)-7: "Statement of Cash Flows" applying Direct method.

Property, plant and equipment (PPE)

These financial statements cover one calendar year from 1 January to 31 December 2018. All property, plant and equipment are stated at cost less accumulated depreciation as per IAS-16: "Property, plant and equipment". The cost of acquisition of an asset comprises its purchase price and any directly attributable cost of bringing the asset to its working condition for its intended use inclusive of inward freight, duties and non-refundable taxes. 3.4.1 Depreciation Policy Depreciation has been charged on assets using reducing balance method according to respective

2018 percentage. Full year depreciation is charged on assets irrespective of the date of acquisition. On disposal of fixed assets, the cost and accumulated depreciation are eliminated from the PPE and gain or loss on such disposal is reflected in the income statement, which is determined with reference to the net book value of the assets and net sale proceeds. The rates of depreciation are as under: Rate Furniture & fixture 10% Library books 15% Computer and office equipment 15% 3.5 Provident Fund The provision of Contributory Provident Fund for the employees of the Institute was approved to be effective from July 2006 at the subscription rate of 10% of the basic salary. The Institute also contributes same amount to the Provident Fund. 3.6 Gratuity Fund The institute has a gratuity scheme (unfunded) which coveres all its permanent employees who meet eligibility requirements. The amount charged to income statement represents the Institutes annual obligation under the scheme. 3.7 Interest on Short Term Investment (FDR) Interest on short term investment (FDR) is recognized and recorded on accrual basis and the net interest income realized against each FDR on maturity date is automatically reinvested with that respective FDR. The accrual interest that is unrealized are recorded as interest receivable. 3.8 Advance, Deposits and Prepayments Advances are initially measured at cost. After initial recognition, advances are carried at cost less deductions, adjustments or charges to other account heads. Deposits are measured at payment value. Prepayments are initially measured at cost. After initial recognition, prepayments are carried at cost less charges to income statement. 3.9 Provisions All provisions are recognized on the financial statement date if, as a result of past events, the Institute has a present legal or constructive obligation that can be estimated reliably, and it is probable that an outflow of economic benefits will be required to settle the obligation. 3.10 Cash and Cash Equivalents Cash and cash equivalents comprise cash in hand and cash at bank, which are held and available for use by the Institute without any restriction and are readily convertible to a known amount of cash and that are subject to an insignificant risk of change in value. 3.11 Income Recognition i) Operating income As per IFRS-15 “Revenue from contract with customers” - the institute recognise revenue to depict the transfer of promised goods or services to customers in an amount that reflects the consideration to which the entity expects to be entitled in exchange for those goods or services. All the revenues of the Institute are recognized as per this standard except income arisen from 'fees from student' which is recognized on cash basis. ii) Other income All other income is recognized when the Institute's right to receive such income has been reasonably determined and all conditions precedent are satisfied. 3.12 Government Grants Government Grant is recognized in accordance with IAS-20 " Accounting for Government Grants and Disclosure of Government Assistance" which recognizes grant only when there is reasonable assurance that (a) the enterprise will comply with any conditions attached to the grant and (b) the grant will be received. The grant has been recognized as income over the period necessary to match them with the related costs, for which they are intended to compensate, on a systematic basis, and should not to be credited directly to equity. 3.13 General a) All figures have been rounded off to the nearest BDT. b) Previous year's figures and head of accounts in the financial statements have been re-arranged and restated to confirm to current year's presentation wherever necessary.
