GENESIS The Institute of Chartered Secretaries of Bangladesh (ICSB or the Institute), established under an Act of Parliament i.e. Chartered Secretaries Act 2010, is the only recognized professional body in Bangladesh to develop, promote and regulate the profession of Chartered Secretaries in Bangladesh. The Institute was initially established under a license from the Ministry of Commerce in 1997 as the Institute of Chartered Secretaries and Managers of Bangladesh (ICSMB) and subsequently converted to Institute of Chartered Secretaries of Bangladesh (ICSB).
The affairs of the Institute are managed by a Council consisting of thirteen (13) elected Members and five (5) nominated Members from the Government of the People’s Republic of Bangladesh. The Institute is a Member of Corporate Secretaries International Association (CSIA), based in Hong Kong which is the global voice of Corporate Governance. The Corporate Governance Excellence Award, initiated by ICSB, is a commendable step forward and will remain as a milestone in the records of the Corporate Governance history of Bangladesh. ICSB National Award for Corporate Governance Excellence was successfully organized by the Institute in 2014, 2015, 2016, 2017 and 2018. A large number of distinguished personalities from the corporate sector of both home and abroad were present on those occasions. Mr. Abul Maal A Muhith MP, Honorable Minister, Ministry of Finance, Govt. of the People’s Republic of Bangladesh graced the first, second and fifth occasions, Dr. Mashiur Rahman, Economic Affairs Adviser to the Prime Minister, Government of the People’s Republic of Bangladesh graced the third occasion as the Chief Guest while Mr. Tofail Ahmed MP, Honorable Minister, Ministry of Commerce, Government of the People’s Republic of Bangladesh graced the fourth occasion as the Chief Guest. The Institute is leading with key measures to promote and facilitate good governance in the Corporate Sector of the country. These key measures include Continuing Professional Development (CPD), training, developing professional standards and facilitating and formulation of related regulations. The Institute has been working for several years with the noble objective of recognising listed companies in Bangladesh for their contribution towards sustainable Good Governance. The awardees of ‘ICSB National Awards for Corporate Governance Excellence’ are selected through a rigorous process undertaken by an independent Jury Board. A Charter for Corporate Governance Excellence Award was approved by the Council of the Institute and the same was adopted by the Jury Board. Eleven Technical Committees were formed, comprising expert Members of the Institute, for evaluation of annual reports and other relevant information and documents submitted by participating companies. Participating companies are grouped in to eleven categories. Care is taken to prevent any conflicts of interest in assigning the evaluation tasks amongst the Technical Committees. There are three awards in each category; first, second and third, in order of merit (points scored in the assessment). Submissions are invited through advertisements in leading daily newspapers. Letters are also sent requesting listed companies to submit their Annual Reports. The response has been excellent from almost all segments of companies listed on the Stock Exchanges of Bangladesh. The Winning Companies will receive the awards at a grand ceremony in Dhaka in the presence

of dignitaries and business leaders. Mr. A H M Mustafa Kamal FCA MP, Minister of Finance, GoB, is expected to grace this occasion as the Chief Guest while Dr. M. Khairul Hossain, Chairman, Bangladesh Securities and Exchange Commission and Dr. Md. Jafar Uddin, Secretary, Ministry of Commerce, GoB, are expected to attend as Special Guests. A Souvenir to mark the ‘6th ICSB National Award for Corporate Governance Excellence, 2018’ will be published with a brief background and success stories of the winning companies, along with a list of participants.
PURPOSE OF THE AWARD • To encourage and promote governing excellence in the Corporate Sector of Bangladesh; • To motivate organizations and their leaders to continue to improve excellence in governance; and • To facilitate corporate houses to gain a competitive edge over others in the global arena.
ELIGIBILITY FOR PARTICIPATION Any company listed with the Stock Exchanges of Bangladesh that has published its Annual Report for the year ended June 30, 2018, or December 31, 2018, as applicable.
SOURCE DOCUMENTS FOR EVALUATION The main source document for the evaluation shall be the published Annual Report of the Company which includes Notice of Annual General Meeting, Directors’ Report, Annual Corporate Governance Compliance Certification, Audit Committee Report, CSR activities and Financial Statements along with Auditors’ Report. The Jury Board may review the website of the respective companies, media reports, investors’ perception, Company Code of Conduct, Corporate Governance Statement and any other relevant statement or report of the Company. Participating companies will have the opportunity to submit other relevant documents. The Jury Board may also request such other documents as they may consider necessary for assessment and evaluation.
EVALUATION AND ASSESSMENT BASIS ICSB has developed its own scorecard principles for the evaluation of Award winners, based on the following: • BSEC Corporate Governance Guidelines; • Stock Exchange Listing Regulations; • Global Standard Board Practices; • Relevant rules of Global Corporate Governance Forum; and • Other information and documents considered relevant by the Jury Board
