• Represented Paragon Solutions Ltd., an advanced cyber solutions government contractor located outside of the U.S., in its sale to a premier private equity fund investing in companies serving the U.S. Intelligence Community
• Represented Waldencast plc (Nasdaq: WALD), a United Kingdom-based global multibrand beauty and wellness platform, in its acquisition of Novaestiq Corp., a growth-oriented aesthetic and medical dermatological innovations company, as well as the U.S. rights to the Saypha line of hyaluronic acid (HA) injectable gels, from Croma-Pharma GmbH, an Austria-based global leader in minimally invasive aesthetic medicine, and Nvq Investors Holding Llc
• Represented UNO Corp., a Honduras-based leading operator of service stations and marketer of petroleum products with a strong presence in Latin America, in its acquisition of Primax in Peru, Ecuador and Colombia from Grupo Romero, one of the most important business conglomerates in Peru and Latin America, through its investment arm, Grupo Romero Investment Office
• Represented The Apollo Group, the leading provider of full-service hospitality management services to the cruise industry across the globe, in connection with a growth investment from Oaktree Capital Management LP, a leader among global investment managers specializing in alternative investments
• Represented Auxis, a leading consulting and tech-enabled nearshore outsourcing pioneer with main delivery centers in Costa Rica and Colombia and supporting hubs in Mexico and Guatemala, in its sale to Grant Thornton LLP, a private equity-backed leading providers of audit, assurance, tax and advisory services
• Represented Dollarama Inc. a recognized Canadian value retailer offering a broad assortment of consumable products, general merchandise and seasonal items both in-store and online, in its acquisition of a majority equity interest in a value retailer with locations across Latin America and subsequent acquisition of an additional 10 percent stake
• Represented a publicly held U.S. company in acquisitions of companies engaged in pawn broker and consumer finance operations in El Salvador, Honduras, Guatemala, Peru, Mexico, Florida and the Caribbean
