Holland & Knight’s Project Finance Team represents majority and minority finance partners and sponsors, including commercial lenders, export credit agencies, multilateral development banks, and other agency lenders, developers, suppliers and contractors. We bring deep experience in risk identification and allocation across diverse projects, along with practical knowledge of financing methods and challenges in publicly funded and privatization structures. We regularly advise lenders, lead arrangers, multilateral institutions, corporations and other borrowers on complex commercial lending transactions, including those involving various investment funds. Our work spans a wide range of secured financial deals backed by assets such as inventory, equipment, receivables and loan portfolios, real estate, all asset project and corporate financings, and other structured financings.

As business and merger and acquisition activity grows across sectors, capital demand rises. Commercial lenders, export credit agencies, multilateral banks, borrowers and sponsors rely on our Cross-Border Finance Team for guidance throughout the acquisition financing cycle – from structuring and term sheet negotiation to execution. Our experience in risk allocation and financing, including public-private partnerships and privatization models, helps ensure clients receive comprehensive support.

International Capital Markets

Holland & Knight represents major issuers and underwriters on international capital market offerings, including issuances of debt (secured and unsecured), equity, project bonds and securitization transactions. The team also has considerable experience representing sovereign issuers, as well as issuers across various industry sectors, including real estate, banking and financial services, and energy. We regularly advise on the application of U.S. securities laws on cross-border listings in Europe, Asia and elsewhere around the globe.

Representative Experience

• Represented Fibra Next on a US$1.2 billion transaction comprising an initial public offering (IPO) of Mexican real estate trust certificates (CBFIs), an institutional placement of CBFIs in and outside the U.S., and the contribution of nine initial assets to Fibra Next

• Represented Grupo Energía Bogotá S.A. E.S.P. (GEB) as borrower on a US$509 million, five-year term loan facility, arranged by SMBC and Scotiabank, for the financing of its investment plan, including the acquisition of an equity stake in a power transmission asset portfolio in Brazil

• Represented Banco Latinoamericano de Comercio Exterior S.A. (NYSE: BLX), a multinational bank in connection with its inaugural Additional Tier 1 capital offering, raising US$200 million

• Represented Fibra UNO (BMV: FUNO11) in its dual-tranche, sustainability-linked notes offering issued in the international capital markets under Rule 144A/Reg S, consisting of an aggregate amount of US$800 million

• Represented Internacional de Ceramica S.A.B. de C.V, a Mexico-based company specializing in the production of glazed ceramic floor and wall tile, in connection with a US$665 million syndicated acquisition financing

• Advised IDB Invest, CIFI LatAm S.A. and its sustainable fund CIFI Sustainable Infrastructure Debt Fund LP (CIFI), as lenders of a senior and subordinated loans for up to a total of US$63 million to Proyecto Ventanilla S.A.C., as a special purpose vehicle established in Perú, in connection with the construction and operation of a logistics park project located in Callao, Perú

• Advised eight financial institutions, including Bancolombia, IFC, BID Invest, CAF, JPMorgan, Sumitomo Mitsui SMBC, MUFG and Financiera de Desarrollo Nacional (FDN), on the 4.3 billion Colombian pesos financing of the fifth generation (5G) of highways Autopista Magdalena Medio (Troncal del Magdalena 1) and Autopista del Rio Grande (Troncal del Magdalena 2), which are being developed by KMA Construcciones and Grupo Ortiz

• Represented Grupo Energía Bogotá S.A. E.S.P. (GEB) on its offering of senior notes in the international capital markets under Rule 144A/Reg S for a principal amount of US$500 million

• Represented Banco Santander, BBVA and Citigroup, as joint lead arrangers, IFC as parallel lender and sustainability coordinator, in connection with a US$545 million syndicated sustainable credit facility for Corporación Inmobiliaria Vesta S.A.B. de C.V., a Mexico-based leading industrial real estate company

• Represented IDB Invest in a US$55 million term loan for Fondo BPS S.A., a special-purpose vehicle established in Panama, and its shareholder BPS General Partner Corp., with the purpose of executing construction, operation and maintenance of a private toll motorway in Guatemala

• Represented MiRXES Holding Co. Ltd. (HKEX: 2629) in an IPO valuing company at US$1.06 billion and listing on Hong Kong Stock Exchange

• Represented Sirnaomics Ltd. (HKEX: 2257) in an IPO valuing company at US$745 million and listing on Hong Kong Stock Exchange

• Represented HighTide Therapeutics Inc. (HKEX: 2511) in IPO valuing company at HK$278 million and listing on Hong Kong Stock Exchange
