CLUBHOUSE RULES
These Clubhouse Rules are established for Northland Country Club (the “Club”) by Northland Country Club, Inc. (“NCC”) to protect the Club and to promote the health, safety, welfare and enjoyment of all using the Club Facilities and while on the Club premises. NCC owns and operates the Club and has engaged Hampton Golf, Inc. (“Hampton Golf”) to operate the Club. References in these Clubhouse Rules to the “Club” in regards to decision making or the exercise of discretion shall be deemed to refer to NCC and Hampton Golf, and NCC and Hampton Golf are hereafter sometimes referred to as the “Club.” In the interest of making the use of the Club Facilities a pleasurable experience for all persons and to protect the Club Facilities, the Club may amend these Clubhouse Rules from time to time, in its sole discretion, without notice to the members or other persons entitled to use the Club.
1. Guests – All guests must comply with these Clubhouse Rules and all other governing documents of the Club. All family members and guests of a member must be accompanied by the sponsoring member while using the Club Facilities, unless the sponsoring member notifies the appropriate personnel of the Club in advance that their family members and/or guests will be using the Club Facilities on a particular date. Any person using the Club Facilities as a guest must be registered by the sponsoring member with the Club. The Club reserves the right to require identification by each guest. Members are requested to exercise discretion respecting the frequency with which they invite a particular guest. The Club may allow, disallow or restrict guests in the Club’s sole discretion. In addition, the Club may allow use of the Club Facilities by guests on such terms, conditions, rates, and with such privileges as the Club determines in its sole discretion, from time to time. Guests and their sponsoring member will be jointly and severally liable for all guest fees and charges. Additionally, the Club reserves the right, in its sole discretion, to set a maximum number of times a member’s guest can use the Club Facilities on an annual basis.
2. Attire – No member or their guest will be permitted in the clubhouse unless appropriately attired. It is not appropriate to wear hats or caps in the clubhouse. The exception to the rule is the JR Link Lounge and the Locker Rooms. Persons who are barefoot or wearing swimwear shall not be considered appropriately attired. The attire for lunch and dinner in the Fireside Dining Room will be “Country Club Casual.” Casual wear must be appropriate and in good taste.
3. Locker Rooms – The locker rooms are reserved for the use of adult golf members and guests. Members are expected to instruct their children that access to the locker rooms is limited to adult golf members. Membership privileges may be withdrawn without refund of activity dues from any member’s children who abuse these Clubhouse Rules. NCC is not responsible for lost or stolen articles. NCC will accept responsibility only for those items of personal property specifically left in thecareoftheClubandforwhichasignedreceipthasbeengiventothemember. Lockersareprovided solely for the convenience of members and their guests. Property of any value should not be left unattended by members.
Each member and each person using the Club Facilities and the equipment and amenities of the Club is required to take precautions against theft and not to encourage theft by failing to properly secure all articles of personal property. In consideration of the privileges herein described, each member and each person using the Club Facilities and the equipment and amenities of the Club assumes all risk of loss and agrees that NCC and Hampton Golf are not responsible for liability for articles damaged, lost or stolen in or about the Club premises or the Club Facilities, or left in lockers, or for loss or damage to any property, including without limitation, automobiles and the contents thereof. Any storage facilities or lockers provided at the Club are offered as a convenience to members and others, and NCC and Hampton Golf do not represent or warrant that the lockers or storage facilities are safe and secure, nor guarantee that any items placed therein are or will be secure.
4. Alcoholic Beverages – No alcoholic beverages shall be served during any hours or on any days when the sale of alcoholic beverages is prohibited by law. NCC employees have the obligation and right to refuse service of alcoholic beverages to any member or non-member they believe to be intoxicated. Children under the lawful drinking age in the State of Minnesota are not permitted in any bar or lounge unless accompanied and supervised by an adult. Children will be permitted in dining facilities where alcoholic beverages are also being served. Under no circumstances shall anyone under twenty-one (21) years old be served alcoholic beverages.
5. Unsigned Chits – For the convenience of the members, a twenty percent (20%) gratuity will be automatically added to all unsigned chits The gratuity is paid directly to the service personnel via payroll.
6. Employee Reprimands – Members are not permitted to reprimand any employees. Please report any complaints or violations to the General Manager, preferably in writing if the complaint is of such serious nature as to possibly merit disciplinary action.
7. Employees Running Errands – Employees of NCC are not permitted to leave the Club premises to run any errand for a member.
8. Grievance Procedure – Any complaint by a member, for any reason, is to be submitted to the General Manager. The General Manager and the President of the Club will determine if the matter is to be referred to the Board. If the General Manager and the President fail to submit the complaint to the Board within thirty (30) days after receipt of said complaint, it shall be deemed a finding by the General Manager and the President that the charges lack sufficient merit to proceed.
9. Activities – Any member, immediate family member, guest or other person, who, in any manner, makes use of, or accepts the use of, any apparatus, appliance, facility, privilege, or service whatsoever owned, leased or operated by the Club, or who engages in any contest, game, function, exercise, competition, or other activity operated, organized, arranged, or sponsored by the Club, either on or off theClub’sproperty, shalldo soattheirown risk. Eachmember shallbeliableforanypropertydamage and/or personal injury at the Club, or at any activity or function, operated, organized, arranged, or sponsored by the Club, caused by the member, and said member’s immediate family members or guests. Members shall not use the Club Facilities for any club, society, party, religious, political, charitable, fraternal, civic, fundraising, or other purposes without the prior written consent of Club Manager or Board of Directors, which consent may be withheld for any reason or no reason whatsoever.
10. Check Cashing – Because of the limited cash transacted at NCC, we do not have the ability to cash checks.
11. Amendments to Rules – The Board of Directors is empowered to amend, suspend, or otherwise modify the Clubhouse Rules, from time to time, in its sole discretion.
SWIMMING POOL RULES
1. The F&B Manager, in conjunction with the General Manager, is in full charge of the swimming pool. The lifeguards in attendance are charged with enforcement of the rules and are to report all infractions of the rules to the pool supervisor and General Manager. The swimming privileges of any person who violatestheserulesmaybe suspendedbythe General Managerforaperiod nottoexceedtheremainder of the season, subject to review by the Board of Directors.
2. Members shall register thenamesof all swimming pool guests. A guestfeeof Fifteen Dollars ($15.00) shall be paid or charged at the Snack Bar upon entering the pool area.
3. No one who resides within commuting distance of the Club shall be a pool guest of any Club member more than once in each calendar month.
4. Children under twelve (12) years of age must be always accompanied in the pool area by a parent or other responsible person. No child under the age of twelve (12) may use the main pool without the immediate and constant supervision of a parent or other responsible person.
5. Sitters accompanying children of members, approved by the Manager on Duty and/or the General Manager, shall be permitted to use the pool while providing childcare.
6. No food or drink shall be permitted at the pool edge. No glass containers of any kind will be permitted on the pool deck. No food, other than food for infant children or children with food allergies, will be allowed to be brought into the pool or patio area.
7. No running, shoving or rough play shall be allowed on the pool deck or in the pool itself. Any conduct which in the opinion of the lifeguard interferes with the use of the pool by others will not be permitted.
8. Valuables shall not be brought to the pool area. NCC is not responsible for lost or stolen articles. NCC will accept responsibility only for those items of personal property specifically left in the care of the Club and for which a signed receipt has been given to the member. Property of any value should not be left unattended by members or guests.
9. Children using the pool facilities only shall not be permitted in either the men’s or women’s locker room. Locker room towels must not be taken to the pool area.
10. A lifeguard will be provided at the pool from 11:00 a m. to close daily, weather conditions permitting. Group and private lessons will generally be scheduled between 9:00 a m. and 11:00 a.m. during the weekdays. The Manager on Duty may restrict general swimming activities until after the lessons.
11. The Snack Bar will be open as determined by the General Manager. Children of members shall be deemed authorized by their parents to charge at the Snack Bar unless a disclaimer of permission signed by the parent is on file at the business office. Members will be responsible for all purchases made by their children.
12. The pool supervisor and/or the General Manager are authorized to adopt and post on the pool bulletin board such further rules as they deem necessary for the proper operation and safety of the pool, subject to review by the Board of Directors.
TENNIS COURT RULES
1. Courts #1 and #2 will be available for play during scheduled hours except when scheduled for special events, outside events, group or private lessons.
2. Established hours for the use of courts for lessons and group events will be posted in the Tennis Pro Shop. No reservations may be made at those times.
3. A Fifteen Dollar ($15.00) guest fee, payable in advance at the Club Office, shall be charged to any member accompanied by a guest. There must be a member present in each tennis group of four (4) or less.
4. Reservations for the tennis courts may be made in person at the Club Office or by reserving online through the Club’s website under “Court Reservations. ”
5. Tennis courts may be reserved only twenty-four (24) hours or less in advance of playing time. Court reservations shall be limited to one (1) hour for singles and two (2) hours for doubles. Duplicating a reservation for a succeeding hour is not permitted.
6. Adults shall always have priority after 4:00 p.m. on weekdays and on Saturday, Sunday and holidays.
7. Any reserved court not occupied by those reserving it within ten (10) minutes following the starting time will be forfeited to those present and waiting. This forfeiture rule shall not run to the benefit of Junior Members.
8. Only children of members eligible to use the tennis facilities shall be entitled to reserve tennis courts at times permitted for play by Junior Members.
9. Proper tennis attire shall be always worn. Only flat-soled tennis shoes shall be worn on the courts. No street shoes, running shoes, golf shoes or shoes with heels shall be allowed
GOLF COURSE RULES & POLICIES
1. Member Access

ii. Dependent Member Course Access
1. Dependent Members that are accompanied by an adult may make a tee time & play at any time.
2. Tee Times
2. Dependent Members ages 13 or older, that are not accompanied by an adult may make a tee time and play at any time outside of the exempt times listed below:
a. Weekends & Holidays before 10:00 am
3. Dependent Members under the age of 13 must be accompanied by an adult or have the approval of the Head Golf Professional.
4. Dependent Members may participate in the Club Championship Event by paying an entry fee and qualifying for the Championship Flight.
5. Any child of a member who is employed in any part of the Club’s operation, including swimming pool, clubhouse, Golf Shop, or grounds maintenance, must abide by the rules of employees while on duty.
a. Making Tee Times
i. Tee Times are available to Members fourteen (14) days in advance.
ii. There may be up to Five (5) players in a single tee time.
iii. Members are permitted to make no more than two (2) consecutive tee times per day in advance of the day of play.
iv. If a group desires to play a second round on the same day, they may book it the morning of play with the Golf Shop. During periods of low utilization, the Golf Shop may approve booking a replay round prior to the day of play. Guests that play a second round on the same day will be subject to the replay rate.
v. It is required that all player’s names be listed on the tee time prior to the day of play.
1. Member “X’s” on Foretees
a. Members may utilize the Member “X” on Foretees to reserve a tee time. Members must fill in their playing partners names at least three (3) days before their tee time or Foretees will automatically cancel the tee time.
b. Fivesomes
i. Golf Staff reserves the right to restrict Members/Guests from playing in fivesomes to assist with pace of play.
c. Starting your round
i. All players must check in with the Golf Shop or Starter before teeing off.
1. Play must begin from the first tee unless otherwise approved by the Golf Shop.
ii. First Tee Time of the day
1. Play must not begin prior to the first tee time of the day to allow our maintenance team the proper time to maintain the golf course.
d. Cancellation Policy
i. Members may cancel their tee time via the Foretees app or by calling the golf shop any time prior to 7:00 am on the day of play.
ii. To cancel the day of play, due to unforeseen circumstances, members must contact the golf shop.
iii. Members who do not cancel their tee time will be subject to the Cancellation Fee.
iv. The Cancellation Fee is $30.00 per player slot booked.
1. All Cancellation Fees Collected by the club will be allocated to the NCC Caddie Fund.
3. Guest Privileges & Fees
a. Accompanied Guest Play
i. Guests are permitted to play at any time when accompanied by a member.
ii. It is required that all Guest names be listed on the tee sheet when making a tee time.
iii. Members may host up to seven (7) Guests during periods of low utilization. Tee times must not interfere with other Members’ access to available times. These requests must be approved by the Head Golf Professional and adhere to the following guidelines:
1. All Unaccompanied Guest groups must be accompanied by one (1) Forecaddie when available.
2. Member is responsible for pace of play for both groups.
3. Guest fees for Sponsored Unaccompanied groups are listed in the Golf Rates & Fees Section.
iv. Guests are permitted to play Northland no more than five (5) times per year.
1. Club Tournaments will count as one (1) round played.
v. Replay Rounds
1. Accompanied Guests who play twice on the same day will be charged a discounted greens fee for their second round played. The rate is listed in the Golf Rates & Fees Section.
2. Replay Rounds will count towards the rounds limit.
b. Family Guests
i. A Family Guest is defined as parents, siblings, adult grandchildren, adult children, and equivalent in-laws.
ii. Family Guests must be hosted by the family Member to receive the family rate.
1. The Family Guest rate is listed in the Golf Rates & Fees Section.
c. Junior Guests
i. Junior Guests must be ages 18 or younger.
ii. The Junior Guest Rate is listed in the Golf Rates & Fees Section.
d. Unaccompanied Guest Play
i. Sponsored Unaccompanied
1. Members are permitted to sponsor Guests to play Northland without being on property. All requests will go through the Head Golf Professional. The HP will use their best judgement to determine if unaccompanied play will affect Members’ access to the course.
2. Members are limited to one (1) such foursome each season.
3. To assist with pace of play, Unaccompanied Guest Groups must utilize a Forecaddie when available.
ii. Non-Sponsored Unaccompanied
1. All requests will go through the Head Golf Professional. The HP will use their best judgement to determine if unaccompanied play will affect Members’ access to the course.
2. Tee Times may not be made prior to Members having access to the tee sheet.
3. Groups will be accompanied by a Forecaddie when available.
e. Charity Round Requests
i. Rounds of golf that are donated must be bought and paid for by a Member of the Club. This is to ensure that the group will be accompanied by the Member or use their one (1) Sponsored Unaccompanied round.
1. When accompanying the Guests, Members may use their Guest Passes or be billed the associated Guest & Cart Fees.
f. Guest Passes
i. All Members are eligible to purchase guest passes in the following increments:
1. 6 Guest Passes
2. 12 Guest Passes
3. Unlimited Guest Pass
a. Pricing can be found in the Golf Rates & Fees Section.
ii. Members who desire to purchase Guest Passes must do so by May 15th each season.
iii. Guest Passes are not transferable between Members.
iv. Guest Passes may only be utilized when the Member is in the Foursome (Fivesome).
1. For example, if a member has guests in another tee time, guest passes/unlimited guest pass will not be utilized.
v. Guest Passes expire at the end of each golf season and will not “roll-over” to the next season.
g. Guest Rates
i. Please see the Golf Rates & Fees Section.
4. Pace of Play
a. The Golf Committee feels strongly that a good pace of play is an integral component of the golf experience.
i. Expectations:
1. Each Member is responsible for maintaining the proper pace of play and position on the golf course. Groups with an assigned tee time are expected to play in four (4) hours or less. This policy applies to Guest rounds, season long matches and leagues. During Member events it is our goal to meet these expectations but realize that it will be a challenge.
ii. Enforcement & Consequences:
1. Each Member who is part of a group recording a “slow time” (defined as 4 hours and 20 minutes or longer) will receive a letter from the Golf Committee Chair. Members in the groups playing behind the “slow play” group will not receive letters if they maintain proper position behind the group ahead. The first letter will be a written warning. A second “slow time” within the same calendar year of a written warning letter will result in a two-week restriction on playing privileges before 3:00 pm.
iii. Pace of Play Best Practices:
1. Members are encouraged to play ready golf at all times. Always carry an extra ball. Play from the appropriate tees. If you reach your maximum allowable score (net double bogey), pick up.
5. Modes of Transportation
a. Caddie Requirements & Fees
i. All players must use a Golf Cart or Caddie (when available) on Saturday, Sunday, and National Holidays before 10:00 a.m. from the Saturday of Memorial Day weekend through Labor Day.
1. The club strongly encourages members and guests to utilize caddies during all League Play and Club Events.
ii. Caddies must be paid directly by the Member in cash or electronic payment to maintain their independent contractor status.
iii. It is requested that Members fill out the Caddie comment cards following each round, so that we can train & promote Caddies.
b. Golf Cart Policies & Fees
i. Golf Cart operators must adhere to the following rules:
1. Only licensed drivers are permitted to operate Golf Carts.
2. Under no circumstances are passengers permitted on the back of a Golf Cart.
3. Golf Carts must be kept on the path, when possible; do not park on the grass just off the path.
4. Golf Carts must remain at least 30 feet from all greens and tee boxes.
5. Please drive Golf Carts in fairway rather than rough whenever possible.
6. It is prohibited to drive Golf Carts through hazards or native grass areas.
7. To preserve course conditions, NCC Golf & Grounds Staff reserve the right to suspend Golf Cart usage as needed.
8. The Green Committee and the Board of Directors may prohibit the use of any Golf Cart on the course by any Member or person who fails to use the vehicle in a reasonable manner consistent with the rules of recommended use for the protection of persons and property.
9. Violations of any Golf Cart rules may result in loss of membership privileges and/or other disciplinary measures by the Club, as determined by the Club in its sole discretion.
ii. Fees:
1. Golf Cart Fees are billed per player.
2. Junior Members & Guests 12 years old & younger will not be charged a cart fee. All Juniors 13 & Older are subject to the golf cart fees.
3. The rates are listed in the Golf Rates & Fees Section.
iii. Member-owned Golf Carts
1. No Member-owned Golf Carts shall be operated on Club property unless the Member-owner thereof has:
a. Registered the Golf Cart with the Club.
b. Paid the Trail Fee to the Club, on or before May 15th in each year, an annual Trail Fee of Eight Hundred Dollars ($800.00); and
c. Provided proof of insurance or other financial responsibility for privately owned Golf Carts used on Club property.
d. Follows all policies listed above, including the requirement for licensed drivers only.
c. Pushcarts
i. Pushcarts are available for Members & Guests to rent. The rate is listed in the Golf Rates & Fees Section.
6. Locker Room & Fees
a. Lockers are available on a first-come-first-serve basis. Inquire with the GM to reserve a locker.
i. Men’s Locker Fee is $225 for a full locker and $150 for a half locker.
ii. Ladies’ Locker Fee is $150 for a full locker and $100 for a half locker.
7. Bag Room & Club Storage
a. Golf Members (excluding National & Junior Memberships) are allowed to store one (1) Golf Bag at no charge (included in the annual golf fee).
b. Golf Members may choose to store additional golf bags at the cost of $100 per bag.
c. There is limited space available for Pushcart storage. The fee is $100 to store a personal Pushcart.
8. Hours of Operation
a. The Golf Shop & Practice Facility will open one half hour prior to the first tee time each day.
i. Practice Facility will close one half-hour earlier than normal hours on Sunday Evenings.
b. Monday Golf
i. The Club reserves the option to close the golf course on specific Mondays for the purposes of holding outside golf events or completing necessary maintenance practices on the golf course.
ii. When the Golf Course is open on Mondays, the first tee time will be noon (12:00 pm). The Bag Room, Golf Shop and Practice Facilities will open 30 minutes prior to the first tee time.
c. Monday Holidays
i. The Tuesday following a Monday holiday will be treated as a Monday with the golf course opening at noon.
2025 Golf Department Hours of Operations
9. Dress Code
a. Golf Attire:
i. Men: Golf-Specific attire, including collared shirts and Bermuda-length shorts or slacks with a belt. Golf shirts must be tucked in.
ii. Women: Golf-Specific attire, including golf-specific shirts and slacks, golf shorts or skirts/skorts of appropriate length.
iii. Junior boys and girls are expected to wear attire consistent with adult Members and appropriate for golf.
iv. All: Golf Shoes must have non-metal spikes. Hats & visors must be worn forwards.
v. Not Permitted: Denim, tank tops, t-shirts, halter tops, yoga pants and non-golf apparel.
b. Members are responsible for their Guests’ adherence to the dress code.
10. Electronics & Music
a. Music is permitted but should only be heard within your group. If asked by a fellow Member or staff member to turn the volume down, it is expected that the group abides by the request.
b. Use of cellular devices on the course is discouraged. If use of the device is required, please keep conversations brief, so that it is not to disrupt pace of play.
11. Golf Course Care
a. Golfers must replace and press down all divots or fill divots and repair ball marks. Please do not climb the steep face of bunkers, enter, and exit the bunker at the lowest point and always smooth or rake out your footprints. Rakes are to be left inside the bunkers.
12. Handicaps
a. All Members are strongly encouraged to maintain a USGA handicap at Northland. To compete in NCC Club Events, Members or Guests must have a USGA handicap. If a Member or Guest does not have a handicap, the participant will play to a 0.
b. All adjusted scores for eighteen (18) hole rounds and nine (9) hole rounds must be posted in the handicap system and adjusted per USGA rules.
13. Club Championships
a. Mr. & Mrs. Club Championship
i. Husbands and wives having established eighteen-hole handicaps at the Club are eligible to compete for the Harry Legg Mr. & Mrs. Championship trophy. Winners are determined on the basis of low net score for the couple. Their names will be engraved on the trophy which they may retain until the next annual championship. This traveling trophy must not be removed from the City of Duluth area. In the event it is won by a National Member or Resident Member who subsequently moves from the community, it will be properly engraved and kept in the trophy case at the Club.
14. Hole-in-One Policy
a. When a member makes a hole-in-one, each golf privileged Membership is charged $4.00, and the following protocol is in place:
i. Each Golf Member on property the day of a hole-in-one receives one complimentary drink.
ii. Member who made the hole-in-one will get their accomplishment noted on the hole-in-one plaque and an invitation to the Northland Champions Dinner.
iii. Remaining Proceeds from the Hole-In-One Fund are directed to the Northland Champions Dinner Fund.
iv. Hole-in-one protocol does not apply to Underage Dependent Members or Guests.
15. Severe Weather
a. Northland Country Club employs a Lightning Detection Service to notify staff when there is a strike within 10 miles of the Club. When there is a strike, the system prompts staff to sound air horns.
i. One (1) Long Blast – indicates that all golfers must come off the course immediately.
ii. Three (3) Short Blasts – indicates that golf may be resumed.
b. It is mandatory that all golfers seek shelter immediately once the air horns are sounded.
c. We will be in a lightning delay until there are no strikes within the 10-mile radius for at least 15 consecutive minutes.
16. Mandatory Golf Fees
a. All Golf Memberships are billed the Annual Golf Fee.
i. Family Golf, Single Golf, Young Executive Family, Corporate Family, Rule of 100, Senior Family, Senior Single will be charged $400 per Membership.
ii. National & Junior Golf Memberships will be charged $200.
iii. This service fee provides club storage (except Junior & National Memberships) and cleaning for one bag, unlimited use of the driving range, online tee time service, GHIN handicap for one Member and the Evans Scholarship support. GOLF SIMULATOR RULES & POLICIES
A. Hours of Operation
a. 2024-25 Simulator Availability: November 8th, 2024, to May 4th, 2025
b. During the winter months, the NCC Simulator will be open Tuesday–Sunday. Please note the last reservation will be one half-hour before closing. The simulator will be closed on holidays as determined by the club staff.

B. Reservations:
a. Reservations are available seven (7) days in advance via ForeTees or by calling The Golf Shop under the following guidelines:
• Members may not have more than two (2) reservations booked at any given time.
• Reservations may be made for the simulator in 30-minute intervals.
• A single user may sign-up for a maximum of 1 hour.
• Two (2) people may sign up for a maximum of 2 hours.
• Three (3) to Four (4) people may sign up for a maximum of 3 hours.
• Simulator sessions begin and end at the time of the reservation, not at arrival or finishing of a round.
• Should a member not show up for or cancel their reservation within 1 hour of their reservation time, the Member will be charged a $25.00 cancellation fee. All cancellation fees collected will be directed to the NCC Caddie Fund.
C. Simulator Fees:
a. The Simulator fee is $20 per hour or $10 per half hour, regardless of how many players utilize the simulator.
• Simulator fees may be divided amongst members as desired.
D. Junior Privileges:
a. Juniors ages 12 & younger MUST be accompanied by an adult when using simulators.
b. Unaccompanied Juniors ages 13 and older may reserve times starting at 7:00 am on the day of use.
E. Guests:
a. A Member may bring up to three (3) guests at a rate of $40.00 per guest per session.
b. The guest fees will be charged to the host Member’s account.
c. Guests are not permitted when the host Member is not present.
F. Dress Code:
a. Proper Golf Attire, Club Casual Attire, or Fitness Attire is required when utilizing the Golf Performance Center. Hats and visors are permitted. Shoes must be clean and dry. Golf shoes with any form of spikes are not permitted.
MEMBERSHIP CLASSIFICATIONS
Full Golf
This comprehensive Membership classification includes the Club’s complete amenities offering and full access to all our recreation, dining, and facility opportunities. You, your spouse, and any dependents under the age of 24 are free to enjoy unlimited rounds of golf, tennis matches, and time at the pool. You will enjoy delicious lunches, dinners, and cocktails in any dining area, full access to private dining meeting spaces, complimentary event-planning personnel, and invitations to special Member-only events throughout the year.
Corporate
Enjoy all the benefits of being a Golf Member. The corporation/company owns the membership. The corporation/company will designate at least three (3) Membership beneficiaries, who will have the same full privileges as a Golf Member. A future transferability clause preserves the long-term value of the company-sponsored Membership, ensuring you never pay initiation fees twice.
Senior
A person having reached the age of 70 who is eligible for a Golf Membership, including having a share of stock issued for his/her account and benefit and having the same full privileges of a Golf Member.
Young Executive
Any person between the ages of 27 and 39, inclusive, and includes having a share of stock for his/her account and benefit, have the same privileges as a Golf Member.
Junior
Any primary Member between the ages of 18 and 26, both inclusive, can have the benefits of a Full Golf Membership.
National
The National Membership grants full golf privileges to those who do not own, lease, rent, or otherwise possess or maintain a home within a 100-mile radius of the Club. To qualify, no Member (or family member) can occupy a Residence within the 100-mile radius for more than 30 days between May 1 and September 30 or more than 60 days during any calendar year, irrespective of the place of legal Residence.
Pool & Tennis
Pool & Tennis Members have full access to the outdoor heated, zero-entry pool and the two lighted Tennis Courts. You can sign up for group or private lessons with one of the Tennis Pros or the lifeguardcertified Pool staff. You will also enjoy delicious lunches, dinners, and cocktails in any of our dining areas, with full access to private dining and meeting spaces, complimentary event-planning personnel, and invitations to special Member-only events throughout the year. Pool & Tennis Members may also sign up for a private lesson on the golf practice tee, though this Membership class does not allow rounds of golf, driving range access, or league play.

MEMBER CODE OF CONDUCT
The Member Rules and Regulations govern the operation of Northland Country Club. (the “Club”) and are agreed to by all members when they join the Club. The Code of Conduct is an integral part of the Rules and Regulations and establishes guiding principles for compliance with these provisions. The Code is also critical in setting expectations for acceptable behavior to ensure the peaceful enjoyment of the Club by all, to protect the welfare of our employees and to achieve our vision of being one of the finest golf communities.
The Code of Conduct embraces a set of core and shared values focusing on our members, our people, and our Club. At the core of our values are integrity, teamwork, mutual respect, civil behavior, courtesy, and personal responsibility. Through a common set of shared values, we will enhance our commitment to excellence, provide the best possible membership experience, ensure that we continue to attract and retain high performing employees, protect the reputation of the Club, and create a financially sustainable future for the Club. Member behavior that is inconsistent
with these values or results in non-compliance with the Club’s Rules and Regulations can impair other members’ peaceful enjoyment of Northland Country Club, have an adverse impact on our employees and damage the reputation and health of the Club. The Club Bylaws provide a process for fairly evaluating and promptly addressing inappropriate behavior. Compliance with these Rules and Regulations while embracing our shared values will enable our members to enjoy the many amenities of the Club and comradery with fellow members while making Northland Country Club a play to enjoy.
The Intent of the Code of Conduct
Northland Country Club is a private Club organized for the benefit of its Members. In this environment, it is essential for all Members to behave in a civil, respectful, and appropriate manner, consistent with membership in a top-tier private club. Respectful and courteous treatment applies not only to fellow Members, but also to employees as well as Board and Committee Members. Improper conduct by Club Members can damage the Club in at least three ways. First, misbehavior by one Member (or group of Members) can impair the ability of other Members to enjoy the rights and privileges of membership. Second, Member misbehavior can impair the Club’s ability to attract and retain top-notch employees, who are among a club’s most important assets. Third, such misbehavior can damage the Club’s good reputation, which in turn can be detrimental to its financial health.
The intent of the Club’s Code of Conduct is to assure that these three important principles are maintained at all times. When a Member’s behavior jeopardizes the Club’s interests or violates the Club’s Rules and Regulations or the standards of behavior commonly accepted at high-end clubs like Northland Country Club, the Club will act promptly to address the violation. The Member Code of Conduct, Club Bylaws and Rules and Regulations, along with these Compliance Guidelines, are intended to set the appropriate standards for Member conduct, and to address the processes in place in the event a violation occurs. It also ensures that the Club’s disciplinary process is carried out in a fair and impartial manner, which is essential to maintaining the integrity of the Club and its governance.
The Responsibility of the Club As a private Club
Northland Country Club has the right and responsibility to set rules and standards of behavior that all Members promise to follow when they join the Club. Each Member who joins the Club agrees to abide by the Bylaws of the Club and Rules and Regulations, which includes the Code of Conduct, as a condition of joining.
1. HOW THE DISCIPLINARY PROCESS WORKS
Complaints and Violations
Members or employees who observe or are affected by any behavior of a Member or guest (Members are responsible for the conduct of their guests) that violates the Code of Conduct and/or Rules and Regulations may make a complaint. Complaints may be verbal or in writing and can be provided to management or a Board Member.
The Disciplinary Process
When a member of Management or the Board receives a complaint or otherwise becomes aware of an alleged violation, the typical process is as follows:
• Management will cooperatively investigate the incident to determine the facts of the case and the concerns of the affected Members or employee(s).
• The individual(s) accused of the alleged violation may be invited to discuss the incident with the Club General Manager.
• The Board will make a final determination of action. The decision will then be communicated in writing to the Member.
• Members have a right to appeal the Board’s decision and have a hearing before the Board for suspensions of 30+ days or expulsions.
o If the decision is upheld in the hearing, the Member has the right to appeal the decision.
The Types of Disciplinary Sanctions
The Bylaws and Club policy specify the potential sanctions that may be imposed as a consequence of a Member’s violation of the Code. The determination whether to impose a sanction or combination of sanctions and the severity of the sanction to be imposed is entrusted to the discretion of the Board:
• Dismissal: The Board may dismiss the alleged violation with a vote and take no action.
• Reprimand Letter: When a first violation is sustained, the Club may send a letter of reprimand to the Member and place such letter in the Member’s file for future reference.
• Probation: When a violation is sustained, the Club may place the Member on probation for a specific period of time. During this time, if a further incident occurs, an immediate additional penalty may be imposed, the severity of which may be more extensive.
• Suspension: When a violation is sustained, the Club may suspend the Member for a specific period of time. During the period of suspension, the Members privileges may be fully or partially suspended , in the Board’s sole discretion. Dues payments (including any assessments and installments that may be due during the suspension) continue to apply.
• Expulsion: When a violation is sustained, the Board may expel a Member from the Club, permanently forfeiting all their membership privileges and proceed with other remedies provided in the Bylaws.
o The Member may apply for membership after two years following the expulsion date.
o If a Member is expelled, he or she is responsible for dues for the remainder of their membership year or anniversary date.
2. KEY PROVISIONS OVERVIEW
It is not possible to identify specifically every variant of improper conduct that may result in disciplinary action. The Club may determine that a Member’s conduct may warrant discipline even though the particular form of that Member’s misbehavior does not fit precisely within the description of proscribed conduct. The guiding principle is that Members should, at all times, behave in a civil and respectful manner toward other Members, Club employees and Club Management. The failure to do so constitutes conduct that may subject a Member who engages in such conduct to discipline.
This section addresses commonly encountered behaviors that may result in disciplinary action. They are more fully elaborated here than behaviors in the latter part of these guidelines because they are more common and because their resolution is fact intensive and dependent upon the context in which they occur.
Conduct That Interferes with the Operations of the Club
As stated in the Club Bylaws and the Membership Agreement, Club memberships are offered exclusively for the purpose of permitting the use of the Club’s facilities. The operations of the Club are overseen by the elected Board of Directors through the Club Management team that runs the Club. Members have no
direct role in running the Club.
The foregoing is not intended as an exhaustive list of the types of unbecoming conduct that could potentially interfere with the use and enjoyment of Club facilities by other Members and that could violate the Code Rules and Regulations. Members of the Club are not permitted to interfere with the operation of the Club. In addition, it is the role of Club Management, with support of the Board, to define the operating policies and practices deemed most beneficial to the enjoyment of the entire membership when operating the facilities and programs. The following are examples of conduct that does not comply with the Rules and Regulations:
• Attempting to direct, influence, manage or interfere with an employee’s activities
• Encouraging an employee to do anything that violates Club rules or policies
• Interfering with, contacting, or attempting to influence by any means the Club service providers, vendors, or other entities doing business with the Club, including but not limited to, individuals or entities that provide any sort of service, whether professional or otherwise, or products to the Club
• Interfering with, contacting, or attempting to influence the Club’s dealings with any entity having a material relationship with the Club, including but not limited to, the PGA, Golf Course Superintendents Association of America, or other golf organizations, club or course rating services, or national club organizations such as National Golf Foundation, National Club Association and Club Managers Association of America
• Interfering with or attempting to negatively affect the Club’s relationship or reputation with other clubs, news organizations, publications or other interested third parties that might tarnish the Club’s reputation and brand
Conduct That Impairs Members’ Enjoyment of the Club
Members have access to the Club facilities and activities, according to their respective membership category, and are entitled to their peaceful enjoyment of these facilities. This is a core principle of the Club. Conduct by a Member that interrupts or interferes with other Members’ peaceful enjoyment is conduct unbecoming a Member, as it displays disrespect for this important principle. It may also cause harm to the reputation of the Club when such conduct involves families or guests or is observed when interacting with other clubs both on and off property.
Accordingly, the following are illustrative examples of conduct that violate the Code of Conduct and/or Rules and Regulations:
• Engaging in rude, vulgar, threatening, harassing, or otherwise offensive or inappropriate behavior that disturbs others, interferes with the planning, or conduct of a Club activity or event, or disturbs the enjoyment of the Club by Members and guests
• Using rude, vulgar, threatening, harassing, defamatory, ridiculing, or otherwise offensive or inappropriate language (written or oral) or using similarly offensive or inappropriate gestures in the presence of Members and guests
• Interfering with or disrupting the enjoyment of membership in, or use of, the Club by other Members and guests, during participation in a Club activity or event, or in situations (both on and off Club property) where such conduct is likely to create a hostile environment.
The foregoing is not intended as an exhaustive list of the types of unbecoming conduct that could potentially interfere with the use and enjoyment of Club facilities by other Members and that could violate the Code Rules and Regulations. Club activities are generally held by and under the supervision of
Club Management and employees. If, during the course of these activities, Club Management or employees observe unbecoming conduct, they may request the Member(s) involved to refrain from such conduct. In the event the Member is unresponsive to requests to restrain his or her actions, the Member may be referred to the Board to seek its intervention. The referral may be by another affected Member, employee or by Club Management.
Inappropriate Conduct Toward Club Employees
Inappropriate behavior by a Member, when directed at employees and Management will not be tolerated. Accordingly, the Club will go to great lengths to protect its employees when Members act in an unbecoming or threatening manner. The foregoing is not intended as an exhaustive list of the types of unbecoming conduct that could potentially interfere with the use and enjoyment of Club facilities by other Members and that could violate the Code Rules and Regulations. The following are examples of conduct that violate the Rules and Regulations related to employees and Club Management:
• Threatening, disparaging, or reprimanding an individual Club employee in any way to include verbal, written, by actions or attitude, or by other means
• Engaging in any conduct generally accepted as harassment, sexual or otherwise, or by creating a hostile workplace
• Attempting to direct, influence, manage or interfere with an employee’s activities
• Encouraging an employee to do anything that violates Club rules or policies
• Using rude, vulgar, threatening, harassing, defamatory, ridiculing, or otherwise offensive or inappropriate language (written or oral) or using similarly offensive or inappropriate gestures toward or in the presence of Club employees
• Engaging in inappropriate excessive relationship building with employees such that an employee is uncomfortable in serving that Member.
If a Member has a concern with any aspect of a Club employee’s performance of his duties, the Member should (as provided in the Bylaws) express those concerns to Club Management. If the concerns relate to the performance of Management, those concerns should be expressed to the Board President.
3. OTHER PROVISIONS
Failure to Comply with Provisions of the Club Bylaws and/or Rules and Regulations, Including but Not Limited to:
• Club use in violation of the membership agreement
• Failing to properly authorize guests using Club facilities
• Aiding third parties to gain unauthorized access to the Club
• Hosting guests in violation of guest policies
• Failing to observe appropriate dress codes
• Billing dishonesty
• Charging another Member’s account for use of Club facilities or for purchase of goods or services
• Theft or damage to Club property and failing to report its occurrence
• Pilfering Club-provided supplies and amenities from Club facilities
• Reprimanding a Club employee
• Falsely accusing another Member or employee
• Engaging in illegal activities
AMENDED ARTICLES OF INCORPORATION OF NORTHLAND COUNTRY CLUB
ARTICLE I NAME
The name of the Corporation shall be Northland Country Club
ARTICLE II PURPOSES
ThegeneralpurposeandplanofoperationoftheCorporationshallbetheconductingofacluborassociation for the purpose of social enjoyment and culture, and the renting, leasing of owning of buildings, improvements and grounds, to be situated in the City of Duluth, and the operation of the same and the doing and performing of all and every act or the making of any contract that may become necessary for the full enjoyment and the carrying out of the purposes aforesaid with all their incidences.
ARTICLE III EARNINGS
The Corporation is not organized for profit and shall not afford pecuniary gain, incidentally or otherwise, to its members or Directors.
ARTICLE IV
The duration of the Corporation shall be perpetual.
ARTICLE V LOCATION
The location of the Corporation shall be in Duluth, MN
ARTICLE VI MEMBERS
The membership of the Club shall consist of qualified shareholders and such other classes of membership as may be provided from time to time by the By-Laws of the Corporation. The classification of the membership, entrance fees and dues of members, manner of payment, election and expulsion, and all matters pertaining thereto shall be as prescribed by the By-Laws of the Corporation.
ARTICLE VII MANAGEMENT
The officers of the Corporation shall consist of a President, Vice President, Secretary, and Treasurer, all of who shall be qualified shareholders or spouses thereof, and such other officers or assistant officers as may be provided by the By-Laws of the Corporation.
The President shall be elected by the voting shareholders at the annual meeting and shall hold office until the next annual meeting or until his successor shall be chosen. The government of the Corporation and the management of its affairsshall be vested in a Boardof Directors consisting of:
Eleven (11) qualified shareholder members or spouses thereof. Two (2) of the Directors shall be the President and the immediate past President; the other nine shall be elected by the voting shareholders. Three (3) of said Directors shall be elected by the voting shareholders at each annual meeting whose term shall be for three (3) years each.
ARTICLE VIII PERSONAL LIABILITY
Neither shareholders, members, officers nor Directors of the Corporation, shall have any personal liability for the obligations of the Corporation.
ARTICLE IX CAPITAL STOCK
The Corporation shall have capital stock, which shall be divided into four hundred fifty (450) shares of the par value of One Hundred Dollars ($100.00) each. The shareholders of the Corporation shall have no rights of cumulative voting. The shareholders of the Corporation shall have no pre-emptive rights with respect to the issuance of stock. All stock of the Corporation shall be non-assessable and redeemable at any time, and from time to time, and of the Corporation, by adoption of or amendment to the By-Laws of the Corporation, may, from time to time, restrict the assignment, sales, offer, encumbrance, disposal or other transfer of shares of stock of the Corporation.
ARTICLE X SHAREHOLDERS AND VOTING RIGHTS
Each shareholder of the Corporation who owns at least the number of shares required for a member shall be entitled to one vote, regardless of the actual number of shares of stock owned. No shareholder of the Corporation who shall own less than the number of shares required for a member shall be entitled to vote nor may such shareholder use his stock as a basis for voting. No other persons or members shall have any votingrights;provided, however, that in the event thatall of the stock of the Corporation has been redeemed by the Corporation so that there is no outstanding stock, each member of the Corporation shall be entitled to one vote, and no other class of members shall have any voting rights.
Only members of the Club in good standing and their guests shall be entitled to the privileges of the Club. ShareholdersoftheCorporation,who,foranyreason,arenotmembersingoodstandingshallnotbeentitled to any privileges of the Club but shall only be entitled to their rights as shareholders.
ARTICLE XI TERMINATION OF MEMBERSHIP
Death, resignation, or expulsion from the Club shall terminate membership and all rights thereof.
ARTICLE XIII DISSOLUTION
In the case of the dissolution of the Corporation or the winding up of its affairs and the distribution of its property, such property shall be distributed ratably among the shareholders. No other persons shall have any right, title or interest in such property; provided however, that in the event the Corporation has redeemed all of the outstanding stock so that there is no outstanding stock upon dissolution of the Corporation, such property shall be distributed equally and ratably among the persons then enrolled as Shareholders in good standing. No other class of members shall have any right, title or interest in such property.
The foregoing Amended Articles of Incorporation supersede and take the place of existing Amended Articles of Incorporation and all amendments thereto.
