The FTC is the primary government agency regulating franchising. For decades, the agency’s Franchise Rule has protected consumers through the pre-sale disclosure of information about franchise offerings that ensures prospective franchisees are equipped to conduct due diligence prior to acquiring a franchise and also serves a critical role in establishing the foundation for strong franchise relationships. Although the Franchise Rule is overdue for an update to bring the regulations in line with the current landscape of franchising and advancements in technology, the FTC under Chair Lina Khan has yet to finalize any updates, instead focusing its efforts on a broad sweeping regulation of franchise relationships. On the heels of the Khan FTC’s move to ban non-compete clauses, this focus on franchise relationships is the latest in a trend of the FTC exceeding its statutory authority for which it recently has come under intense scrutiny, with an investigation of Chair Khan for abuse of power looming. Commissioner Wilson
resigned her position on March 2, 2023, stating, “I barely recognize the FTC. It pains me to observe the tarnishing of its reputation, the diminution of its efficacy, and the exodus of its experienced personnel, many of whom agree with the policy goals of Ms. Khan and your administration.
