1.) Accept ance of t erm s: Client expressly acknow ledges by receipt of services and/ or product s delivered by Encore Event Technologies t o Client or it s designee, t o t he t erm s and condit ions herein cont ained.

and t here are no represent at ions, agreem ent s, or underst andings, oral or w rit t en, bet w een and am ong t he part ies heret o relat ing t o t he subject m at t er of t his agreem ent w hich are not f ully expressed herein.

2.) If an unint errupt ed pow er supply is required for t he f ull durat ion of t he show, please order 24 hour pow er. An exam ple w ould include a com put er server t hat cannot ever lose pow er and/ or ot her equipm ent t hat m ust rem ain on t hroughout t he show during overnight hours.

11.) Facsimile Signat ures: Signat ures sent / received via facsim ile shall be considered as originals, and as such are valid signat ures.

3.) A scaled fl oor plan is required for orders w it h m ult iple out let locat ions and/ or island boot hs. If a pow er locat ion in an island boot h is not provided prior t o show m ove- in, a locat ion w ill be det erm ined by Encore in order t o m aint ain deliver schedules. Relocat ion of t he service w ill be charged on a t im e and m at erial basis.

4 .) Encore Event Technologies reserves t he right t o disconnect any equipm ent t hat is found t o be causing overall elect rical problem s w it hout off ering any ref unds for services t hat have been disconnect ed.

5.) Client agrees not t o share, resell, ext end, bridge or ot herw ise m isuse Encore Event Technologies connect ions and/ or services. Encore Event Technologies reserves t he right t o disconnect any client found t o have violat ed t his usage agreem ent .

6.) O ut let prices for 120 Volt pow er include delivery of t he service t o one locat ion at t he rear of your boot h. If you require out let s in ot her locat ions, have light s or elect rical it em s t o hang or erect , or have ot her elect rical requirem ent s, addit ional elect rical labor w ill be required.

Specifi c service locat ion is defi ned as t he area in t he boot h/ room designat ed by t he client .

12.) Equipm ent Responsibilit y: Client f ully underst ands and accept s com plet e responsibilit y for all equipm ent leased t o C lient . Such responsibilit y shall include, but not be lim it ed t o, dam age, any necessary repairs, replacem ent of equipm ent not capable of being repaired t o a f ully f unct ional st at us, loss of equipm ent , loss of incom e, and all ot her form s of loss or dam age. All equipm ent , accessories, cables, knobs, sw it ches and cases are included in equipm ent responsibilit y.

13.) Equipm ent procedures: a) Exhibit ors w ill be responsible for t he prot ect ion of any equipment rent ed f rom Encore Event Technologies and w ill ensure t hat all equipm ent is ret urned t o Encore Event Technologies.

Encore Event Technologies reserves t he right t o charge t he cust om er for any lost equipm ent . b) Rent al equipm ent provided by Encore Event Technologies for t his order w ill rem ain t he propert y of Encore Event Technologies. c) O nly Encore Event Technologies personnel are aut horized t o m odif y syst em w iring or cabling w it hin t he facilit y. d) All equipm ent m ust com ply w it h F.C.C. Regulat ions.

14 .) Cancellat ion Policy: A 10 % fee w ill be applied t o orders canceled bet w een t he dat e t he order is placed, and t he inst all dat e. N O REFU N D S O R CRED ITS for orders cancelled af t er inst allat ion has begun.

15.) Claim s w ill not be considered, or adjust m ent s m ade, unless fi led in w rit ing, by Exhibit or, prior t o t he close of t he event .

7.) Encore Event Technologies is not responsible for cable and/ or equipm ent provided by t he client or any t hird part y.

8.) M odifi cat ion: This agreement shall not be amended by t he part ies except by w rit t en inst rum ent signed by bot h part ies.

9.) Choice of Law : This agreement shall be governed by, and const rued in accordance w it h, t he law s of t he St at e of N evada. In event of lit igat ion, t he place of venue shall be in t he count y of Clark in t he St at e of N evada.

10 .) Ent ire Agreement : This agreem ent cont ains t he ent ire underst anding and agreem ent s bet w een t he part ies heret o t he w it hin subject m at t er,

16.) Encore Event Technologies does not provide an expressed or im plied w arrant y for t he equipm ent and services provided, including no w arrant of fi t ness for part icular purpose or m erchant abilit y. Part of t he Agreem ent w it h Encore Event Technologies is a lim it at ion of liabilit y so t hat Client ’s sole rem edy or recourse against Encore Event Technologies shall be t he ret urn of t he price t hat t he Client paid for services and/ or equipm ent rent al, regardless of t ype, nat ure or basis for t he claim . Encore Event Technologies shall have no liabilit y w hat soever for personal injury, propert y dam age, business loss, business int errupt ion, consequent ial or punit ive dam ages.
