SHOW ATTENDANCE Pre-registration is REQUIRED for anyone who is attending Agenda. This includes show booth staff for all Exhibitors.

Please register all of your attendees no later than Monday July 25, 2022. Business cards and Photo IDs will be required for all attendees at check-in.

One representative from the exhibiting company should manage the registration of all booth staff. Instructions and booking credentials will be provided to the main point of contact for each exhibiting company directly from Agenda Show Management.

If you have any issues with registration, please contact info@agendashow.com EXHIBITOR EMPLOYEE PASS ALOTMENT Your booth size defines the number of exhibitor passes that you will receive for the show. We have some flexibility to offer additional passes; please contact Agenda to discuss your specific needs. You are, however, responsible to manage the number of employees present in your booth at all times to limit overcrowding and ensure a welcoming space for buyers.

CHANGING / REMOVING REGISTERED ATTENDEES Once submitted, you will not be able to edit your registered participants. Please email info@agendashow.com for help making changes.

EMPLOYEE AND GUEST LIST POLICY We have a strict guest list policy for anyone who isn’t employed directly for your company.

• Allowed into the show: Professional athletes, musicians and other sponsored attendees who are paid a sponsorship fee by the brand that is exhibiting at Agenda.

• Not allowed into the show: Brand owners or representatives who are not confirmed exhibitors, Shop/Flow Riders, Sales Rep sponsored riders, Riders seeking sponsors at the show.

CONFIRMING EMPLOYMENT If an individual cannot provide proof of employment (i.e. working company email address, paystub etc.) then you will be required to pay a $200 per person fee in order for them to be allowed into the show as your “guest” or “athlete”. This fee is non-transferrable, meaning you cannot pass the fee on to the attendee. We require direct payment from your company in order for your guests to walk the show floor.

AGE RESTRICTIONS No one under the age of 18 is allowed into the venue on setup days. With completion of a liability waiver, under-aged attendees may attend on show days and must be accompanied and supervised by a parent or legal guardian at all times. This is not negotiable.

BAG POLICY Exhibitors may carry in handbags, computer bags, backpacks etc. prior to the show start. During show hours all attendees, including exhibitor booth staff, will be limited to a handbag or briefcase and a small tote bag. No rolling luggage or large backpacks will be allowed during show hours. Storage of luggage or other large items can be arranged through the hotel bell desk.

COVID MANAGEMENT The Agenda team are continually monitoring this evolving situation and will work with the Planet Hollywood and Caesars Entertainment team to create a safe environment for exhibitors, attendees and staff at the show.

Agenda Show will comply with all state, local and property requirements pertaining to Covid-19. All rules in place at the time of the show will supersede any other notices or policies.

TRAVEL INFORMATION To access the Agenda room block please go to https://book.passkey.com/go/SMAGE2 or phone 866-227-5944 and reference Agenda Show Group Code SMAGE2 3667 Las Vegas Blvd South, Las Vegas NV 89109 HOTEL GUESTROOMS We are pleased to present exhibitors with preferred rates and terms for the duration of the show, as well as pre/post show days based on availability. The special Agenda rate is $119 plus tax and resort fee per night*.

Rooms feature one king or two pillow-top queen beds with luxurious bedding and useful extras like a mini refrigerator. Amenities include a 49-inch LED flat-screen TV, CD player, MP3, charging station, coffeemaker and hair dryer. Guest rooms are a short walk to the conventions space, shops and pools.

A daily resort fee of $39.00 per room, per night plus the current occupancy tax will be charged in addition to the room rates. This fee includes: • Unlimited local phone calls (no long distance or international calls) • Two (2) guest admissions per day to the Fitness Center (Does not include the use of the spa) • In-Room internet access to include two (2) devices per room per day (Property-wide roaming may be available for an additional fee) PARKING Complimentary self park or valet service is available to all Platinum and above Caesars Rewards Members. For others the fee $15 per day for Self Park at the Miracle Mile or $36 per day for Valet.

Rates are per guestroom, per night, single or double occupancy. Rates are subject to applicable resort fees and governmental room taxes. Each additional person will be charged at a rate of $30.00 per person, per night with a maximum of four (4) persons per guestroom.

BOOTH DISPLAY RULES • All booth changes / enhancements (anything outside of the basic booth package and your merchandise including props, signage, furniture etc.) must be pre-approved by Agenda. Click here to request approval for any additional items at least one month in advance of the show.

• Agenda provides basic booth identification signage (11”x17” white sign with your brand name in black text). Any additional graphics/signage items you want to display must be pre-approved (request using this link) and completely contained in your booth area (including vertically) • Everything you bring in must fit in the booth allotted footprint. You may not merchandise outside of the booth protruding into the hallways.

There are no exceptions to this rule. Items which extend beyond your booth footprint will be required to be removed or relocated immediately.

• Nothing in your booth may be more than 8 feet tall. Anything on the top shelf of your booth cannot be visible above your booth’s back wall.

• All garments must be displayed on the rack, shelf or table, not hung from the walls of your booth in any way. If you want to use your own display fixtures they must be approved one moth in advance of the show date.

• You may not attach anything, including stickers, to the provided booths.

Any damage to the booth walls will be a minimum penalty fee of $100 per damaged panel.

• Certain mannequins are allowed at the Las Vegas show; compliant options can be rented by using the forms located in the appendix of this document. If you plan to bring your own it MUST be pre-approved by Agenda Show Management.

• No music or amplified sounds are allowed within booths.

• All photographers/videographers must be pre-approved by Agenda and must carry appropriate union credentials. Footage obtained at the Agenda Show must be shared with Show management, and Agenda reserves the right to require the removal of any photos, images, videos or other graphics it deems violate show policies. Photographers and videographers will count towards the total number of booth staff passes allocated to your booth.

No drones may be used within Planet Hollywood.

No helium balloons will be allowed inside of the venue.

Aerosol cans for display purposes must be empty. Spray painting is not permitted anywhere within Planet Hollywood.

Federal law and venue policy prohibit use or possession of any controlled substances – including Cannabis products – anywhere on the property. Failure to comply is grounds for immediate expulsion from the show for the remaining duration of the event including exhibitor break down hours.

All booths must meet the minimum requirement for safety and neatness throughout the show. Agenda Management is entitled to insist on changes in this regard at any time throughout the show. Exhibits that are deemed to cause a disruption to the event, attendees or other exhibitors because of their appearance, smell, noises, vibrations or similar properties or that pose a serious hazard or inconvenience must be removed should Agenda Management, security, the Fire Marshall or Planet Hollywood staff make such a request. If the exhibitor fails to comply immediately with such a request, Agenda Management is entitled to remove the exhibits in question at the expense and risk of the exhibitor, or to shut down the exhibitor’s booth without being held liable in any way for claims against it by the exhibitor.

Exhibitors may not prop open, close or otherwise interfere with any doors, airwalls, partitions or attendee access as it poses a security risk to the show. Violators will be reminded of this policy one time during show hours, and upon subsequent violation will be removed immediately from the show floor.

Booths 10x10 and larger include 5 amp electrical service. This outlet is provided to charge single items such as a laptop, tablet or cell phone.

The use of power bars, extension cords or other multi-plug outlets other than those installed by a professionally licensed electrician is strictly prohibited. 5 amp outlets cannot accommodate clothing steamers, light strips, projectors or other items requiring significant power draw. Enhanced electrical service must be arranged with the venue’s electrical provider, Encore, if you wish to use

steamers or power strips in your booth. The required electrical draw for such items can cause circuit failure and you will need to purchase higher wattage and pay to restore power to your booth and any other impacted exhibitor’s booths.

• On-site changes to booth fixtures, furnishings, walls, location etc. are subject to additional fees for labor and materials payable directly to Las Vegas Expo/Complete Show Services.

• Any on-site changes to booth layout, size, location etc. will be subject to associated increased booth square footage fees, including a late fee equal to $1.00 per square foot based on your contracted booth space and any additional electrical service fees in addition to the difference in booth rate costs between target location and contracted location.

SHOW SERVICES Agenda is partnering with Las Vegas Expo / Complete Show Services (CSS) to help you at the show with services including, but not limited to: • General Shipping • On-site labor and equipment • Warehouse to booth material handling • Booth to office box shipping (and vice versa) • Additional Furniture or carpet rentals Important details including pricing, policies and necessary forms can be found in the appendix of this document as well as online in the CSS portal. You will receive log on information for access to the online ordering portal with CSS to simplify your arrangements. If you prefer, you can complete and email the relevant forms found in the appendix.

The CSS Exhibitor Services department is available to assist you with all of your show needs, including any questions you may have prior to, during, and post show. You may reach them at 702‐248‐6200 ext.

LABOR You can hire CSS to support any of your loading and unloading needs for the show. Contact CSS to learn more about any of their show services exhibitorservices@lvexpo.com or call 702‐248‐6200 ext. 602 Provided they are covered by your company’s workers compensation insurance, you may bring your own employees to do the work for your company, or you can hire workers that are a part of the Las Vegas Teamster Union from an approved labor provider. Please note that this policy only applies to work occurring within your assigned booth space.

Transport of items into and out of the event space is subject to the hand carry policy outlined on page 10.

Workers compensation insurance must be in the minimum amount as required by Nevada state law. Your workers’ safety is your company’s sole responsibility; by exhibiting you are confirming that all of your labor will be covered by your insurance and that your company will indemnify Agenda from all losses directed at your employees.

If the people building and setting up your booth are not your employees, then they have to be a part of the Vegas Teamster Union. If you choose to bring your own contractor you must complete the Work Authorization Form, Third Party Authorization Form and provide Certificate of Insurance before July 25, 2022.

The contractor hired by the exhibitor must provide a certificate ofinsurance with at least the following limits: •

Comprehensive General Liability not less than $1,000,000with respect to injuries to any person in one occurrence; $2,000,000 with respect to injuries to more than one person in any one occurrence; and $500,000 with respect to damage of property; Worker's Compensation Insurance, including employeeliability coverage, in a minimum amount not less than $1,000,000 of individual and/or aggregate coverage, and naming AZTQ Corporation (Agenda Show Management) and Exhibitor as additional insured.

EMPTY STORAGE CSS can store your empty boxes and crates at no charge during the show. Once you are finished setting up, please visit the Exhibitor Service Desk to obtain empty storage stickers. Labeled containers will be picked up periodically and stored during the show.

At the close of the show, the empty containers will be returned tothe booth in random order. Depending on the size of the show, this process may take several hours. Empties will not be accessible during the show.

DISPLAY UNIT SELECTION Furnished booth packages allow you to select the display unit option that will work best for your merchandise: double shelf units or garment racks. Please complete your request here by Friday, July 1, 2022. Any exhibitors not submitting their selection by the deadline will receive the default option of all shelving units and alternate options will be subject to availability on site and additional fees payable to complete show services.

Steamers: you are encouraged to bring personal steamers as shared options tend to rent quickly. All steamers must be plugged into the wall outlets on the perimeter of the exhibit hall. Steamers plugged in at booths will blow the power which exhibitors will be responsible for paying to reinstate.

Hangers: clothing hangers are not provided at the Las Vegas show. Please bring or ship hangers along with your samples.

BOOTH COMPONENT UPGRADES ENHANCEMENTS TO STANDARD BOOTH FURNISHINGS We recognize the need for individuality in how you present your brand and your product. In addition to the standard components provided for your booth, you can arrange for additional or alternative furnishings and other upgrades. All such upgrades and any furnishing, display or signage that you plan to bring must be pre‐ approved by Agenda. Please request approval here no later than Friday, July 1, 2022.

ADDITIONAL FURNISHINGS A broad selection of additional standard furniture, accessories, carpeting, and services can be ordered from Las Vegas Expo / Complete Show Services. You can find the full catalogue of additional booth furniture and accessories along with the price list and order forms in the appendix or complete your order online in the Complete Show Services portal (log‐on information will be provided).

WIFI Basic WIFI coverage is available in public spaces throughout the property. If you require dedicated WIFI for your exhibit, please arrange for service through Encore by completing the appropriate form from the Appendix and submitting to ph@encoreglobal.com.

GREENERY Greenery can be added to your booth by submitting this for to Turn Key Events or contact them at 702‐415‐8236 or by email at customerservice@turnkeyevents.us to discuss your needs.

CLEANING AND PORTER SERVICE Agenda will provide basic cleaning during the show.

If you want additional cleaning of your booth space or porterage of the wastebaskets throughout the show you can arrange with CSS using the form located in the appendix of this document or through the online portal.

GRAPHICS AND SIGNAGE CSS has the capabilities to provide you with high quality digital graphic reproduction delivered directly to your booth.

Capabilities include four‐color, photo‐quality, high‐resolution digital printing of virtually any size for banners, signage, exhibit graphics on a variety of substrates.

Custom graphics can be added to your booth back wall (10x10 and 10x20 booths). For a 10x10 booth, Fomecor overlay panels (shown below) with custom graphics are $768 or a hanging vinyl backdrop is $650 when ordered by Monday, July 25, 2022.

All signage and graphics are subject to approval by Agenda.

ELECTRICAL AND LIGHTING Booth packages contracted for 10x10 and larger booths includes one outlet with 5 Amps of service. If your electrical and lighting needs exceed this you can arrange for additional service. Encore is the exclusive provider in the facility. You can order from Encore by completing the appropriate form from the Appendix and submitting to ph@encoreglobal.com.

AUDIO/VISUAL If you would like to add video display or computers to your display that can be arranged through Encore by completing the appropriate form from the Appendix and submitting to ph@encoreglobal.com.

SET UP AND TAKE DOWN DETAILS BOOTH SET UP

Exhibitors may set up their booths on Monday, August 8, 2022 from 5:00 PM to 10:00 PM. Please note: for safety reasons, no one under 18 years of age will be allowed on the show floor during set up days and everyone must be in closed toe shoes.

Exhibitors located in the Mezzanine area should plan to place merchandise in their booth between 8:00 AM and 10:00 AM on both show dates. Secure storage will be provided overnight and no merchandise can be left in the booth overnight due to the difficulty to secure the space given the public access to the space.

If you need more time to set up, please contact info@AgendaShow.com. All exception requests will be handled on a case‐by‐case basis. Wristbands are required for entry.

Everyone must be completely finished setting up by 10:00 PM on August 8th (with exception of merchandise placement for Exhibitors on the Mezzanine area only).

Any booth not occupied by 9:00 AM on August 15th will be considered abandoned and may be reassigned. Exhibitors arriving after this time may be given alternate space, if available, and will be charged a $500 late arrival fee.

Absolutely no shipment, equipment or material maybe brought onto the show floor during show hours.

No booth fabrication is allowed by exhibitors at Agenda. The use of tools other than hand‐powered screwdrivers and wrenches must be done by local union labor. Exhibitors may not paint or use power tools, saws, hammers, etc. or install Gem or hard wall structures.

CSS has storage space for empty cartons, etc. Please go to their service desk at the back of the show floor for empty storage labels and more information. No boxes, salesmen’s cases, crates, pallets, or any packing or shipping materials can be left anywhere in your booth or in the show venue. All of these things must be removed during set up times (by you or by CSS) and not to return until the night of take down.

You must bring all trash created during set up to the trashbins on the show floor. Do not leave trash in your booth.

UNION LABOR The local union has jurisdiction at Planet Hollywood over drayage, exhibit construction/ installation, touch‐up painting, dismantling and repair of all exhibits. This work includes floor coverings, pipe & drape, painting, and the erection of platforms used for exhibit purposes. Labor for any of these tasks can be arranged with CSS. Local Union jurisdiction does not cover the placement of your products on display, the opening of cartons containing your products, nor the performance, testing, maintenance or repairs of your machinery or products.

If your full‐time company personnel are utilized to set your exhibits, they must carry company identification such as an ID badge. This rule is to ensure compliance to union jurisdiction and prevent use of any workers hired from a non‐union agency.

HAND CARRY POLICY The Teamsters Union has jurisdiction over the handling of materials that are transported in and out of Planet Hollywood. Exhibitors may hand carry exhibit materials as long as they adhere to the following rules: • This is limited to only ONE exhibitor per booth • The exhibitor is limited to ONE trip • The exhibitor must carry the materials by hand. The use of wheeled carts or dollies is NOT permitted.

• The exhibitor must use the front entrance; use of the loading dock or freight doors is NOT allowed.

• You may not utilize the Bellman to deliver goods to the show floor. If you arrive with a bellman cart you will be charged the minimum materials handling fee of $150 plus any additional applicable fees.

TAKE DOWN Exhibitors may take down their display during the following times: • •

Wednesday, August 10, 2022, from 5:00 PM – 10:00 PM Thursday, August 11, 2022 from 8:00 AM – Noon

Each exhibitor may begin tear down immediately after the show closes. If you leave the show floor during set up hours, it is absolutely imperative that you notify CSS Exhibitor Services so that your booth contents will not be disturbed or discarded.

Neither Agenda nor CSS will be held responsible for any booth contents that become missing or damaged during the move out.

All freight must be cleared from the facility by Noon on August 11th; anything remaining at that time will be considered trash and will be disposed of at the exhibitor’s expense.

SHIPPING INBOUND SHIPPING INFORMATION

ADVANCE SHIPMENTS

Agenda is not responsible for shipping your items to the show. Due to the complexity of movement of items into this particular venue we STRONGLY SUGGESTED that you ship to the CSS Advance Warehouse. There is ABSOLUTELY NO PERSONAL VEHICLE ACCESS TO THE LOADING RAMP at this property.

Shipments should arrive to the CSS Warehouse on business days from Wednesday, July 6, 2022 through Monday, August 1, 2022 for standard receiving rates. Warehouse receiving hours are Monday to Friday from 7:30 AM to 3:00 PM excluding holidays.

Advance shipments can be received beginning on Wednesday, July 6, 2022. All items shipped via CSS will be scheduled to be placed directly into your booth by CSS personnel on August 8th ahead of set‐up hours. Materials handling charges apply.

Additional details and rates can be found in the appendix or on the CSS online ordering system.

Packages received up until Friday, August 5, 2022 can be processed and delivered to the show site during set up hours.

All shipments are required to have certified weight tickets and only crated, skidded or boxed materials will be accepted; no pad wrapped shipments. No COD or collect shipments will be accepted at the warehouse.

Please note: If you don’t have your booth number at the time of your shipping, please make sure your brand name is clearly written on your package and it will be labeled by LVE/CSS once booth numbers have been assigned.

If you do not use CSS for shipping, then you must either bring your items with you to show site in accordance with the hand carry policy (see page 10) or use your own shipping company to ship directly to the venue. If you use an alternate provider, you must manage your own tracking and make sure your items arrive ONLY during set‐up hours (August 8th from 5:00 PM to 10:00 PM). Shipping to the show site may result in delays; receiving is based on the time the driver arrives and the number of deliveries ahead of them. Use of the freight elevator is subject to availability.

Shipments arriving before Wednesday July 6, 2022 will incur an additional storage fee, and shipments arriving after 3:00 PM on Monday, August 1, 2022 will incur Late-to-Warehouse rates.

Given broad shipping and mail delays please plan ahead and leave extra time for your materials to arrive for the show!

USE THE BLUE WAREHOUSE DELIVERY LABEL ON PAGE 13 FOR ADVANCED SHIPMENT. DIRECT SHIPMENTS It is not recommended that you ship in advance to Planet Hollywood. Such packages will be handled directly by the property package center and their prevailing handling rates will apply. Agenda and CSS are not able to track and follow up on any packages sent in this manner. Package center hours are limited and, at time of publishing, are only Monday to Wednesday from 9:00 AM to 5:00 PM local time. Please confirm times with the property before sending a shipment.

Bellman and the transport of any and all exhibit materials on a bellman cart will not be allowed. If this method of transporting exhibit materials is used, the exhibitor will be charged the minimummaterial handling rate of $150.00 plus applicable fees.

A teamster must be hired from CSS for any items that exceed the hand carry limits. Any attempt to self‐carry in excess of the hand carry limits will result in a charge of the applicable Material Handling rates for the load with a minimum fee of $150. Details and fees can be found in the appendix or on the CSS online ordering portal.

PERSONALLY-OWNED VEHICLES Exhibitor delivery of exhibit materials in their personally owned vehicle (POV) to the Planet Hollywood Loading Dock is not allowed for this show. All materials should be shipped to the CSS Advance Warehouse or, subject to guidelines, be hand carried to the show.

OUTBOUND SHIPMENTS After materials are packed, labeled, and ready to be shipped, complete an Outbound Material Handling Form at Exhibitor Services on the show floor. Each shipment must have a completed form and all pieces must be labeled individually. Shipments without forms will incur additional charges and be returned to the CSS warehouse.

Arrangements for pick‐up by other carriers is the responsibility of the exhibitor. You must notify your carrier of the approved move out times. In the event your selected carrier fails to show, the shipment will be rerouted to LVE at the exhibitor's expense.

ADVANCE SHIPPING LABEL (INBOUND) Please use this shipping label for all shipments going to the CSS warehouse in advance of the show. This is the highly recommended method of shipping given the complexities of this show location. One label should be affixed to each parcel and shipped using the carrier of your choosing.

SECURITY AND INSURANCE ADDITIONAL SECURITY

INSURANCE / LOSSES

Agenda is not responsible for items lost or stolen from your booth. We provide security that watches the venue overnight.

Exhibitors need to maintain commercial general liability (CGL) insurance coverage with a minimum combined single limit of $1,000,000 covering bodily injury (including death), personal injury, and property damage liability with extraterritorial coverage.

Exhibitors in our Business-to-Consumer area located in the Mezzanine area of Planet Hollywood must move their merchandise to an overnight storage area as this space is open to the public and cannot be fully secured.

If you have valuable or one of a kind, irreplaceable items, we highly recommend that you remove them from your booth when you leavethe venue and store them in your hotel room or contact an Agenda staff member about access to the secure overnight storage SECURITY / INSURANCE POLICIES ▪

Exhibitor understands that Agenda and the venue do not maintain insurance covering Exhibitor’s property, and it is the sole responsibility of Exhibitor to obtain such insurance. All Exhibitors must maintain property insurance covering Exhibitor’s property on an “all risk” basis at all times, including, without limitation, when (as applicable) property is stored on the show floor.

This is especially important if you are housing valuable items in your booth. If any of your samples go missing, we want to make sure that you are properly covered and will be reimbursed through your insurance coverage.

Exhibitors must also maintain workers compensation insurance for employees participating in Agenda, as required by law.

Failure to comply with the insurance requirements does not relieve exhibitor of its indemnification obligations.

Certificates of insurance must be available on site during the show and must be furnished by exhibitor if requested.

Show management does not bear any responsibility for damage to Exhibitor’s property or for lost shipments either coming in or going out of the venue, pre‐show warehouse or for moving costs. Damage to inadequately packed property is Exhibitor’s own responsibility. If Exhibitor’s products to be exhibited and/or display materials fail to arrive, Exhibitors are still responsible for the total contract fee for Agenda booth space and any CSS services arranged.

IP ISSUES & PROCEDURES We respect the Intellectual Property (“IP”) rights of all of our exhibitors and take these matters very seriously. Please review this document in its entirety and follow the procedures outlined below so that we may efficiently and effectively manage any issues that arise.

IP ISSUES Show Management respects the Intellectual Property (“IP”) rights of others and expects all Exhibitors to do the same. In connection with the exhibitions managed by AZTQ Corporation, the following points apply: 1.

Management is not and will not act as an arbiter of the existence of valid and subsisting rights in intellectual property of a complaining Exhibitor.

Management is not and will not become an enforcement agent or representative relating to the alleged intellectual property rights of any Exhibitor.

The role of Management is strictly to try to protect the integrity and peace of the Venue/Exhibition and to preserve the Exhibition environment in a manner to allow all Exhibitors the opportunity to receive the benefit of their exhibits.

4.

Management will cooperate and act consistently with any duly issued court order, writ, judgment, or injunction against an exhibitor. In so acting, Management is a neutral party and Management’s presence during service of any court issued documents during the Exhibition is strictly for the purpose of carrying out Management’s responsibility to try to protect the integrity and peace of the exhibition.

7. Management reserves the right to ask an Exhibitor, against whom another Exhibitor has raised a complaint of infringement of Federally recognized IP rights, to produce appropriate documentation reflecting the right or license of the exhibitor to display and market any complained of product(s) or material(s).

5. Management will acknowledge existing Federally recognized rights (such as U.S. Patents, U.S. Trademark Registrations and U.S. Copyright Registrations) where proof of the current validity of these rights is provided by the Exhibitor/IP Rights Holder to Management, and will assist in communicating those asserted rights to another Exhibitor alleged to be in violation of these rights.

8. Management will, when it is deemed reasonable and appropriate in its sole discretion, ask (and possibly insist) that an Exhibitor remove items or materials from that Exhibitor’s booth only where the asserted Federal rights, after being shown to Management to be currently subsisting, clearly cover the items or materials of the alleged infringing Exhibitor in the reasonable judgment of Management.

6. Management may take steps which, in its sole discretion, are believed reasonable and appropriate to try to achieve an accommodation and/or resolution of IP rights issues between Exhibitors.

9. Exhibitors claiming ownership of IP Rights that are allegedly being infringed by another exhibitor agree to follow the IP Procedures.

Management shall designate for the Exhibition/ Venue site an IP Ombudsperson who shall have the authority to deal with intellectual property issues arising at the Show on behalf of Management, consistent with the IP Procedures

TOP RETAIL/BUYER ACCOUNT LIST Agenda believes that the show is about the collective power of brands, not the show itself. With that in mind, we would like to encourage you to contact your entire existing account base and make sure that they know about the show and your presence there, as this will only improve your experience with Agenda.

ALL MATERIALS USED IN CONSTRUCTION AND DECORATION OF AN EXHIBIT MUST BE CERTIFIED AS FLAME RETARDANT. Fabrics must be certified as flame retardant or a sample must be available for testing.

Materials that cannot be treated to meet requirements, may not be used.

Table coverings must be flame retardant treated unless they lay flat, with an overhang no greater than 6”.

Oilcloth, tar paper, sisal paper, nylon, orlon and certain other plastic materials cannot be made flame retardant and are prohibited.

A certificate of flame resistance shall be available for review by the fire marshal or on file with the fire marshal for all decorative materials.

Materials for handouts must be limited to a one‐ day supply and must be neatly stored within the booth. Literature on display shall be kept limited to reasonable quantities. Reserve supplies shall be kept in closed containers and stored in a neat and compact manner.

All storage must be kept clear of electrical wiring in the spaces behind the booth wall or behind any display.

No drilling, sawing, or mixing of chemicals or paints can be done inside the building.

Flammable or combustible liquids and compressed gas cylinders, including LPG, are prohibited inside of the building except as approved by fire safety office.

Flammable thinners, solvents and paints, including aerosol cans are strictly prohibited within the building.

Flammable gasses (i.e., butane, propane, natural gas) are subject to prior approval. Compressed gas cylinders cannot be stored inside the building. After show hours, gas cylinders mist be removed from the show floor and stored outside or off-site.

ALL EXITS AND AISLES MUST BE KEPT CLEAR AND UNOBSTRUCTED. Aisles designated on approved show floor plans shall be kept clean, clear and free of obstructions at all times.

Chairs, easels, signs and demonstration areas shall not be placed beyond booth areas into aisles.

Designated “no freight” aisles must be maintained clear of crates and exhibit materials during exhibitor set‐up and take‐down. These aisles are required for emergency access throughout the hall and to expedite freight and empty crate moving All fire hose racks, fire extinguishers and emergency exits must be visible and accessible at all times. This includes fire protection equipment located within exhibits. Exits and exit signs must not be covered by drapes or obscured from view by exhibit component.

All empty cartons or crates must be labelled and removed for storage or they will be removed as trash.

Crates or raw flammable materials are not to be used as exhibit supports.

All 110 Volt extension cords shall be grounded three wire, #14 or larger AWG copper wire.

Connectors must not be supported by cords. Two wire, “Zip Cords” are not permitted other than factory installed appliance connectors; these may not exceed (6) feet in length and must be UL approved with built in over‐load protectors.

Cube tap adapters are prohibited (Uniform Fire Code 85.107). Multi‐plug adapters must be UL approved and have built‐in overload protection.

Connectors must not be used to exceed their listed ampere rating.

Electrical work under carpets must be done, or supervised by, the official contractor’s electricians. All wiring on the floor must be Type “SO” cord, insulated to qualify for “extra hard usage”, must be No. 12AWG or larger, and must be protected against injury. All temporary wiring must be accessible and free from debris and storage materials.

No storage of any kind is allowed behind booths or near electrical service. Materials necessary to the exhibit must be stored within the exhibit.

LIMITS OF LIABILITY & RESPONSIBILITY I. TERMS AND CONDITIONS These terms and conditions, limitations of liability, and time limitations are binding on all parties and their representatives, including Exhibitor Appointed Contractors, Installation & Dismantle personnel, as well as agents of the parties. They may be changed by LAS VEGAS EXPO without notice. LAS VEGAS EXPO assumes no liability in connection with Client’s use and Client’s supervision of union labor provided by LAS VEGAS EXPO. Client agrees and understands that its employees and representatives attend the show site at their own risk.

All charges for services or materials are due in advance or at the time of order. A credit card on file and authorization to charge it is required to place an order. Payment may be made by credit card, check, or wire transfer. A credit card on file with LAS VEGAS EXPO and authorization to charge it is required in order to pay by check or wire transfer. Fees for cancellation of an order can range up to the full amount of the order (up to 100%) depending on the pre‐event work already performed, set up costs, and other factors. A non‐refundable deposit will be required.

Outstanding balances must be paid by the end of the show. A late charge of 1.5% per month applies to any amounts not settled before the end of the event. LAS VEGAS EXPO reserves the right to retain Client’s goods in appropriate circumstances for amounts due which have not been settled. Client is responsible for all charges involved in the rendering of services or materials in the transaction with LAS VEGAS EXPO, and for all amounts incurred in connection with the transaction with LAS VEGAS EXPO which involve the event. Parties agree that the credit card provided to LAS VEGAS EXPO may be charged for services, material handling, labor, and for other services and materials related to the transaction, including those provided by any third parties, representatives, or agents of the parties. By placing an order online or otherwise, client authorizes LAS VEGAS EXPO to charge its credit card and agrees that LAS VEGAS EXPO may charge the credit card provided to LAS VEGAS EXPO by Client for any services, equipment, transportation, shipping, or materials as described and set forth in this Paragraph. Client authorizes LAS VEGAS EXPO to charge all amounts to the credit card on file for said materials and services ordered by Client or Client’s representatives as well as for said materials and services rendered to Client’s company.

In order to obtain advance pricing, payment must be received and accepted by LAS VEGAS EXPO prior to the deadline. After the conclusion of the event, LAS VEGAS EXPO will make any adjustments to an invoice, if applicable. If Client is tax exempt in the state in which the event is held, a sales tax exemption certificate must be submitted to LAS VEGAS EXPO. Services and goods have separate, specific forms that apply to their order. Client must review the specific form that is applicable to the ordered service or materials for additional terms and conditions contained therein. LAS VEGAS EXPO has a separate agreement with terms and conditions that apply to storage of goods. Client shall review LAS VEGAS EXPO’s form that pertains to the agreement for storage of goods for additional provisions that apply and authorize said form for the storage of any materials.

II. LIMITS OF LIABILITY & RESPONSIBILITY 1) The placing of an order for services, equipment, transportation, shipping, or materials by a client or any agent of the Client shall be construed as an offer subject to acceptance and approval of LAS VEGAS EXPO in its sole discretion. Upon participation of any LAS VEGAS EXPO show or event, the Client and its agents shall be bound by the terms and conditions set forth in Sections 2 through 8 below and Sections 1 thorough 7 in Part III. Likewise, once LAS VEGAS EXPO has accepted and approved the Client’s offer, any shipper consigning or delivering a shipment to LAS VEGAS EXPO or its subcontractors on behalf of Client shall be bound by the terms and conditions set forth in Sections 2 through 8 below and Sections 1 through 7 in Part III. 2) LAS VEGAS EXPO and its subcontractors shall not be liable for: damage to, or loss of, pieces of art; fragile equipment; electronics; uncrated freight; freight improperly packed or improperly labeled; glass breakage; concealed damage as determined by LAS VEGAS EXPO; for delay to uncrated freight or freight improperly packed or labeled; or for ordinary wear and tear which occurs in the handling of the goods. Client shall package and label items properly before goods are moved or shipped; this includes making sure that goods are packed to withstand transport using forklifts, dollies, and related equipment.

3) Relative to inbound shipments, there may be a lapse of time between the delivery of shipment(s) to a booth by LAS VEGAS EXPO or its subcontractors and the arrival of the Client’s representative at the booth. Similarly, relative to outgoing shipment(s), it is possible that there will be a lapse of time between the completion of packing and the actual pick‐up of materials from the booth for loading onto a carrier. It is understood that during such times the shipment(s) will be left in the booth unattended. Therefore, it is agreed that LAS VEGAS EXPO and its subcontractors are not responsible for the loss or disappearance of, or damage to any items left in the booth unattended at any time, or for loss, disappearance, or damage occurring during the time the items are transported to dock and subsequently accepted by carrier. All bills of lading covering outgoing shipment(s) submitted to LAS VEGAS EXPO or its subcontractors by Client will be checked at the time of pick‐up from the booth and corrected where discrepancies exist. Received goods must be accompanied by documents showing appropriate details, such as bills of lading or suitable documents showing unit counts. If goods are not accompanied by such documents there shall be no guarantee as to the goods’ condition or as to the piece count.

4) LAS VEGAS EXPO and its subcontractors shall not be held liable for any damage incurred during the handling of equipment requiring special devices to properly load, place or reload, unless advance notice has been given to LAS VEGAS EXPO in time to obtain the proper equipment.

5) LAS VEGAS EXPO and its subcontractors shall not be held responsible for any loss, delay, or damage due to events beyond their reasonable control which cannot be avoided by the exercise of due care and prudence, including without limitation, strikes, labor disputes, lockouts or work stoppages of any kind, fire, theft, windstorm, water, vandalism, acts of God, failure of power or utilities, events of force majeure, actions or lack thereof of Client or other third parties, and the transportation of fragile items.

6) LAS VEGAS EXPO and its subcontractors shall not be liable for ordinary wear and tear in the handling of materials and/or equipment. LAS VEGAS EXPO shall not be responsible for damage to shrink wrapped items.

7) LAS VEGAS EXPO and its subcontractors are not to be held liable for events of loss or damage to Client’s property; that is, LAS VEGAS EXPO does not insure the Client’s property against loss or damage, nor does it provide full replacement value should loss or damage occur. Insurance, if any, shall be obtained by the Client. Amounts payable by LAS VEGAS EXPO under this Paragraph are based on the scope of the liability as herein set forth and are unrelated to the value of the Client’s property. Provisions of this paragraph shall apply if Client’s property is lost or damaged through performance or nonperformance of services by LAS VEGAS EXPO or from the negligence of LAS VEGAS EXPO, its subcontractors, or their respective employees. If such loss or damage occurs, the liability of LAS VEGAS EXPO and its subcontractors shall be limited to a sum equal to $.30 per pound per article, with a maximum liability of $50.00 per item or $1,000.00 per shipment, whichever is less. This amount shall be considered Client’s agreed‐upon damages and exclusive remedy.

8) LAS VEGAS EXPO will not be bound to honor any claim or action brought against LAS VEGAS EXPO or its subcontractors more than 60 days after the date of incident.

LIMITATION OF LIABILITY 1) LAS VEGAS EXPO AND ITS SUBCONTRACTORS SHALL NOT BE LIABLE TO ANY EXTENT WHATSOEVER FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHICH MAY INCLUDE, BUT ARE NOT LIMITED TO ANY ACTUAL, POTENTIAL OR ASSUMED LOSS OF PROFITS OR REVENUES, LOSS OF USE OF EQUIPMENT OR PRODUCTS, OR ANY COLLATERAL COSTS THAT MAY RESULT FROM ANY LOSS OR DAMAGE TO CLIENT’S MATERIALS OR ANY INJURY TO CLIENT’S PERSONNEL WHICH MAY MAKE IT IMPOSSIBLE OR IMPRACTICAL FOR CLIENT TO EXHIBIT ITS MATERIALS. 2) Client agrees in connection with the receipt, handling, temporary storage and reloading of its freight, that LAS VEGAS EXPO and its subcontractors will provide these services as Client’s agent and not as bailee or shipper. If any employees of LAS VEGAS EXPO or its subcontractors sign a delivery receipt, bill of lading or other document, the parties agree that LAS VEGAS EXPO or its subcontractors will do so as the Client’s, and the Client shall accept the responsibility thereof.

3) LAS VEGAS EXPO and its subcontractors shall not be liable for shipments received without receipts, freight bill, or specified unit counts on receipts or freight bills. Such shipments will be delivered to booth without guarantee of piece count or condition.

4) Empty container labels will be available at the LAS VEGAS EXPO Service Desk. Affixing the labels is the sole responsibility of the Client or its representative. It is understood that these labels are used for Empty Storage only, and LAS VEGAS EXPO and its subcontractors assume no responsibility or liability for loss or damage to contents while containers are in storage or for mislabeled containers.

5) In order to expedite removal of freight from the show site, LAS VEGAS EXPO shall have the authority to change designated carriers, if assigned carriers do not pick up on time. Where the Client makes no disposition, freight will be taken to a warehouse or forced shipped on a carrier determined by LAS VEGAS EXPO and the Client agrees to be responsible for payment charges relating to such handling and shipping. LAS VEGAS EXPO assumes no liability as a result of such rerouting or handling.

6) Dry and Cold Storage – Client stores products at its own risk. LAS VEGAS EXPO assumes no liability or responsibility for dry or cold storage.

7) The Client agrees, in the event of a dispute with LAS VEGAS EXPO or its subcontractors related to any loss or damage to any of the Client’s freight or equipment, that the Client will not withhold payment in any amount due to LAS VEGAS EXPO for freight handling services or any other services provided by LAS VEGAS EXPO or its subcontractors as an offset against the amount of the alleged loss or damage. Instead, the Client agrees to pay LAS VEGAS EXPO prior to the close of the show for all such charges and further agrees that any claim the Client may have against LAS VEGAS EXPO or its subcontractors shall be pursued independently by the Client as a completely separate transaction to be resolved on its own merits.

Be sure your freight is insured from the time it leaves your place of business until it is returned after the show. It is suggested that Clients arrange all risk coverage. Riders to existing policies can usually do this. Contact your insurance representative. Also, be sure your liability insurance is in effect during transmit and return of your freight, during storage, and at show site. All transit claims will be referred to the common carrier.

Client shall hold harmless, protect, defend, and indemnify LAS VEGAS EXPO and LAS VEGAS EXPO’s subcontractors, its employees, agents, contractors, representatives, installation and dismantle persons, persons supervising union labor obtained through LAS VEGAS EXPO, including reasonable attorney fees and court costs, for and against every claim, demand, damage, cause of action, suit or other litigation, without limit and without regard to the cause or causes thereof or the fault of any party, on account of or stemming from every instance of bodily injury to persons, or loss or damage to property other than goods, arising from performance of services.

The terms and conditions of this agreement and transaction with LAS VEGAS EXPO shall be construed in accordance with and governed by the applicable laws of the United States of America and the laws of the State of Nevada where applicable. Any action or proceeding against LAS VEGAS EXPO under or in connection with this Agreement or transaction with LAS VEGAS EXPO, or any of the forms or Contract Documents involving LAS VEGAS EXPO providing services or materials for the event, may be brought in the Courts of the State of Nevada, County of Clark.

**ATTENTION** UNION JURISDICTION To simplify show preparation, we are certain you will appreciate knowing in advance that Union Labor will be required for certain aspects of your exhibit handling. To help you understand the show site work rules, we ask that you read the following.

EXHIBIT LABOR Local Union has jurisdiction through a labor agreement with all contractors for the installation, touch‐up painting, dismantling and repair of all exhibits. This work is to include wall coverings, floor coverings, pipe and drape, painting, hanging signs and decorative material from the ceiling, and the erection of platforms used for exhibit purposes. To secure labor, please utilize the labor form enclosed.

If full‐time company personnel are utilized to set their exhibits, they must carry positive company identification such as medical identification card or payroll stub. This rule prohibits the utilization of workers hired from a non‐union agency or company.

DEFINITION OF EXHIBITS THAT FULL‐TIME COMPANY PERSONNEL MAY SET: 10 X 10, 10 X 20, KNOWN AS MOM & POP POP‐UPS (NO GEM WALLS OR HARD WALL EXHIBITS MAY BE SET BY EXHIBITOR).

Local Union jurisdiction does not cover the placement of your products on display, the opening of cartons containing your products, nor the performance, testing, maintenance, or repairs of your machinery or products.

FREIGHT HANDLING Local Union has jurisdiction through a labor agreement with the General Contractor for the loading and unloading of all trucks, trailers, and common and contact carriers as well as the handling of empty crates and the operation of material handling equipment and any mechanical devices such as forklifts, pallet jacks, hijackers, etc. The Local Union also has the jurisdiction of the unloading, uncrating, un‐skidding, leveling, painted, and assembly of machinery and equipment and the reverse process.

The General Contractor has the responsibility of receiving and handling all the exhibit materials and empty crates. It is their responsibility to manage docks and schedule vehicles for the smooth and efficient move‐in/move‐out of the trade. Show.

An exhibitor may “hand carry” merchandise and “pop ups” only, provided they do not use material handling equipment to assist them, such as push carts, two or four wheel dollies or anything with wheels. When an Exhibitor chooses to “hand carry” materials they must utilize the "hand carry doors". They are not permitted to access to the loading dock/freight door areas. Please see the Hand Carry Policy contained in this kit for details.

Exhibitors may deliver materials to the loading dock/freight doors in their own personnel vehicle with the following restrictions: 1. The General Contractor has complete control of the loading dock at all times; 2. Exhibitors may not leave vehicles unattended at the loading areas. Any unattended vehicle may be towed. 3. All materials must be handled by the freight department and subject to the published material handling prices.

GRATUITIES The General Contractor and I&D companies signatory to the contractor with Teamsters Local Union requires that exhibitors do not tip its employees by giving money, merchandise, or other special consideration for services rendered. Any attempts to solicit or take gratuity by an employee for any service, should be reported immediately to a supervisor of the contractor. Contracted employees are paid an excellent wage, and tipping is not an accepted policy.

All craftsmen dealing with exhibitors will do so in a courteous and professional manner. All questions arising with regard to the Union’s jurisdiction or practices must be directed to the General Contractor and the Union.

FIRE & SAFETY REGULATIONS NOTICE: SMOKING IS PROHIBITED IN EXHIBIT AREAS DURING MOVE‐IN AND MOVE‐OUT DUE TO THE ACCUMULATION OF COMBUSTIBLE MATERIALS. 1. ALL MATERIALS USED IN CONSTRUCTION AND DECORATION OF AN EXHIBIT MUST BE CERTIFIED AS FLAME RETARDANT. Fabrics must be certified as flame retardant or a sample must be available for testing. Materials that cannot be treated to meet requirements, may not be used. A flame‐proofing certificate should be available for inspection.

2. ALL EXITS AND AISLES MUST BE KEPT CLEAR AND UNOBSTRUCTED. No furniture, signs, easels, chairs, or displays may protrude into aisles.

3. DESIGNATED “NO FREIGHT” AISLES MUST BE MAINTAINED CLEAR OF CRATES AND EXHIBIT MATERIALS DURING MOVE‐IN AND MOVE‐OUT. These aisles are required for emergency access throughout the hall and to expedite freight and empty crate moving.

4. ALL FIRE HOSE RACKS, FIRE EXTINGUISHERS AND EMERGENCY EXITS MUST BE VISIBLE AND ACCESSIBLE AT ALL TIMES. This includes fire protection equipment located within exhibits. Exits and exit signs must not be covered by drapes or obscured from view by exhibit components.

5. VEHICLES ON DISPLAY MUST HAVE FUEL FILLER CAPS LOCKED OR SEALED TO PREVENT ESCAPE OF VAPORS AND TO AVOID TAMPERING. Fire code stipulates that fuel in fuel tanks shall not exceed 5 gallons or 1/4 of tank capacity, whichever is less. Batteries must be disconnected.

Auxiliary batteries not connected to engine starting system may be left connected. External transformers are recommended for demonstration purposes. A fire extinguisher must be present, visible, and accessible at all times.

6. COMBUSTIBLE MATERIALS MUST NOT BE STORED BENEATH DISPLAY VEHICLES. Space beneath vehicles must be clear and visible except for permitted electrical supplies.

7. VEHICLES IN THE BUILDING FOR UNLOADING MUST NOT BE LEFT WITH ENGINES IDLING. Exhaust gases present extreme hazards to workers on catwalks. If the engine cannot be shut down, the vehicle must be removed from the building as quickly as possible.

8. ALL 110‐VOLT EXTENSION CORDS SHALL BE GROUNDED THREE WIRE, #14 OR LARGER AWG COPPER WIRE. Connectors must not be supported by cords. Two wire, “Zip Cords” are not permitted other than factory installed appliance connectors; these may not exceed (6) feet in length and must be UL approved with built in over‐load protectors.

9. COMPRESSED GAS CYLINDERS, INCLUDING LPG, ARE PROHIBITED UNLESS APPROVED BY FIRE SAFETY OFFICE. Flammable gases, i.e.: butane, propane, natural gas; are subject to prior approval. Compressed gas cylinders cannot be stored inside the building. After show hours, gas cylinders must be removed from the show floor and stored outside or off‐site.

10. CUBE TAP ADAPTERS ARE PROHIBITED (UNIFORM FIRE CODE 85.107). MULTI‐PLUG ADAPTERS MUST BE UL APPROVED AND HAVE BUILT‐ IN OVERLOAD PROTECTION. Connectors must not be used to exceed their listed ampere rating.

11. ELECTRICAL WORK UNDER CARPETS MUST BE DONE, OR SUPERVISED, BY THE OFFICIAL CONTRACTOR’S ELECTRICIANS. All wiring on the floor must be Type “SO” cord, insulated to qualify for “extra hard usage”, must be No. 12AWG or larger, and must be protected against injury.

All temporary wiring must be accessible and free from debris and storage materials. Hard backed booths must be at least 9 inches from rear booth lines and 18 inches between hard walls.

12. NO STORAGE OF ANY KIND IS ALLOWED BEHIND BOOTHS OR NEAR ELECTRICAL SERVICE. Materials necessary to the exhibit must be stored within the exhibit. Electrical cords and connectors must be accessible and shall not be covered. Areas enclosed by solid walls and ceilings must be provided with approved smoke detectors.

13. ALL EMPTY CARTONS OR CRATES MUST BE LABELED AND REMOVED FOR STORAGE OR THEY WILL BE REMOVED AS TRASH. Crates or raw flammable materials are not to be used as exhibit supports.

14. MATERIALS FOR HANDOUTS MUST BE LIMITED TO A ONE‐DAY SUPPLY AND MUST BE STORED NEATLY WITHIN THE BOOTH. Violators will be notified and if not removed by show opening, show decorator will remove and store at EXHIBITOR’S EXPENSE. All storage must be kept clear of electrical cables or junction boxes.

15. FLAMMABLE OR COMBUSTIBLE LIQUIDS ARE PROHIBITED INSIDE OF BUILDINGS EXCEPT AS APPROVED BY THE FIRE SAFETY OFFICE. Flammable thinners, solvents and paints, including aerosol cans are strictly prohibited within the building.

FREQUENTLY ASKED FREIGHT QUESTIONS WHEN CAN I SHIP TO THE WAREHOUSE? We will begin accepting freight 30 days prior to move‐in.

The warehouse will receive shipments Monday through Friday 7:30 AM ‐ 3:00 PM. To ensure timely arrival of your materials at show site, freight should arrive by the deadline date listed on the Show Information page.

Your freight will be accepted after the deadline date, however additional charges will be incurred.

HOW DO I LABEL MY FREIGHT? The label should include the exhibiting company, the booth number, the name of the event and addresses c/o LVE‐IT VEGAS. The specific shipping address for the warehouse is located on the Show Information page.

It is best to label every carton on a skid with at least your company name and booth number. For your convenience we have provided labels in the exhibitor manual.

WHAT HAPPENS TO MY EMPTY CONTAINERS DURING THE SHOW? Pick up “Empty Labels” at Exhibitor Services. Place a label on each container. Labeled containers will be picked up periodically and stored during the show.

At the close of the show, the empty containers will be returned to the booth in random order. Depending on the size of the show, this process may take several hours.

HOW DO I SHIP MY MATERIALS AFTER THE CLOSE OF THE SHOW? Each shipment must have a completed LVE Outbound Material Handling Form in order to ship materials from the show. All pieces must be labeled individually. (You can pick these items up at LVE Exhibitor Services.)

After materials are packed, labeled, and ready to be shipped, the completed LVE Outbound Material Handling Form must be turned in to LVE Exhibitor Services.

Make arrangements with your designated carrier to pick up your shipment at the address of the facility where the event is taking place.

Please refer to the Show Information pages for the specific dates and times. In the event your selected carrier fails to show, the shipment will be rerouted to the preferred carrier at the exhibitor's expense.

For your convenience, the preferred show carrier will be on site to handle outbound transportation.

You must notify your carrier of the date and times of pick up.

GENERAL TERMS AND CONDITIONS These General Terms and Conditions apply to any proposal, quote, order and/or agreement relating to audiovisual, internet and/or related equipment (“Equipment”) rented by Client from Encore, as well as any audiovisual, internet, production and/or related services or labor (“Services”) provided

by Encore. These General Terms and Conditions incorporate by reference any attached or related proposal, quote, order, schedule, contract, change of work order and/or commencement of work and shall constitute the entire agreement (“Agreement”) between Encore and Client (individually “Party” and, collectively, “Parties”).

1. DEFINITIONS For purposes of this Agreement, “Encore” means Encore, LLC and its employees, members, managers, officers, agents, assigns, affiliated companies, related entities and any subcontractors appointed by Encore. The term “Client” means the Client, its employees, officers, directors, managers, members, guests, invitees, agents, representatives and any Client Appointed Contractors (“CAC”).

2. PAYMENT TERMS Client agrees to pay Encore all charges in this Agreement, including any and all Equipment, Services and/or labor overages. Payment is due and payable in full upon signing this Agreement, unless Client has established a Master Account with the venue that includes Encore’s Equipment and/or Services in which case all charges shall be billed to Client’s Master Account pursuant to the terms set forth by the venue and due and payable to the venue upon conclusion of the event. Any direct bill or open account requires prior credit approval and may require a deposit prior to the start of the event. Any deposit received from Client shall be credited to the final invoice for the event. All invoices not paid in full within 30 days of the invoice date shall bear a finance charge at the lesser of the maximum rate allowed by applicable law, or 1.5% per month.

3. ESTIMATES AND CHARGES In connection with this Agreement or any contract entered into between Encore and Client: (a) Any estimate provided to Client in connection with the expected service hours, labor hours and/or number of days the Equipment is rented is solely an estimate. In the event the actual hours, actual quantities of Equipment rented hereunder or actual days the Equipment is rented is greater than the amount indicated in any proposal or quote, Client will be charged for those overages at Encore’s standard rates, less any applicable discounts. A day’s rental period is all or any portion of each 24-hour period starting at 07:00 and continuing through 06:59 the following day. (b) Labor rates are based upon prevailing rates and practices at the particular venue location where the event is held. All labor estimates, rates and minimum labor calls are based on local venue rules and/or local union rules, as applicable. (c) All Equipment and materials are on a rental basis for the duration of the event and shall remain the property of Encore, except where specifically identified as a sale. (d) Unless specifically stated in the Agreement, the charges herein do not include any electrical charges that may be incurred or charged by the event facility due to the extent of the event’s audiovisual requirements. Client may be charged for such electrical charges upon conclusion of the event. (e) If Client is exempt from the payment of sales or other applicable tax, a tax exemption certificate must be submitted prior to the commencement of the event. If Client fails to timely submit an applicable tax exemption certificate, the sales or other applicable tax shall be due and payable at the time of final invoice. (f) If applicable, a service charge or AV house charge is included to allow Encore to provide the necessary event support required to execute successful meetings and events including immediate on-site support, pre-event planning and preparation and coordination with our hotel partners. The entire service charge or AV house charge is for administrative costs and is not a gratuity in whole or part to employees of Encore or any other party.

4. DAMAGE TO EQUIPMENT Client agrees that, prior to the beginning of the event, it shall have the right to review and inspect the Equipment with Encore personnel to confirm it is in good operating condition. to review or inspect the Equipment prior to the start of the event or notify Encore if the Equipment is defective or not in good operating condition shall be deemed an acknowledgment that the Equipment is in good operating condition. Client agrees to pay for all damages because of lost, damaged or stolen Equipment, including loss or damage caused by Client’s accident, misuse or neglect, based upon repair costs for reparable Equipment or full replacement cost for lost, stolen or irreparable Equipment. However, should the Equipment listed on this Agreement be damaged, lost or stolen due to Encore’s sole negligence, Encore shall be responsible for the repair or replacement of the Equipment. In no event will Encore be liable for any Client damages or loss caused, in whole or in part, by the loss, malfunction or damage to any Equipment.

5. SUBLEASE With the prior written consent of Encore, Client shall have the right to sublease the Equipment and, in the event of a sublease, Client shall be fully responsible for all insurance on, repair and replacement of, and reclamation of the Equipment. Encore reserves the right to replace the Equipment at Client’s expense at full retail value if the subleased Equipment is lost, damaged or untimely returned.

6. EQUIPMENT HANDLING/SURRENDER All Equipment may only be handled and operated by Encore personnel unless authorized by Encore. Equipment may not be moved, stored or serviced by Client or any other party. Client agrees that Encore shall have the right to enter the premises where the Equipment is located and shall have access to the Equipment at all times for the purposes of set, strike, maintenance and routine checks. On the expiration or earlier termination of this Agreement, the Equipment shall be returned in good repair, condition and working order, subject only to reasonable wear and tear. If Client brings its own computer to be used for presentation purposes during the event, Encore recommends the computer be tested with the event Equipment to ensure compatibility.

7. CONDITION OF EQUIPMENT Encore maintains and services the Equipment in accordance with manufacturers’ specifications and industry practice. However, Encore does not provide any express or implied warranty for the Equipment or Services, including any warranty of fitness for a particular purpose or merchantability, and it does not warrant or guarantee that the Equipment, Services or labor being provided will be free of defect, malfunction or operator error. If the Equipment malfunctions or does not operate properly during the event for any reason whatsoever, Client agrees to immediately notify Encore’s onsite representative. Encore will attempt to remedy the problem as soon as possible so that the event is not interrupted. Client agrees and acknowledges that Encore shall not be liable and assumes no responsibility for any loss, cost, damage or injury to persons or property in connection with or as a result of inoperable or malfunctioning Equipment or otherwise.

8. DAMAGE WAIVER If elected by Client and included in this Agreement as an additional fee, Encore agrees to waive any liability of Client for loss or damage to the Equipment. This waiver will not apply if it is determined the loss or damage was intentionally caused by Client, in which case Client will be fully responsible for all such loss or damage.

9. INTERNET/NETWORK EQUIPMENT AND SERVICES In the event this Agreement includes internet/network equipment and/or services, Client understands and agrees as follows: (a) Every device connected to the internet/network must have a purchased IP address from Encore, regardless of whether the IP address is used or not; (b) No servers or routers are allowed including, but not limited to, NAT, DHCP and proxy servers. (c) Encore reserves the right to disconnect any equipment that, in Encore’s sole discretion, is found to be causing overall network problems without any refunds for services that have been disconnected; (d) Client agrees not to share, resell, extend, bridge or otherwise misuse Encore’s connections and/or services. Encore, in its sole discretion, reserves the right to disconnect any Client found to have violated this Agreement or usage equipment without any refunds for services that have been disconnected; (e) Specific service location is defined as the area in the booth/room or other area designated by the Client. GENERAL TERMS AND CONDITIONS doorways, walkways or 50’ distance from the drop point will require an additional location and incur an additional fee; (f) Encore is not responsible for any cable and/or equipment provided by Client or any third party; (g) The network may only be used for lawful purposes and in accordance with these terms and conditions. Transmission of any materials in violation of any local, state, federal or international laws or regulations is strictly prohibited.

This includes, but is not limited to, copyrighted materials, materials judged to be threatening or obscene, or materials protected by trade secrets; (h)WIRELESS (802.11) DECLARATION. Wireless internet service is inherently vulnerable to interference from other devices that transmit similar radio frequency signals or that operate within the same frequency spectrum.

Encore cannot guarantee that interference will not occur. Encore does not recommend wireless service for mission critical services such as product presentations or demonstrations. For demonstrations or to present products and other mission critical activity via the internet, Encore highly recommends Client purchases hardwired services such as a Room/Booth Connect or Event Connect. If you are unsure which product best suits your needs, please contact Encore’s on-site representative. (i) ALL WIRELESS ACCESS POINTS NOT AUTHORIZED BY ENCORE ARE PROHIBITED. Client provided access points are prohibited for use within the event facility without Encore’s prior approval. Wireless access points without adjustable power outputs are prohibited under all circumstances. If a Client wishes to showcase its wireless products, it must contact Encore at least 14 days prior to the start of the event so that Encore may attempt (with no guarantee) to engineer a cohesive operating network that limits or controls interference. Approvals may incur a site survey fee.

10. CANCELLATION Unless otherwise agreed to in writing, if Client cancels the scheduled event more than 30 days prior to the start of the event, Client will not be charged any cancellation fee, except for any out of pocket expenses incurred by Encore. In the event of a full or partial cancellation less than 30 days, but more than 72 hours, prior to the start of the event, Client shall pay Encore 50% of the price set forth in the Agreement, plus any out of pocket expenses incurred

by Encore. In the event of full or partial cancellation less than 72 hours prior to the start of the scheduled event, Client shall pay Encore 100% of the price set forth in the Agreement. ALL CANCELLATIONS MUST BE MADE IN WRITING AND RECEIVED BY ENCORE’S ON-SITE REPRESENTATIVE BEFORE BECOMING EFFECTIVE. 11. CLIENT MATERIAL HANDLING Unless this Agreement includes or contemplates Encore’s handling of Client’s materials, Client shall not ask Encore to handle or assist in handling Client’s materials and Encore assumes no responsibility for loss, damage, theft or disappearance for any such materials. In the event Encore handles Client’s materials as part of this Agreement, Encore’s maximum liability for loss or damage to such materials and Client’s sole and exclusive remedy is limited to $.50 (USD) per pound per article with a maximum liability of $100.00 (USD) per item, or $1,500.00 (USD) per shipment, whichever is less. All shipment weights are subject to correction and final charges determined by the actual or re-weighed weight of the shipment.

12. DEFAULT If Client fails to pay rent or otherwise fails to observe, keep or perform any provision of this Agreement, or if Client should enter into voluntary or involuntary bankruptcy or receivership or other legal impediment that could impair the Equipment, Encore shall have the right to: (a) Immediately reclaim the Equipment and declare the entire amount of rent immediately due and payable without demand or notice to Client. Client waives any damages occasioned by such reclamation. Any reclamation shall not constitute a termination of this Agreement unless Encore expressly notifies Client in writing; (b) Sue to recover all amounts owed or accruing to Encore; (c) Terminate this Agreement as to any or all items of Equipment or Services and recover the full price of the Agreement; and/or (d) Exercise any other remedy at law or equity. All such remedies are cumulative and may be exercised concurrently or separately. 13. GOVERNING LAW AND VENUE Any and all claims, actions, disputes or controversies arising out of or related to this Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to conflict of laws provisions.

Any and all claims, actions, disputes or controversies arising out of or related to this Agreement shall be litigated only in the appropriate state or federal court situated in Clark County, Nevada. The Parties submit to the exclusive jurisdiction and venue of such courts for purposes of any such action and the enforcement of any judgment or order arising therefrom. Each Party further waives any right to a change of venue or any objection to the jurisdiction of the state and federal courts located in Clark County, Nevada.

14. ATTORNEYS’ FEES AND COSTS In the event of any dispute or action related to or arising out of this Agreement, the prevailing Party shall be awarded reasonable attorneys’ fees and costs, court costs, Equipment recovery costs and storage charges.

15. INDEMNIFICATION Client agrees to fully defend, indemnify and forever hold harmless Encore from and against any and all claims, causes of action, fines, penalties, damages, liabilities, judgments and expenses (including, but not limited to, attorneys’ fees and costs) arising from Client’s and/or CAC’s: (a) negligence or willful misconduct; (b) violation of any applicable federal, state or local law or ordinance; (c) violation of any show or event rule, policy or regulation published or set forth by the show or event venue; and/or (d) copyright, patent or other intellectual property infringement including, but not limited to, any and all claims related to Encore’s use of materials, recordings, videos, transmissions, software, and/or hardware provided by Client.

16. LIMITATION OF LIABILITY In no event will Encore be liable to Client or any other party for any special, exemplary, incidental or consequential damages (including, but not limited to lost profits, earnings, use or data), whether in contract, tort or otherwise.

17. FORCE MAJEURE The Parties’ performance under this Agreement is subject to war, threat of war, terrorism, disasters, acts of God, government regulations, strikes, labor disputes, civil disorder, curtailment of transportation facilities, or any other emergency of comparable nature beyond the Parties’ control, making it impossible, illegal or materially impractical to perform its obligation under this Agreement and which requires the event to be postponed or cancelled (“Force Majeure Event”). Both Parties agree that, if possible, the event that is the subject of this Agreement will be rescheduled at the first available opportunity suitable for each Party. In the event the Parties are unable to reschedule due to a Force Majeure Event, this Agreement may be terminated upon reasonable written notice without a cancellation charge as set forth herein, except that Encore shall be entitled to reimbursement of all actual costs incurred and actual services rendered pursuant to this Agreement.

18. SEVERABILITY In the event that any provision of this Agreement shall be unenforceable or inoperative as a matter of law, the remaining provisions shall remain in full force and effect and be construed as though such unenforceable or inoperative provisions had never been a part of this Agreement.

19. SURVIVAL All provisions of this Agreement related to indemnification, disclaimers and limitations on liability and all other obligations of the Parties that arise in connection with Encore’s provisions of Equipment and/or Services survive the termination of this Agreement.

20. ENTIRE AGREEMENT This Agreement contains the Parties’ entire understanding and may not be modified except in writing signed by both Parties.

12.) Equipm ent Responsibilit y: Client f ully underst ands and accept s com plet e responsibilit y for all equipm ent leased t o C lient . Such responsibilit y shall include, but not be lim it ed t o, dam age, any necessary repairs, replacem ent of equipm ent not capable of being repaired t o a f ully f unct ional st at us, loss of equipm ent , loss of incom e, and all ot her form s of loss or dam age. All equipm ent , accessories, cables, knobs, sw it ches and cases are included in equipm ent responsibilit y.

13.) Equipm ent procedures: a) Exhibit ors w ill be responsible for t he prot ect ion of any equipment rent ed f rom Encore Event Technologies and w ill ensure t hat all equipm ent is ret urned t o Encore Event Technologies.

These General Term s and Condit ions govern t he audiovisual, int ernet and/ or relat ed equipm ent (“ Equipm ent ” ) rent ed by Client f rom Encore, as w ell as any audiovisual, int ernet , product ion and/ or relat ed services or labor (“ Services” ) provided by Encore for t he event (“ Event ” ) specifi ed in t he Proposal, O rder or sim ilar ordering docum ent . These General Term s and Condit ions incorporat e by reference any at t ached or relat ed proposal, quot e, order, schedule, cont ract , change of w ork order and/ or com m encem ent of w ork and shall const it ut e t he ent ire agreem ent (“Agreem ent ” ) bet w een Encore and Client (individually “ Part y” and, collect ively, “ Part ies” ).

D EFIN ITIO N S For purposes of t his Agreem ent , “ Encore” m eans Encore Group (U SA) LLC and it s em ployees, m em bers, m anagers, offi cers, agent s, assigns, affi liat ed com panies, relat ed ent it ies and any subcont ract ors appoint ed by Encore. The t erm “ Client ” m eans t he Client , it s em ployees, offi cers, direct ors, m anagers, m em bers, guest s, invit ees, agent s, represent at ives and any Client Appoint ed Cont ract ors (“ CAC” ).

2. PAY M EN T TERM S Client agrees t o pay Encore all charges in t his Agreem ent , including any and all Equipm ent , Services and/ or labor overages. Paym ent is due and payable in f ull upon signing t his Agreem ent , unless Client has est ablished a M ast er Account w it h t he Event venue t hat includes Encore’s Equipment and/ or Services in w hich case all charges shall be billed t o Client ’s M ast er Account pursuant t o t he t erms set fort h by t he venue and due and payable t o t he venue upon conclusion of t he Event . Any direct bill or open account requires prior approval and m ay require a credit check and/ or a deposit up t o t he f ull am ount of t he Proposal or O rder prior t o t he st art of t he Event . Any deposit received f rom Client shall be credit ed t o t he fi nal invoice for t he Event . All invoices not paid in f ull w it hin 30 days of t he invoice dat e shall bear a fi nance charge at t he lesser of t he maxim um rat e allow ed by applicable law, or 1.5% per m ont h.

3. ESTIM ATES AN D CH ARGES In connect ion w it h t his Agreem ent : (a) Encore developed t he applicable Proposal or O rder based upon inform at ion provided by t he Client . Therefore, any est im at e provided t o C lient in connect ion w it h t he expect ed service hours, labor hours and/ or num ber of days t he Equipm ent is rent ed is solely an est im at e. A day’s rent al period is all or any port ion of each 24 - hour period st art ing at 0 7:0 0 and cont inuing t hrough 0 6:59 t he follow ing day. (b) Labor rat es are based upon prevailing rat es and pract ices at t he venue locat ion w here t he Event is held. All labor est im at es, rat es and m inim um labor calls are based on local venue rules and/ or local union rules, as applicable. (c) All Equipm ent and m at erials are on a rent al basis for t he durat ion of t he Event and shall rem ain t he propert y of Encore, except w here specifi cally ident ifi ed as a sale. (d) Unless specifi cally st at ed in t he Agreem ent , t he charges herein do not include any elect rical charges t hat m ay be incurred or charged by t he Event facilit y due t o t he ext ent of t he Event ’s audiovisual requirem ent s. Client m ay be charged for such elect rical charges upon conclusion of t he Event . (e) If Client is exem pt f rom t he paym ent of sales or ot her applicable t ax, a t ax exem pt ion cert ifi cat e m ust be subm it t ed prior t o t he com m encem ent of t he Event . If C lient fails t o t im ely subm it an applicable t ax exem pt ion cert ifi cat e, t he sales or ot her applicable t ax shall be due and payable at t he t im e of fi nal invoice. (f ) If applicable, a service charge or AV house charge is included t o allow Encore t o provide t he necessary Event support required t o execut e successf ul m eet ings and event s including im m ediat e on- sit e support , pre- event planning and preparat ion and coordinat ion w it h our hot el part ners. The ent ire service charge or AV house charge is for administ rat ive cost s and is not a grat uit y in w hole or part t o em ployees of Encore or any ot her part y.

4 . DAM AGE TO EQ U IPM EN T Client agrees t hat , prior t o t he beginning of t he Event , it shall have t he right t o review and inspect t he Equipm ent w it h Encore personnel t o confi rm it is in good operat ing condit ion.

Client shall im m ediat ely not if y Encore if any Equipm ent is defect ive or not in good operat ing condit ion. Client ’s failure t o review or inspect t he Equipm ent prior t o t he st art of t he Event or not if y Encore if t he Equipm ent is defect ive or not in good operat ing condit ion shall be deem ed an acknow ledgm ent t hat t he Equipm ent is in good operat ing condit ion. Client agrees t o pay for all dam ages because of lost , dam aged

or st olen Equipm ent , including loss or dam age caused by Client ’s accident , m isuse or neglect , based upon repair cost s for reparable Equipm ent or f ull replacem ent cost for lost , st olen or irreparable Equipm ent . H ow ever, should t he Equipm ent list ed on t his Agreem ent be dam aged, lost or st olen due t o Encore’s sole negligence, Encore shall be responsible for t he repair or replacem ent of t he Equipm ent . In no event w ill Encore be liable for any Client dam ages or loss caused, in w hole or in part , by t he loss, m alf unct ion or dam age t o any Equipm ent .

5. SU BLEASE W it h t he prior w rit t en consent of Encore, Client shall have t he right t o sublease t he Equipm ent and, in t he event of a sublease, Client shall be f ully responsible for all insurance on, repair and replacem ent of, and reclam at ion of t he Equipm ent . Encore reserves t he right t o replace t he Equipm ent at Client ’s expense at f ull ret ail value if t he subleased Equipm ent is lost , dam aged or unt im ely ret urned.

6. EQ U IPM EN T H AN D LIN G/ SU RREN D ER All Equipm ent m ay only be handled and operat ed by Encore personnel unless aut horized by Encore. Equipm ent m ay not be m oved, st ored or serviced by Client or any ot her part y. Client agrees t hat Encore shall have t he right t o ent er t he premises w here t he Equipment is locat ed and shall alw ays have access t o t he Equipm ent for t he purposes of set , st rike, m aint enance and rout ine checks. O n t he expirat ion or earlier t erm inat ion of t his Agreem ent , t he Equipm ent shall be ret urned in good repair, condit ion and w orking order, subject only t o reasonable w ear and t ear. If Client brings it s ow n com put er t o be used for present at ion purposes during t he Event , Encore recom m ends t he com put er be t est ed w it h t he Event Equipm ent t o ensure com pat ibilit y.

7. CO N D ITIO N O F EQ UIPM EN T Encore maint ains and services t he Equipm ent in accordance w it h m anufact urers’ specifi cat ions and indust ry pract ice. H ow ever, Encore does not provide any express or im plied w arrant y for t he Equipm ent or Services, including any w arrant y of fi t ness for a part icular purpose or m erchant abilit y, and it does not w arrant or guarant ee t hat t he Equipm ent , Services or labor being provided w ill be f ree of defect , m alf unct ion or operat or error. If t he Equipm ent m alf unct ions or does not operat e properly during t he Event for any reason w hat soever, Client agrees t o im m ediat ely not if y Encore’s on- sit e represent at ive. Encore w ill at t em pt t o rem edy t he problem as soon as possible so t hat t he Event is not int errupt ed. Client agrees and acknow ledges t hat Encore shall not be liable and assum es no responsibilit y for any loss, cost , dam age or injury t o persons or propert y in connect ion w it h or as a result of inoperable or m alf unct ioning Equipm ent or ot herw ise.

8. DAM AGE W AIVER If elect ed by Client and included in t his Agreem ent as an addit ional fee, Encore agrees t o w aive any liabilit y of Client for loss or damage t o t he Equipm ent . This w aiver w ill not apply if it is det erm ined t he loss or dam age w as int ent ionally caused by Client , in w hich case Client w ill be f ully responsible for all such loss or dam age.

9. IN TERN ET/ N ETW O RK EQ U IPM EN T AN D SERVICES In t he event t his Agreem ent includes int ernet / net w ork equipm ent and/ or services, Client underst ands and agrees as follow s: (a) Every device connect ed t o t he int ernet / net w ork m ust have a purchased IP address f rom Encore, regardless of w het her t he IP address is used or not ; (b) N o servers or rout ers are allow ed including, but not lim it ed t o, N AT, D H CP and proxy servers. (c) Encore reserves t he right t o disconnect any equipm ent t hat , in Encore’s sole discret ion, is found t o be causing overall net w ork problem s w it hout any ref unds for services t hat have been disconnect ed; (d) Client agrees not t o share, resell, ext end, bridge or ot herw ise m isuse Encore’s connect ions and/ or services. Encore, in it s sole discret ion, reserves t he right t o disconnect any Client found t o have violat ed t his Agreem ent or usage equipm ent w it hout any ref unds for services t hat have been disconnect ed; (e) Specifi c service locat ion is defi ned as t he area in t he boot h/ room or ot her area designat ed by t he Client .

Service ext ended beyond room s, air w alls, doorw ays, w alkw ays or 50 ” dist ance f rom t he drop point w ill require an addit ional locat ion and incur an addit ional fee; (f ) Encore is not responsible for any cable and/ or equipment provided by Client or any t hird part y; (g) The net w ork m ay only be used for law f ul purposes and in accordance w it h t hese t erm s and condit ions. Transm ission of any m at erials in violat ion of any local, st at e, federal or int ernat ional law s or regulat ions is st rict ly prohibit ed.

If you are unsure w hich product best suit s your needs, please cont act Encore’s on- sit e represent at ive. (i) ALL W IRELESS ACCESS PO IN TS N OT AU TH O RIZED BY EN CO RE ARE PRO H IBITED. Client provided access point s are prohibit ed for use w it hin t he Event facilit y w it hout Encore’s prior approval. W ireless access point s w it hout adjust able pow er out put s are prohibit ed under all circum st ances. If a Client w ishes t o show case it s w ireless product s, it m ust cont act Encore at least 14 days prior t o t he st art of t he Event so t hat Encore m ay at t em pt (w it h no guarant ee) t o engineer a cohesive operat ing net w ork t hat lim it s or cont rols int erference. Approvals m ay incur a sit e survey fee.

10 . CAN CELLATIO N Unless ot herw ise agreed t o in w rit ing, if Client cancels t he scheduled Event m ore t han 30 days prior t o t he st art of t he Event , Client w ill not be charged any cancellat ion fee, except for any out of pocket expenses incurred by Encore. In t he event of a f ull or part ial cancellat ion less t han 30 days, but m ore t han 72 hours, prior t o t he st art of t he Event , Client shall pay Encore 50 % of t he price set fort h in t he Agreem ent , plus any out of pocket expenses incurred by Encore.

In t he event of f ull or part ial cancellat ion less t han 72 hours prior t o t he st art of t he scheduled Event , Client shall pay Encore 10 0 % of t he price set fort h in t he Agreem ent . ALL CAN CELLATIO N S M U ST BE M AD E IN W RITIN G AN D RECEIVED BY EN CO RE’S O N - SITE REPRESEN TATIVE BEFO RE BECO M IN G EFFECTIVE. 11. CLIEN T M ATERIAL H AN D LIN G Unless t his Agreem ent includes or cont em plat es Encore’s handling of Client ’s m at erials, Client shall not ask Encore t o handle or assist in handling Client ’s m at erials and Encore assum es no responsibilit y for loss, dam age, t hef t or disappearance for any such m at erials. In t he event Encore handles Client ’s m at erials as part of t his Agreem ent , Encore’s m axim um liabilit y for loss or dam age t o such m at erials and Client ’s sole and exclusive rem edy is lim it ed t o $.50 (U SD) per pound per art icle w it h a maxim um liabilit y of $10 0 .0 0 (U SD) per it em , or $1,50 0.0 0 (USD) per shipm ent , w hichever is less. All shipm ent w eight s are subject t o correct ion and fi nal charges det erm ined by t he act ual or re-w eighed w eight of t he shipm ent .

12. D EFAULT If Client fails t o pay rent or ot herw ise fails t o observe, keep or perform any provision of t his Agreem ent , or if Client should ent er int o volunt ary or involunt ary bankrupt cy or receivership or ot her legal im pedim ent t hat could im pair t he Equipm ent , Encore shall have t he right t o: (a) Im m ediat ely reclaim t he Equipm ent and declare t he ent ire am ount of rent im m ediat ely due and payable w it hout dem and or not ice t o Client . Client w aives any dam ages occasioned by such reclam at ion.

Any reclam at ion shall not const it ut e a t erm inat ion of t his Agreem ent unless Encore expressly not ifi es Client in w rit ing; (b) Sue t o recover all am ount s ow ed or accruing t o Encore; (c) Term inat e t his Agreem ent as t o any or all it em s of Equipm ent or Services and recover t he f ull price of t he Agreem ent ; and/ or (d) Exercise any ot her rem edy at law or equit y.

All such rem edies are cum ulat ive and m ay be exercised concurrent ly or separat ely. The exercise of any rem edy shall not release Client f rom t his Agreem ent and Client shall rem ain liable for t he f ull perform ance of all obligat ions t o be perform ed by Client under t his Agreem ent .

13. GO VERN IN G LAW AN D VEN U E Any and all claim s, act ions, disput es or cont roversies arising out of or relat ed t o t his Agreem ent shall be governed by and const rued in accordance w it h t he law s of t he st at e in w hich t he Event is locat ed. Any and all claim s, act ions, disput es or cont roversies arising out of or relat ed t o t his Agreem ent shall be lit igat ed

only in t he appropriat e st at e or federal court sit uat ed in t he st at e and count y (or nearest count y) w here t he Event is locat ed. The Part ies subm it t o t he exclusive jurisdict ion and venue of such court s for purposes of any such act ion and t he enforcem ent of any judgm ent or order arising t heref rom .

14 . ATTO RN EYS’ FEES AN D CO STS In t he event of any disput e or act ion relat ed t o or arising out of t his Agreem ent , t he prevailing Part y shall be aw arded reasonable at t orneys’ fees and cost s, court cost s, Equipm ent recovery cost s and st orage charges.

15. IN D EM N IFICATIO N Client agrees t o f ully defend, indem nif y and forever hold harm less Encore f rom and against any and all claim s, causes of act ion, fi nes, penalt ies, dam ages, liabilit ies, judgm ent s and expenses (including, but not lim it ed t o, at t orneys’ fees and cost s) arising f rom Client ’s and/ or CAC’s: (a) negligence or w illf ul m isconduct ; (b) violat ion of any applicable federal, st at e or local law or ordinance; (c) violat ion of any show or Event rule, policy or regulat ion published or set fort h by t he show or Event venue; and/ or (d) copyright , pat ent or ot her int ellect ual propert y inf ringem ent including, but not lim it ed t o, any and all claim s relat ed t o Encore’s use of m at erials, recordings, videos, t ransm issions, sof t w are, and/ or hardw are provided by Client .

16. LIM ITATIO N O F LIABILITY In no event w ill Encore be liable t o Client for any special, exem plary, reliance, incident al or consequent ial dam ages (including, but not lim it ed t o lost profi t s, earnings, use or dat a), w het her in cont ract , t ort or ot herw ise.

17. FO RCE M AJEU RE The Part ies’ perform ance under t his Agreem ent is subject t o w ar, t hreat of w ar, t errorism , disast ers, act s of God, government regulat ions, st rikes, labor disput es, civil disorder, curt ailm ent of t ransport at ion facilit ies, or any ot her em ergency of com parable nat ure beyond t he Part ies’ cont rol, m aking it im possible, illegal or m at erially im pract ical t o perform it s obligat ion under t his Agreem ent and w hich requires t he Event t o be post poned or cancelled (“ Force M ajeure Event ” ). Bot h Part ies agree t hat , if possible, t he Event t hat is t he subject of t his Agreem ent w ill be rescheduled at t he fi rst available opport unit y suit able for each Part y. In t he event t he Part ies are unable t o reschedule due t o a Force M ajeure Event , t his Agreem ent m ay be t erm inat ed upon reasonable w rit t en not ice w it hout a cancellat ion charge as set fort h herein, except t hat Encore shall be ent it led t o reim bursem ent of all act ual cost s incurred and act ual services rendered pursuant t o t his Agreem ent .

18. IN TELLECTUAL PRO PERTY Client allow s Encore t o use t he t rademarks, t rade nam es, service m arks, and ot her int ellect ual propert y of Client given by Client t o Encore for t he st rict purposes of carrying out Encore’s dut ies under t he Agreem ent and as ot herw ise request ed

by Client . Furt her, Client perm it s Encore t o include event phot os and renderings of set designs and ot her elem ent s of Client ’s event (s) as Encore may reasonably require in show ing current or prospect ive cust om ers exam ples of Encore’s w ork.

19. SEVERABILITY In t he event any provision of t his Agreem ent is unenforceable or inoperat ive as a m at t er of law, t he rem aining provisions shall rem ain in f ull force and eff ect and be const rued as t hough such unenforceable or inoperat ive provisions had never been a part of t his Agreem ent .

20 . SU RVIVAL All provisions of t his Agreem ent relat ed t o indem nifi cat ion, disclaim ers and lim it at ions on liabilit y and all ot her obligat ions of t he Part ies t hat arise in connect ion w it h Encore’s provisions of Equipm ent and/ or Services survive t he t erm inat ion of t his Agreem ent .

21. EN TIRE AGREEM EN T This Agreem ent cont ains t he Part ies’ ent ire underst anding and m ay not be m odifi ed except in w rit ing signed by bot h Part ies.
