The Asset This two-story state of the art, Class “A” medical office is currently 89.4% leased to 5 well-known medical tenants and totals ±46,732 rentable square feet. All tenant leases at the building are triple–net (NNN) with 3% annual increases and the building has no tenant rollover for 4+ years.

The building was developed by Irgens in 2010 and awarded the NAIOP Medical Office Development of the year that same year. Situated in the rapidly expanding Williams Gateway/Loop 202 submarket, Mercy Medical Commons is positioned directly adjacent to the Mercy Gilbert Medical Center; a full-service, 212-bed acute care hospital that provides exceptional healthcare to the East Valley. The hospital is a Dignity Health Member, the 5th largest health system in the nation. experts on the ground The metro Phoenix medical office market continues to tread water. The medical office building market saw 36,554 square feet of positive net absorption during the third quarter. Despite the gain, year-to-date net absorption was still negative at -49,437 square feet. This was the first quarter with positive net absorption in 2013. The vacancy rate finished at 22.3 percent at the end of the third quarter. The vacancy rate has hovered around 22 percent since 2009. Vacancy rates rose quickly during the recession from the record low of 11.5 percent during the third quarter of 2007. The market is not experiencing the same demand as traditional office buildings mostly due to the effects of the Affordable Care Act (ACA). Much like traditional office space, Class A medical properties out performed Class B and C properties and was the only Class to post positive net absorption year-to-date. Class A properties absorbed 45,750 square feet during the third quarter. At the end of the third quarter, the metro Phoenix average asking rental rate stood at $22.22 Full Service Gross. Asking rental rates have been declining since 2007 before reaching their bottom in the first quarter 2013 at $21.64 Full Service Gross equivalent.

This month, the number of office properties available in the Phoenix Metro Area fell, hitting its lowest point in three years. The previous low was set last month. The number of available office properties has fallen by 14.8% over the last year in the Phoenix Metro Area.

Time on Market The time on market for office properties in the Phoenix Metro Area is down 23.5% from last year, to 177 days. At the state level, time on market has fallen by 13% during the same time period. This month represents a new low for days on market in the metro area.

Availabilities The square footage available in the metro area is in a five month downward trend month-over-month for office properties. The square footage available for office properties in the metro area decreased 19.3% year-over-year and 18% compared to the end of the second quarter of 2012. The square footage available in the metro area hit a new three-year low this month. The previous low was set last month. The square footage available marks a 19.3% decline over the past year.

Step 1 Marketing Package The marketing package is composed of the subject properties information prepared from the “Exclusive Right to Sell/Lease” agreement. The package is then dispersed to other professionals. It has the right information so that prospective tenants and buyers can make decisions on what terms to offer.

The Package Contents: Property Photos and Aerial Maps. Rent and Sales Comparables. Property Description, Highlights, and Location.

Step 2 Sales Meetings The NAI Horizon office is a collection of industry veterans with far-reaching relationships. The new listing will be presented to them so they can be informed of the property and subsequently call their clients about it. This network alone is how many properties are sold.

Step 3 E-mail Campaign Over the years of representing landlords, we amassed a database of e-mail addresses of prospective tenants, owners, active investors, and qualified buyers. Additionally, we understand that it’s impossible to have a relationship with every person in the marketplace. That’s why we take time to compile and update large commercial real estate broker database. This list includes all of the active local and national agents at firms both large and small. The broker database currently has around 1,000 agents.

Step 4 Phone Calls & Client Meetings Even though e-mail is an important tool today, nothing beats good old fashioned cold calling and meeting with clients. This is the best way to sell/lease a property. The story of the property is told to interested parties. As the market continues to change, potential tenants and buyer wants and needs also change. The only way to learn their goals is through conversation. Unlike most brokers, we do not wait for the phone to ring, we got out and find the prospects.

Step 5 Internet To make sure the information is quickly available to all agents and tenants, buyers and investors, we subscribe as premium members to the following commercial real estate websites.

LoopNet: By far the most widely-used website in the industry, LoopNet is like the multiple-listing service for commercial properties. It’s free to for outside users to search for properties and each member can include photos, price, and all the details, as well as include attachments, maps, and demographics.

Property Line: The Property Line goal is to streamline the commercial agent’s responsibilities, boost production and improve financial returns.

Reliable information, dependable marketing vehicles, and organizational tools created specifically to meet the needs of today’s competitive-and successful-commercial agent have been Property Line’s hallmark since its inception.

CoStar: nearly all major commercial real estate firms use CoStar to market listings to other brokerage companies.

Step 6 Direct Mailers We have a database of every medical office building and its tenants and owners located in metro-Phoenix. We mail a full-color postcard to these tenants and owners upon new listings. Additionally, we also mail a letter to the neighboring property-owners and tenants, regardless of building type. Our experience has shown that the most obvious tenant and or buyer may be the next door neighbor.

Step 7 Print Advertising When the situation warrants it, we place ads in the classified section of the Arizona Republic, Wall Street Journal and other industry specific magazines and publications

Step 8 Client Follow Up This step is done continuously throughout the marketing process. For a prospect, we understand the importance of knowing what is being done to lease or sell the property. If offers are not being received, what are the objections, what are the tenants, buyers and agent’s feedback and how we can adjust our plan to be successful.

Site Plans, Lot Layouts, Location Maps, Aerials, Renderings and Information Packages The Landlord will be asked to cooperate with NAI Horizon in producing building plans, location and amenities maps and photographs. These materials are not only important marketing tools, but represent the data intelligent users need in their decision-making process.

There are no magic formulas to successfully marketing real estate. NAI Horizon will make sure that users in the market for property know this property is available for lease and know the compelling reasons to seriously consider this building as an option. This action plan involves a daily effort focused on contacting the right targeted prospects via the mail, telephone, and in person.

NAI Horizon Publications The availability of the property will be communicated through the regionally-distributed NAI Horizon periodic publications that describe agency listing and transactions.

Distribution of Marketing Materials All marketing materials and data will be widely distributed to all groups who can assist in the marketing efforts and will be directed toward the office users. Marketing Costs NAI Horizon is prepared to commence the marketing program immediately. NAI Horizon will assume, directly, the major variable costs of direct mail and long distance telephone, as well as standard signage and brochures.

The goal of our marketing strategy for the Mercy Medical Commons property is to obtain as many qualified tenant prospects as rapidly as possible to fill the vacancies. The elements of the plan are described in detail in the balance of this section.

A.

The target prospecting preparation and canvassing are designed to uncover qualified potential tenants. We will screen and evaluate all tenants in terms of their degree of interest and ability to consummate a transaction.

Broker Cooperation Approximately 80% of all real estate transactions in the Phoenix area involved cooperating brokers. Much of our prospecting efforts will be directed at the brokerage community. The cooperation of the brokerage community will be actively sought and cultivated by NAI Horizon. As is a standard practice in this market, we will share the commission with a procuring co-broker.

As a firm, NAI Horizon believes strongly that co-brokerage support broadens the marketing campaign to more prospects, and is in the owner’s best interest. Internet Marketing Internet marketing is essential in today’s market and is an excellent way to uncover potential users from outside the Phoenix area. NAI Horizon is a member of CoStar and LoopNet, which are presently the best services available for internet marketing of commercial real estate.

B. Marketing Materials Well-conceived marketing materials lend excellent support and credibility to canvassing calls in addition to appealing directly to prospective users as stand-alone promotion pieces. The following materials and programs will be used for this project.

Send Out Announcement E-blasts to Brokers An announcement E-blast will be sent to the brokerage community notifying them of the NAI Horizon team now in place to market the property. Future E-blasts will be sent out twice per month advertising the property for lease.

C. Reporting Reporting is a critical link in the relationship between owner and the marketing team. For the owner, reporting will serve two primary functions: It will dispense timely information so the owner can properly respond to changing market conditions; and it will help in monitoring the marketing team’s results by comparing the team’s actions with its stated performance goals. The owner will be updated on a regular basis: (1) On a weekly basis, NAI Horizon will present a verbal report, while (2) the written report will be submitted on a monthly basis. Sample Listing Agreement EXCLUSIVE AUTHORIZATION FOR LEASE OF REAL PROPERTY THIS IS A LEGALLY BINDING AGREEMENT – READ IT CAREFULLY. 1.

BASIC PROVISIONS.

2.

EXCLUSIVE EMPLOYMENT AND RIGHTS.

Agent shall use reasonably diligent efforts to find such lessees. All negotiations and discussions for a Transaction shall be conducted by Agent on behalf of Owner. Owner shall promptly disclose and refer to Agent all written and oral inquiries and contacts received by Owner from any source regarding a possible Transaction.

2.2

Owner authorizes Agent and grants a license to Agent for the Term of this Agreement to:

Place advertising signs on the Property and take Lessees to the Property; Accept deposits from Lessees; (c) Distribute non-confidential information regarding the Property to commercial multiple listing services, to other brokers, and Lessees of the Property. Owner shall in writing identify as “confidential” any information provided to Agent that Owner considers confidential and does not want disclosed. All other information provided by Owner may be disclosed as Agent may deem appropriate or necessary. After consummation of a Transaction, Agent may publicize the terms of such Transaction, including the names of the parties, rental terms, and any others desired by Agent for disclosure; and (d) Do all acts Agent may in its discretion require for the marketing of the Property. (a) (b)

2.3 Agent shall cooperate with other real estate brokers (collectively “Cooperating Broker”) under terms agreed upon by Agent and Cooperating Broker.

2.4 If the Transaction is a Lease and Agent finds a ready, willing and able Lessee for the Property, Owner hereby authorizes Agent to also represent and act as the real estate agent for such Lessee, and Owner consents to such dual agency. If a Cooperating Broker finds such Lessee, then Agent shall act as agent for Owner only, the Cooperating Broker shall act as agent for the Lessee only, and the Cooperating Broker shall not be Owner’s agent, even though the Cooperating Broker may share in the Agreed Commission, as defined in Section 6, paid by Owner to Agent under this Agreement. A Cooperating Broker shall not be an agent or subagent of Owner or Agent.

2.5 Owner hereby agrees that Agent may, during the Term of this Agreement, respond to inquiries on the Property by showing and providing information on the Property, as well as on competing properties, to prospective Lessees and that such activities may result in the payment of commissions to Agent by third parties.

3.

PROPERTY.

3.1 Agent shall have no responsibility for maintenance, repair, replacement, operation, or security of the Property, all of which shall be Owner’s sole responsibility, and Owner shall defend, indemnify and hold Agent harmless therefrom. Unless directly caused by Agent’s gross negligence, Agent shall not be liable for any loss, damage, or injury to the person or property of Owner, any Lessees or Buyers of the Property, or any other person, and Owner shall defend, indemnify and hold Agent harmless therefrom.

Owner acknowledges Agent’s and Owner’s obligation to make full disclosure to Lessees of all material facts and information relative to

EXTENSION OF TERM.

4.1 In the event that the Property becomes the subject of foreclosure proceedings prior to the expiration of the Term of this Agreement, then this Agreement shall be deemed suspended until such time as Owner may reacquire the Property within the Term. If this Agreement is 1

suspended pursuant to this Section, Agent shall be free to enter into a listing agreement with any receiver, the party initiating the foreclosure, the party purchasing the Property at a foreclosure sale, or any other person having an interest in the Property.

5.

COMMISSION.

5.1 Owner shall pay Agent a commission [check appropriate box] in the amount of or in accordance with the Schedule of Lease Commissions in Section 11 hereof (collectively “Agreed Commission”) for a Transaction consummated as a result of the efforts of Agent, Owner, or any other person or entity. The Agreed Commission is earned and payable: If Owner: (i) removes or withdraws the Property from a Transaction or the market; (ii) acts as if the Property is not available for a Transaction; (iii) treats the Property as not available for a Transaction; (iv) breaches, terminates, cancels or repudiates this Agreement; (v) directly or indirectly renders the Property unmarketable; or (vi) changes the status of the Property’s title, financing, leases, agreements, physical condition or other aspects thereof, which change adversely impacts the value, use, desirability or marketability of the Property. (a)

6.

REGISTERED PERSONS.

6.1 Agent shall, within 10 days after the expiration of the Term hereof, deliver to Owner in writing the names of those persons and entities to whom Agent either directly or through another broker had marketed the Property during the Term hereof (collectively “Registered Persons”), and specify the type of Transaction involved in Agent’s marketing of the Property (“Registered Transaction”), provided, however that those persons and entities who submitted written offers or letters of intent shall be conclusively deemed Registered Persons for the type of Transaction which was the subject of such offer or letter of intent. If Agent shall fail to timely notify Owner of the existence of any Registered Persons (other than those deemed as provided herein), it shall be conclusively deemed that there are no other Registered Persons. A person or entity shall not be a Registered Person if Agent fails to timely specify a Registered Transaction for such person or entity. If Agent wishes to register the client of a Cooperating Broker, Agent must obtain and submit to Owner written approval of such registration signed by such Cooperating Broker. The parties are aware that the registration of certain individuals and/or entities might create a dual agency, and Owner hereby consents thereto.

6.2 If, within 180 days after the expiration of the Term hereof, Owner enters into a written or oral agreement with a Registered Person for a Registered Transaction, Owner shall, upon consummation of such Registered Transaction, pay Agent the Agreed Commission for the Registered Transaction.

6.3 In order to qualify to be an Excluded Person or a Registered Person the individual or entity must have received written information regarding the property, toured the Property, submitted a letter of interest or intent, OR made a written offer to lease the Property.

7.

OWNER’S REPRESENTATIONS. 7.1

Owner represents and warrants on Owner’s execution of this Agreement and during the Term hereof that:

(a) Each person executing this Agreement on behalf of Owner has the full right, power and authority to execute and carry out this Agreement as or on behalf of Owner; (b) Owner owns the fee simple interest in the Property and has the full right, power and authority to execute this Agreement, consummate a Transaction as provided herein, and perform Owner’s obligations hereunder; (c) Owner, to the best of Owner’s knowledge, has good and marketable title to the Property and there are no known hazardous substances, pollutants, or contaminants on the Property, the presence and/or disposal of which is subject to federal, state, or local environmental regulation; (d) Owner is not insolvent and neither Owner nor the Property is the subject of a bankruptcy, insolvency, probate or conservatorship proceeding; (e) Owner has no notice or knowledge that any Lessee of the Property is the subject of a bankruptcy, insolvency, probate or conservatorship proceeding; and (f) There are no effective, valid or enforceable option rights, rights of first refusal, rights of first offer or any other restrictions, impediments or limitations on Owner’s right, ability and capacity to consummate a Transaction, except as disclosed in writing pursuant to Section 3.2.

8. OWNER’S ACKNOWLEDGEMENTS. Owner acknowledges that it has been advised by Agent to consult and retain experts to advise and represent Owner concerning the legal and tax effects of this Agreement and consummation of a Transaction, as well as the condition of the Property, including, but not limited to, the Property’s improvements, soil, tenancies, title and environmental aspects, and Owner shall defend, indemnify and hold Agent harmless therefrom. Agent shall have no obligation to investigate any of the foregoing unless expressly otherwise agreed to in a separate writing

by Owner and Agent. Owner further acknowledges that in determining the financial soundness of any Lessee or security offered, Owner will rely solely upon Owner’s own investigation and due diligence, at Owner’s expense) notwithstanding Agent’s assistance in gathering such information.

9.

MISCELLANEOUS.

9.1 This Agreement shall not be construed either for or against Owner or Agent, but shall be interpreted, construed and enforced in accordance with the mutual intent of the parties ascertainable from the language of this Agreement. This Agreement inures to the benefit of and is binding upon the parties hereto and their respective heirs, successors and assigns.

9.2 All payments by Owner to Agent shall be made in lawful United States currency. If Owner fails to pay to Agent any amount when due under this Agreement, such amount shall bear interest at the rate of 18% per annum or the maximum rate allowed by law, whichever is less.

9.3 In the event of litigation or arbitration between or among Owner, Agent, a Cooperating Broker, lessee, or prospective lessee of the Property, or any of them, arising under or relating to this Agreement or the Property, the prevailing party shall be paid its attorney's fees and costs by the losing party. The term, "Prevailing Party" shall include, without limitation, one who substantially obtains or defeats the relief sought, as the case may be, whether by compromise, settlement, judgment, or the abandonment by the other party of its claim or defense. The attorney's fees award shall not be computed in accordance with any court fee schedule, but shall be in an amount to fully reimburse all attorney's fees reasonably incurred in good faith.

9.4 Owner agrees to indemnify, defend (with counsel reasonably acceptable to Agent), and hold Agent, its successors, assigns, shareholders, officers, directors, agents, independent contractors and employees, harmless from and against any claim or liability asserted against Agent as a result of the failure of Owner to make a full and complete disclosure pursuant to law or Section 3.2 or as a result of the failure of Owner’s representations as described in Section 8.

9.5 Owner hereby releases and relieves Agent, its successors, assigns, shareholders officers, directors, agents, independent contractors and employees, and waives Owner’s entire right of recovery against Agent for direct or consequential loss or damage arising under or relating to this Agreement or the Property.

9.6 In the event that the Transaction is a Lease, Owner agrees that if Agent is not paid the Agreed Commission provided for herein within 30 days of the date due, Agent shall have a lien in the amount of the Agreed Commission, may record a notice of such lien against title to the Property, and shall have all rights and remedies provided Agent by A.R.S. §§ 33-1071 et seq.

9.7 During the Term of this Agreement and for 6 months after the expiration of the Term, Owner and Agent respectively agree not to directly or indirectly solicit for employment any person who is employed or under contract with the other party.

9.8

Owner acknowledges receiving a copy of this Agreement.

9.9 All notices or other communications required or permitted under this Agreement shall be in writing and shall be sent by a nationally recognized courier service or personally delivered (including by means of professional messenger service), or sent by registered or certified mail, postage prepaid, return receipt requested.

9.10 This Agreement shall be governed by and construed in accordance with the laws of the State in which the Property is located. Time is of the essence in the performance of this Agreement.

10. ARBITRATION OF DISPUTES. 10.1 ANY CONTROVERSY ARISING UNDER OR RELATING TO THIS AGREEMENT SHALL BE DETERMINED BY BINDING ARBITRATION TO BE CONDUCTED IN ACCORDANCE WITH THE COMMERCIAL RULES OF THE AMERICAN ARBITRATION ASSOCIATION. ARBITRATION HEARINGS SHALL BE HELD IN THE COUNTY WHERE THE PROPERTY IS LOCATED. 10.2 NOTICE: BY INITIALING IN THE SPACE BELOW YOU ARE AGREEING TO HAVE ANY DISPUTE ARISING OUT OF THE MATTERS INCLUDED IN THE “ARBITRATION OF DISPUTES” PROVISION DECIDED BY NEUTRAL ARBITRATION AS PROVIDED BY ARIZONA LAW AND YOU ARE GIVING UP ANY RIGHTS YOU MIGHT POSSESS TO HAVE THE DISPUTE LITIGATED IN A COURT OR BY JURY TRIAL. BY INITIALING IN THE SPACE BELOW YOU ARE GIVING UP YOUR JUDICIAL RIGHTS TO DISCOVERY AND APPEAL, UNLESS THOSE RIGHTS ARE SPECIFICALLY INCLUDED IN THE “ARBITRATION OF DISPUTES” PROVISION. IF YOU REFUSE TO SUBMIT TO ARBITRATION AFTER AGREEING TO THIS PROVISION, YOU MAY BE COMPELLED TO ARBITRATE UNDER THE AUTHORITY OF THE ARIZONA CODE OF CIVIL PROCEDURE. 10.4 THE PROVISIONS OF THIS SECTION 10 SHALL NOT BE BINDING ON EITHER PARTY UNLESS BOTH PARTIES HAVE PLACED THEIR INITIALS UNDER SECTION 10.3.

11. SCHEDULE OF AGREED COMMISSIONS. 11.1

The Agreed Commission for a Lease shall be: (a) For a gross Lease, where landlord/Owner pays all or the base year portion of operating expenses and real estate taxes and NAI Horizon agents Michael R. Myrick and/or Alexandra Loye, is the sole procuring cause of a tenant and is not assisted by an outside broker (“Gross Lease”): 5% of the total consideration payable by Lessee for the first 60 months in which rent is to be paid, 2.5% of the total consideration payable by Lessee for the next 60 months, plus 1.25% of the total consideration payable by Lessee for the next 60 months. (see also Section 11.2). (b) For a gross lease, where a tenant is represented by an Outside Agent (the definition of an Outside Agent shall include other NAI Horizon agents that are not assigned to the listing): 8% of the total consideration payable by Lessee for the first 60 months in which rent is to be paid of which 5% of the total consideration shall be paid to the outside (tenant’s) agent and 3% to the listing agent, plus 4 % of the total consideration payable by Lessee for the next 60 months, plus 2 % of the total consideration payable by Lessee for the next 60 months. (see also Section 11.2). (c) For any lease renewal or expansion during the lease term, when NAI Horizon agents Michael R. Myrick and/or Alexandra Loye, are the sole brokers in the transaction and there is not an outside broker 4% of the total consideration payable by Lessee for the first 60 months in which rent is to be paid, 2% of the total consideration payable by Lessee for the next 60 months, plus 1% of the total consideration payable by Lessee for the next 60 months. (see also Section 11.2).

(d) For any lease renewal or expansion during the lease term, 6% of the total consideration payable by Lessee for the first 60 months in which rent is to be paid of which 4% of the total consideration shall be paid to the outside (tenant’s) agent and 2% to the listing agent, plus 3 % of the total consideration payable by Lessee for the next 60 months split between brokers, plus 1.5 % of the total consideration payable by Lessee for the next 60 months split between brokers. (see also Section 11.2).

NAI HORIZON NOTICE AND WAIVER OF LIABILITY RIDER Notice to Landlords/Owners & Tenants/Buyers Regarding Hazardous Materials and Americans with Disabilities Act

Commencement of Rent: For the purpose of computing the amount of the Agreed Commission due on a Lease, the first month in which the base or minimum rental commences shall be deemed to be the first month of the Lease.

Term of More Than 15 Years: If the initial Lease term is in excess of 15 years, then the Agreed Commission shall be calculated only upon the rental to be paid during the first 15 years of the term of the Lease.

Sublease or Assignment: In the event of a sublease or assignment type of Lease, the Agreed Commission shall be 6% of all consideration payable with respect to the assignment or subleasing of a Gross Lease and 7% in the case of a Net Lease. If the master Lease is terminated with the consent of or because of a default by the sublessor, the Agreed Commission shall be computed on the basis of all consideration which would have been payable pursuant to the master Lease for the unexpired term.

Month-to-Month Tenancy: For a month-to-month tenancy, the Agreed Commission shall be 50% of the first month’s rent but in no event less than $2,500. In the event a month-to-month Lessee subsequently executes a Lease, either directly with the Owner or through Broker within 24 months from the date of first occupancy by the month-to-month Lessee, Agent shall receive an Agreed Commission with respect to such Lease in accordance with the provisions of Sections 12.2 (a) or (b), as applicable.

Extension of Term or Additional Space Taken: If the term of the Lease is extended or the area of the Property leased is expanded prior to the expiration of the Lease, whether pursuant to an option in or an amendment of the Lease or any other agreement, the Agreed Commission, computed in accordance with Sections 12.2 (a) or (b), shall be paid upon the exercise of any such option or the making of any such amendment or agreement. If the term of the Lease is extended, such additional period shall be added to the end of the initial Lease term for the purpose of computing the amount of the Agreed Commission. If the area of the Property leased is expanded, the Agreed Commission shall be due for the entire term of the Lease applicable to such additional space and shall be calculated pursuant to Section 12.2(a) or (b), as applicable.

Comprehensive federal, state and local regulations have recently been enacted to control the use, storage, handling, clean-up, removal and disposal of hazardous and toxic wastes and substances. Extensive legislation has also been adopted with regard to underground storage tanks. As real estate licensees, we are not experts in the area of hazardous substances and we encourage you to consult with your legal counsel with respect to your rights and liabilities with regard to hazardous substances laws and regulations and to obtain technical advice with regard to the use, storage, handling, clean-up, removal or disposal of hazardous substances from professions, such as a civil engineer, geologist, or other persons with experience in these matters to advise you concerning the property. We also encourage you to review the past uses of the property (as to which we make no representation) which may provide information as to the likelihood of the existence of hazardous substances or underground storage tanks on the property.

NAI HORIZON will disclose any knowledge it actually possesses with respect to the existence of hazardous substances or underground storage tanks on the property. NAI HORIZON has not made any investigations or obtained reports regarding the property, unless so indicated in a separate document signed by NAI HORIZON. NAI HORIZON makes no representation or warranty regarding the existence or non-existence of hazardous substances of underground storage tanks on the property.

As used in this notice, the term “hazardous substances” is used in the broadest sense and includes all hazardous and toxic materials, substances, or waste as defined by applicable federal, state and local laws and regulations and includes, but is not limited to petroleum products, paints and solvents, PCBs, asbestos, pesticides and other substances. Hazardous substances may be found on any type of real property, improve d or unimproved, occupied or vacant.

Notice to Owners, Buyers and Tenants Regarding the “Americans with Disability Act” Legislation known as the "Americans with Disabilities Act" ("ADA") was recently adopted and may affect the property and/or its intended use. As real estate licensee, we are not experts in the legal or technical aspects of ADA as it may pertain to you. We encourage you to consult your legal counsel, architect and/or other professionals with appropriate experience with regard to your rights or obligations for compliance with ADA. NAI HORIZON makes no representation or warranty regarding the compliance or noncompliance of the property under ADA.

Indemnification

12. PAYMENT OF EARNED COMMISSIONS 12.1 One-half of all Agreed Commissions for a Lease shall be paid upon the mutual execution of the Lease by Owner and Lessee and the balance shall be paid on the date specified in the Lease for the commencement of the term of the Lease.

12.2 If a Lease, Owner hereby authorizes Agent to deduct its Agreed Commission from any deposits, payments and other funds paid by Buyer or Lessee received by Agent in connection with the Transaction.

Owner/Landlord and Buyer/Tenant shall defend, indemnify, and hold harmless NAI HORIZON from and against all claims, costs, expenses, actions, losses, damages and liabilities of any kind whatsoever (including reasonable attorneys' fees) directly or indirectly arising out of the existence of Hazardous Substances and/or Environmental Conditions or ADA noncompliance conditions on the Property. This indemnification shall survive the termination of any contract, listing or lease and continue thereafter.
