INTRODUCTION

The success of our organisation and its employees depends greatly on the dedication of each individual. We therefore entrust you with your role, just as we are committed to fulfilling ours.

JOINING OUR ORGANISATION

A) PROBATIONARY PERIOD

You will commence an initial probationary period of three/six months, as outlined in your appointment letter. Throughout this period, we will evaluate your work performance and overall suitability. If your performance meets our standards, your employment will continue. However, if your performance does not meet expectations or if you are deemed generally unsuitable, we may take corrective measures, such as extending your probationary period, or terminate your employment with a notice period of 14 days. During your probationary period, we retain the right to not fully apply our contractual capabilities and disciplinary procedures.

B) EMPLOYEE TRAINING

At the commencement of your employment, you will receive induction training for your specific job, and as your employment progresses, your skills may be extended to encompass new job activities within the business.

C) PERFORMANCE AND REVIEW

Our policy is to monitor your work performance on a continuous basis so that we can maximise your strengths, and help you overcome any possible weaknesses.

D)

JOB FLEXIBILITY

It is an express condition of employment that you are prepared, whenever necessary, to transfer to alternative departments/depots across the region, or duties within our business. It may be necessary for you to take over some duties normally performed by colleagues. This flexibility is essential as the type and volume of work is always subject to change, and it allows us to operate efficiently and gain maximum potential.

E) EMPLOYMENT CONTRACT

Your employment contract will conclude for a specific term not exceeding (2) two years and it is permissible, by agreement of both parties, to extend or renew this contract for another similar term or for a shorter term, for once or more.

In case of extending or renewing the contract, the new term(s) shall be considered an extension of the original term and shall be added to it while calculating the Employee’s continuous term of service.

If both parties continue to implement the contract after the expiry of its original term or the completion of the agreed work without an express agreement, the original contract is considered implicitly extended as per the same conditions set forth therein.

F) OFFICE TIMINGS

The company office timings are 8am – 5pm unless otherwise specified.

SALARIES ETC.

A) SALARY

1. Salary & Payment

a. Your salary amount is specified within your appointment letter and employment contract

b. Your salary shall be paid monthly on the due date in accordance with the regulations approved in the Ministry

c. Any pay queries which you may have should be raised with the General Manager

B) LATENESS/ABSENTEEISM

1. You must attend work punctually at the specified time(s) and you are required to comply strictlywith any time recording procedures relating to your work

2. All absences must be notified in accordance with the sickness reporting procedures laid down in this Employee Handbook

3. Continuous lateness or absence may result in disciplinary action and/or loss of appropriate payment

C) MATERNITY LEAVE AND PAY

1. A female Employee shall be entitled to maternity leave of 60 days, according to the following:

a. The first (45) forty-five days with full wage; and b. The following (15) fifteen days with half wage

D) END OF SERVICE BENEFITS FOR FULL TIME EMPLOYEES

1. The national Employee shall be entitled to end of service benefits at the end of his service, in accordance with the legislation regulating the pensions and social securities in the labour law.

2. The full-time foreign Employee, who completed a year or more in continuous service, shall be entitled to end of service benefits at the end of his service as per set out by the local labour law.

3. The foreign Employee shall be entitled to a benefit for period spent within a year in proportion to the period spent at work, provided that he completed one year of continuous service.

4. The unpaid days of absence from work shall not be included in the calculation of the service term.

5. Without prejudice to the legislation regarding the granting of pensions or retirement benefits to Employees, the end of service benefits shall be calculated according to the last basic wage the Employee was entitled to, with respect to those who receive their wages on a monthly, weekly or daily basis and according to the average daily wage stipulated in the provisions hereof for those who receive their wages on a piecework basis.

6. It is required based on the foregoing, that the end of service benefits for the foreign Employee in its entirety do not exceed two years’ wages.

7. The employer may deduct from the end of service benefits any amounts payable under the law or a judgment, in accordance with the conditions and procedures specified in the Implementing Regulation hereof.

8. The company may, upon the recommendation of senior management and in coordination with relevant stakeholders, approve alternative schemes for the end-of-service benefits program. The resolution will specify the conditions, rules, and mechanisms for contributions to these schemes.

HOLIDAY ENTITLEMENT AND CONDITIONS

A) ANNUAL LEAVE

1. The annual leave year begins on 1st January and ends on 31st December each year.

2. Your annual leave entitlement is 30 calendar days paid for each full year of extended service, or two days for each month if your service term is more than six months and less than a year.

3. Annual leave may not be taken during the probationary period.

4. The company requires you to take leave in blocks of 7 days (a full week) unless otherwise authorized by a Senior Manager.

5. All requests for annual leave must be via a leave application form. You must not take holidays unless confirmed by management.

6. Your annual leave will start on the first day and will end on the final day as mentioned on your leave application form. All days in between these dates, including public holidays and weekends will be counted as annual leave.

7. You are required to return to duty at 8AM on the day following your last annual leave date. Failure to return to work on time for any reason may result in a disciplinary action.

8. It is company's policy for you to utilise your full annual leave entitlement in the current holiday year. We do not permit holidays to be carried forward or paid in lieu unless the company has requested you to work, and you agree to do so.

9. The company will allocate agreed holiday dates on a "first come - first served" basis to ensure that operational efficiency and minimum staffing levels are maintained throughout the year.

10. You should give at least four weeks’ notice of your intention to take annual leave.

11. In the event of the termination of your employment, any annual leave accrued but not taken will be paid for. However, in the event of your having taken annual leave which has not been accrued pro-rata, then the appropriate payments will be deducted from your final wages/salary. This is an express written term of your contract of employment.

12. In exceptional circumstances the General Manager will consider exceptions to the above.

B) ANNUAL LEAVE

You shall be entitled to official days off with full pay on public holidays, which are defined by the Ministry.

C) FLIGHT ALLOWANCE

Your flight entitlement will match the terms specified in your employment offer. The company does not arrange flights for its employees. Instead, an equivalent monthly payment will be included in your salary to cover the annual flight allowance. Booking flights is the employee's responsibility, and the company bears no liability for any extra costs or cancellations.

Approval for annual leave must be obtained before making flight reservations.

SICK LEAVE

A) NOTIFICATION OF SICKNESS

1. You must notify the management by telephone on the first day of your sickness before 8 am. Notification should be made personally to your Line Manager..

2. If your sickness extends to more than 24 hours, you are required to notify the management and provide an official sickness certificate from a registered doctor or hospital.

B) EVIDENCE OF SICKNESS

1. You shall not be entitled to paid sick leave during the probationary period. However, we may grant you sick leave without pay, based on a medical report issued by the medical entity that stipulates the necessity of granting the leave.

2. After the end of the probationary period, you will be entitled to a sick leave of not more than (90) ninety continuous or intermittent days per year, provided that it is calculated as follows:

a. The first (15) fifteen days with full pay.

b. The following (30) thirty days with half pay.

c. The remaining period unpaid.

3. You shall not be entitled to a wage for the sick leave if the sickness resulted from misconduct committed by yoursel

4. We may terminate your service after finishing your sick leave if you are unable to return to your work, provided we provide you with all your financial entitlements.

C) RETURN TO WORK

1. You should notify your line Manager as soon as you know on which day you will be returning to work.

2. If you have been suffering from an infectious or contagious disease or illness you must not report for work without clearance from an official doctor or hospital.

3. If you have been absent from work due to of sickness or injury resulting in it being unsafe for you to undertake your role, the company reserves the right to request that you obtain a medical certificate confirming that you are fit for work.

D) RETURN TO WORK

1. In deciding whether your absence is acceptable or not we will take into account the reasons and extent of all your absences, including any absence caused by sickness. We cannot operate with an excessive level of absence as all absence, for whatever reason, reduces our efficiency. Should the level of absence be viewed by management as unacceptable, this may lead to disciplinary action and exclusion from any discretionary bonus scheme.

2. We will take a serious view if you take sickness/injury leave which is not genuine, and it will result in disciplinary action being taken.

SAFEGUARDS

A) CONFIDENTIALITY

1. All information that: -

a. is or has been acquired by you during, or in the course of your employment, or has otherwise been acquired by you in confidence,

b. relates particularly to our business, or that of other persons or bodies with whom we have dealings of any sort, and c. has not been made public by, or with our authority shall be confidential, and (save in the course of our business or as required by law) you shall not at any time, whether before or after the termination of your employment, disclose such information to any person without our written consent.

2. You are to exercise reasonable care to keep safe all documentary or other material containing confidential information and shall at the time of termination of your employment with us, or at any other time upon demand, return to us any such material in your possession.

B) COPYRIGHT

All written material, whether held on paper, electronically or magnetically which was made or acquired by you during the course of your employment with us, is our property and our copyright. At the time of termination of your employment with us, or at any other time upon demand, you shall return to us any such material in your possession.

C) VIRUS PROTECTION PROCEDURES

In order to prevent the introduction of virus contamination into the software system the following must be observed:-

a. Unauthorised software including public domain software, magazine cover disks/CDs or Internet/World Wide Web downloads must not be used.

b. All software must be virus checked using standard testing procedures before being used.

D) USE OF COMPUTER EQUIPMENT

In order to control the use of the company's computer equipment and reduce the risk of contamination the following will apply:-

a. The introduction of new software must first of all be checked and authorised by a nominated senior member of the company before general use will be permitted.

b. Only authorised staff should have access to the company's computer equipment.

c. Only authorised software may be used on any of the company's computer equipment.

d. Only software that is used for business applications may be used.

e. No software may be brought onto or taken from the company's premises without prior authorisation.

f. Unauthorised access to the computer facility will result in disciplinary action.

g. Unauthorised copying and/or removal of computer equipment/software will result in disciplinary action, such actions could lead to dismissal.

A) E-MAIL AND INTERNET POLICY

1. Introduction

The purpose of the Internet and E-mail policy is to provide a framework to ensure that there is continuity of procedures in the usage of Internet and E-mail within the company. The Internet and E-mail system have established themselves as an important communications facility within the company and have provided us with contact with professional and academic sources throughout the world. Therefore, to ensure that we are able to utilise the system to its optmum we have devised a policy that provides maximum use of the facility whilst ensuring compliance with the legislation throughout.

2. Internet

Where appropriate, duly authorised staff are encouraged to make use of the Internet as part of their official and professional activities. Attention must be paid to ensuring that published information has relevance to normal professional activities before material is released in the company name. Where personal views are expressed, a disclaimer stating that this is the case should be clearly added to all correspondence. Intellectual property right and copyright must not be compromised when publishing on the Internet. The availability and variety of information on the Internet has meant that it can be used to obtain material reasonably considered to be offensive. The use of the Internet to access and/or distribute any kind of offensive material, to take part in internet gambling, on-line auction sites, on-line games and social networking/chat sites, or material that is not work-related, leaves an individual liable to disciplinary action which could lead to dismissal.

3. E-Mail

The use of the E-Mail system is encouraged as its appropriate use facilitates efficiency. Used correctly, it is a facility that is of assistance to employees. Inappropriate use, however, causes many problems including distractions, time wasting and legal claims. The procedure sets out the company's position on the correct use of the E-Mail system.

4. Procedures - Authorised Use

a. Unauthorised or inappropriate use of the E-Mail system may result in disciplinary action which could include summary dismissal.

b. The E-Mail system is available for communication and matters directly concerned with the legitimate business of the company. Employees using the E-Mail system should give particular attention to the following points:i) all comply with company communication standards.

ii) E-Mail messages and copies should only be sent to those for whom they are particularly relevant.

iii) E-Mail should not be used as a substitute for face-to-face communication or telephone contact. Flame mails (i.e. E-Mails that are abusive) must not be sent. Hasty messages sent without proper consideration can cause upset, concern, or misunderstanding

iv) if E-Mail is confidential the user must ensure that the necessary steps are taken to protect confidentiality. The company will be liable for infringing copyright or any defamatory information that is circulated either within the company or to external users of the system.

v) offers or contracts transmitted by E-Mail are as legally binding on the company as those sent on paper.

c. The company will not tolerate the use of the E-Mail system for unofficial or inappropriate purposes, but not limited to:-

i) any messages that could constitute bullying, harassment or other detriment.

ii) personal use (e.g. social invitations, personal messages, jokes, cartoons, chain letters or other private matters).

iii) on-line gambling.

iv) accessing or transmitting pornography.

v) transmitting copyright information and/or any software available to the user.

vi) posting confidential information about other employees, the company or its customers or suppliers.

We have the right to read E-mails and monitor use of the Internet.

Failure to comply with the above policy may result in disciplinary action that may lead to dismissal.

STANDARDS

A) WASTAGE

1. We maintain a policy of "minimum waste" which is essential to the cost-effective and efficient running of all our operations.

2. You are able to promote this policy by taking extra care during your normal duties by avoiding unnecessary or extravagant use of services, time, energy, etc., and the following points are illustrations of this: -.

a. Handle machines, equipment and stock with care.

b. Turn off any unnecessary lighting and heating. Keep doors closed whenever possible.

c. Ask for other work if your job has come to a standstill.

d. Start with the minimum of delay after arriving for work and after breaks.

3. The following provision is an express written term of your contract of employment: -

a. Any damage to vehicles, stock or property (including non-statutory safety equipment) that is the result of your carelessness, negligence or deliberate vandalism will render you liable to pay the full or part of the cost of repair or replacement.

b. Any Loss to us that is the result of your failure to observe rules, procedures, or instruction, or is as a result of your negligent behaviour or your unsatisfactory standards of work will render you liable to re-imburse to us the pull of part of the cost of the loss.

c. If whilst driving one of our vehicles, you have an accident which in the opinion of our insurers is your fault, you will be required to pay the cost of the insurance excess.

4. In the event of failure to pay, we have the contractual right to deduct such costs from your pay.

B) STANDARDS OF DRESSING

As you are liable to come into contact with customers and members of the public, it is important that you present a professional image with regard to appearance and standards of dress. Where workwear is not provided, you should wear clothes appropriate to your job responsibilities, and they should be kept clean and tidy at all times.

C) HOUSEKEEPING

Both from the point of view of safety and of appearance, work areas must be kept clean and tidy at all times.

SAFETY, WELFARE AND HYGIENE

A) SAFETY

1. You should make yourself familiar with our and any site Health and Safety Policy and your own health and safety duties and responsibilities, as shown separately.

2. You must not take any action which could threaten the health or safety of yourself, other employees, customers or members of the public.

3. Protective clothing and other equipment which may be issued for your protection because of the nature of your job must be worn and used at all appropriate times. Failure to do so could be a contravention of your health and safety responsibilities. Once issued, this protective wear/equipment is your responsibility.

4. You should report all accidents at work, no matter how minor in the accident book, which can be found at each depot accidents occurring on a client’s site, must be reported to the client and recorded in both their and our accident books.

5. You may not allow any unauthorised member of the public access to or use of any working platform.

6. You must wear a safety harness whilst working on a boom platform, even when loading, unloading or testing. This is a company policy and disciplinary action will be taken against anyone who does not comply with this policy.

7. Loading and unloading machines on vehicles. All Electric and Bi-energy machines must be winched on and off the vehicle. Failure to follow this procedure will be regarded as a serious breach of company Health and Safety policy and will result in disciplinary action.

B) REFRESHMENT MAKING FACILITIES

We provide refreshment making facilities for your use, which must be kept clean and tidy at all times.

C) SMOKING POLICY

Smoking is not allowed within our buildings and you should abide by any site smoking policy.

D) ALCOHOL & DRUGS POLICY

We, as your employer, have a duty to ensure, so far as is reasonably practicable, the health and safety and welfare at work of all our employees and similarly you have a responsibility to yourself and your colleagues.

We have zero tolerance policy on drugs and alcohol. An employee will face instant dismissal if found to be intoxicated by either drugs or alcohol.

GENERAL TERMS OF EMPLOYMENT, INFORMATION AND PROCEDURES

A) CHANGES IN PERSONAL DETAILS

You must notify us of any change of name, address, telephone number, etc., so that we can maintain accurate information on our records and make contact with you in an emergency, if necessary, outside normal working hours.

B) MEDICAL APPOINTMENTS

Circumstances may arise where you need time off for medical/dental appointments, or for other reasons. Where possible, such appointments should be made outside normal working hours or at the beginning or at the end of the working day. Prior approval is required from Management.

C) OTHER LEAVES

1. You shall be entitled to a paid leave in the following cases:

a. A bereavement leave of 5 days, in case of death of the husband or wife and 3 days in case of death of the mother, father, son, brother, sister, grandson, grandfather or grandmother, starting from the date of death;

b. A parental leave for a period of 5 working days, for either the father or mother, who has a newly born child, in or der to take care of his child and you are entitled to such leave for a continuous or intermittent period, within 6 months from the date of the child birth;

D) TRAVEL EXPENSES

The company will reimburse you for any reasonable expenses incurred whilst travelling on our business, details of which will be issued separately. You must provide receipts for any expenditure.

E) EMPLOYEES' PROPERTY

The company does not accept liability for any loss of, or damage to, property which you bring onto the premises. You are requested not to bring personal items of value onto the premises and, in particular, not to leave any items overnight.

F) LOST PROPERTY

Articles of lost property should be handed to your Line Manager who will retain them whilst attempts are made to discover the owner.

G) PARKING

No liability is accepted for damage to private vehicles; however it may be caused.

A) TELEPHONE CALLS/ MOBILE PHONES

Telephones are essential for our business. Any abuse of this may lead to disciplinary action and we reserve the right to deduct from your pay. Personal mobile phones may be switched on during working hours but use should be kept to a minimum..

B) COMPANY MOBILE PHONES

You may be provided with a company mobile phone in order to assist with the performance of your duties. The company mobile phones are for company use, however the occasional personal call (e.g. to advise home of an expected return time) is permitted within reason. Abuse of company mobile phones may lead to disciplinary action being taken and the cost of excessive personal calls or data plus text/photo messages will be deducted from your pay.

CAPABILITY AND CAPABILITY DISMISSAL PROCEDURES

A) INTRODUCTION

The company recognises that during your employment with us your capability to carry out your duties may deteriorate. This can be for a number of reasons, the most common ones being that either the job changes over a period of time and you fail to keep pace with the changes, or you change (most commonly because of health reasons) and you can no longer cope with the work.

B) JOB CHANGES

1. If the nature of your job changes we will make every effort to ensure that you understand the level of performance ex pected of you and that you receive adequate training and supervision. If we have concerns regarding your capability these will be discussed in an informal manner and you will be given time to improve.

2. If your standard of performance is still not adequate you will be warned in writing that a failure to improve and to maintain the performance required could lead to your dismissal. We will also consider the possibility of a transfer to more suitable work if possible.

3. If there is still no improvement after a reasonable time and we cannot transfer you to more suitable work, you will be issued with a final warning that you will be dismissed unless the required standard of performance is achieved and maintained.

4. If such improvement is not forthcoming after an agreed period of time, you will be dismissed.

C) PERSONAL CIRCUMSTANCES

1. Personal circumstances may arise which do not prevent you from attending for work but which prevent you from carrying out your normal duties (e.g. a lack of dexterity or general ill health). If such a situation arises, we will normally need to have details of your medical diagnosis and prognosis so that we have the benefit of expert advice. Under normal circumstances this can be most easily obtained by asking your own doctor for a medical report. When you have provided as much information as possible regarding your condition and after consultation with you, a decision will be made about your future employment with us in your current role or, where circumstances permit, in a more suitable role.

2. There may also be personal circumstances which prevent you from attending work, either for a prolonged period(s) or for frequent short absences. Under these circumstances we will need to know when we can expect your attend ance record to reach an acceptable level and again this can usually be most easily obtained by asking your own doctor for a medical report. When you have provided as much information as possible regarding your condition and after consultation with you, a decision will be made about your future employment with us in your current role or, where circumstances permit, in a more suitable role.

DISCIPLINARY AND DISCIPLINARY DISMISSAL PROCEDURES

A) INTRODUCTION

1. It is necessary to have a minimum number of rules in the interests of the whole organisation.

2. The rules set standards of performance and behaviour whilst the procedures are designed to help promote fairness and order in the treatment of individuals. It is our aim that the rules and procedures should emphasise and encourage improvement in the conduct of individuals, where they are failing to meet the required standards, and not be a means of punishment.

3. Every effort will be made to ensure that any action taken under this procedure is fair, with you being given the opportunity to state your case and appeal against any decision that you consider to be unjust.

4. The following rules and procedures should ensure that:-

a. the correct procedure is used when inviting you to a disciplinary hearing

b. you are fully aware of the standards of performance, action and behaviour required of you

c. disciplinary action, where necessary, is taken speedily and in a fair, uniform and consistent manner

d. you will only be disciplined after careful investigation of the facts and the opportunity to present your side of the case. On some occasions temporary suspension on full pay may be necessary in order that an uninterrupted investigation can take place. This must not be regarded as disciplinary action or a penalty of any kind

e. other than for an "off the record" informal reprimand, you have the right to be accompanied by a fellow employee, who may act as a witness or speak on your behalf, at all stages of the formal disciplinary and appeal procedures

f. you will not normally be dismissed for a first breach of discipline, except in the case of gross misconduct

g. if you are not disciplined, you will receive an explanation of the penalty imposed and you will have the right to appeal against the finding and the penalty.

B) DISCIPLINARY RULES

It is not practicable to specify all disciplinary rules or offences which may result in disciplinary action, as they may vary depending on the nature of the work. In addition to the specific examples of unsatisfactory conduct, misconduct and gross misconduct shown in this handbook, a breach of other conditions, procedures, rules etc. within this handbook will also result in the disciplinary procedure being used to deal with such matters.

C) RULES COVERING UNSATISFACTORY CONDUCT AND MISCONDUCT

(these are examples only and not an exhaustive list)

You will be liable to disciplinary action if you are found to have acted in any of the following ways:-

a. failure to abide by the general health and safety rules and procedures

b. smoking in designated non smoking areas

c. persistent absenteeism and/or lateness

d. unsatisfactory standards or output of work

e. rudeness towards customers, members of the public or other employees, objectionable or insulting behaviour, harassment, bullying or bad language

f. failure to devote the whole of your time, attention and abilities to our business and its affairs during your normal working hours

g. unauthorised use of E-mail and Internet

h. failure to carry out all reasonable instructions or follow our rules and procedures

i. unauthorised use or negligent damage or loss of our property

j. failure to report immediately any damage to property or premises caused by you

k. use of our vehicles without approval or the private use of our commercial vehicles without authorisation

l. failure to report any incident whilst driving our vehicles, whether or not personal injury or vehicle damage occurs

m. if your work involves driving, failure to report immediately any type of driving conviction or summons which may lead to your conviction

n. carrying unauthorised goods or passengers in our commercial vehicles or the use of our vehicles for personal gain

o. loss of driving licence where driving on public roads forms an essential part of the duties of the post

p. misuse of company mobile phones.

D) SERIOUS MISCONDUCT

1. Where one of the unsatisfactory conduct or misconduct rules has been broken and if, upon investigation, it is shown to be due to your extreme carelessness or has a serious or substantial effect upon our operation or reputation, you may be issued with a final written warning in the first instance.

2. You may receive a final written warning as the first course of action if in an alleged gross misconduct disciplinary m atter, upon investigation, it is shown to have some level of mitigation and is treated as an offence just short of dismissal.

E) RULES COVERING GROSS MISCONDUCT

(these are examples only and not an exhaustive list)

You will be liable to summary dismissal if you are found to have acted in any of the following ways: -

a. grossly indecent or immoral behaviour, deliberate acts of unlawful discrimination or serious acts of harassment

b. dangerous behaviour, fighting or physical assault

c. incapacity at work or poor performance caused by intoxicants or drugs

d. possession, supply or use of illicit drugs

e. deliberate falsification of any records (including time sheets, absence records and so on, in respect of yourself or any fellow employee)

f. undertaking private work on the premises and/or in working hours without express permission

g. working in competition with us

h. taking part in activities which result in adverse publicity to ourselves, or which cause us to lose faith in your integrity

i. theft or unauthorised possession of money or property, whether belonging to us, another employee, or a third party

j. destruction/sabotage of our property, or any property on the premises

k. serious breaches of the health and safety rules which endanger the lives of employees, or any other person

l. interference with or misuse of any equipment for use at work that may cause harm

m. gross insubordination and/or continuing refusal to carry out legitimate instructions

n. abuse of the personal harassment policy

o. any breach of health and safety rules, as notified by the company at any time

p. misuse of any security or vehicle pass

F) RULES COVERING GROSS MISCONDUCT

1. Disciplinary action taken against you will be based on the following procedure:-

2. We retain discretion in respect of the disciplinary procedures to take account of your length of service and to vary the procedures accordingly. If you have a short amount of service you may not be in receipt of any warnings before dismissal but you will retain the right to a disciplinary hearing and you will have the right of appeal.

3. If a disciplinary penalty is imposed it will be in line with the procedure outlined above, which may encompass a formal verbal warning, written warning, final written warning, or dismissal, and full details will be given to you.

4. In all cases warnings will be issued for misconduct, irrespective of the precise matters concerned, and any further breach of the rules in relation to similar or entirely independent matters of misconduct will be treated as further disciplinary matters and allow the continuation of the disciplinary process through to dismissal if the warnings are not heeded.

G) DISCIPLINARY AUTHORITY

The operation of the disciplinary procedure contained in the previous section is normally based on the following authority at the various levels of disciplinary action. However, the list does not prevent a higher level of seniority progressing any action at whatever stage of the disciplinary process.

A formal verbal warning will normally be disregarded after a six month period.

I) GENERAL NOTES

1. If you are in a supervisory or managerial position, then demotion to a lower status at the appropriate rate may be considered as an alternative to dismissal except in cases of gross misconduct.

2. In exceptional circumstances, suspension from work without pay for up to five days as an alternative to dismissal (except dismissal for gross misconduct) may be considered by the person authorised to dismiss.

3. Gross misconduct offences will result in dismissal without notice.

4. You have the right to appeal against any disciplinary action.

GENERAL DISMISSAL AND APPEAL PROCEDURES

Step 1: Statement of grounds for action and invitation to meeting.

• Your alleged conduct or characteristics, or other circumstances, which lead us to contemplate dismissing or taking disciplinary action against you, will be set out in writing.

• This statement, or a copy of it, will be sent to you and you will be invited to attend a meeting to discuss the matter.

Step 2: Statement of grounds for action and invitation to meeting.

• The meeting will take place before action is taken, except in the case where disciplinary action consists of suspension.

• The meeting will not take place unless:

a. failure you have been informed what the basis was for including in the statement, under Step 1, the ground or grounds in it; and

b. you have had a reasonable opportunity to consider your response to that information.

• You must take all reasonable steps to attend the meeting.

• After the meeting, you will be informed of the decision and notified of the right to appeal against the decision if you are not satisfied with it.

Step 3: Appeal.

• If you wish to appeal, you must inform us.

• If you inform us of your wish to appeal, you will be invited to attend a further meeting.

• You must take all reasonable steps to attend the meeting.

• The appeal meeting need not take place before the dismissal or disciplinary action takes effect.

• After the appeal meeting you will be informed of the final decision.

General Requirements:

The following requirements will be adhered to in respect of the above procedures (so far as applicable):

• Each step and action under the procedure will be taken without unreasonable delay.

• Timing and location of meetings will be reasonable.

• Meetings will be conducted in a manner that enables both parties to explain their cases.

• In the case of appeal meetings, which are not the first meeting, we will, so far as is reasonably practicable, be represented by a more senior manager than attended the first meeting (unless the most senior manager attended that meeting).

TERMINATION OF EMPLOYMENT

A) CONTRACT TERMINATION

• The written agreement of both parties upon its termination.

• Expiry of the term specified in the contract unless it is extended or renewed as per the provision hereof.

• Based on the wish of either party, provided that the provisions hereof regarding termination of the employment

• Contract and the notice period agreed upon in the contract are observed.

• The employer’s death if the subject of the contract is related to its entity.

• The Employee’s death or full permanent inability to work, as proven by a certificate issued by the medical entity.

• A final judgment issued against the Employee by a freedom- restricting penalty for a period of not less than 3 months.

• Closing the establishment permanently, in accordance with the legislation in force in the State.

• The bankruptcy or insolvency of the employer, or any economic or exceptional reasons that prevent the continuation

• of the project, in accordance with the conditions, rules and procedures specified by the Implementing Regulation and

• the legislation in force in the State.

• The Employee’s failure to fulfill the conditions for renewing the work permit for any reason beyond the control of the

• employer.

B) CONTRACT TERMINATION

• Either party to the employment contract may terminate the contract for any legitimate reason, provided that the other party is notified in writing and work shall be performed during the notice period agreed upon in the contract, provided that such period is not less than (30) thirty days and not more than (90) ninety days.

• The employment contract continues to be valid throughout the notice period referred to in this Article and is terminated upon expiry of such period. The Employee shall be entitled to his full wage for that period according to the last wage he was obtaining and he shall work during that period if the employer requests the same from him. It may be agreed upon exemption from the notice period condition or reducing its period while preserving all the rights of the Employee for the notice period agreed upon in the employment contract, provided that the notice period is the same for both parties unless it serves the interests of the Employee.

• The party who did not abide by the notice period shall pay to the other party compensation, which is called notice period allowance, even if the absence of notification does not cause damage to the other party and the compensa tion shall be equal to the Employee’s wage for the full notice period or the remaining part thereof.

• The notice period allowance is calculated according to the last wage received by the Employee for those who obtain their wages on a monthly, weekly, daily or hourly basis, and according to the average daily wage referred to herein for those who obtain their wages on a piecework basis.

• If the employment contract is terminated by the employer, the Employee shall have the right to be absent during the notice period for one working day without pay per week, in order to search for another job. The Employee may specify the day of absence, provided that he notifies the employer of the same (3) three days at least before the absence day.

C) CASES OF THE EMPLOYEES DISMISSAL WITHOUT NOTICE

• The employer may dismiss the Employee without notice after conducting a written investigation with him and the dismissal decision shall be in writing and justified and the employer or its representative shall hand it over to the Employee in any of the following cases:

• It is proven that the Employee impersonated another person or submitted forge certificates or documents.

• The Employee committed a mistake that resulted in gross physical losses to the employer or he deliberately damaged the properties of the employer and he acknowledged the same, provided that the latter informs the Ministry of the incident within (7) seven working days from the date of being aware of the occurrence of the incident.

• The Employee violated the instructions of the establishment’s by-law related to the safety of work and Employees or the workplace, provided that they are written and hung in a visible place and the Employee is informed of the same.

• The Employee did not perform his basic duties according to the employment contract and he continued breaching them despite conducting a written investigation with him for this reason and he is notified and warned of dismissal twice if this is repeated.

• The Employee is drunk during working hours, is under the influence of narcotics or psychotropic substances, or commits an action breaching the public morals at the workplace.

• The Employee assaults during work, the employer, manager in charge, one of his superiors or colleagues at work, by word, action or any form of assault that is punishable under the legislation in force in the State.

• The Employee is absent without a legitimate reason or excuse accepted by the employer for more than (20) twenty intermittent days during one year or more than (7) seven consecutive days.

• The Employee exploited his position in an illegal way to obtain personal results and gains.

• The Employee joins another establishment without abiding by the rules and procedures prescribed in this regard.

D) RETURN OF OUR PROPERTY

On the termination of your employment you must return all our property which is in your possession or for which you have responsibility. Failure to return such items will result in the cost of the items being deducted from any monies outstanding to you..

E) RETURN OF VEHICLES

On termination of your employment, you must return your company vehicle to our premises in a clean condition. Failure to return the vehicle or if you return it in a dirty condition will result in the cost of its recovery or cleaning being deducted from any monies outstanding to you. Any damages to the vehicle will be deducted from your EOS.

F) GARDEN LEAVE

In the event of circumstances prevailing, a period of 'garden leave' may be granted to ensure fairness to both employer and employee.
