Background

Information technology is one of the most important enablers of business today. A well-run IT department provides needed capabilities that are highly available, appropriately secured and consistently reliable.

Managed Service Providers can complement the IT staff of companies with existing IT department by off-loading some of the day to day operations and management of the network. This benefits your company by allowing IT staff to focus on other internal needs.

At the core of such services is a Service Level Agreement (SLA) which would dictated how and when the IT Managed Service Providers (MSP) will respond to your needs, and is customized to fit the needs of your company. With typical break/fix services (contacting when needed), there is no SLA and no guarantee of when the service will be provided. Not having a Managed Service agreement in place with an SLA will cost your company time and money in lost productivity.

In many instances, having a Managed Service agreement in place with a reputable MSP is far less expensive than hiring, training, and retaining your own IT staff. For the companies that do not have IT staff, there is always a staff member that is the go-to “IT person”. Using Managed Services allows that staff member to focus on your company’s business, instead of IT, which is always better for the bottom line.

OUR SERVICE CHARGE

What it cost

Our service costs are amongst the most affordable in the country.

Projects and Service contracts:

We understand that every client’s needs are different and with this in mind, we work to budget. As a result, no one client(s) are ever billed the same on our service agreements or project. We put your budget, individual and unique needs, requirements as well as your individual resources in view when negotiating service agreement or project prices.

The duration of our agreement and project(s) with you as our client is also taken into consideration before billing.

Project Materials:

We practice a cost plus policy of 40% on the present current and available market price for project materials.

Initial set up: • 70% at contract signing.

• 30% at completion of assignment.

• Any other balance owing.

Monthly Managed Service fees: • Due upon receipt of Monthly invoice..

• 5% VAT. Special additional charges: • Will be billed on monthly invoice.

• 5% VAT.

Call Out Cost:

We charge a reasonable call-out cost for mobilization of technical support or consultation at your location.

Our Agreement * Service:

The Service provider deals with information technology management and other related services.

The Client acknowledges that the Service Provider has the necessary qualifications, experience, and abilities to provide services in connection with the information technology needs of the Client.

The Client solicits the engagement of the Service Provider to provide the Customer with IT services consisting of but not limited to: IT INFRASTUCTURE MANAGEMENT; NETWORK CONFIGURATION AND MANAGEMENT; IT SECURITY SOLUTIONS; DISATER RECOVERY AND BACKUP MANGEMENT and other services as the Client & Service Provider may agree upon from time to time.

The Service Provider is agreeable to providing such services to the Client, on the terms and conditions as set out in this Service Agreement.

Working hours are between the hours of 8.00am and 5.00pm Mondays to Fridays (excluding weekends and Statutory Holidays).

The Service Provider reserves the right to provide limited service during holidays.

Remuneration for the Services provided by the Service Provider under this Agreement shall be as based on negotiated price and time as agreed to by both parties.

The Client shall also provide reimbursement to the Service Provider for necessary, reasonable, and documented travel and communications expenses in providing services to the Client under this agreement.

The Service Provider shall report to the Clients office premises based on the agreed numbers of days in a week.

The Service Provider shall charge the Client additional charges for any work provided outside of the agreed terms as overtime.

The Service Provider shall respond to other service requests from the Client within four (4) hours of such request, this further service request will attract further charges as agreed upon by both parties.

The Service Provider will provide the agreed services including the repairs of Client’s IT infrastructures when the need arises.

The Service Provider shall also perform preventive maintenance services on the Client’s IT infrastructure[s] twelve (12) times in a year throughout the duration of this Service Agreement.

The obligation of the Service Provider does not include making purchases for the Client, in the event of need for the purchase of parts, rights or upgrades, the Client shall be liable for such purchase.

The Service Provider shall provide remote support by phone or network and onsite physical support.

The Service Provider shall provide IT Consultancy services for the Client.

Exclusion clauses:

The agreement is entered into upon reliance on the personal skill and qualifications of the Service Provider; the Service Provider therefore is not allowed to delegate this obligation under this agreement without the prior notice and written consent of the Client.

The Service Provider hereby remains an independent contractor and not an employee of the Client.

The Service Agreement does not create a partnership and neither does it amount to a joint venture between the Service Provider and the Client.

In any event that any of the provisions of this Agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid and unenforceable parts severed from the remainder of this Service Agreement.

The agreement automatically comes to an end at the expiration of the period.

Notice of intention to terminate this Service Agreement must be written and 30 days’ notice is required failure of which will attract 1 month remuneration from the offending party.

The Service Provider has the right to terminate the Service Agreement where the Client is in arrears of two months of his Service Agreement, the termination must be expressed in writing and the Client is deemed to have waived his rights to 30 days’ notice to terminate services.

Any amendment to the service agreement must be expressed in writing and signed by both parties or their representatives

Service responds:

In support of services outlined in this Agreement, the Service Provider will respond to service related incidents and/or requests by the Client in a timely manner and based on priorities (Critical, High, Medium, and Normal) which are determined by urgency and level of impact. Such request may be communicated to the Service Provider by phone, email or an online service desk portal.

• Critical - Within 30mins. Catastrophic inability to complete job duties. Example: Computer won’t turn on or boot properly. A complete breakdown of network or entire IT system.

• High – Within 2 business hours. Loss of a major job duty or support on a major IT project. Example: Email not working, not connected to internet, inability to print at all. Installation of a new server or project supervision..

• Medium – Within 4 business hours. There is a problem to be solved but user is still functional and has other options available.

Example: Desktop printer is not working but user has access to departmental printers.

• Normal – Within 8 business hours. General request for machine setup, reformat or other task that are not time sensitive.

Example: User needs help but will not be available until a few days later. General request for VoIP connectivity.

Confidential Information:

The Service Provider shall maintain with strict confidentiality all Information to which the Service Provider has access to while providing services to the Client. Confidential Information includes, but is not limited to, information concerning the business affairs, research, proposals, projects, finances, properties, methods of operation and any other information relating to the Client, its trustees and officers. The Service Provider shall not disclose any such information or materials to a third party, other than in connection with the Service Provider’s duties to the Client under this Agreement.

Renewal:

At the time of the contract renewal, the Client will be notified of any change in the agreement rate, which will then be applicable from that date. The agreement will automatically roll over for a further year at the new rate unless terminated by a 30 days’ notice in writing by the Client. If the services covered by the contract remain unchanged, the Service Provider has the right to automatically increase the cost of the agreement with notice provided to the Client.

An Early Termination Fee (ETF) will be charged to the Client for the remaining durations of the service agreement if and when the client cancels service prematurely or before the expiration of the service agreement. The amount charged would be a sum total of the service remuneration agreed to in paragraph 1 of the TERMS OF AGREEMENT column as reasonable compensation to the Service Provider.

Governing law:

This Service agreement will be governed by constitution and agreement laws of the Federal Republic of Nigeria.
