1.Thehighestbiddershall,subjecttoCondition2,bethePurchaserprovidedthattheVendorreservestherighttobideither byhimselforthroughhisAgentorAuctioneerandshouldanydisputeariseamongthebiddersforanylot,duringor immediatelyafterthesaleofthelot,itshallbesettledattheAuctioneersabsolutediscretionwhomay,shouldoneofthe disputantsadvance,putthelotorlotsupagain.ThebiddingfromtimetotimeshallberegulatedbytheAuctioneerandno bidshallberetracted.
2.Thesalewillbeconductedona“Sale”or“NoSale”basiswherebythelotforsaleshallbeknockeddowntothehighest bidder,butthesalewillbesubjecttotheacceptanceofthehighestbidbytheVendorwhowillimmediatelyafterthefallof thehammerdeclare“Sale”or“NoSale”.ShouldtheVendorrejectthebidofthehighestbiddersuchbidderwillhavethe rightoffirstrefusalofthelotattheVendor’snominatedpriceforonehourafterthelothasbeenpassedoutoftheringon theTermsandConditionshereinsetforthinsofarastheyshallapply.
3.ThedetailsofthePurchaser,thepurchasepriceandthelotsoldasrecordedbythesaleclerkforandonbehalfofthe AuctioneershallbeequallybindingonbothPurchaserandVendor.
4.TheAuctioneerexpresslyreservestheright,withoutgivinganyreasonstherefore,to: (a)Refusetoacknowledgeanybid; (b)Withdrawanylotorlotsbeforeorduringthesale; (c)Excludeanypersonfromtheauctionvenueshoulditthinkfit.
5.EachlotinallcasesshallbeattheriskandexpenseofthePurchaseruponacceptanceofhisbidbytheVendororupon acceptanceofthehighestbidder’soerbytheVendorwhichevershallbetheearlier.
6.ExceptasexpresslyprovidedintheseTermsandConditionsofSalenoguaranteeorwarrantyshallbegiveninrespectof anylotsoldundertheseConditionsastopedigree,sex,age,breedingconditionorotherwisehowsoever,andnoguarantee, warrantyorconditionwhatsoevershallbeimpliedfromanyairmationmadebeforeoratthetimeofthesale,orfromany circumstancesofthesale,butinallcaseswhereaguaranteeisintendedthesameshallattachandbeenforceableonlyif reducedtowritingbeforedeliveryofthelotandsignedbytheVendororbytheAuctioneeractingasagentfortheVendor, andtheabsenceofsuchwritingshallbeconclusiveevidenceincaseofdisputethatnoguarantee,warrantyorcondition whatsoeverwasgivenorimplied.
7.Intheeventofanydisputeinrespecttothesaleofanylot:
(i)ThePurchasershallneverthelessbeobligedtopaytotheAuctioneerthefullpurchasepriceandany othermoniesorinterestpayablebythePurchaserinaccordancewiththesetermsandconditions; (ii)TheVendorandthePurchasershallresolvethedisputebetweenthemselves; (iii)TheAuctioneershallhavenoliabilityorresponsibilityinregardtothedispute;and (iv)NolotshallbereturnedtotheAuctioneerandthePurchasershallindemnifytheAuctioneerforallcosts, expensesanddamageswhichtheAuctioneerisputtoorincursbyreasonofthePurchasersodoing.
8.ThenameoftheVendorforwhomtheAuctioneeractsisacknowledgedtohavebeenfurnishedtoPurchaserspriorto thesaleandfurtherparticularswillinallcasesbefurnishedtoaPurchaserifrequired.Inthecaseofanydisputesthe remedyofthePurchasershallbeagainsttheVendoronlyandinnocaseorunderanycircumstancesagainstthe Auctioneerwhoistoberegardedforallintentsandpurposesasagentforadisclosedprincipal.
9.(a)PAYMENT–UnlesspriorcreditarrangementshavebeenmadeinwritingwiththeAuctioneerthefull purchasepriceforeachlotshallbedueandpayabletotheAuctioneerincashuponacceptanceofthehighestbidor thehighestbidder’sofferbytheVendorandpriortodelivery.Notwithstandingthatdeliveryisgiventoorpossession obtainedbythepurchaserorhisrepresentativepriortothepaymentofthepurchasemoneyinfullthepropertyin anylotwhichissoldshallnotpasstothePurchaseruntilthefullpurchasepriceandallcheques,promissorynotes, billsofexchange,acceptanceordersordraftsgiveninconnectionwithsuchpaymenthavebeenpaidandliquidated, anduntilpropertyshallpass,thePurchasershallholdsuchlotasbailee,providedthatinallcasesshouldsuch paymentnothavebeenmadeandliquidatedwithin14daysofthedateofthesaletheAuctioneerreservestheright to:–
(i)RescindthecontractonbehalfoftheVendorandrepossessandresellanylot;
(ii)RecoverfromthePurchaserinterestuponthepurchasepriceatarateperannumwhichaggregatestheAMBABill Rateplustwopercentum.Forthepurposesofthiscondition,theexpression“theAMBABillRate”istheratepublishedby theAustralianMerchantBankersAssociationingoodfaithasatthedateofthesaleasitsbillratefor180daybillsof exchangeexpressedasapercentageperannum.IfatanytimetheAMBABillRatebecomesunavailableforanyreason,the AuctioneershalldetermineandadvisethePurchaseroftheinterestratetoapplyforthepurposesofthiscondition.
(b)TheAuctioneerissellingasthedelcredereagentoftheVendorandthefullpurchasepriceofanylotsoldshallbe payablebythePurchasertotheAuctioneerandbefullyrecoverablebytheAuctioneerinitsownname.
10.IfthePurchasershallneglectorfailtocomplywithanyofthewithinconditions,anylotpurchasedbyhimmaybe immediatelyresoldbypublicauctionorprivatecontract,withorwithoutnotice,attheriskoftheformerPurchaser,who willbeheldresponsibleforalllossandexpensesarisingoutofsuchresale,andshallnotparticipateinanyprofit accruingtherefrom.
11.AnyVendororPurchaserremovingthesalenumberfromanylotafterithasbeensoldwillfullyindemnifyallaected partiesforanyloss,costsordamageshouldthelotbewronglydelivered.
12.ThePurchasers,ifanymorethanone,shallbejointlyandseverallyboundbytheseTermsandConditions,andshall jointlyandseverallycarryoutandperformsame.
13.Anypersonwhoadvancesabidonalotshalldosoontheexpressedconditionandunderstandingthatshouldthatperson’s bidbethehighestbidandsuchbidisacceptedbytheVendor,thenthatpersonwillbeheldpersonallyliablefortheprice soagreedupon,regardlessofthefactthatthatpersonmaybeactingonbehalfofanotherparty,eitherdisclosedor undisclosedtotheVendororAuctioneer,providedhowever,thatthisConditionshallnotinanywaynegatetheVendor’s righttoclaimagainstanyprincipalandinsuchcasethebidder’sliabilityshallbeconstruedtobebywayofguarantee.
14.TheAuctioneermay,shoulditthinkfit,makearrangementsonaPurchaser’sbehalfforthefeeding,watering,trucking,shipping ofandgeneralattendancetoanylotaftersalebutnoresponsibilitywillbeacceptedbytheAuctioneerandallsuchservice willbeatthePurchaser’sriskandexpense.
15.NolotwillbedelivereduntilthesalesinvoicehasbeencheckedandsignedbythePurchaserorhisdulyauthorised representative.
16.(a)Eachlotinallcasesshallbesoldwithallfaults,ifany,andexceptingthoseconditionsandwarrantiesimpliedby theTradePracticesActoranyapplicableStatelegislationwhichcannotbecontractuallyexcludedandexcepting conditionsandwarrantiesexpresslycontainedintheseTermsandConditionsofSale,anyexpressorimplied condition,statementofwarranty,statutoryorotherwise,isherebyexcluded.TheAuctioneerisnotliableinrespectof anyerror,misdescriptionoromissioninanyparticularsappearingorstatedregardingthedescriptionofpedigreesof anylotofferedforsaleandnosucherror,misdescriptionofomissionshallentitlethePurchasertoannualthesaleor rejectthelotorclaimanycompensation,damageorabatementinprice.
(b)Eachlotwillbesoldsubjecttopassingallveterinarytestsrequiredbythelawofthestateorcountrytowhichthe Purchaserintendstotransportthatparticularlot,suchteststobeundertakenatthePurchaser’sexpenseand concludedimmediatelyfollowingthesale.Intheeventofalotfailingtopassthesetests,thesaleshallbenulland void,anypurchasemoneyspaidbythePurchasershallberefundedandpropertyinthelotshallreverttoorremain withtheVendor.
17.GuaranteesofFertility:—
(1)BULLS-Saveandexceptforcalvesatfoot,allbullsareguaranteedbreedersandtosoprovebythelaterof:
(a)twelvemonthsafterthedateofsaleor
(b)theanimalreachingtheageof24months
(2)FEMALES-Saveandexceptforfemalecalvesatfoot,allfemalesareguaranteedtobeincalforgointo calfbythelaterof: (a)6monthsofthedateofsale
(b)theanimalreachingtheageof30months
Apositivepregnancytestcertifiedbyaqualifiedveterinarysurgeonshallbesufficientevidencethattheanimalisincalf. (3)ClaimsunderClauses17(1)and17(2).Aclaimthatananimalhasfailedtosatisfyaguaranteeof fertilityunderClause17(1)or17(2)mustbemadetotheVendorwithintherelevantguaranteeperiodbutprior totheanimalenteringaquarantineareaotherthanontheVendor’sproperty.
(a)Allclaimsmustbeaccompaniedbyacertificatefromaregisteredveterinariansurgeon inaccordancewiththeguidelinesestablishedbytheAustralianAssociationofCattleVeterinarians whichmustclearlyidentifythebasisoftheclaim.
(b)SubjecttoClause17(9),infertilityresultingfrominjuryordiseaseoccurringafterthesaleof theanimalisnotcoveredbythisguarantee.
(c)TheVendorretainstherighttohavetheanimalplacedonapropertynominatedbyhimorreturned tohisownpropertyforfurtherassessmentoffertilityforaperiodnotexceedingsixmonths.Iftheanimalproves fertilewithintheperiodsuchstatusmustbeconfirmedbyacertificateissuedby aregisteredveterinarysurgeoninaccordancewiththeguidelineestablishedbytheAustralianAssociationofCattle VeterinariansandcostsincurredmustbebornebythePurchaser.Iftheanimal isnotprovenfertilewithintheperiod,thecostsincurredmustbebornebytheVendor.
(4)LIABILITYOFAVENDOR-Exceptforcostsdefinedelsewhereintheconditionsofsale,theliabilityofaVendor inrespectofclaimsrelatingtofertilityshallnotexceedthepurchasepriceoftheanimal(s)or providemutuallyagreeduponreplacementanimal(s).
(5)Intheeventofaclaimbeingsubstantiated:
(a)Thepurchasepriceshallberefundedwithin14daysunlessamutuallyagreeduponreplacementanimal hasbeenprovided.
(b)Theanimal/swhicharethesubjectoftheclaimshallautomaticallybecomethepropertyoftheVendorand bereturnedtohimordisposedofaccordingtohisinstructionathisexpense.
(6)SubjecttoClause17(9),thisguaranteeisofnoeectif:
(a)TheanimalisreturnedtotheVendor.
(i)Inpoorphysicalconditionorwithanyinjury;
(ii)TestscarriedoutonbehalfoftheVendorwithinfourteendaysofsuchreturnprovedpositivetoanydiseases whichmayaecttheanimal’sfertilityorabilitytobreednaturally;or
(b)ThePurchaserhascollectedandstoredsemenfromabullor
(c)ThePurchaserattemptedanyformofembryocollectionfromafemale.
(7)Intheeventofadisputeastowhetheralotisabreeder,suchdisputeshallberesolvedbytheVendorand thePurchaser.TheAuctioneer,whilehewillusehisbestendeavourstoassist,shallhavenoliabilityorresponsibility inthatregard.Ifananimalisallegedorprovednottobeabreeder,thePurchasermustneverthelesspaythe AuctioneerthefullpurchasepriceandanyothermoniesorinterestpayablebythePurchaserinaccordancewiththese TermsandConditions.
(8)EVIDENCEOFFERTILITY–ACertificateissuedbyaregisteredveterinarysurgeonatorbeforethetimeofsale thatananimalisfertile(unlessitisacertificatestatinginrespectofafemalethatsheisincalfatthetimeofsale) doesnot,ofitself,satisfyordischargetheVendor’sobligationsundertheguaranteeoffertilitygivenunderthisClause 17.Allanimals,exceptcalvesatfoot,mustprovetheirfertilitywithintherelevantguaranteeperiod.
(9)RELIEFFROMGUARANTEE–IftheVendorseekstoberelievedfromtheobligationswhichwouldotherwisebe imposeduponhimbythisclausebyvirtueofClauses17(3)(b)or17(6)(a),theonusofproofisupontheVendorto establishthat:
(a)Theanimalsueredtheinjuryordiseaseorisinpoorphysicalconditionduetocircumstancesand eventsoccurringafterthesale,and
(b)Theinjury,diseaseofphysicalconditionisthesolecauseoftheanimal’sinfertilityorfailureto provefertilitywithintheguaranteeperiod.
(10)DEFINITION–ForthepurposeofthisClause17,theexpression“guaranteeperiod”means: (a)inrelationtobulls–theperiodspecifiedinClause17(1)asbeingtheperiodinwhichthebull mustprovehisfertility;and
(b)inrelationtofemales–theperiodspecifiedinClause17(2)asbeingtheperiodinwhichthe femalemustgointocalf.
18.(a)EachlotshallbeattheriskoftheVendorinrespectofanydamageorinjury,whetherbydiseaseaccidentor otherwise,orwhethercausedbythenegligenceoftheAuctioneerfortheperiodthatthelotbeinthecustodyofthe Auctioneer,unlesssuchlotsshallhavebeensoldinwhichlattercasesuchlotshallbeattheriskofthePurchaserinall suchrespects.
(b)IfanyVendorbringstothesalepremisesanylotwhichisdangerous,orinfectedwithanydisease,thatVendor shallbeliableforallinjury,damages,costs,lossesorexpenseswhichtheAuctioneermaysustain,incurorbeputto eitherdirectlyorindirectlyasaresultoftheVendorsodoing.TheAuctioneerreservestheright,atitsabsolute discretion,toexcludefromthesale,orputoutofthesalevenueodisposeof,anylotwhichinitsopinionshows signsofanydisease,whetherinfectious,contagiousornot,orofanyseriousfaultorofbeingdangerous.
19.DELIVERY—ExceptatthediscretionoftheAuctioneernolotshallbedeliveredtothePurchaserunlesspaymentof thepurchasemoneytogetherwithanyadditionalchargesincurredincludingthoseexpensesincurredbythe AuctioneerpursuanttoCondition14hereof,isfirstmadebythePurchasertotheAuctioneer.Releaseoflotsmaybe withheldbytheAuctioneeruntilpersonalchequesarecleared.
20.IntheseConditions:—
(a)Referencesto“Auctioneer”shallbetakentomeanasthecontextsoadmits,theSellingAgentorany member,subsidiaryorrelatedcorporationorbody,oicer,agentoremployeethereof,authorisedbytheVendorto conductthesaleofthelot;
(b)“Purchaser”shallhavethemeaningascribedtoitinCondition1;
(c)“Vendor”shallmeanthepersonorcorporationuponwhoseaccountlotsareoeredforsaleandwherea studorfarmisnamedshallmeantheproprietorofthatstudorfarm;
(d)“Lot”shallbetakentomeantheanimaloeredforsaleand/orsoldbytheAuctioneeronbehalfofaVendor.
