Minutes of the Nominating Committee April 24, 2025

On Thursday, April 24, 2025, the Nominating Committee of the Arts and Sciences Foundation Board of Directors met in 205 South Building at 3:30 p.m. The following directors and staff were present:

The meeting was called to order at 3:34 p.m. by Ashley Reid, who welcomed new committee member Lee Loughran.

Approval of the Minutes

Pam Parker made a motion to approve the minutes from the Nominating Committee meeting on October 4, 2024, seconded by Grace Mercer Schott The motion passed unanimously

Re-election of the Class of 2025 to the Class of 2028

The Nominating Committee recommended that the following members of the Class of 2025 be re-elected to the Class of 2028:

Election of Officers

The Nominating Committee recommended the following slate of officers for 2025-2026:

Election of New Directors

Eight directors will rotate off the Board on June 30, 2025: Eva Davis, Molly Monk, John Powell, William Ragland, Grace Mercer Schott, James Sigman, Thomas Story and James Tanner Jr The Nominating Committee reviewed a list of candidates, considering a range of demographics to ensure a well-rounded board.

Review of Potential Foundation Board Candidates

Committee members reviewed the pipeline and recommended for election a slate of 13 potential members to fill the eight open slots.

Recommendation for Dean’s Award for Distinguished Service

The Dean’s Award for Distinguished Service recognizes volunteers who have served the College with exceptional vision and leadership. The Nominating Committee recommended Eric Sklut as the recipient of the 2025-2026 Dean’s Award for Distinguished Service to be presented during the fall 2025 or spring 2026 board meeting

Dean’s Arts and Sciences Leadership Council

The pilot phase included an active group of volunteers, assisting the dean and senior associate deans in a range of activities that help advance the College, including advocacy, counsel and philanthropy. This structure will enable the Arts and Sciences Foundation to engage more alumni, parents and friends with a broad range of interests across the College, ultimately increasing philanthropic support. Nominating committee members expressed how much they enjoyed the “deep dive” sessions following lunch and in conjunction with the Dean’s Arts and Sciences Leadership Council.

Announcements/Reminders

Ms. Reid provided an overview of the evening’s activities with the celebration of the Arts and Sciences Foundation’s 50th anniversary.

With no other discussion needed, the meeting adjourned at 4:38 p.m.

Responsibilities of a Director

The Arts and Sciences Foundation, Inc.

The mission of the Arts & Sciences Foundation is to enhance the College by meeting the needs of the various academic departments, promoting teaching, research and service, and supporting the continuing development of knowledge and learning.

Since the founding of the Arts and Sciences Foundation in 1975, its directors have served the College of Arts and Sciences through their counsel, advocacy and philanthropy. The College gratefully acknowledges the vital role of the Foundation in its development efforts and clearly states its expectations of directors.

• Directors of the Arts and Sciences Foundation, who are elected for three-year terms, serve as advisors to the Dean of the College in accordance with Foundation by-laws, the Foundation mission statement and annual operating plans.

• Directors serve as fiduciaries of the Foundation with responsibility for reviewing and approving Foundation operations.

• Directors have an enthusiastic and faithful commitment to the College of Arts and Sciences and its central role in the University.

• Directors are expected to make the College of Arts and Sciences among their highest philanthropic priorities for personal support and to provide financial support according to their means.

• Directors are further expected to make annual unrestricted leadership gifts appropriate to the member’s ability to the Arts & Sciences Annual Fund.

• Directors actively assist the Dean and the Foundation staff with ongoing development efforts including comprehensive campaigns, special projects and annual giving.

• Directors attend two board meetings each year and participate actively in general board sessions as well as committee meetings. While these meetings will normally convene in Chapel Hill, they may also occur at off-campus locations.

• Directors serve the College as a whole, and not specific internal or external constituencies.

• Directors respect the confidentiality of information received as a member of the Arts and Sciences Foundation Board.

DEAN’S AWARD(S) FOR DISTINGUISHED SERVICE TO THE COLLEGE OF ARTS AND SCIENCES THE UNIVERSITY OF NORTH CAROLINA AT CHAPEL HILL

The Dean’s Award(s) for Distinguished Service to the College of Arts and Sciences was established in 2010 by the Arts and Sciences Foundation to recognize volunteers who have served the College with distinction. The annual award(s) honors alumni and friends for their level of personal commitment, their leadership, and their dedication to the mission and goals of the College of Arts and Sciences.

The Arts and Sciences Foundation Board of Directors selects recipients. The Nominating Committee forwards the names of nominees to the Board; the Board votes on the nominees at the annual spring meeting. The Award is typically presented to the recipient(s) at the subsequent fall board dinner. Current Directors and Foundation staff are excluded from consideration.
