District Board of Directors Meeting 07/10/2023 Board of Directors (BOD) Meeting Tuesday, July 10, 2023 Northern Cochise Community Hospital (NCCH) East Wing Conference Room – 4:00 p.m.

Present:

David Miller, Chairman Ellen Kauffman, Director Wendy Conger, Director Winfield Thomas, Director Carol Dunagan, Director Mo Sheldon, Secretary, NCCH CEO

Absent: Others Present: James Kraykovich, Controller David Miller, Chair, called the meeting to order at 4:15 P.M. Declaration of Conflict of Interest: David Miller requested that if anyone had conflicts, they be stated. No conflicts were declared.

Call to the Public: David Miller noted that no members of the public were present. MINUTES Members reviewed the June 1, 2023, District Board meeting minutes.  Action: Ellen Kauffman moved to approve the minutes of the June 1, 2023 District Board meeting as presented. Carol Dunagan seconded the motion. The motion passed unanimously.

FINANCIAL REPORT 1. Review and Consider District Financial Statements for the period ending June 1, 2023.  Action: Carol Dunagan motioned to approve the financial statements, with a second by Ellen Kauffman.

The motion passed unanimously.

2. James Kraykovich reported the Funds Balance at the County Treasurer’s office as $634,415.96.

District Board of Directors Meeting 07/10/2023 3. Consider and approve the warrant $634,415.96.  Action: Wendy Conger motioned to approve the warrant for $633,415.96 with a second by Carol Dunagan. The motion passed unanimously.

4. Consider approval of Northern Cochise County Hospital District Annual Budget YE June 30, 2024.  Action: Ellen Kauffman motioned to approve the Northern Cochise County Hospital District Annual Budget YE June 30, 2024, seconded by Winfield Thomas. The motion passed unanimously.

BOARD BUSINESS 1. Northern Cochise Community Hospital Report - Mo Sheldon  Mo Sheldon shared that June was a good month. Mo announced the planning process for the next 5 years and asked the Hospital District board members for their input. Should there be any suggestions Hospital District Board members are encouraged to email her. Mo also discussed the recruitment status for the full-time position for clinics and the challenges to recruit Physicians and Nurse Practitioners for the past 2 years.

FUTURE MEETING DATES AND ITEMS FOR FUTURE AGENDA  Discuss future meeting dates:  09/26/2023  01/02/2024  04/02/2024  05/23/2024  07/02/2024 Wendy Conger suggested moving Jan 2, 2024, to Jan 9, 2024, or another day within the week. The board will consider later in the year.
