(2) EXCLUSIVEREPRESENTATION;BUYERACQUISITION: IfExclusiveischeckedin paragraph2A(2) andinitialedin paragraph15,BrokerisentitledtocompensationifBuyeracquiresPropertyduringtheRepresentationPeriodorany extensionwithorwithoutBrokerInvolvement,evenifanotherbrokerisalsoentitledtobepaidforrepresentingBuyer.
(3) BUYERINCLUDES anypersonorentity,otherthanBroker,relatedtoBuyerorwhoinanymanneractsonBuyer'sbehalfto acquirePropertydescribedin paragraph2B.
(4) BROKERINVOLVEMENT,whereverusedinthisAgreementsmeansanyofthefollowing:

●BrokershowedthePropertytoBuyervirtually;
●Brokersubmittedtosellerasigned,writtenofferfromBuyertoacquire,lease,exchangeorobtainanoptiononthe Property;
●BrokerperformedamarketanalysisrelatedtothePropertyorreviewedpropertyspecificdocumentsordisclosureswith Buyer;or
●ThePropertywasintroducedtoBuyerbyBrokeroroneforwhichBrokeractedonBuyer'sbehalf.However,merely sendingBuyeralistofpropertiesshallnotbedeemedBrokerInvolvementwithoutdocumentedactiononthepartof BrokeranalyzingthePropertyforBuyer,specifically,orassistingBuyerinthepotentialacquisitionoftheProperty,or communicatingwithsellerorseller'sagentregardingBuyer'spotentialacquisitionoftheProperty.
C.CONTINUATIONOFRIGHTTOCOMPENSATIONFORBROKERINVOLVEDPROPERTIES:
(1)Brokershallbeentitledtothecompensationprovidedforin paragraph2E(1) if,duringtheContinuationPeriodspecifiedin paragraph2E(3),BuyerentersintoanagreementtoacquirePropertyforwhichtherewasBrokerInvolvement.The timingofsuchpaymentissubjecttothetermsof paragraph4D
(2)Broker'srighttocompensationpursuanttothisparagraphshallonlyapplyif,priortoexpirationofthisAgreementorany extension,BrokerdeliversBuyerawrittennoticeofthosepropertiesforwhichtherewasBrokerInvolvement(C.A.R.Form NBIP).
D.TIMINGOFCOMPENSATION: Compensationispayable:
(1)Uponcompletionofanyresultingtransaction,andthroughescrow.Brokershallbeentitledtocompensationwhetherany escrowresultingfromthisAgreementclosesduringoraftertheRepresentationPeriod.
(2)IfacquisitionispreventedbydefaultofBuyer,uponBuyer'sdefault.
(3)IfacquisitionispreventedbyapartytothetransactionotherthanBuyer,whenBuyercollectsdamages,orobtainsspecific performance,bysuit,settlementorotherwise.Ifdamagesarerecovered,compensationshallequalone-halfofthedamages recovered,nottoexceedthecompensationprovidedforin paragraph2E(1),afterfirstdeductingtheunreimbursed payments,creditsandexpensesofcollectionandsuit,ifany.
E.PAYMENTTHROUGHESCROW: BuyerherebyirrevocablyassignstoBrokerthecompensationprovidedforinthisAgreement fromBuyer'sfundsinescrow.BuyeragreestosubmittoescrowanyfundsneededtocompensateBrokerunderthisAgreement. BrokermaysubmitthisAgreement,asinstructionstocompensateBroker,toanyescrowregardingPropertyinvolvingBuyerand asellerorothertransferor.
F.ACCOUNTINGFORPAYMENTSTOBROKERIFBROKERALSOREPRESENTSSELLER: IfBrokerhasasignedlisting agreementwiththesellerofthePropertytobepurchased,Buyershallnotreceiveacreditforthecompensationsellerowes brokerforrepresentingSeller.
G.PAYMENTSRECEIVEDFROMOTHERSLESSTHANBUYERCOMPENSATIONOBLIGATION:
(1)BrokerandBuyershoulddiscusswhetheritwouldbebeneficialtoincludeaterminanyofferBuyermakesobligatingthe sellertopayBroker,directlyorthroughescrow,forsomeorallofthecompensationthatBuyerowesBroker.
(2)Ifsellerdoesnotpayascontractuallyrequired,BuyerassignstoBroker,asathird-partybeneficiary,anyrightsBuyerhas topursuethesellerforsuchcompensation.
H.DISCLOSUREOFPAYMENTSTOBROKER: Broker,independentlyorthroughescrow,willdisclosethefinalcompensation BrokerreceivesfromanyoneotherthanBuyer.
5.CANCELLATIONOFBUYERREPRESENTATIONAGREEMENT:

6.AGENCYRELATIONSHIPS:
A.DISCLOSURE: Buyeracknowledgesreceiptofthe“DisclosureRegardingRealEstateAgencyRelationship”(C.A.R.FormAD).
B.POSSIBLEDUALAGENCYWITHSELLER: BrokerwillrepresentBuyerinanyresultingtransaction.Brokermayactasanagent forbothBuyerandaseller.Broker,inwriting,shallconfirmtheagencyrelationshipwithonlyBuyer,orbothBuyerandseller, priortoorconcurrentwithBuyer'sexecutionofacontracttoacquireaProperty.BuyeracknowledgesreceiptofaPossible RepresentationofMoreThanOneBuyerorSeller‒DisclosureandConsent(C.A.R.FormPRBS).
7.PROPERTIESEXCLUDEDFROMREPRESENTATION:
A.ADVISORYREGARDINGBUYERSIGNINGMULTIPLEBUYERREPRESENTATIONAGREEMENTS:
(1)BuyershallinformBrokerinwritingifBuyerhassignedanyotherbuyerrepresentationagreements,whetherexclusiveornonexclusive,withanyotherBrokerforanyPropertydescribedin paragraph2B andprovideacopyoftheagreementtoBroker.
(2)BuyershalldisclosetoBrokerifanotherbrokershowedBuyersuchPropertyvirtuallyorin-person,orwroteanofferon,or otherwiseactedonBuyer'sbehalffor,suchProperty.BuyermayowecompensationtothatbrokerifBuyerpurchasessuch Property.
(3)IfBuyerhassignedanexclusivebuyerrepresentationagreementwithanotherbrokerthathasnotexpiredorbeenterminated, BuyermayowecompensationtothatbrokerifBuyerpurchasessuchPropertyevenifthatotherbrokerhadnoinvolvement withtheProperty.
(4)Buyershalldisclosein paragraph2D anyPropertyforwhichBuyerisobligatedtopayanotherbroker.
B.CONFLICTSWITHOTHERBROKER: UnlessotherwisenotifiedbyBuyer,BuyeracknowledgesthatforthePropertyidentified in paragraph2B,excludinganyPropertyspecifiedin paragraph2D Buyer: (i) hasnotenteredintoanexclusiverepresentation agreementwithanotherbroker;and (ii) hasnoobligation,evenunderanon-exclusiverepresentationagreement,topay compensationtoanyotherbrokerarisingoutoftheacquisitionoftheProperty.
C.LIMITATIONONBROKERREPRESENTATION: Ifapropertyisexcludedin paragraph2D,duringthetimeBuyerisobligated tocompensateanotherbroker,BrokerisnotobligatedtoassistBuyerwithrespecttothatproperty,andBuyershallnotowe BrokercompensationunderthisAgreementforthatproperty.
8.BROKERAUTHORIZATIONSANDOBLIGATIONS:
A. BrokeragreestoexercisereasonableeffortandduediligencetoachievethepurposesofthisAgreement.
B. BrokerwillassistBuyerby:
(1)LocatingandpresentingselectedpropertiestoBuyer,presentingoffersauthorizedbyBuyer,assistingBuyerinnegotiating foracceptanceofsuchoffersand,asapplicable,termsandconditionsfollowingsuchacceptance,andfacilitatingthe escrowprocessforsuchacceptedoffers;
(2)AsdirectedbyoragreedwithBuyer,orderingreportsandInvestigations,andschedulingandattendingmeetingsand appointmentswithprofessionalschosenbyBuyer;
(3)Uponrequest,providingBuyerwithalistofprofessionalswhoperformtheservicesdescribedintheattachedBuyer's InvestigationAdvisory,providedBrokerhasareferrallistforsuchrequestedservices;and
(4)Uponrequest,assistingBuyerwiththefinancingprocessbymakingreferralstolendersknowntoBroker,andassisting Buyerinobtainingloanpre-qualification,totheextentBrokercandosowithoutactingasaMortgageLoanBroker.
C. IfthePropertycontainsresidentialpropertywithonetofourdwellingunits,Brokerwillconductareasonablycompetentand diligent,visualinspectionoftheaccessibleareasoftheonetofourProperty(excludinganycommonareas)anddiscloseto BuyerallfactsmateriallyaffectingthevalueordesirabilityofsuchPropertythatarerevealedbythisinspection.
D. BrokershalldeliverorcommunicatetoBuyeranydisclosures,materialsorinformationreceivedby,inthepersonalpossession oforpersonallyknowntotheindividualsigningforBrokerduringtheRepresentationPeriod.Unlessotherwisespecifiedin writing,anyinformationprovidedthroughBroker,whilerepresentingBuyer,hasnotbeenandwillnotbeverifiedbyBroker.
E. Broker'sservicesareperformedincompliancewithfederal,stateandlocalanti-discriminationlaws.
9.BUYEROBLIGATIONS:
A.GOODFAITH: Buyeragrees: (i) totimelyviewandconsiderpropertiesselectedbyBroker; (ii) negotiateingoodfaithtoacquire aProperty;and (iii) BuyerfurtheragreestoactingoodfaithtowardthecompletionofanycontractenteredintoforaProperty.
B.FINANCIALANDPERSONALINFORMATION:
(1)Withinthetimespecifiedin paragraph2G(1),Buyershallproviderelevantpersonalandfinancialinformation,including, butnotlimitedto,proofoffundsneededtocompletethepurchaseofPropertyandsatisfytheobligationtopayBroker,and apreapproval/prequalificationletter,toBrokertoassureBuyer'sabilitytoacquireProperty.IfBuyerfailstoprovidesuch information,orifBuyerdoesnotqualifyfinanciallytoacquireProperty,thenBrokermaycancelthisAgreementinwriting.

(2)Iftheboxischeckedin paragraph2G(2),foranyPropertyforwhichBuyerwritesanoffertopurchase:
(A)BuyeragreestoincludeaterminBuyer'sofferrequestingsellertocompensateBuyer'sBroker;and
(B)Foratransaction,thisAgreementiscontingentuponseller,orothers,orboth,agreeingtopayBrokerthefullamount thatBuyeriscontractuallyobligatedtopayBroker.ThiscontingencyisinfavoroftheBroker,andBrokermayelectto cancelthisAgreementrelatedtorepresentationonthatspecificproperty,ifthesellerdoesnotagreetopaythefull amountthatBuyeriscontractuallyobligatedtopayBroker.BrokershallinformBuyer,sellerandlistingagentthat BuyerisproceedingwithoutrepresentationandthattheyshallcompleteanewAgencyConfirmationremovingBroker asrepresentingBuyer.
C.REASONABLECAREANDOTHERPROFESSIONALASSISTANCE:
(1)Buyerisobligated,andagrees,toreadalldocumentsprovidedtoBuyer.
(2)Buyeragreestoseekdesiredassistancefromappropriateprofessionals,selectedbyBuyer,suchasthosereferencedin theattachedBuyer'sInvestigationAdvisory.
(3)BuyerisadvisedtoreadtheattachedBuyer'sInvestigationAdvisoryforalistofitemsandotherconcernsthatmay warrantinvestigationbyBuyerorotherprofessionals.
D.REPORTS/INVESTIGATIONS: Buyeragreestopayforreports,InvestigationsandmeetingsarrangedbyBrokerforBuyer.
E.BUYERMATERIALISSUES: ForanyPropertyforwhichBuyerhasmadeanofferorareconsideringmakinganoffer,Buyershall notifyorupdateBrokerinwritingofanymaterialissuetoBuyerforthatPropertysuchas,butnotlimitedto,Buyerrequestsfor informationon,orconcernsregarding,anysubjectofinterestorimportancetoBuyer(C.A.R.FormBMI-SP).IfBuyerdoesnot providesuchinformationforaPropertyforwhichBuyermakesanoffer,thatPropertyshallbedeemedtosatisfyBuyer'smaterial considerationsnotwithstandinganypreferencesandprioritiesidentifiedinC.A.R.FormBIPP,ifonehasbeencompleted.
F.INCORRECT,INCOMPLETEORINACCURATEINFORMATION: Buyeragreestoindemnify,defendandholdBrokerharmless fromallclaims,disputes,litigation,judgments,andcostsarisingfromanyincorrectinformationsuppliedbyBuyer,orfromany materialissuesthatBuyerfailstodiscloseinwritingtoBroker.
10.ATTORNEYFEES: Inanyaction,proceedingorarbitrationbetweenBuyerandBrokerarisingoutofthisAgreement,BuyerandBroker areeachresponsibleforpayingtheirownattorneyfeesandcosts,exceptasotherwisespecifiedin paragraph12A
11.MANAGEMENTAPPROVAL: Ifanassociate-licenseeinBroker'soffice(salespersonorbroker-associate)entersintothisAgreement onBroker'sbehalf,BrokerorManagerhastherighttocancelthisAgreement,inwriting,within 5days afteritsexecution.
12.DISPUTERESOLUTION:
A.MEDIATION: BuyerandBrokeragreetomediateanydisputeorclaimarisingbetweenthemunderthisAgreement,before resortingtoarbitrationorcourtaction.Mediationfees,ifany,shallbedividedequallyamongthepartiesinvolved.If,forany disputeorclaimtowhichthisparagraphapplies,anyparty (i) commencesanactionwithoutfirstattemptingtoresolvethematter throughmediation,or (ii) beforecommencementofanaction,refusestomediateafterarequesthasbeenmade,thenifthatparty isthelosingpartyinanysuchaction,theprevailingpartyshallbeentitledtorecoverattorney'sfeesfromthenon-mediatingparty, notwithstandingthetermsin paragraph10.Exclusionsfromthemediationagreementarespecifiedin paragraph12B
B.ADDITIONALMEDIATIONTERMS: Thefollowingmattersareexcludedfrommediation: (i) ajudicialornon-judicialforeclosure orotheractionorproceedingtoenforceadeedoftrust,mortgageorinstallmentlandsalecontractasdefinedinCivilcode§2985; (ii) anunlawfuldetaineraction; (iii) thefilingorenforcementofamechanic'slien;and (iv) anymatterthatiswithinthejurisdiction ofaprobate,smallclaimsorbankruptcycourt.Thefilingofacourtactiontoenabletherecordingofanoticeofpendingaction fororderofattachment,receivership,injunction,orotherprovisionalremedies,shallnotconstituteawaiverofthemediation provisions,providedthefilingparty,concurrentwithorimmediatelyaftersuchfiling,makesarequesttothecourtforastayof litigationpendinganymediationproceeding.
C.ARBITRATIONADVISORY: IfBuyerandBrokerdesiretoresolvedisputesarisingbetweenthemthrougharbitrationrather thancourt,theycandocumenttheiragreementbyattachingandsigninganArbitrationAgreement(C.A.R.FormARB).
13.LEGALLYAUTHORIZEDSIGNER: WhereverthesignatureorinitialsoftheLegallyAuthorizedSigner,identifiedinthesignature blockbelow,appearonthisAgreementoranyrelateddocuments,itshallbedeemedtobeinarepresentativecapacityfortheentity describedandnotinanindividualcapacity,unlessotherwiseindicated.TheLegallyAuthorizedSigner (i) representsthattheentityfor whichthatpersonisactingalreadyexistsandisingoodstandingtodobusinessinCaliforniaand (ii) shalldelivertoBroker,within 3 days afterexecutionofthisAgreement,evidenceofauthoritytoactinthatcapacity(suchasbutnotlimitedto:applicableportionofthe trustorCertificationOfTrust(ProbateCode§18100.5),letterstestamentary,courtorder,powerofattorney,corporateresolution,or formationdocumentsofthebusinessentity).
14.ENTIREAGREEMENT: AllunderstandingsbetweenthepartiesareincorporatedinthisAgreement.Itstermsareintendedbythe partiesasafinal,completeandexclusiveexpressionoftheiragreementwithrespecttoitssubjectmatter,andmaynotbecontradicted byevidenceofanyprioragreementorcontemporaneousoralagreement.ThisAgreementmaynotbeextended,amended,modified, alteredorchanged,exceptinwritingsignedbyBuyerandBroker.IntheeventthatanyprovisionofthisAgreementisheldtobe ineffectiveorinvalid,theremainingprovisionswillneverthelessbegivenfullforceandeffect.ThisAgreementandanysupplement, addendumormodification,includinganyphotocopy,facsimile,orelectronic,maybeexecutedincounterparts.

A. ThisAgreementshallbeexclusive.BrokerwilldevotetimeandresourcestoassistBuyerinfindingandacquiringtheProperty intheexpectationofbeingpaidforBroker'sservices. Buyershallnotenterintoanotherrepresentationagreementin conflictwiththisAgreement.
B.COMPENSATION: BrokerisentitledtocompensationifBuyeracquiresPropertyduringtheRepresentationPeriodwithor withoutBrokerInvolvement,evenifanotherbrokerisalsoentitledtobepaidforrepresentingBuyer.
C.CANCELLATION: EitherBuyerorBrokermayunilaterallycancelthisAgreementbygivingtheother30dayswrittennotice(oras otherwisespecifiedin paragraph2F).If,within 5days aftertheeffectivedateofthecancellation,BrokerprovidesBuyeralist ofpropertiesforwhichtherewasBrokerInvolvement,BrokermaystillbeentitledtocompensationifBuyerpurchasesoneofthe propertiesonthelistduringtheRepresentationPeriodortheContinuationPeriodspecifiedin paragraph2E(3)
