OBSERVATIONS AND CONVERSATIONS In most leases, the legal intent and consequences are the same; however, too many tenants and landlords get caught up in the minutia of semantics during both the LOI phase and lease negotiations. Ann O’Neal Welcome to The Dealmakers’ pre-show edition for RECon. I’m hearing from the street that most people have a full schedule of appointments this year, and they were already fully booked weeks before the show. This year, I have more appointments directly with retailers, not their tenant reps, than I have had in the past five years. Monday and Tuesday will definitely have a high attendance, but as usual, a short day on Wednesday will most likely have lower traffic. In my opinion, Wednesdays are the best day to talk to people because they aren’t distracted by thinking about staying on time with their schedule. Plus, by the third day of the convention, most people are usually so tired that they’re more relaxed. There are a lot more cocktail parties this year, too. It’s nice to see that so many companies have the budget to throw a big bash; we’ve come a long way since 2010 when most companies had no choice but to make severe cuts to entertainment expenses. Hopefully, everyone will party their hearts out; we’ve earned good times as survivors of the last great recession. The Dealmakers’ RECon special edition also marks our 30th anniversary; I’m looking forward to the next few decades of watching the shopping center industry evolve and grow. The Dealmakers’ state of the industry report will be published in the special show edition for RECon. It’s a must read and gives benchmarks on the industry from 2010 to date. The research for the report finds that retailers are more actively opening stores, and in addition, rents, land and construction costs are increasing in prime real estate markets. The report also addresses acquisition activity, as well as forecasts interest and Cap rates. It’s not just a report of statistics; the melding of virtual and physical store fronts is also explored in depth, as well as emerging retail concepts. We will distribute the RECon edition to the hotel rooms of the attendees that booked through Deprez Travel, plus, you can pick up a copy at newsstands in our advertisers’ booths throughout the convention and, of course, from our booth #283 in the South Hall on Q Street. Also, the magazine has a floor plan of the convention for you to conveniently reference. The RECon issue has an interesting feature article on how to speed up the process of getting leases signed. If you compare how we transact business today to thirty years ago, it’s like comparing an abacus to an iPhone. The expense was also greater; in order to get an aerial photo I would hire a pilot to fly over the site and take photos, then the prints of the photos would be mailed. Plus, demographic reports took two weeks, and they were also sent by snail mail. Negotiating a lease was a nightmare compared to today with almost instantaneously sharing written comments electronically. I remember spending from 8:00 to midnight negotiating lease and sale agreements with the landlord or the seller, the tenant or the buyer, two lawyers, a few brokers and I stuffed into a conference room. It was close to torture after the first nine hours and I think a lot of deals got finalized in the wee hours just because everyone was too exhausted to fight any more. The conversation always got heated because everyone was under Page 6 | May 8, 2015

pressure to get the deal signed before anyone could leave the building. What’s interesting is that even with all of our technology, it still takes too long to finalize a deal. My hunch is that it takes as long today to get an executed deal as it did thirty years ago. In the old days, it wasn’t unheard of for a retailer to open a store before the lease was signed and solely based by a verbal commitment, but now the shopping center industry has become so sophisticated that would never occur. Originally, LOIs were simple one-page documents that just outlined occupancy costs, term, space and co-tenancy requirements along with a dollar amount that the landlord agreed to for TI. Back then, the attorneys hashed out the legal details after the LOI was signed. Today, LOIs are much more complex, yet the attorneys still take as much time to finalize a lease as they did when LOIs were intended to outline only the business terms. Making things more complicated than they need to be always drags the momentum of finalizing a deal. Unfortunately, there’s no standardization of lease documents, no matter if the document is written by the landlord or the tenant.
