KIP LORD PRESIDENT REPORT

nded September 30, 2022 I am pleased to report that we will end the FY22 operating year with a cash surplus of approximately $200,000. In addition to this balance, we still have approximately $527,000 from the CARES Credit received in our fiscal year of 2021. This means we will be heading into our new fiscal year (FY23) with an operating surplus of approximately $727,000. The FY22 operating surplus of $200,000 is from a combination of better income results in the food and beverage and youth departments. We also had a significant amount of payroll savings for the year due to the reduction in headcount and delayed hiring. These approximate results are subject to confirmation in our annual audit, which is being finalized as I write this letter.

These are good results, and the cash surplus will allow us to maintain our monthly dues at $795 for this upcoming year This surplus will be needed as we reopen the club in the fourth quarter of next year Once the project is complete, we will have to ramp up our kitchen and F&B operations This entails purchasing soft goods and food inventory as well as hiring additional staff

During my term on the Board, we spent time with club benchmarking professionals learning more about the club industry and its best practices One very positive takeaway I wanted to share is that there are four markers that are consistent with the best run clubs in the US They are: 1 Strong applicant pipeline, 2 Separating the Capital and Operating ledgers, 3 Setting aside cash reserves, and 4 Increasing dues annually by 3 5%

Looking forward to 2023, the Club is on good financial footing and a fiscally sustainable path. We have a very healthy applicant pipeline that we should all be proud of. Secondly, we separated the Capital and Operating ledgers and streamlined the reporting formats this year so that management and the Board could better react to member demand in real time. Thirdly, our permanent ongoing capital charge will serve as a reserve bucket over time as we pay down the HOH loan. Lastly, raising dues this year allowed us to achieve our goal of breaking even in our operations.

As I mentioned above, our FY22 surplus should allow us to maintain our current dues for this upcoming year, but we continue to operate with high inflation and a very tough labor market Management and the Finance Committee have developed a conservative FY23 budget but many of the factors mentioned above are out of our control Should we foresee the need to make any corrections this year, we will make sure to communicate this as soon as we know. However, members should expect an annual dues increase going forward commencing in fiscal year 2024 once we have completed the HOH project and we have stabilized operations. I would like to thank Steve Antion, our finance committee chair as well as Ivee Wilson, our GM, and Sunil Chand our Director of Finance, for their work on streamlining and updating our financial reporting as outlined above Lastly, the Club is in very good shape to welcome its 100 year anniversary. I know that this year was a tough ask on members as it relates to reduced services and the dues increase and I want to personally thank the membership for their patience and continued support. I also want to thank my fellow Board members for their hard work this year and their positive contributions to the invaluable legacy we have at The Beach Club

ank all the people who helped make 2022 such a great year for Beach Club Athletics This was our first full downs, and we came back with a vengeance To all the committee chairs and members, thank you for your kbone of BC Athletics and it really showed And last but not least, thank you to Austin and Tiffany for all at environment for Athletics at The Beach Club

of all sorts of different events and fun formats, creating a little something for everyone. The most exciting and newest event was our Paddle Tennis Calcutta in which we used the same formula as the infamous Volleyball Calcutta, and it did not disappoint. BC PT legend Jeff Pickett and his team of Mariann Lord, Donnie Halliburton, Rebecca Mullin, Charles Lansbury and Eric Sikola somehow found a way, against all odds, to beat the team of Jamie Melas, Chip Stuart, Chris Benton, Kelly Peterson, Phil Ortiz and Kaitlyn Laverty… Other notable events included the Cinco de Mayo Interclub tourney, Memorial Day Stars & Stripes, Women’s Tournament, Men’s Tournament, Labor Day, Men’s and Women’s Club Championship and the Mixed Doubles as well

Let’s not forget about the fastest sport in the USA! Pickleball is on fire and has seen a huge rise in participation at the Club Austin held eight free pickleball clinics that were ALL sold out Be on the lookout for this incredibly fun, new racquet sport in 2023 We hope you all enjoy the beautiful newly resurfaced courts that can now be used as pickleball and paddle courts

Now onto Bocce, the most played sport at The Beach Club, with over 280 members who signed up and participated! By far the best energy and fun of any tournament that was played in 2022 was the Staff Bocce Tournament Countless members showed up to support the eight employee teams to watch them battle it out In the end, there was one team standing, Pallino Posse: Ana Lopez, Jose Guzman, Francisco Robledo & William Chavarria, narrowly beating Bad & Bocce: Cesar Melgoza, Luis Chavarria, Rigoberto Orellano & Tiffany Truong

Winners of the Spring League were Fuhgetahbocce (Terry & Val Holberton, Gary & Judy Nunnelly, Melinda & Donn Conner, Elaine & Gregg Patterson, Pat & John Jakle, Marie & David Peterson + Carolyn Speer), Summer League was NorCal SoCal Ball Busters (Doc & Stacey Stephens, Margaret Cook, Clay & Staci Mitchel, Tommy Lyon & Mary Lyon, Kerry Davidson, Dan Fitzgerald, Steven Mitchel, Chip & Jill Stuart, Jenny Bergstrom & John Hunter) and Fall League was Boccisti (Donnie & Diane Halliburton, Jim Doyle, Sandy & Bert Thomas and Doris Castaneda) Also of note, the Bocce Committee has perfected the 1 day tournament for everyone and will have several on the calendar for next year

I didn’t want to mention anything negative here but feel it’s worth noting that our BC Bocce team was defeated by BABC in the Bay Cup this year. Because of our monumental concrete pour, we had to switch the host site to BABC at the last minute, where home court proved too much for our side. We are going to host the Bay Cup for the next two years at the BC, so fear not, we are on our way to consecutive victories in 2023 and 2024.

Volleyball this year had some great firsts, namely that Chris Lewis FINALLY won the Calcutta! The team of Nick Vanderboom, Chris Lewis, Frank Taylor and Mike Starratt defeated Ryan Kennedy, Parker Bowlin, Warren Wibblesman and Jim Jackson However, Ryan would not be denied as he and the young team of Scott Stuart, Trey White, Woody Cook, and Chris Hopkins prevailed over Sean Dennis, Chris Sheridan, Jeff Stuart and Clayton Hill in the Labor Day A’s Tournament For the B’s, Chuck Trout, Jamie Melas, Whitney Vanderboom and Scott LaPorta defeated Grant Roski, Oliver Tannenbaum, Jim Jackson and Christian Norman Could we be seeing a changing of the guard???

The Volleyball Committee also decided to rename the Legends Tournament, for our own living legend and hosted the first ever Andy Fishburn Classic, and it did not disappoint Young Spencer Graves proved to be too much to handle and his team of Chris Carlson, Scott Cook and Shari O’Connell

2022 was a year of firsts; the Athletics Committee tried and experimented with many different tournament formats and schedules. 2023 will surely build on the success of this year and take the most fun events and repeat them, as well as reinvent some new ones.

In addition to HOH, Buildings and Grounds was able to address the long overdue resurfacing of the paddle tennis courts, as well as retrofitting 24 of the halogen court lights to more energy efficient and brighter LED lighting And, due to the increased interest in “the fastest growing sport in America” Pickleball the courts were re striped for both paddle tennis AND pickleball We also added an adjustable net to Court 7 which has proven to be successful and will likely be taking place on all courts this next year Courts 6 & 8 which are currently being used for staff dining, storage and maintenance yard will be resurfaced once the HOH project is complete when we can move everything into our permanent facility. Thank you to Austin Doerner for his help organizing this project, as well as helping with the color scheme you see today.

I want to thank the following B & G committee members for their time and energy this year Dave Hibbert, Jim Shelton, Michael Woods, Ben Youngblood, Neal Flesner and Marie Carson. Thank you to Jan Brindle, our owner ’ s representative for managing the Heart of the House Project. And, a special thank you to Drew Planting, Daisy Spurgin and Ivee Wilson for the countless hours they have spent on the Heart of House Project We are so fortunate to have members and a GM who are willing to tackle this project on behalf of our community Finally, our entire staff who are working tirelessly in conditions that are less than ideal This last year has been a challenge for everyone, and, on behalf of our entire membership, I want to say thank you for making the club so enjoyable during this transitionary period

STEPHEN ANTION FINANCE REPORT

t half of our Club building under construction, has put a lot of strain on our Club’s finances As a result, very busy and eventful year

The Finance Committee routinely reviews the monthly financial statements, helps prepare the annual budget and recommends changes to dues and other controllable sources of revenue (locker fees, equipment storage fees) in order to balance our operating budget Historically, changes to the prior year ’ s operations and budget have usually been fairly modest That is not the case this year, as we are operating in a novel environment that is particularly challenging for our Food & Beverage operation As a result, the Finance Committee has been involved in reviewing operations and staffing levels as well as seeking ways to reduce costs without overly affecting the member experience

We monitor the progress of HOH construction and our cash balances to fund the construction and project the need to begin borrowing under our credit facility We have deferred borrowing for most of this year to save interest expense

One of our goals this year was to change the presentation of our financial statements and reports to make them more user friendly and actionable. We completed this early in the year and management and the Board are pleased with the results. There is still room for improvement, but it is progress. We have also developed a set of “key performance indicators” that we monitor more frequently to provide greater insight into trends in Club operations and to enable management to make adjustments to operations in real time instead of waiting for the monthly financials.

Budgeting for this year was particularly challenging and this Committee worked with management to prepare a mid year reforecast of the budget which enabled the Board to determine the appropriate level of dues

We are very fortunate to have an incredible group of smart, hard working and dedicated members serving on the Finance Committee this year: Baron Birkhofer, Will Borthwick, Mariel Joliet, Kevin McKenzie and Susanne Meline This group has shouldered a heavier load than normal and we should all be grateful for their commitment of time and expertise to the Club

I appreciate the opportunity to serve you and work with Ivee, Sunil and the members of the Finance Committee this year

GINA GARDNER HOUSE REPORT

ade up of several sub committees and their function is all things happening in the clubhouse including dining, sub committees include the Food & Beverage, BCJV, Wine and Centennial Committees and they work on many aspects of the members’ experience at the Club

The Centennial Committee has been working hard over the last several years preparing for next year ’ s big celebrations They have been digging into the archives of our Club’s history and finding incredible photos, articles and researching how the Club was founded and how we got to where we are today The committee has been publishing monthly “Do You Remember When” columns in The Wave sharing some of the fabulous history they have uncovered about our founding fathers and some of the great photos they have dug up Recently the one of a kind BC Centennial Reyn Spooner shirt design was released, and orders were flowing in This committee is continuing to work hard on events and I know we are all excited to see what is yet to come

As we all know Food & Beverage is a key piece of our Club and is probably one of the largest areas that the members voice their opinions about With our kitchen currently under construction, I first want to give a huge round of applause, appreciation and thanks to Chef Marlon, our culinary team and all of our staff for their incredible hard work that they have put in during the construction of our facility During this year they not only created incredible dining experiences like Easter, Mother’s Day, Food Fun Saturdays but without a kitchen served one of the largest 4th of Julys we have had in years. The Food & Beverage Committee also meets regularly with management to help give member feedback and I know that everyone is excited about our future once we have a fully operating kitchen.

Then there is the ever coveted Wine Committee which meets quarterly to review what is selling, what isn’t selling, what we have too much in storage at the moment and what people would like to see added as wine and beer options. They have been researching more organic wines to add to the menu in the future and have been working on highlighting wines that they recommend our members give a try.

Last and certainly not least is the BCJV committee which is focused primarily on the activities for the under 40 group They want to make sure that those under 40’s feel engaged, well represented and are optimizing their Beach Club experience as well They have been planning fun events to get the buzz going at the Club and have been instrumental in helping to launch our Instagram account If you aren’t on it, I strongly recommend subscribing to the BC account (@tbc1923) because a lot of great information gets published there with fun upcoming events

I want to personally thank everyone that served on the House Committee this past year and for caring as much as you do about our Club: Ginger Boykin, Nicole Burgess, Jim Conlon, Jackie Dunne, Rich Feldman, Mike Huntsman, Kurt Krieser, Gerald Malanga, Chip Russo, Dakota Warde Levie, Hal Washburn Their time and thoughtful input was greatly appreciated It was a joy working with all of you and getting to know you better Thank you

ANTHONY BISHOP LEGAL REPORT

e this year to serve on the Board and to Chair the Legal Committee While not known for being the most gal Committee does serve an important role at the Beach Club.

This year, the Legal Committee consisted of a great group of lawyer members with varied legal backgrounds whom I want to thank for their time and commitment These members included Nickie Gordon, Helen Ahn, Grant Hardacre, Caroline Woolsey, Harris Hartman, Don Woods and Paul Workman The Legal Committee was also ably supported by our great Beach Club staff who provided prompt assistance when requested despite their full plates of normal work Special callouts here to Ana Lopez, Sunil Chand, Elena Tan, and Ivee

Speaking of Ivee, with whom I communicated regularly via text, e mail, and phone, I have been consistently impressed with her awareness and appreciation of legal and potential legal issues My job would have been much tougher without Ivee at the helm Thank you Ivee!

So, what does the Legal Committee do? Broadly speaking, the role of the Legal Committee is to assist the Board of Directors and Beach Club Management in evaluating legal (or potential legal) issues that are referred to us, and where necessary to oversee litigation, regulatory and disciplinary proceedings. The Legal Committee interprets the Bylaws, House Rules, and other key documents such as our Beach Club leases, construction documents, and insurance policies, and provides advice with respect to member and employee issues. We address most of the legal issues using the expertise and research capabilities of committee members, but, if necessary, outside legal counsel is also employed.

This year we provided advice with regards to various matters referred to us by the governance and membership pricing committees, as well as several member disciplinary actions related to cases of financial delinquency and conduct unbecoming a member We also addressed some very interesting membership transfer issues such as (i) a transfer in the case of death without a will, (ii) a transfer in the case of the mental incapacity of a member, and what documents are required to establish incapacity, and (iii) a transfer in the case of personal bankruptcy and the involvement of the bankruptcy trustee and bankruptcy court in that process

In most cases, the starting point for analyzing any member issue is a review of the Bylaws and House Rules These documents are posted on the Beach Club website, and I would recommend reading them if you would like to learn more about the rules governing the operation of the Club

We started the year with a well defined agenda including (i) participation on the governance and membership pricing committees, (ii) review of our insurance policies, and (iii) creation of a board and committee policy manual to orient and guide future board and committee members, but a large portion of our work ended up being reactive to what was happening elsewhere at the Club.

For example, in reaction to the previously mentioned member disciplinary issues that arose, the Legal Committee drafted proposed amendments to the Bylaws and House Rules (which are still subject to Board review) to clarify the procedures applicable to suspension and expulsion of members for financial delinquency and conduct issues In addition, as Chair of the Legal Committee, I was also actively involved with other Board members in addressing issues related to the dues increase

In closing, I would just like to say that I am grateful for the opportunity to have served the Beach Club this year and to have worked with the other talented and dedicated Beach Club members who served on the Board and Legal Committee

DEVA JACKSON MEMBERSHIP REPORT

as the first year of my three years as Membership chair where we were able to meet every month in person! as and let’s all say “Goodbye” to the pandemic We aren’t yet able to meet in the boardroom, but we are able to enjoy the beautiful sunsets on the Porch and in the Dining Room

Interest in the Club and the membership process is alive and well. During the past fiscal year, the Membership Committee processed 36 membership applications. We completed 11 Regular candidates, 7 Associates, 7 Junior Transfers, 5 Juniors and 2 family transfers. We welcomed 24 new members to the Club. Over the course of the year, 21 regular memberships were purchased (10 by Associates), with an average sales price of $68,000. This contributed over $1.3 million in transfer and admission fees to the Club’s capital account.

We currently have 16 applications in process and 32 on the waitlist Our average application waiting time, before we start the official processing procedures, continues to be roughly 18 months We added another interview to our schedule each meeting this past summer to help accelerate this process We have 8 regular memberships currently for sale with an offering price ranging from $68,500 to $73,000

We formed a Membership Task Force this year to address several issues including discussion of the following (1) a new pre posting procedure, (2) the Junior to Associate process, (3) the creation of a digital proposal form, (4) membership quotas, club access and usage, (5) update forms and reports, and (5) creating a new membership chair manual to be passed down from one chair to the next This committee was composed of Pat Jakle, Val Holberton, Bryan Dunne, Ryan Haden, Ivee Wilson, and me

Following the subcommittee's good work, we began pre posting applications in July. We also eliminated the need for the first interview for the Junior to Associate process. Our monthly reports have been updated and standardized thanks to Bryan Dunne and Ana Lopez. The digital proposal form was completed this August. Lastly, the membership chair manual will be completed by the end of December this year.

This is my last commitment as Chair of the Membership Committee, and I am honored to have worked with such a great team The Committee worked diligently and compassionately in our roles to maintain The Beach Club’s family standards and traditions I would like to thank my fellow Committee members for their service: Chuck Cox, Bryan Dunne, Jeannie Fontana, Randy Forbes, Jr , Ryan Haden, Robin Hunter, Pat Jakle, Mason Merrins and Robbin Morgan I particularly want to thank Randy Forbes, Jr , Ryan Haden, Robbin Morgan and Pat Jakle for their three years of service and again to Ryan and Pat for agreeing to stay another year in order to preserve the knowledge and consistency between committees. I want to thank Ivee Wilson and Lera Van Straatum for their managerial guidance. I want to thank Ana Lopez and Elena Tan as our staff liaisons who did so much work improving our processes and recordkeeping. Finally, I want to thank Bryan Dunne for agreeing to take over my position to Chair the Membership Committee for the upcoming year.

SUE JAMESON STRATEGIC REPORT

I was elected to the Board of Directors last year and assigned to Chair the Strategic Planning Committee I wish to share with you our progress for the calendar year 2022

As many of you know, a strategic plan is generally speaking, a written document that specifies an organization’s objectives to meet market needs It is essential to maximize a company ’ s market share Given that we are a non profit social club, what does strategic planning mean for a private club?

Personally, I grappled with this question Knowing that the goal of the BC management and Board is to provide an incredibly special “home away from home” experience, what can the Strategic Planning Committee do to ensure that this dynamic remains in place?

To achieve this, we set the following 3 goals to accomplish over a two year period:

Ensure that the BC’s mission statement is still relevant. What is a mission statement: The core being of the Club’s ethos. Here is the current draft still to be vetted and formally shared with members: The Beach Club is a home away from home for member families (and guests) offering activities for all ages; sports, games, dining, health, and wellness, or simply being a place to unwind and feel safe. The social fabric is intertwined with happiness, respect, and satisfaction with the holistic Club experience. Our financial and experiential success is uniquely defined by the seamless integration of member involvement, management stewardship and staff services. Create a vision statement for the BC. What is a vision statement: A guiding beacon for the near term helping Boards and Management make better, more informed decisions Here is the current draft still to be vetted and formally shared with members: Provide a family oriented experience that is financially stable without undue burden Develop a Best Use of Space (BUS) plan (focusing on the short term) for the areas of the Club that have not been touched by the Renew and Recharge Project and the HOH Project How should the outside areas of the Club (South Property, the Pit, the Hut, children’s play areas, sports viewing areas, beach sitting) be designed to maximize member satisfaction and set us up for future optimization?

All three of these projects require member, management, and staff input Accordingly, we are in the process of designing a survey to gather information about Club activity usage (space, dining, sports, other activities) and Club culture (does the “ your home away from home” motto work for you) We expect to submit the survey to the members in 2023 This data will enable the Committee to continue to work on the goals set forth above

Our committee members are deeply enthusiastic about the Beach Club and are committed to seeing these projects completed I would like to thank them for their hard work this year and look forward to working with them again in 2023

dles all things happening with the adorable kids (and grandchildren) of our members It was a pleasure to work h had creative ideas and suggestions of how to make our young members’ experience at the Club better! A personal thank you to all who served on Youth this past year: Alix Carlson, Donnie Haden, London Hobin, Jake Jesson, Jenny Morrow, Danielle Vaughn and Allison Kreiser

One of Youth’s most significant annual contributions is Beach Camp. The Committee serves as a constant sounding board and support for the program offered. This year was a success! Participants experienced great synergy amongst the coaches and campers with great attendance thanks to additional BABC participation since they did not offer a camp this year. As we look ahead to summer 2023, similar to so many aspects of today’s world, inflation and rising labor costs will cause an increase in camp fees to continue a break even program. The Committee spent time evaluating competing camp offerings to understand target pricing for next year. We are confident our camp fees will continue to cover costs while remaining the most affordable compared to BABC and JC options

The Nursery amenity was something we expended much effort on this year As some of you may recall, in 2021 our insurance company informed us that the nursery operations were not insurable in the form we were offering the service After surveying members within the younger demographic regarding their desired use of the nursery, the Committee determined it was an amenity the community felt quite passionate about providing. We worked to create a reservation system on the BC App, charged members hourly for use, hired part time employees for service with required training, and formulated a Rules & Regulations policy adhering to all the requirements of our insurance and county regulations. Once the nursery opened this summer, the frequency of use of facilities wasn’t as members made it sound so we ended up cutting back on the offering to deter additional slippage with the operation costs, mainly caused by the part time labor expenses.

While parties were still limited this year being on the back end of COVID and a clubhouse under construction, the Club hosted many successful youth oriented parties The Committee was an effective sounding board for staff regarding events including Puppy Party, Father’s Day Bocce Tournament, 4th of July Carnival, Father child Sleepover, Beach Camp Carnival, Labor Day weekend, Halloween Carnival, plus the upcoming Winter Wonderland & Santa Visits! I hope these kids realize how lucky they are to benefit from all these fun experiences at the Club!

Lastly, over the past years, it was often confusing for families and the Club in planning parties for children We helped Staff create simple packages and pricing for overall party packages for kids parties offered at Club, especially during HOH, offering clarity regarding services and fees

Lera and Nik added significant value this year to the Club’s youth program. It was sad for us all as they departed the Club, however, we have already seen Tiffany Truong share her expertise and talent to plan a fantastic Halloween Carnival a few weeks ago and it’s already a pleasure to work alongside her excitement about what we can offer our younger community at the Club.

With Lera and Nik’ s departure, we did have to push a few events into next year so we look forward to expanding our creativity and working alongside Tiffany and her team to bring to life some fun family events as well a community service event Lots of excitement for next year and beyond when our clubhouse is fully open and operating!

Finally, without our highly competent, creative and energetic staff, the work of our committee simply would not get done: special thanks to Ivee Wilson, Tiffany Truong, Elena Tan and Kimberlina Escalera and Ana Lopez What a team!
