Call to Order Mr. Brown called the meeting to order at 1:31 when quorum was reached and all members who were present could hear each other. II. Roll Call Board Members present: Joseph Brown, Marsha Moyer, Bobbie Jager, Misty Galofteanu Board Members absent: KimThatcher Members of the Public present: None School Staff present: Allison Galvin, Executive Director, and the following school staff; Lori Walter, Mary Ellen Mansfield, Laura Dillon, John Meyer, Rachel Reid III Public Comment None IV Routine Business A Approval of theAgenda

Mr Brown asked if any changes needed to be made to the agenda

There being no changes to the proposed agenda, a motion was made and seconded as follows Ms. Galofteanu moved to approve the agenda as presented. Ms. Jager seconded the motion.

Ms Galvin explained that there are two Directors whose terms expire on June 30, 2022: KimThatcher and Marsha Moyer Ms Thatcher and Ms Moyer have

Approval of Board meeting schedule for the 2022-23 school year Ms Galvin shared the proposed schedule of Board meetings for the 2022 23 school year She noted that, as in past years, there are no meetings in December or March The time for the meetings will remain the same, with adjustments made if need arises Mr Brown asked the Board if there were any questions or discussion needed

Ms Galvin noted that while her review was conducted during an executive session at the May Board meeting, it will need to be approved during an open session Mr Brown asked the Board if there were any questions or discussion needed

Ms Moyer moved to approve the annual evaluation of the Executive Director Ms Jager seconded the motion

RESOLVED, toAPPROVE KimThatcher and Marsha Moyer to renewed three year terms lasting through the annual meeting in June of 2025

There being none, a motion was made and seconded as follows

The motion passed unanimously C. Approval of Officers for the 2022 2023 SchoolYear

Ms. Galvin reviewed the current officer positions noting that Joseph Brown is currently President, KimThatcher is currently Vice President, and Marsha Moyer is currently Secretary. She indicated that the Board may either vote for these positions to remain filled as they are, or vote to change roles.

Mr. Brown asked the Board if there were any questions or discussion needed. There being none, a motion was made and seconded as follows. Ms. Galofteanu moved to approve the officers for the 2022-23 school year to remain in the roles presented by Ms. Galvin. Ms. Jager seconded the motion.

RESOLVED, toAPPROVE the officers for the 2022 23 Oregon CharterAcademy School Board to remain as: 1 Joseph Brown President 2 KimThatcher Vice President 3 Marsha Moyer Secretary

Mr Brown asked the Board if there were any questions or discussion needed

both indicated that they are willing to renew their commitment for an additional standard three year term

There being none, a motion was made and seconded as follows

Ms Galofteanu moved to renew the terms of Ms Thatcher and Ms Moyer Ms Jager seconded the motion

The motion passed unanimously D Approval ofAnnual Evaluation for the school’s Executive Director

Ms. Galvin shared that ORCA’s summer programs begin today. Summer programs include Summer Bridge, Credit Recovery, and a variety of enrichment opportunities for students in Canvas 2 School events

Ms Mansfield noted that she is working to complete year end projections

RESOLVED, toAPPROVE the annual evaluation of the school's Executive Director as presented during executive session at the May 25, 2022 meeting

Ms Galvin indicated that OSBAhas run ORCA’s annual performance audit Graduation Rate andAttendance were areas in which the school received low ratings, as expected in trends from previous audits

B. School Leader’s Report 1. Summer programs

Ms Galvin noted that Spring Celebration was held on June 3rd and went very well The school also held its first in person Cabinet in two years on June 14 Ms Galvin shared that being together in person was valuable for collaboration and team morale This will be beneficial in staff meetings moving into the new school year 3 Annual performance audit

VIII Information Items

The school will be approximately $5000 over budget this year.This is due to additional expenses related to severance payments and final summer pay for those staff who are not renewed for the 2022 23 school year.

Ms. Mansfield also reviewed the May Financial Report, noting that deductions related to the purchase of the Wilsonville Facility will be reflected in the June financial statement.

Ms Dillon drew attention to graduation highlights that were included in the board packet There were ten legacy students who graduated after spending their entire school career at ORCA Ms Dillon also shared that the summer social media campaign theme is “Your Unique Path ” Ms Dillon noted that she is working with parents to gather feedback on and streamline resources available to them in Canvas
