Call to Order Mr. Brown called the meeting to order at 12:34 pm when three board members were present and quorum was established. The meeting was open to the public and held via video conference.

Roll Call Board members present: Joe Brown, Kim Thatcher, Marsha Moyer Board members absent: Becky Badger, Bobbie Jaeger Members of the public present: School staff present: Allison Galvin, Executive Director and the following school staff: Todd Schweitzer, Lori Walter, Mary Ellen Mansfield, Jason Horton, Rachel Reid.

Routine Business A. Approval of the Agenda Mr. Brown asked if any changes needed to be made to the agenda. Hearing none, a motion was made and seconded as follows.

RESOLVED, that the agenda for the June 23, 2021 meeting of the Board of Directors’ of Oregon Charter Academy is hereby approved as written.

The motion passed unanimously.

Oral Report A. Financial Report 1. May financials Ms. Mansfield presented the Income Statement and Balance Sheet through May 31, 2021, noting that all of the income from the State School Fund has been received and recognized, and the accompanying fees paid to Santiam Canyon as per the school’s charter contract.

2. Year end projections Ms. Mansfield further reviewed the 2020-21 projection spreadsheet and called out an estimated ending fund balance in the neighborhood of $20.0 million.

B. School Leader’s Report 1. End of school year reflection Ms. Galvin summarized this challenging year from COVID to wildfires to ice storms. Through all the challenges we were able to keep the doors open and serve our families with enthusiasm and grace. Yesterday was the first in person staff meeting of the year. It was a joy to see people in person and close out the school year on a positive note.

Consent Agenda A motion was made and seconded as follows.

The motion passed unanimously.

Action Items A. 2021-22 Employee Handbook Update - Review and consideration of CTE Industry compensation

The mission of Oregon Charter Academy is to prepare all students for success in a global society through an inclusive, rigorous, academic environment where students have daily live interaction with highly qualified teachers and continuous access to curriculum. Oregon Charter Academy staff partners with families in a transparent, collaborative school environment to support all students in their academic journey.

Ms. Walter explained the desire to add industry experience as a layer of complexity to teacher salaries. She proposes offering to Career and Technical Education teachers one year of experience on the salary schedule for every three years of industry experience in the “real world”. This is consistent with other schools in the state and would help Oregon Charter Academy recruit and retain CTE teachers.

After a clarifying question, a motion was made and seconded as follows.

RESOLVED to approve the CTE industry compensation plan to be included in the 2021-22 Employee Handbook as presented.

The motion passed unanimously.

B. Approval of Board meeting schedule for the 2021-22 school year Ms. Galvin presented a proposed calendar for next year’s board meetings, which would continue the current time frame of Wednesdays at 12:30 pm.

As no questions were proposed, a motion was made and seconded as follows.

RESOLVED to approve the 2021-22 Board meeting schedule as presented.

The motion passed unanimously.

C. Approval of Directors A motion was made and seconded as follows.

RESOLVED to approve Joseph Brown and Bobbie Jager to the Oregon Charter Academy Board of Directors with three year terms running through the annual meeting in 2024.

The motion passed unanimously.

D. Approval of Officers for the 2021-2022 School Year A motion was made and seconded as follows.

RESOLVED, to approve the following to serve as outlined for the 2021-22 school year: ● ● ● ●

E. Approval of Annual Evaluation for the school’s Executive Director Mr. Brown read a summary of the review that the Board, with the help of Mr. Schweitzer, prepared in executive session last month.

The ORCA Board evaluated Executive Director Allison Galvin and confirmed she has met or exceeded all 35 categories and standards of the Evaluation Framework for School Administrators.

The Board recognizes that Allison Galvin excels in the areas of protecting the welfare of students and staff. She showed her adaptive and flexible leadership while navigating ORCA through the complexities of the wildfires and Covid during this school year. Allison also exceeded expectations regarding school accreditation. The Board acknowledges Allison's leadership acumen as an asset to this organization.

The full evaluation has been presented to Ms. Galvin.

Ms. Moyer added her appreciation and thanks to Ms. Galvin.

With no further discussion needed, a motion was made and seconded as follows: RESOLVED, to approve Ms. Galvin’s annual evaluation and recommendation she be offered a contract extension.

The motion passed unanimously.

F. Review and consideration of 2021-2026 Strategic Plan Ms. Galvin called the board’s attention to the strategic plan included in the board packet beginning on page 52. This document began during the April Board training and has been revised since then to take into account staff and family surveys.

Ms. Moyer encouraged the school to broadly and transparently share with staff and community a streamlined version of this document to create buy-in and movement towards goals.

When no further discussion was needed, a motion was made and seconded as follows.

RESOLVED, to approve the 2021-26 Strategic Plan with final edits to be done by the school leadership team.

The motion passed unanimously.

VIII.

Information Items A. Outreach and events Update Mr. Horton gave a quick overview of summer events that ORCA plans to attend in person: Salem Saturday Market, Marion County Fair, Bend SummerFest, Clackamas County Fair, Rose City Comic Con. He noted that Comic Con is a particular favorite of Oregon Charter students (and teachers). Virtual information sessions will also continue through the summer.

Ms. Thatcher asked how the school is reaching out to diverse and traditionally underserved communities. Mr. Meyer responded with the High School Success efforts to connect to native tribes as well as migrant populations.

B. State relations update Ms. Galvin noted that the legislative session wraps up this week. There hasn’t been much movement on education proposals which is both a victory (over the proposals that would have negatively impacted ORCA) and a missed opportunity (to further the agenda of virtual schools generally).
