Oregon Connections Academy (ORCA) MINUTES OF THE BOARD OF DIRECTORS MEETING Wednesday, May 22, 2019 at 12:30 p.m. PT Held at the following location and via teleconference: 833 NW Santiam Boulevard Mill City, OR 97360 _____________________________________________________________________________________________ I.

Call to Order

In Mr. Kropf’s absence, Ms. Badger chaired the meeting. Ms. Badger called the meeting to order at 12:33 p.m.

II.

Roll Call

Board Members Present: Becky Badger. Kim Thatcher, and Bobbie Jager (via phone); Board Members Absent: Joseph Brown and Jeff Kropf; Guests Present: Allison Galvin, Executive Director; Laura Dillon, School Staff (in person at the meeting location, which was open to the public); Jarrod Hogue, Emily Lee, Megann Arthur, Brian Rosta, and Tanya Lee, POBL staff (via phone).

There were no comments at this time.

IV.

Routine Business a.

Approval of Agenda

Ms. Badger asked if Board members would like to request any changes be made to the Agenda. There being no changes noted, a motion was made and seconded as follows: RESOLVED, that the Agenda for the May 22, 2019 meeting of the Board of Directors of Oregon Connections Academy, as presented, is hereby approved.

The motion passed unanimously.

V.

Oral Reports a. School Leader’s Report i.

Graduation Plans and End of Year Activities Update

Ms. Galvin reminded the Board of the upcoming graduation ceremony on June 8, 2019 and final plans surrounding the activities for that date. She further provided the Board with an update on the

upcoming end of the year celebration, which will include the 8th grade promotion ceremony, as well as the National Honor Society Induction. ii.

Spring Celebration Update

Ms. Galvin provided the Board with an update on this item. iii.

Facilities Update

Ms. Galvin provided the Board with an update on the school’s facilities, including property developments and negotiations. Ms. Galvin noted that she plans to share a photo of the facility soon. b. Financial Report Ms. Lee reviewed the financial information contained in the Board materials with the Board noting an increase in forecasted ADM. Ms. Lee further reviewed the balance sheet, revenue, and expense statements.

Consent Agenda

Ms. Badger asked the Board members whether there were any items from the Consent Items that they wanted moved to Action Items for discussion. There being no changes noted, a motion was made and seconded as follows: RESOLVED, the Consent Items: a. b. c. d. e. f. g.

Approval of Minutes from the April 24, 2019 Board Meeting; Approval of Staffing Report; Approval of School Invoice(s); Approval of Legal Invoice(s); Approval of Bank Reconciliation; Approval of Connections Academy of Oregon, LLC Invoices for April; and Approval of Board President as Board Designee to Approve Summer Staffing Decisions for the 2019-2020 School Year; are hereby approved.

The motion passed unanimously.

VII.

Action Items a.

Approval of Supplemental Educational Products and Services for the 2019-2020 School Year: LiveSpeech

Ms. Galvin reviewed the memo included in the Board materials regarding the supplemental educational products and services the school would like to utilize for the upcoming school year. She advised the Board of the positive results yielded from the use of Live Speech, and her recommendation that the Board approve engaging POBL for LiveSpeech for another year. The Board discussed their support of the products and services proposed. There being no further discussion, a motion was made and seconded as follows: RESOLVED, the Supplemental Educational Products and Services for the 2019-2020 School Year: Live Speech, as presented, is hereby approved.

The motion passed unanimously.

Approval of Amendment to Charter Renewal with Santiam Canyon School District

b.

Ms. Galvin presented this item to the Board. She briefly reviewed the need for the amendment, and the language development with Board Counsel. There being no further discussion, a motion was made and seconded as follows: RESOLVED, that the Amendment to Charter Renewal with Santiam Canyon School District, as presented, is hereby approved.

The motion passed unanimously.

VIII.

Information Items State and Strategic Client Relations (SSCR) Update

a.

Mr. Hogue provided an update on recent legislative activities which may impact the school.

Outreach Update

b.

Ms. Dillon provided the Board with an update on ongoing outreach activities including in person and virtual outreach sessions. Additionally, she highlighted the attendance rate for these sessions and discussed other advertising methods.

School Leadership Team (PSLT) Update

c.

Dr. Rosta presented to the Board on behalf of POBL’s Partner School Leadership Team.

School Leader Review Process Update

i.

Dr. Rosta outlined the annual school leader review process with the Board. He reminded Board members that the process includes feedback from the Board through a survey. Dr. Rosta further reminded the Board that Ms. Galvin’s final review will take place during the Board’s Annual Meeting in June. He also reiterated the importance of Board member participation in the review process. d.

Board Annual Meeting Proposed Date Change

Ms. Arthur advised the Board that school leadership had reminded her that the June Board Meeting date coincides with an upcoming School Leadership Retreat. Ms. Arthur noted that she will email Board members to determine availability for an earlier date in June.

IX.

Strategic Planning a.

Review and Consideration of Revised Mission and Vision Statements

Ms. Galvin reviewed the school’s work on revisions to these statements, and that she is gathering feedback from key stakeholders. Ms. Galvin advised that she plans to have the Board review and approve the revised Mission and Vision Statements at the June Board meeting.

Adjournment and Confirmation of Annual Meeting Date

The annual meeting is scheduled for Wednesday, June 26, 2019 at 12:30 p.m. There being no further business, the meeting was adjourned at 1:03 p.m.
