GLOBAL COALITION FOR YOUTH EMPLOYMENT SOLUTIONS (GCYES) COLLABORATION AGREEMENT MARCH-OCTOBER 2014 10 April 2014 An Agreement to Collaborate Among the GCYES Organizing Partners

Purpose: This document describes a shared commitment of the GCYES Organizing Partners to working together in developing and setting up the Coalition between March 2014 and the October 2014 launch.

It outlines different functions, roles and responsibilities needed to execute the activities outlined in the supporting action plan, and the contributions and accountabilities of each organization and to the overall team. In addition, the document articulates agreed-upon principles for collaboration and communication among the organizing partners. This document is expected to evolve and subject to Steering Committee approval, as outlined in section 4 – Ways of Working.

NB: While all organizing partners endorse the contents of this Collaboration Agreement and the accompanying Terms of Reference, this document does not constitute a legally binding agreement.

1.3 OBJECTIVES & OUTCOMES This section provides an overview of the objectives and outcomes to be achieved by the representatives of the organizations identified in Section 1.1. The tasks, which will be assigned to specific workstreams, include developing the strategic design, testing, and operationalising the steady state activities of the Coalition, while engaging stakeholder feedback in the process by the October launch date.

Develop a Terms of Reference and a further detailed action plan, deliverables and concrete deadlines for a particular activity work stream: Stakeholder Engagement, Strategy and Operating Model (KM, Funding and TA for Projects, Policy Dialogue and Partnership Development), Governance, and Country Pilots Task Team Lead will: o Be accountable for producing deliverables working in coordination with the Project Manager and in accordance with the agreed upon time-line and will hold regular updates with the PM. o Be responsible for engaging and managing other Task-Team members and other Focal Points or SC members for inputs as needed (ex: scheduling and facilitate meetings/calls, manage follow-up actions, etc.) o Coordinate (with support from the PM) with other Task-Team leaders when overlaps in occur between activities. o Request support from PM support staff as needed.

Task-team members will contribute inputs for the implementation of the activity working within the TOR and the agreed timeframes for activities. .

Decision-making process and authority

6. COMMUNICATION Procedures for on-going member communications

Decision Making Process: Consensus driven  All key actions must be agreed and approved by the Steering Committee prior to action being taken  All key actions must be agreed and approved by the Focal Points prior to forwarding to the Steering Committee for review and approval  Key actions will be discussed and agreed to in SC meetings and votes of members will be recorded.  Key actions will be discussed and agreed to in FP meetings and votes of members will be recorded  No action will be undertaken on behalf of the Coalition without consensus  In addition, the Steering Committee may act, without any meeting or telephone call, by the unanimous written or email consent of all its members.

Examples of key actions that affects all Organizing Partners:  Spend money on behalf of the Coalition (i.e. to initiate a pilots)  Hire staff (e.g a Project Manager)  Approach other organizations/entities for engagement in the Coalition  Should the Coalition incorporate or should it become part of the hosting organization?  Communications and Branding Voting Rights:  Each Steering Committee member or their proxy shall have one vote

The Steering Committee will determine the frequency of its meeting, but shall meet at least 4 times between April and October 2014. Additional meetings may be called by two or more members or at the request of the Project Manager. Meetings will operate as follows:  Project Manager shall propose schedule for Steering Committee meetings, giving notice that is reasonable   The Project Manager will circulate an agenda before the meeting. Focal Points that are Task Leaders will be informed and invited to participate if the work stream they are leading is on the agenda.  The quorum for a meeting will be 75% of the members present  Steering Committee members will nominate a representative to attend meetings and vote on their behalf if they are unable to attend a meeting. Notification of such proxy is to be provided in writing in advance of the meeting to the Project Manager.

Confidentiality

Each member will keep all information expressed confidential by all other members (whether written or oral) of its business affairs that it shall have obtained or received as a result of the discussions leading up to or entering into this agreement.

Procedures for the public profile of the Coalition (External)

Under the guidance of the Steering Committee, the Stakeholder Engagement Workstream Team will devise procedures for development and dissemination of information related to or about the Coalition.

Members agree not to issue any public statement relating to the Coalition without prior written agreement of all members and/or according to the Terms of Reference.

7.

REVIEW PROCEDURES

Health check

The Project Manager will review the objectives of this phase and the contribution of each member to ensure that this phase meets all its objectives. Any risks will be highlighted to the Focal Points and upon no resolution being reached, will be escalated to the Steering Committee.

Risk and Issues

Potential Risks:  Non-availability of members  Lack of consensus during decision-making  Lack of evidence for decision making

Rules for members to join or withdraw from the Coalition

Additional members may be invited to join the Coalition by the unanimous decision of the Steering Committee is obtained in advance before extending the invitation and on condition that the new member agrees to the terms outlined in the Collaboration Agreement and the Terms of Reference.

A member may withdraw from this agreement with 30 days written notice to all other members. Any initial financial contribution will be forfeited upon withdrawal.

Upon the withdrawal of an Organizing Partner, the Partner shall (a) at its own expense, (i) promptly return to the SC all tangible Confidential Information of the Coalition, or (ii) upon written request from the Coalition SC, destroy such Confidential Information and provide the Coalition SC with written certification of such destruction, and (b) cease all further use of the Coalition and its Organizing Partner’s Confidential Information, whether in tangible or intangible form.

Removal of members from the Coalition

The Steering Committee may, after a two-thirds majority vote of the full Steering Committee in favor of termination, and via a written notice served on the member, terminate a members’ membership of the Coalition, if the member:  Is in material breach of the Agreement, and where the member fails to remedy such breach within 30 days  Is in the opinion of the Steering Committee is incompetent of performing its duties  Fails to carry out the duties assigned to them Upon the termination of an Organizing Partner, the Partner shall (a) at its own expense, (i) promptly return to the SC all tangible Confidential Information (and all copies thereof) of the Coalition, or (ii) upon written request from the Coalition SC, destroy such Confidential Information and provide the Coalition SC with written certification of such destruction, and (b) cease all further use of the Coalition and its Organizing Partner’s Confidential Information, whether in tangible or intangible form.

8.

INTELLECTUAL PROPERTY

Rights in Intellectual Property



The underlying copyright and title of any information provided to the Coalition by an Organizing Partner will remain with that Organizing Partner. The underlying copyright of any material created during the process of launching the Coalition and post-launch will remain with the Coalition and its Organizing Partners and will be freely available for the public good to any interested party. The Strategy and Operating Model Workstream will devise terms and conditions related to the ownership and usage of the intellectual property of information created by the activities of the Coalition up to as well as post launch and will be subject to approval by the Steering Committee.
