This advertising sponsorship is entered into between The Southern California Rental Housing Association (SCRHA), the San Diego Multi-Housing Corporation (Publisher) and the Advertiser (Advertiser) shown below, effective upon acceptance by Publisher. Advertiser shall at all times be responsible for all payments due under this contract. Additional terms and condition of this contract are contained on the following pages of this contract and are incorporated by reference as though fully set forth at length herein. Advertiser, by executing this contract, represents that they have read terms and conditions.

Rental Advisor Magazine® Advertising Contract Terms and Conditions 1. ARTWORK All artwork or copy submitted for publication is the sole responsibility of the Advertiser. If any lawsuit should arise as a result of publishing the copy submitted, Advertiser agrees to indemnify and hold Publisher harmless from any damages or attorney fees which may result. 2. AD CHANGES All ad changes for ongoing ads must be made in writing and received by Publisher by the first of the month preceding issue. Only changes received in writing will be made. Publisher will invoice Advertiser at a minimum rate of $75 per hour for any charges incurred as a result of the ad change. Advertiser agrees that these charges are in addition to its regular contract space advertising charges. If the submitted advertisement is not complete or submitted on universally accepted desktop publishing software on disk/film, Advertiser will be invoiced for any art production charges incurred to finish or prepare the advertisement for publication in Rental Advisor Magazine®. 3. AD ERRORS Advertiser agrees that it has complete control over all copy and that Publisher’s liability of errors made by Publisher will not exceed the cost of the advertisement space, plus any costs for art production of that ad actually advanced by Publisher. It is agreed by Advertiser that for even this limited liability to occur, the claimed error must be obvious to a reasonable person not familiar with Advertiser’s product or service. It is agreed by Advertiser that in case of Publisher’s error, Advertiser’s compensation will be limited to one additional month’s publication of the corrected ad. Listings and Listing Upgrades: Advertiser must indicate in which category publisher is to list upgrades. Additional listings are available from the Business Directory Brochure only. 4. LIFE OF THE CONTRACT The advertiser must be a member of SCRHA to receive member pricing and Business Directory Benefits. At the end of a contract, the portion of the Rental Advisor Advertising reverts automatically to a month-to-month contract if no cancellation is received from the advertiser thirty (30) days prior to the contract expiring. Subsequent Rental Advisor ads will be invoiced monthly at the current rate. Members that default in their membership or cancel their membership will be automatically billed at the non-member rate, untill such a time that the contract is cancelled

or advertiser joins. If advertiser joins, advertiser will be billed at the current member advertising rate automatically. 5. ADVERTISING AND PACKAGE CANCELLATION December 1, 2019. Cancellations for advertising space and/or packages will not be accepted unless received in writing. In order to receive a refund minus a 25% ad reserve space fee for a canceled ad, cancellations must be submitted in writing on or prior to December 1, 2019 or within five days of signing whichever happens first. No refunds will be given to cancellations received after December 1, 2019. If Advertiser fails to provide copy in time to meet the published deadline of the 2020 Business Directory in which the Advertiser has contracted for/ ordered/reserved display ad space, the Advertiser agrees to pay the full contracted rate for space reserved but not used. No Exceptions. Rental Advisor portion cancellations for advertising space will not be accepted unless received in writing prior to closing date, the first of the month preceding the date of issue (30 days in advance). If Rental Advisor advertising is part of a package and ad portion is canceled before contract expires, advertiser understands that they are still liable for the full amount of the contract. Advertiser must cancel Rental Advisor Ad 30 days in advance before contract expires for contract not to revert to a month to month. 6. FAILURE OF ADVERTISER TO PROVIDE ARTWORK BY DUE DATE OF DECEMBER 6, 2019 If Advertiser fails to provide copy in time to meet the published deadline of an issue in which the Advertiser has contracted for/ordered/reserved, Advertiser agrees to pay the full contracted rate for space reserved but not used. At the end of a contract, the contract reverts automatically to a month-to-month at current advertising rates, if no cancellation is received from the advertiser prior to the contract expiring. 7. ADVERTISING REFUSAL Publisher retains the absolute right to refuse ad materials or advertising for any lawful reason, including, but not limited to: materials that are misleading, not accurate, or where the Advertiser fails to meet Publisher’s internal criteria for business stability or customer service. Advertiser authorizes Publisher to make all necessary inquiries as to advertiser’s record for good credit, proper licensing, and business ethics. Advertiser further agrees that Publisher may reveal these findings, upon request, to Advertiser or SCRHA member. Publisher reserves the right to refuse to carry advertising for certain types of

business, including but not limited to, resident screening, tobacco products, liquor, eviction services which do not retain a California attorney on staff, and Advertisers who owe money to either SCRHA or SDMHC (Publisher). Cash payment is required in advance from businesses which have a history of non-payment or late payment of credit accounts. 8. CONTRACTOR’S LICENSE POLICY All advertising for types of work requiring a California Contractors State License will be required to print the license number in the ad and to keep on file with SCRHA the types of work for which they are licensed. Publisher reserves the right to refuse to carry advertising for any company performing work that requires a state contractor license and is NOT licensed by the state. 9. RENTALOWNER AND Business Directory LISTINGS Advertiser must be in good standing with the Southern California Rental Housing Association (SCRHA) and the SDMHC (Publisher) for listing to appear in the Directory. Business Directory listings are to appear in the Business Directory only and not in the Rental Advisor Magazine®. 10. TERMINATION OF CONTRACT If Advertiser is in default under any provision of the Contract, the SDMHC and Southern California Rental Housing Association (SCRHA) may terminate this Contract without prejudice to any of its rights, herein, on five (5) days written notice. This Contract contains the entire agreement and understanding of the Publisher and Advertiser is non-transferable. Further the Authorized company representative is confirms, that by signing the contract he/she is authorized to sign legal contracts on behalf of the advertising company. The Company Representative further acknowledges that they are responsible for contract payment in full should the advertiser default. All notices required by this Contract shall be sent to the principal office of Publisher and to Advertiser at the address appearing on the Contract. 11. CONTRACT This Contract shall be deemed to have been negotiated and entered into and shall be performed in San Diego, California, and has been reviewed and discussed by both parties to their mutual satisfaction.
